Nature of the Govoming Do¢ument and con•litution of the charity
Matthews Friends is constituted under an original Deckgration of Trust dated 25th Oclobor 2004 and
supplemental deed5 dated 24th November 2004 and 20th April 2011. 11 is registered as a Charity with
the Charity Commission.
Post year end, the trustees approved an addibonal supfvntsl trust deed dated 31 May 2023. This
deed consolidated the Original and eaflier supplementsl deed$ but also amended to objectives of the
charity lo reflect the wider applicats.on of the Ketogenr Diet to all people with known Complex and
inlrac18ble epilepsy and the specific nourometabolic disorder GLUT1 def￿'encY syndrome.
As this change Included an amendment to the stated obj'ectives of the charity, pnor permission for the
change was sought from the Charity Commission and this was received on 19 May 2023.

The board of trustees consisted of 4 indNiduals at 31st March 2023. Post year end. 1 trustee r88igned
leaving 3 trusloes on the board. The minimum number of trustees is 3 and the maximum number of
trustees can bo 7.
All policy deci$lon8 are mado by the Board by majority votè.
During the current year, Emma IW4111iams as CEO was ￿9[*￿51b￿ for the day to day organisation ol the
chanty, working closety with Julie Fountain on dedslon making matters.
In addition, there are 8ub-commrttees to organise and manage various events. There are regular l>oard
meetings throughout th8 year to discuss chanty matters, ￿lminaU.n9 in an AGM.

The appointment of Trustees is govemed by the Declaration of TTUSt dated 25th October 2004 which
e$tablished thè Charity (Ihe Tnjst Deed") and subsequent supplementsl deeds. Subject lo the usual
qualifications regarding mental capacity and the requI￿ry￿nt that a Tnjstee musl act in the best interests
of the Charity at all times. the Tfust Deed provide5 that founding Trustees shall be entitled to hold office
for life with all othef Tnjstees being appointed for 4-year tern￿. Al Trustees must be at al least aged
18 and there must at all times b8 a minimum of seven Trustees. Under the Trust Deed a Trustee May
also be appointed or removed by r8501ubon of the Trustees.
Potential trustees make it knovffl to the board that they are Interested in be￿MIng a twstee. or they are
8pproathed by an existing Trustee.
- They are invited to attend a meebng to discuss the beneffts they can bring to the Cha￿ty.

Each year we review and revise accordingty all our printed resources to make sure Infomation is up to
da19. All our written resources are free to Ketogenic d￿tary therapy centres around the world and are
Checked and approved by our Medical Board. The animated release of our guide '1 am going on a
Ketogenic D￿r has been very successful. having been placed on both the Matthe*s Friends Website
and on our YouTube channel. We have also produced foreign language subts'ued vetsions. We also
havg 12 12 fOre￿n language versions of our wrrtten booklet, Arab￿. Croatsan. Dutch, F￿nCh, Georgian.
Geman, Italian. Lithuanian. Polish, Porbjguese. Romanwn and Spanish, with rn0￿ planned in the
future. These are all freety available lo patsents, families and professionals who require them.
Our web911e contlllU88 lo provlde valuable infonnation on the Ketogenic Diet W8 al80 have a busy
Facebook page. together Nwth Instagram and Twitter, giving much needo¢J social media support
throughout the year.
Dunng the pandemic, we also funded 'Mindfulness' ￿urSeS for our families in the forum. This gav& them
a safe space lo come together in small groups and help them to ty and ¢ope with the extra burdens
and Worr￿ that the pandemic brought wrth rt. The Virtual Zcom 'Cuppa and Chaf Monday •venlng$
which were stsrted during tha pandemic c￿tsnue and provth support to families ￿1￿ a In"endly 'virtual'
place to come together.
The Matthews Friends closed forum membership continues to grcm weekty amongst Ihose with loved
ones on Ketogenic D￿tary Therapy or who are on one themsefves. have 500 + members who enjoy
not onty the mutual support gNen, but the Keto discussions and meal inspirats'ons.
These are weekly now. and we have profossional guests present every so often on specific subjects for
the families as well as cookin9 tutorial$ from keto chets.
We entered the final year fijnding the new transits'on arKI adult service in Sheffield which gives the
surrounding paedialric services somewhere to transrt￿)n to and adu￿ neurologists somewhere to send
their patients who want to ty Ketogen￿ Therapy Whe￿ medications have failed. Working with the NHS
Trust, funding has now been secured for the Ketogenic Clinic to conb.nue indefinrtely when our fvnding
period comes to an end. We are delighted that this service will continue to grow and develop, and we
will continue charrty support the pabents and the Ketogen￿ team at Sheffield by providing infomiation
b¢Joklets, patient support seN￿S and professional training meetings as we do with all our NHS
Ketogenic Services. The charity prOV￿eS all this infomBts"on free of charge.
The recipe section on ourwebsite continues to grow. Vle continue to post nthv'tried and tested. recipes,
giving a comprehensive range of drfferent recipes which can be adjusted to a Patient's own prescription.
Our Keto Cook also supports those families requiring specrfi¢ meals. creating bespoke reGipes lo
families who are particularfy struggling or who need addthonal help in recipe adjustments.

We fund a mulwlattonn mobile vetsion of EKM. Electronic KetC*3enic Manager, whKh is extremety
beneficial to Ketogenic patsenls. The EKM is rev￿Wed regulaty. and updates are carried out where
funds permrt. A user guide has be8n written and printed for frdmilies which is reviewed annually, and we
have also produced and filmed 'ea$y to use, tutonals for the EKM pworm. This is updated regularty
across the pkqtfoms and proves to be an eXtreff￿ty us8fv1 tool for thos8 on a ketogenic diet. However,
taknng the meal planner ￿ea a step fijrther, and lrying to make meal planning and preparation for the
diet as easy as possible not onty for the pat￿nts. bul also families and other allied health professionals,
we worked alongside the Ketogenic D￿titianS Research Netsyofk IKDRNI and fvnded the 'Build
Ketogenic Meal, project. This 1$ a hvjhty pract￿1 and visual rn8al pLanner which is freely available on
the websrte. Using photographs of portion srles and alltrwing families to'build a meal, without having to
use numbers or ffigures. Thi$ project is aimed at those who maybe not as expen8ne8d using computer
programmes and those where numbers and calculakn.ons ean be confv$ing. Matthe%Vs Fnends have
a￿ayS tried lo re8ch as many families as possible in whatever way that works. and we were delighted
to be able to partner with the KDRN in bringing thi5 Project to fruIt￿n. We will continue to work with the
KDRN in phase 2 of the project in the next year.
From Ihe beginning of 2022 onwards face2face m8eting went ahead, Matthews Friends had stand5 at
the Europe8n Paediatnc Neurolojy Swety IEPNSI in Glawi in April 2022, and attended both the
Ketogenic Dielrtians Research Netsvork KDRN and Nut￿C￿ Keto Conference held in May 2022. In
September Julie Fountsin togetherwrth Lisa O'Brien trom the Matihevls Fnend$ medical board attended
the ESNA {Epilep¥y SFeu'alist Nur$8s ASsoC￿t￿nI meeting in Glasgow and had an MF stand of
information. During October MF had a stand at the Intemalional League Against Epilepsy IILAEI
meeting in Cardrff, Wales. Going Into 2023, MF had a stand at the British Paediatri¢ Neurology
Association {8PNAI in Edinburgh. E Williams CEO gave a presentsts.on on Ketcfvjenic Diotary Therapies
at the Epilepsy Action m¢eb"ng in March. Atso, during March, MF had a stand at the Young Epil•psy
Complex Epilepsy Study Day, also repr8senbng the Rare Epilepsies Together IRED group. Matthews
Friends had a virtual sland al the Royal College of Paedialiics and Child Health {RCPCH} in June 2022.
MF supported free webinars one for the Glut 1 community in O¢tober 2022. for both parents and
prof8s$ional$ and a PTofe$$ional's webinar on the subj'ect of Tube Feeding and the Ketogenic diet.
Matthews Friends chanty SUPPOrted the KetoCol*e e4eamin9 platfomi in provKling ongoing education
for health profeSS￿nals.
Mallhew's Friends joined RET (Rare Epilepsi8s Together) group and conts'nued to be nwbers of tho
Neurological Alliance.
Matthev/$ Friends run a $u¢¢essful 'Keto Stsrf award programme, this allows anyone who has gone
above and beyond the norm to be nominated. We have sent out an assortment of ¢erb'ficates, keto hero
t ehirt8, flow•r8 and other 'priz•8' 10 8urprt•• nominat•d. this has prov•n to bo Particularfy
beneficial lo the younger patlents who may requi￿ a lrtde boost to show that they are doing well, bul
can also be sent to school staff, hosprtaL8. pa￿nts. in fact anyone that is fett lo be deserving by going
that extra mile.
Matthew's Friends are proud to be founding patrons of the Intemational Neurolc*Jical Kelcgenic Society
(INKS) and we currenUy provide a Treas4Jrer and Se¢retsriat for the group. Three of our Trustees are
heavity invofved in this group providing input on all the committees within this organisabon.

Our Ketogenic online lutorials for medical professionals continue to be available and are proving
especially beneficial for those professionals in resour¢e limited areas of the world as well as community
professionals here in the Ulc
We SF*￿$0red the 6th annual Ketocollege programme during May, which was once again held as a
rtual event onty. 180 delegates attended over the cours8 of 3 days from 43 countries.

The financi81 statements are sel out on pages 10 to 21. The financial statements have been prepared
implernenting the Ststement of recommended Practice for Accounting and Reporting by ChaTits'es IFRS
1021 Issued by the Chanties Cornmission for England and Wabes. As stated in the introduction to this
report, the trustee8 consKlar the financial perfonnance by the chanty during the year to have been
$8ts8factory.
The principal sources of funding a￿ through voluntsry donations and this Income stream continues to
grow as the charity becomes more well known. In add￿'on. income continues to be generated through
organi¥ed furbdraising events which ensur88 we have Sufficient resources lo meet our charitable
obieth've8.
For the year ended 31st March 2023, the charity's asxounts showed net outgoin9 r8sourc&s of£35,978
12022.. outgoing resources £12.224) and chanty reserves of £514,486 (2022: £550.4641.

In accordance wfth Charity Commission guidance, th• Twstees re9ularty monmor and annually rewew
the adequacy of the charity'5 resetves and the res•Nes policy.
The Trustees, policy is to ￿tsin sufficient reserves to ensure that any opgratlng costs are met and that
commltted grants can be made.
The trustees have forecast Ihe18vel of incom8 for 2023f24 at £150,000 gross and £110,000 nel befora
expenditure on charitsble actwrties. This takes into account the pwts've impact on being able to once
again hold organised events whilst being mindful of the risk of reduced voluntary donalvJns during the
recession.
The charity's roserves policy is to hold back sufficient fvnds to cover the fix*l Charity running costs.

Gr•nt Maklng Pollcy
Once a year at the AGM, Iruslees decKle the main fccus of the charities grant making a¢ts'vities for the
coming year, in line with Ihe main chanty aims and objectives. The CEO and relevant Staff then engage
directly with organisations that may be able to fulfil those objectives and once satisfied, contracts are
drawn up and awards are made. Requests for funding are also received from third parties and these are
considered on a caseryby-C8se basis and approved subJe¢tto fulfilling charitable objectives and available
resources.
Matthevls Friends Clinics Ltd is an independent limited Company and owned jointty by the directors
Emma Williams and Julie Fountain therefore any requests for grant fvnding from Matthews Friends
Clini¢$ Ltd are considered solety by the independent trustees. matvw￿ Friends Clinics ckjsèd its
clinical service and is now ￿ncentrating on the expansion of its educational programmes.

Expenditure is recognised on an accruals basis as a liability is incurred. Expenditure include$ any

Costs of raising fijnds comprise the costs associated wth attracling donations. grants and
legacies and the costs of trading for fundraising purposes.
Charitable expendrture comprises th088 costs inujffed by the charlty in the delivery of its

to such actNits'es and those ￿lsts of an indirect nature necessary to support them.
All costs are alIc￿led between the expendiiure categones of the SOFA on a basis designed

Mrs Jul￿ Fountsin and Ms Emma Williams, who are also trustees of the charity. Th8 amount

Dudng the year Matthews Friends charity provided support services for Ketocollege professlonal
training and p￿MiseS rent totalling £31,646 to Matthews Friends Clinics Ltd12022'. £28,531). The

During the year Matthews Friends Charity receNed Ketogenic Cookery Services and used the
facilities of Mavreen Benn and Benn Bros who are related to the trustee Mrs Julie Fountsin. The
