The Trustees present their annual report together with the audited financial statements of the Company for the period 1 July 2024 to 31 August 2025. The Annual report serves the purposes of both a Trustees' report and a directors' report under company law. The Trustees confirm that the Annual report and financial statements of the charitable company comply with the current statutory requirements, the requirements of the charitable company's governing document and the provisions of the Statement of Recommended Practice (SORP) applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) (effective 1 January 2019).

Since the Company qualifies as small under section 382 of the Companies Act 2006, the Strategic report required of medium and large companies under the Companies Act 2006 (Strategic Report and Directors' Report) Regulations 2013 has been omitted.

Objectives and activities

Policies and objectives

The company is constituted under a Memorandum of Association dated 10 January 2005 and is a registered charity number 1107956.

In setting objectives and planning for activities, the Trustees have given due consideration to general guidance published by the Charity Commission relating to public benefit, including the guidance 'Public benefit: running a charity (PB2)'.

Achievements and performance

Review of activities

During the year under review the church continued to host Sunday celebration services, weekly homecell and prayer meetings, trainings and community outreach for the benefit of the members of the church and local communities in and around all CRC locations in England. The church currently has 8 campuses.

The church hosted its first 3-day ‘Encounter’ conference in June 2025 in the Copperbox Arena in Stratford. The conference is a UK-wide church event to empower believers, unite churches, and give people the opportunity to come into a relationship with God. The conference greatly impacted the lives of the thousands of people in attendance.

‘Encounter’ evening events were also held at current campuses and in new areas to reach local communities and also at the various churches planted by CRC London in the UK and Europe to expand their work.

In March 2025, CRC Lisbon was planted in Portugal which is the church’s fifth church plant. The church financially supported CRC Lisbon on a monthly basis and also continued with support to Pastors of CRC Churches in India and Pakistan throughout the financial period.

The ‘Church and Jewish Relations’ annual one day conference held July 2025 with international speakers was hosted with the purpose to educate and unite believers in support of God's purpose for Israel. The church continued to financially support other charities with similar causes and individuals working in Israel.

CRC Cares’ Social Justice initiatives

The London to Lisbon cycle tour in July 2025 raised over £50k for the anti-human trafficking charity, Hope of Justice.

The church’s annual ‘Bags of Love' campaign has grown over the years and this year, over the festive period, 8,500 signature red bags were gifted to prisoners across 12 facilities around the UK.

Financial review

Going concern

After making appropriate enquiries, the Trustees have a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found in the accounting policies.

Reserves policy

The directors have considered the level of reserves they wish to retain, appropriate to the charity's needs. This is based on the charity's size and level of financial commitments held. The directors aim to ensure the charity will be able to continue to fulfil its charitable objectives even if there is a temporary shortfall in income or unexpected expenditure. The directors will endeavour not to set aside funds unnecessarily.

Principal risks and uncertainties

The Trustees have assessed the major risks to which the company is exposed, in particular those related to the operations and finances of the company, and are satisfied that systems and procedures are in place to mitigate our exposure to the major risks.

Principal funding

The church’s main source of income remains donations from church members. Income increased by 26% with expenses increasing by 39% resulting in a net deficit before exceptional items of £198,458 (2024: net surplus £140,095).

Total reserves stood at £2,080,419 (2024: £2,278,877) at 31 August 2025 of which £1,153,863 (2024: £1,287,257) were unrestricted funds.

Revival Church Europe is registered as a charitable company limited by guarantee and was set up by a Memorandum of Association.

Methods of appointment or election of Trustees

The management of the Company is the responsibility of the Trustees who are elected and co-opted under the terms of the Memorandum of Association.

Statement of Trustees' responsibilities

The Trustees (who are also the directors of the Company for the purposes of company law) are responsible for preparing the Trustees' report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

Company law requires the Trustees to prepare financial statements for each financial period. Under company law, the Trustees must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the Company and of its incoming resources and application of resources, including its income and expenditure, for that period. In preparing these financial statements, the Trustees are required to:

Opinion

We have audited the financial statements of Revival Church Europe (the 'charitable company') for the period ended 31 August 2025 which comprise the Statement of financial activities, the Balance sheet, the Statement of cash flows and the related notes, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).

In our opinion the financial statements:

Basis for opinion

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the charitable company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the United Kingdom, including the Financial Reporting Council's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Conclusions relating to going concern

In auditing the financial statements, we have concluded that the Trustees' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the charitable company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the course of the audit, or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.

As explained more fully in the Trustees' responsibilities statement, the Trustees (who are also the directors of the charitable company for the purposes of company law) are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the Trustees determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the Trustees are responsible for assessing the charitable company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the Trustees either intend to liquidate the charitable company or to cease operations, or have no realistic alternative but to do so.

Auditors' responsibilities for the audit of the financial statements

We have been appointed as auditor under section 144 of the Charities Act 2011 and report in accordance with the Act and relevant regulations made or having effect thereunder.

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditors' report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:

We obtained an understanding of the legal and regulatory frameworks that are applicable to the charitable company and determined that the most significant are those that relate to the reporting framework in conformity with the requirements of the Companies Act 2006 and Charities Act 2011 and the relevant direct and indirect tax compliance regulations in the United Kingdom.

We understood how the charitable company is complying with those frameworks by making enquiries of management to understand how the charitable company maintains and communicates its policies and procedures in these areas and corroborated this by reviewing supporting documentation and minutes of meetings of those charged with governance.

We assessed the susceptibility of the charity’s financial statements to material misstatement, including how fraud might occur by considering the risk of management override to be a fraud risk. In addition, we considered the risk of management override by sampling from the entire population of journals, identifying specific transactions which did not meet our expectations based on specific criteria and investigated these to gain an understanding and then agree back to source documentation.

Based on this understanding we designed our audit procedures to identify noncompliance with such laws and regulations. Our procedures involved verifying that material transactions were recorded in compliance with Financial Reporting Standards in conformity with the requirements of the Companies Act 2006 and Charities Act 2011.

1. General information

Revival Church Europe is registered as a charitable company limited by guarantee and was set up by a Memorandum of Association.

2. Accounting policies

2.1 Basis of preparation of financial statements

The financial statements have been prepared in accordance with the Charities SORP (FRS 102) - Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.

Revival Church Europe meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy.

2.2 Income

All income is recognised once the Company has entitlement to the income, it is probable that the income will be received and the amount of income receivable can be measured reliably.

Income tax recoverable in relation to donations received under Gift Aid or deeds of covenant is recognised at the time of the donation.

Income tax recoverable in relation to investment income is recognised at the time the investment income is receivable.

2.3 Expenditure

Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges allocated on the portion of the asset’s use.

Expenditure on raising funds includes all expenditure incurred by the Company to raise funds for its charitable purposes and includes costs of all fundraising activities events and non-charitable trading.

Expenditure on charitable activities is incurred on directly undertaking the activities which further the Company's objectives, as well as any associated support costs.

All expenditure is inclusive of irrecoverable VAT.

2.4 Tangible fixed assets and depreciation

Tangible fixed assets costing £500 or more are capitalised and recognised when future economic benefits are probable and the cost or value of the asset can be measured reliably.

Tangible fixed assets are initially recognised at cost. After recognition, under the cost model, tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. All costs incurred to bring a tangible fixed asset into its intended working condition should be included in the measurement of cost.

Depreciation is charged so as to allocate the cost of tangible fixed assets less their residual value over their estimated useful lives, on a reducing balance basis.

2.5 Investments

Fixed asset investments are a form of financial instrument and are initially recognised at their transaction cost and subsequently measured at fair value at the Balance sheet date, unless the value cannot be measured reliably in which case it is measured at cost less impairment. Investment gains and losses, whether realised or unrealised, are combined and presented as ‘Gains/(Losses) on investments’ in the Statement of financial activities.

Investments in subsidiaries are valued at cost less provision for impairment.

2.6 Debtors

Trade and other debtors are recognised at the settlement amount after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due.

2.7 Cash at bank and in hand

Cash at bank and in hand includes cash and short-term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account.

2.8 Liabilities and provisions

Liabilities are recognised when there is an obligation at the Balance sheet date as a result of a past event, it is probable that a transfer of economic benefit will be required in settlement, and the amount of the settlement can be estimated reliably.

Liabilities are recognised at the amount that the Company anticipates it will pay to settle the debt or the amount it has received as advanced payments for the goods or services it must provide.

Provisions are measured at the best estimate of the amounts required to settle the obligation. Where the effect of the time value of money is material, the provision is based on the present value of those amounts, discounted at the pre-tax discount rate that reflects the risks specific to the liability. The unwinding of the discount is recognised in the Statement of financial activities as a finance cost.

2.9 Financial instruments

The Company only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. Basic financial instruments are initially recognised at transaction value and subsequently measured at their settlement value with the exception of bank loans which are subsequently measured at amortised cost using the effective interest method.

2.10 Finance leases and hire purchase

Assets obtained under hire purchase contracts and finance leases are capitalised as tangible fixed assets. Assets acquired by finance lease are depreciated over the shorter of the lease term and their useful lives. Assets acquired by hire purchase are depreciated over their useful lives. Finance leases are those where substantially all of the benefits and risks of ownership are assumed by the Company. Obligations under such agreements are included in creditors, net of the finance charge allocated to future periods. The finance element of the rental payment is charged to the Statement of financial activities so as to produce a constant periodic rate of charge on the net obligation outstanding in each period.

2.11 Pensions

The Company operates a defined contribution pension scheme and the pension charge represents the amounts payable by the Company to the fund in respect of the period.

2.12 Fund accounting

General funds are unrestricted funds which are available for use at the discretion of the Trustees in furtherance of the general objectives of the Company and which have not been designated for other purposes.

Designated funds comprise unrestricted funds that have been set aside by the Trustees for particular purposes. The aim and use of each designated fund is set out in the notes to the financial statements.

Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors or which have been raised by the Company for particular purposes. The costs of raising and administering such funds are charged against the specific fund. The aim and use of each restricted fund is set out in the notes to the financial statements.

Investment income, gains and losses are allocated to the appropriate fund.

11. Trustees' remuneration and expenses

During the period, one or more Trustees has been paid remuneration or has received other benefits from an employment with the Company. The remuneration of Trustees employed as pastors of the charity is permitted under clause 7 of the Articles of Association. The church provides manse accomodation to the senior pastor and his family and is included under other benefits. The value of Trustees' remuneration and other benefits was as follows:

During the period ended 31 August 2025, expenses totalling £ 50,924 were reimbursed or paid directly to 2 Trustees (2024 - £23,273 to 2 Trustees).

12. Exceptional items

During the year ending 30 June 2024, management assessed the recoverability of a prepayment made in 2016/17 in respect of planning contributions paid as advance rent towards a proposed landmark development. Given the significant lapse of time, changes in the development project, delays due to COVID-19, and lack of concrete progress, the entity no longer considers it probable that economic benefits will flow from this arrangement. As such, an impairment of £288,000 was recognised in the statement of financial activities in that year.

During the current year, management has reassessed this position and noted that there have been no changes in circumstances that would warrant a reversal of the impairment. The provision therefore remains in place at the reporting date.

The charity purchased freehold property amounting to £998,000 during the 2022 financial year for the use of the senior pastor as a manse. The property at Willow Farm, Chevening Road, Chipstead, Sevenoaks, Kent TN13 2SB, is security for the mortgage the details of which are set out in note 19. The charity has spent considerable funds refurbishing and adapting the property to be suitable for use by the church and the pastor, the costs of which have been included in additions to freehold property.

The charity purchased a manse for the use of a campus pastor during the 2023 financial year at 5 The Pantiles, Nightingale Lane, Sevenoaks, TN14 6BX for the sum of £565,000. A mortgage was obtained for the purchase which is secured on those premises as more fully disclosed in note 19.

During the 2024 financial year, the charity acquired an additional freehold property, namely the Former Curzon Cinema. The property, located at Princess Road, Urmston, Manchester was purchased for £490,000 and is not subject to any mortgage or other security. Costs incurred in refurbishing and adapting the property for its intended use have been included in additions to freehold property during the 2024 financial year.

The mortgage has a term of 25 years and attracts interest at 3.67% over base rate. During the financial year ending 30 June 2024 an additional mortgage of £250,000 was also acquired. These 2 mortgages totalling £897,060 (2024: £913,321), as included in creditors, are secured on the charity's property Willow Farm, Chevening Road, Chipstead, Sevenoaks, Kent TN13 2SB, which was purchased on 1 March 2021 for £998,000.

There are also two mortgages, totalling £389,106 (2024: £395,933), included in creditors for the purchase of the property at 5 The Pantiles, Nightingale Lane, Sevenoaks, TN14 6BX upon which the mortgages are secured. The fixed rate mortgage for a sum of £203,000 has a term of 25 years and bears interest of 7.88% all in. The other mortgage for £203,000 for a term of 25 years bears a variable interest at a rate of 4.05% + base rate which was 1.36% at inception of the loan.

26. Pension commitments

The charity operates a defined contribution pension scheme. The assets of the scheme are held separately from those of the charity in an independently administered fund. The pension cost charge represents contributions payable by the charity to the fund and amounted to £25,690 (2024: £21,982) Contributions amounting to £3,183 (2024: £3,996) were payable to the fund at the balance sheet date and are included in creditors.

27. Finance lease commitments

The finance lease has a term of 6 years and attracts interest at 9.93%. The finance lease is secured on the vehicle acquired by the lease, which was purchased in January 2024 for £30,350.

28. Related party transactions

Two trustees, I Marais (together with his wife) and N Heyneke are remunerated by the charity for their work as pastors in the church. Their remuneration is disclosed in note 11.
