Thg past 12 months have been a year of endings and ngw beginnings and
have sel us on an exciting path for the next three years. enabling us lo use
our 40 years of experiènce lo support new client groups and lo understand
more deeply what il means lo build relationships with people who have
experienced trauma In order lo prevent homolesslless.
Endings
2024125 marked the end of 3 very longstanding Oasis Community Housing servI￿s. Our Naomi project, including
additional flats. which had supported young women al risk of homelessness, Elizabeth House, which h8d supported
young mothers al risk of homelessness, and Karis, which had helped young mothers develop independence, all for
over 20 years, were decommissioned in favour of new models of deliveiy. Some staff had worked as part of the
support tèams for many years, and Ihsre has been a time of reflection and sense of loss as the projects changod
their focus. Hundreds of lives have been positively changed because of these projects, which wgrè innovative and
influential when they were launched. and we are proud of all they accomplished. Basis Beds and 58.'7, which had
provided vital emergency dispersed a￿0MModation, and our employability seNlce. Aspire, wore also
decommissioned as part of a widgr Gateshead review of s8rvice deliveiy.
Quèen Street, which has bBen offerlng good quality accommodation lo 7 Ukrainian famllies in Pelerborough for two
years, also had lo close as. unfortunately, we were unable to secure ongoing funding. We were able lo support 6
lamilies lo access Council housing, and 1 family lo move into private rented accommodation.

New beglnnlngs
As a result. many of OUT properties are now offering hope lo new groups of clionls, who are benelilling from our
values led, and person-centred approach lo support and empowerment.
The propertles that had housed our Naomi project and 58..7 have now be¢ome homes for 14 adults with multiple and
complex neods, some ofwhom have also experienced homelessness. This began in February 2025. and Ihe houses
were qulckly full. Propèrti&s ar6 Staffed 24 hours each day, and support workers have bean building new relationships
and working as part of multi-disciplinary teams lo ensure residenls gel tailored support lo meet their individual needs.
Further emergency accommodation is offered through 6 sell-conlained dispersed properties, with a dedicaled
leam.our work with adults also expanded lo include two ntsw teams.. Oulrea¢h and Reselllemenl and Housit)g First,
which started in November 2024. This funding enabled us to proaclively engage with 95 ptroplo sleeping rough or
experiencing hornelessness in Galgshead and South Tyngside, and introduce them to our drop-in and r&so111omgnl
teams, gelling help and support lo people al the earliest opptsrtunily. Housing First Is based On the belief that housing
is a human right, and that having a secure home makes il easier lo tackle
other challenges. The contract enables us lo intensively support 20
individuals 115 in Gateshgad and 5 in South Tynesidel, establishing long-
term housing slabilily, improved health and wellbeing. beller financial

Elizabeth House was Iransformtsd in Jun¢ 2025 to become hom¢ for young
people 16+ who have care experience, as parl ol two new conlracls with
Gateshead Children's Services. As this contract required 13 bedspaces.
including 8 units for cornplex needs, we look on a second propèrty nearby
on a lomporary lease until our bespoke property has undergone
refurbishment.
We are working closely with social workers and
psychologists to create the b851 possible 8nvironm&nl for our young people

The second contract is for care-oxperi8n¢ed young people who are 18+ and

has already started lo house 13 young people. aged 18-21, staffed to
minimum of 5 hours each day, 7 days a week.

Empower, our team supporting women experiencing domestic violence. engaged with 191 women, with 84¢
reporting feeling safer as a result.
Nèw leadèrshlp
After the resignation of CEO David Srnilh in June 2024, we began recruiting for a new Chigf Executive. This was an
extended process. and the Trustees would like to express their thanks lo Sarah Lister, our Chief Operating Officer,
who became the interim CEO during 2024125. She has led the development of the charity through a challenging
period, and we are grateful for her willingnèss lo serve and hei extensive expertise. In June 2025 Sarah Gorman
was appolntod as the new CEO and will take up her new role in November 2025.
In addition, 5 new Trustees were appointed during the year, who have been Inducted into their new roles, and will
play a vital role in our dov&lopment and governance in the years ahead.

system, partnership approach, including changes in local and natlDnal Government policy. We believe that ending
homelessness is ne¢&ssary for the Government lo achieve ils other missions on growth, health and education.
To this end, w8 work In partnership with other VCSE organisalions,
slalulory bodies and academics lo inspire and influence positive change for
those al risk of. or experiencing, homelessness. We have ¢onlinued to
promote our findings from our'Ta¢kling Trauma, Endin9 Homelessnass,
Campaign, using and creating opportunities lo disseminate the vital
learning from this research across systems.

conference in July for the re9ion lo understand more about this vital topic,
and lo help facilitate tho first ever count of Women's Homelessness in the

The Board decided lo wail for the incoming CEO lo fully implement this new overarching strategy, and we expect
further work lo refine the slralegy lo lake place in 2026. However, we are plgased lo report that all the work described
above aligns with the goals that have been set lor the 2024-2027 period, evidencing the strength ol our Executive
Team who have been leading the organlsalion in the absen¢e of a pemanenl CEO for this entire reporting period.
Resourclng our work
During 2024-25 there were several staff changes in our Fundraising and Communications team, and lime has been
invested in building our new team. Nevertheless. the team achieved income of just Ljnder £245k. and achieved good
results from our calendar of events, including the Oasis Cup. the Groat North Run. our Giving a Home Appeal and
the Black and Gold Ball. We have conlinu&d lo work hard to develop a donor base in the South- Ea51, where a
proportion of our projects are based.
This lolal, however. Is lower than last year, and we believe this roflecls dlfflcull funding challengos which are being
experiènced across our sector and uncertainly in the economy overall.
Our fundral$lng standards
We are members of the Chartered Inslilule of Fundraising and signatories lo their Code of Fundraising Practice.
Amongst other things. this means that any communications lo the public made in the course of carrying out
fundraising activily shall be truthful and ￿fla¢1 our ethos and values, that our appeals will slate whalher the funds
raised are for general funds or a specific purpose and that all money raised via fundraising activities will be for the
slated purpose of the appeal and will comply with the organi5alions slated mission and purpose.
Where fundralslng Is carried out on our behalf, il Is done so by corporate partners or church and community groups.
To support this process and maintain our standards, we employ staff to work closely with these supporters, and they
are given relevant guidance where necessary. Furthermore, we have a fundraising slalemenl which summarises our
standards and approach lo fundraising and which is available for volunteers and other supporters.
All personal information co11ecled by OCH is ¢onfidenlial, is not for sal8 or lo be given away or dis¢l0s8d lo any third
party wilhoul cons&nl and complies fully with GDPR standards. Nobody diroclly or indirectly employed by or
volunteering for OCH accept commissions, bDnLJS&S or payments lor fundraising activities on behalf of the
organisalion and no general solicilalions are undertaken by telephone or door lo door.
We have had no fundraising cornplainls in the last financial year, however if someone wants lo make a complaint
about our fundraising, we will tell them about our complaints procedure and provide il lo them in writing upon request.

years, although this year has been challenging as securing the properties required and reaching targeted occupancy
levels have been slower than we had planned.

This year there was a deficit on restricted income of £246,74912024 surplus..
£195,6981. These flu¢tualions largely reflecl the timing of receipts from some
of our funders who either make mulli-year grants or give grants within the
framework of the UK financial year. This means that we record expenditure
lor some grants in the current year bul income from the granlls} in previous
financial years and vice versa.

Our unreslfi¢led reserves rodu¢¢d by £106,743 during the yoar.. whilst this still falls short of what our policy requires.
we continue to work towards increasing them.
The Board has a largel for our cash reserves which we believe is adequate for ensuring sufficient cash flow for the
charity and lo meet all our obligations.
The Board have set the reserves level lo aim lor al £700,000 being 3 months budgeted staff costs, non-residential
rent, rates and loan repayments. Al the end of the year unrestricted roserves wef& £477,471 b&ing 2.05 months of
these costs.
Whilst we are not yel at our cash reserves largel, the charity holds a signifi¢8nl level of assets in the form of residential
properties. Should the charily require additional finances we are able lo lake the decision lo sell some ol our
propertles lo provSde the funds required and our r8serve policy tskes into account our additional form of capital.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The charity is controlled by ils goveming documents, a deed of Irusl, and consliluled as a limited company, limited
by guaranlee, as defined by the Companies Act 2006. A new Memorandum and Articles were adopted in April 2014.
Oasis Aquila Houslng Ilrading as Oasis Communlty Housing slnce Sepl&mber 20181 is a ¢harilable ¢ompany1Smiled
by guarantee, incorporated on 30 November 2004 and reglslered as a charity on 11 January 2005. The company
was established under a Memorandum of Association which established the objects and powers ol the charitable
corllpany and is gov¢rned under its Articles ol Associalion. In the event of the company being wound LJP members
are required lo contribute an amount not exceeding £10.
R8crullm8nt and appointment of Board
Thè directors ol the cornpany are also the Iruslees under charity law. Under the requirements of the Memorandum
and Articles of Association the Iruslees are 81g¢led lo serve for a period of thrée years aftèr which they can be re-
elected in accordance with the Articles up lo a maximum of threè terms. All the initial Iruslees were appolnlgd as
subscribers lo the Memorandum and Articles of Association.

Most Iruslees are already familiar with the practical work of the charity. Addilionally, new Iruslees are invited and
encouraged lo attend a series of short meetings with the Chief Executive Officer, Chair and Senior Management lo

strategies that turn these into tangible objectives.
The Chief Operating Officer ICOOI lakes a lead on the strategic development of the finance and SUPPDrt services of
Oasis CommLinily Housing, ensuring w& have th& right policies, processes, compliance and resources that we need
in order lo delivèr the highest quality support lo both our staff and those wg 9mpower through our frontline services.
In addition, the COO is also responsible for the day lo day oparalions of the Charity, lino-managing th8 Dirèctor of
Homeless Prevention and the Oireclor of Support and Housing.

The Director of Support and Housing is responsible for the slraleglc development of our Supported Housing and
Domestic Abuse services and ensuring the day-104ay operational management of these Pfojecl teams across
England runs effectively. The Director of Homeless Prevention is responsible for the strategic development of OUT
drop-in servi¢es, outreach teams, emergenGy a¢¢ornmodalion and Housing Fifsl approach, and ensuring the day-lo-
day operational management of these is efleclive. Both are responsible for ensuring that their respective project
teams are supervised and supported and ensuring that the teams continually develop Iheir skills and approaches in
line with good practice
Related party relatlonshlps
Oasis Community Housing Ltd is a wholly owned subsidiary of Oasis Charitable Trust {OCTI CDmpany Limited by
Guarantee number 2818823 and Registered Charity number 1026487. Th¢ rslalionship is governed by an
Inlra-Group Agreement. N Salisbury is a director ol OCT in addllion lo Oasis Community Housing.
Pay policy
Th6 pay of th8 Chi8f Exgculive is sel by the Board. The Board of Trustees hold an annual remuneration sub.
committee whero pay awards or Cost of Living increases are agreed. The pay of all senior staff, with the exception
of the Chief Executive follow the pay scales of the organisalion which are evaluated a¢cording lo Iho rfjsponsibilities
of the post. with sel grades and increments ol pay. We ar¢ an ac¢rediled Real Llving Wage employer and ensure
that our staff re¢eiv& a real living wage in both the North East and London. Our Salary Scales were reviewed and
updated in Novtsmber 2022 in relation to both inllalionary pressures brought on by the Cost of Living crisis, and in
the light of increases lo the Real Living Wage. The pay of the Chief Executive is benchmarked with charities of
comparable scale and reach and approved by the Oasis Community Housing HR & Remuneration stjbcommillee.
Risk management
The Board reviews the risks faced by the charity on a quarterly basis. maintaining a risk register of the major risks
faced by the charity and the strategies in place lo manage the risk effoctively. The greatest risks faced by the charity
cur¥ently are financial risks and risks relating lo the chara¢lerislics ol the cli8nls. Funding streams are monitored
Closely by Iha trustees at full Board level and through the Finance, Audit and Risk Subcommillee. allended by the
Chair, Vice Chair and Executive Team. Staff and volunteers are subject lo DBS procedures and Eon0 working
slralegies are in place and regularly loviewed lo ensure the safely ol staff and service users.
During the period the Safeguarding, H&allh & Safety Subcommillee has mel three times lo provide governance
oversight of all Safeguarding activity throughout the charity. This ensures that the Safeguarding of children and

## **For the year ended 31 August 2025** 

- The Charities Act 2011 and the Charities: Statement of Recommended Practice in respect of the preparation and presentation of the financial statements. 

We performed the following specific procedures to gain evidence about compliance with the significant laws and regulations identified above: 

- Making enquires of trustees and management as to where they consider there to be a susceptibility to fraud and whether they have any knowledge or suspicion of fraud; 

- Obtaining an understanding of the internal controls established to mitigate risks related to fraud or non­ compliance with laws and regulations; 

- Reviewing the minutes of meetings of those charged with governance. 

The senior statutory auditor led a discussion with senior members of the engagement team regarding the susceptibility of the group and the parent charitable company's financial statements to material misstatement, including how fraud might occur. The areas identified in this discussion were: 

- Manipulation of the financial statements via and management overriding controls. 

- The incorrect recognition of grants resulting in the income being recognised in the incorrect accounting period. 

- The risk that the assumptions adopted in the valuation of the building tangible fixed assets are inappropriate, resulting in an inappropriate valuation being adopted. 

These areas were communicated to the other members of the engagement team not present at the discussion. 

The procedures we carried out to gain evidence in the above areas included: 

- Performed data analytics on the general ledger against client specific criteria 

- Obtained third party evidence for a sample of grants, to ensure that it was appropriate to recognise the income in the financial statements in accordance with the principles of the SORP. 

- Obtaining and evaluating the Director's valuation of the fixed assets properties and challenging the assumptions adopted for reasonableness.

Oasis Aquila Housing Ltd meets the definition of a public benefit under FRS 102. The financial slalemenls
are prepared under the historical cost convention or transaction value unless otherwise slated in Ihtt relevant
accounting policy nolels). The financial statements are prepared in Sterling which is the functional currency
of th& charity and rounded lo the nearest £.

Golng concern
The financial statements have been prepared on a going eoncern basis, which the Iruslees believe is possible
based on Iheir ¢ash flow forecasts and projections. The Iruslees have considered the level ol funds held and
the expe¢led level of income and expenditure for al least 12 months from aulhorising these financial
slalemen15. Annual budgets lake inlo a¢counl the current difficult economi¢ difficulties as they relate to
funding and increasing costs and are monitored on a monthly basis. Based on the budgets and the Cash flow
forecasts prepar&d the Iruslees consider that the Charity has sufficient reserves in place lo be ablo lo continue
as a going Concern.
Funds
Unreslricled funds are available for use al the discretion of the trustees in furtherance of the goneral
obje¢14ves of the charitable company and which havg not been designated for other purposes.
Designated funds comprise unreslricled funds that have been s&1 aside by the trustees for particular
purposes. The aim and us& of each designated fund is sel out in the notes lo the financial statements.
Rastri¢led funds are funds which are lo be used in accordance with specific restrictions imposed by donors
which have been raised by th8 company for particular purposes. The ¢osl of raislng and administering such
funds are charged against the specrfic fund. The aim and use of each restricted fund is set out in the notes
lo the financial slalements.
Incoming resources
All incoming resources are included in the Statement of Financial Activities when the charity has enlitlemenl
lo the funds, any performance conditions have been mel, the amount can be measured reliably and il is
probable that the income will be Teceived.
Donations are recognised when receivable
Grant incomo is recognised where there is $nlitlomenl, receipt of the funds are probable and the amount can
be measured with reasonable certainty. If there are conditions allached lo the grant and this requires a level
of performance before enlillement can be obtained then income is d?ferred until those conditions are fully
