It has been a busy year wth many challenges but l am ddighted to say that our Board. Staff and
Volunteer5 have worked throughout, wÈthin the confines of the Covid19 re#rittions. I thank them all
for th￿r hard work under very difficult orojmstance. This has enabled Tyne [￿"VerS Trust (TRT) to
come through the year with healthy finances and a wealth of t1iverse, funded pro)erts which allowed
us to fulfil the charitable objecbves and (kliver our misslon and vi&"on.
As a Board we reftected on our Memorandum & Artides of Assocration to ensure it was current and
we are grateful to Andrew Davisori. OBE for [￿V¢¢JIng legal advlce. We reviewed the Objects for whlrh
TRT was &stabli5hed and which, in brief are to conserve and improve.the rivers. of the Tyne catchment
Includlng Its estuary and to advance the education of the public. or any company. or public bo(ty In
the understanding of river catchment management and environment. l am pleased to say these
objects arE as true t￿laY as they were originally Writt￿ in 2004.

new and exlstlng trustees. Our Human Resource Committee Is responsible for Safeguardlng arid
Health and Safety Issues. Clearly ensuring staff and volunteers remain safe is vital given that a bot of
our V+Y)rk is practrcal and entails worktng Wtside. From the financial standpoint the Finance and Risk
Commlttee meet fflonth￿ to assess the financial situation. In addition we review the wider risks to

it is financially vtable and dellverable by our team.
The Tnjstees have a divetse range of expertise and interests - from famiing, land management,
finance, fishing. fllm making and more besldes. Thls ensures our deosions at the blmonthly ￿ard
meetings are based on eX￿rience. taken carefully. and mindful of the need to be true to our objetts.
We vfve sorry to lose Stevw aapperton as a Trustee due to his move to Port of London Authorlty.
He was Instrumental in supwjrting the tearn to adjust to Covid19 regulations and remains In touch.
We are also grateful to him for recommending James Wright. Environment Manager for the Port of
Tyne who joined us on 16th September 2021. James. attention to detail on health safety matters
as well as his expertise in sustainable business practice is already paying off.

The Trustees (who are also director5 of the Charity for the purw5es of the Companies Act) suimnit
their annual report and the financial statements of Tyne Rivers Tnjst (the tharitable company) for
the year ended 31 Qctober 2020. The TTUStees confim) that the annual report and financial
statements of the tharitable cornpany comply with current statutory requirements, the requirements
of the charitable company's goveming dooJment and thÈ provisions of the Charities Statement of
Recommended Prartice (FRS102).
STRucfuRE. GOVERNANCE AND MANAGEMENT
Constltutson
The Trust is registered as a company lirnited by guarantee in England and Wales under number
5086888 and the charitable company is constituted under a Memorandum of Association dated 29,
March 2004. It is a150 registered as a charity with number 1107358. The Members of the charitable
company guarantee to contribute an amount not exceeding £1 to the assets of the Trust in the event
of winding up.
Method of appolntmant or electlon of Trustees
The management of the charitable company 15 the resronsibility of the Trustee5 who are appointed
under the temis of the Memorandum and Articles of Assooation. TnJstees are recruite(I by
recommendation or advertisement. TnJstees are interviewed and invited to meet with staff and to
attend a board meeting before mutual agreement to appoint. Induction and training are vndertsken
by existing trustees. senior staff and facilitated through resources such as National Council for
Voluntary Organisations. NCVO. Trustees serye for 4 years, renewable twice up to a total of 12 years.
The Chair is eletted from the Twstees and serves for 3 years. extendable once. Retired Chair5 can
continue to serve as a trustee to a total of 12 years on the board.
Organi5ational strurture and decision-making
Trustees meet fornally at least quartèrly and liaisÈ constantfy between meetings amongst themselves
and with the Trust's staff, especially with the Chief Executive Officer to whorn operational
management of the trust is dele9ated. Tndivldual Tnjstees are also elected as committee members
with agreed term5 of reference for the Finance and Risk Committee, FARC and the Human Resource
Committee, HRC. The FARC reviews the major risks to which the Twst is exposed. Risk is assessed
on an overall basi5 as well as a project-by project basis. The Trust maintaln5 appropriate insurance
cover including employers. liability, pU￿1C Siatslity and professional indemnity (covering Trustees).
The HRC agrees the pay and ￿Munera￿"0rt for all staff annually in line with similar posts and following
performance reviews. A Trustee 15 appointed as the Safeguarding representative who works with the
Designated Safeguarding Officer. s￿cIfiC task forces comprising trustee and staff rep￿SentatIon are
set up to work through time-sensitive priorities suth as seeking patrons. marketing and fundraising.

Wlder network
Tyne Rivers Trust is affiliated to an umbrella organisation. The Rivers Trwst. which acts as a polnt of
liaison ￿tween over 60 Rivers Trusts, sharing infomiation and best prartice. Tyne Rivers Trust 15 a
member of the Rivers Trust and the River Re5torab'on Centre. Tyne Rivers Trust hosts the Tyne
Catchment Partnership, co-ordinates with River5 Tnjsts across the Northumbrian ￿Ver Basin and
represents the North E45t ￿"verS Trusts on Water Resources North, WReN.
Related parties
Tyne Rivers Trust had two wholly owned trdding subsidiaries, River Catchment Services ￿"MIted and
Tyne Rivers Trust {Projects) Limited. Tyne River5 Trust {ProieLts) Limited had been dormant for many
months and was dissolved on 17 August 2021. The financiJ results of the remaining subsidiary is
consolidated into these financial statements.

Our cortext and purpose
The River Tyne and its Catchment is more than the sum of its Parts, it is a living breathing organlsm,
which includes all of us. The Tyne is an iconic symbol for the North East of England, celebrated in
music, recognised for industry, commerce and tourism. It is also home to many scientifically
important spÈcies and sites such as the freshwater pearl mussel and Calaminarian grassland.
The Tyne rivers have been impatted by early mineral extraction and the Industrial Revolution.
Historically, the availability of coal within reath of the navigable river, provided the maln basis for
both trade and industry. The pressure from industry continues (although no longer coal-based) and
now this is augmented by a burgeoning population. We expect water to be delivered to our tapsi
waste to be conveyed away and industrial products to improve our everyday life. All have an impart
on the catchment and its biodiversity. We also exFecf to be protected frorn floods, but increasing
demands on the tloodplain for industry. commerce and domestic use compromise traditional
approaches of allowing space for water and pernieable surfaces to absorb heavy rainfall.
Tyne Rivers Trust remains in a unique position of working impartially alongside private and public
groups as well as statutory govemment bodies, to deliver focusecl evidente-based £onservation.
habitat improvement and education programmes. The TDJSt endeavours to maintain sufficient core
funds to be able to reatt and focus its efforts where they are most needed.

Dellvery
In setting objertlves and planning for activities, the Trustees have given due consideratlon to general
gvidance relab'ng to public benefit wblished by the Charities Commission. To deliver its objertives
and achieve our ambitions Tyne Rivers Trust fosters a culture that attracts retains exceptional
staff and dedicated volunteers. The blend of skills and experience reflerts essents.al interconnectivities
of the work we do. The Trust is committed to ¢areer development. accredited training and maintaining
professionaj memberships / qualifications. We acknowledge the lack of ￿￿er diversity within in the
team and are worf(ing to readdress thi5.
Volunteers
The Trust relies on volunteers across the range of attivities from trustee5 to monitoring including
Riverfly and Adopt ? Stream, to practical tasks suth as wetland creation, tree plantingt riverbank
stabilisation using green engineerhng as well a5 land Surveying and technical expertise. These
volunteers comprise a vital component of our tangible outputs. Beyond the camaraderit, the
monetary tn-kind contribution ranges from E50 to £900 per day. During this financial year the
volunteers collectively contributed 2,762 hours of task. monitoring river quality and their own
expertise. Whilst the monetary value was calculated at £44,365 their value to OLJr charity and
delivering its objectives is far more than this.
Public Benefit
Tyne Rivers Trust provides a range of benefits to its community, commonly referred to as'Ecosystem
Services,. these include improvements to water quality. improvements to recreational areas,
reduction in flood risk and increase in biodiversity. Thmugh our education and volunteering
programmes we also provide sooal benefits.

Key Achievements - Delivering our Mission
Dlffuse Metal Pollution
This year we have continue to monitor erosion and impart of interventions installed to stabilise
metal mine waste. This provides valuable leaming for fvtU￿ rernediation works. We have also
carried out footpath repairs around some of the sites to maintain safe access through this
historically rich part of the catchrnent. We are ojrrently working with the Coal Authority to plan
delivery on reducing further wllution forrn diffvse metal mine sources for the next three years.
16 landowners remain engaged in this work across the South Tyne catchment.
Workin
with farmers
We have continued to run 3 diffe￿nt fanner facilitation groups this year, one in the uplands, one
in the lowlands and a new group dedicated to challen9es of farmin9 Wlthin urban constraints. We
delivered 4 workshops dirertly covering topics of conservation, water quality and soil health and
connerted the farmers in our catchment to wider national webinars with expert presentations and
discussions on Similar topics. Additionally. we have visited 10 famis and produced ideali5ed
recommendations for environmental improvements.
e- Education
Tyne River5 Trust has rnade the commitment to signhfhcantly increase our schoo15' engagement,
through seeking dedicated funds and developlng interactive educational tools, including Vlrtual
5e55ions as we continue to work wth schools who have the ongoing challenge of operating with
staff antl chIld￿n offected by Covi¢J-19. We have also designed a modular programme that
schools can pick from to better fit with their aspirations and curriojlar requirements. Tyne Rivers
Trust delivered 43 schools sesson5 engaging 1800 children at 19 different schoo15 in urban and
rural areas of the catchment. These sessions covered topics such as lifecycles and food thains
for aquatic species, the impact of climate change and plastics in our catchments, and how to enjoy
our rivers safely. We ddivered practs.cal 5e55ions on natural flood management, '5almon in the
Classroom, and invertebrate samplin9 to assess river health based on the national established
Riverfly programrne.

ement
20 interventions to slow the flow of vdater and push water out onto the flood plain during high
and prolonged rainfall have been installed at one of 18 51te5 identified last year. This first suite
of work has allowed inforrned communicatiffi with landowners and l¢xal community as to what
natural flood managernent 5tructure5 look like. how they work and why it's better for the designs
to be'messy'_ to break up flow and create better habitat.-Desigrts have been agreed for a further
4 site5 based on this initial work. Flow modelling has been completed to indicate the cost benefit
of the programme and the work is being used as an exemplar for training within Environment
Agency and Construrtion DeS￿n Management professionals.

Fish Passa
6 barriers to fish passage were removed and one fish pass constructed, in total this has opened
up 24.5krn of potential spawning gravel and improved acce55 for all fish. 20 sites have been
monitored using electro-fishing as part of our rolling survey of the Tyne Fishery. This work
has already confirmed that 3 fish passes and a dam removal have been effective.
The Environment Agency maintain a fish pass and fish counter adjacent to the weir acros5 the
River Tyne at Ridlng Mill. Recendy the structure of the wwr acros5 the full width of the river
has required detailed obseNation and monitoring for water flow and fish passage. We have
used volunteer visual checks ond the installation of a camera to aid assessment of impact to
fish migration. So far 20 hours of observati¢y) anL1 70 hour5 of filming have been comrAeted
nd the data is being collated.
Habitat Im
Through OLbr volunteer program we have undertaken 67 tasks improving 8km of river bank.
managing 16,824m inVa￿ve non-native species, restoring 545m of wetland hai¥"tat and
collecting 186 bags of rubbish. Other tssks have induded planttng 2000 tree5. removing tree
guards from previously planted trees and thinning trees to allow diverse woodland habitat to
develop.

The Trust champions the value of a Catchment 8ased Approach and has h05ted a successful Tyne
Catchment Partnership since 2013 which ￿g￿ladY brings over 30 representats.ves together from
Local and Statutory Agencies. Lan(J Managers. the w&er company, environmental NGO'S and
relevant local stakeholders to agree and prioritise dirertion of work. We support 6 sub-groups
across geographical and thematic areas to achieve dirert artion in the catchment. This year
collectively we delivered IS different projects induding natural flood management, fishery
monitoring. strategic sediment management. proterting rare species and increasing bigdiver51ty.
The Rivers Trust
This year Tyne River5 Trust has started developing a stronger working relationship with The Rivers
Tru#, the national membership organi5ation. Th15 has been driven by the ernployment of a
Regional Development Manager.
Tyne Rivers Trust has contributed to the development of a national Defra Test on Environment
Land Management Scheme and Communities of Practice including Operational considerations. We
look forward to rewrting on these and others in the future.
Volunteerin
At the time of writing. it is great to be a￿e to offer again, now Covid19 has receded somewhat,
full programme of acttvities again albert safely and wtth some seftsible precautions ift place.
Through pandemic restrictions it was important to gJpp)rt our volunteers through garden
challenges, re9ular virtual communications and a phased return to tasks. In total we have signed
up 77 new volunteers to our task programme and individual otizen-soence Monitoring actyvity.
this has achieved a total of 2762 hour5 voluntarily given to the improvement of our catchment.
Tyne RJ"vers Trust cannot achieve improvements to the catchment and its residents without
prtsfessional and financial support. This year we have fvrther broadened our support and achieved
confirmed multi-year funding which greatly imptoves our ability to plan.

Subsidiary companies
In a proactive approa(h to grow business for River Catchments Service5. RCS a further Board
Member, Chris Liddle, has been recruited to aid with marketing and building trusted customer
relations. The company portfolio will reflect the increasing skillset and expertise of the Tyne Rivers
Trust as more staff are recnjrted and they undergo accredited training and continuous professional
development. Thi5 year RCS ha5 delivered 5UStainable footpath restoration, riverbank management
and catchment restoratron work. It has provided ongoing support to other catchments on partnership
working and co-ordination as well as facilitating workshops for famers on Carbon Farrn Toolkits.
Natural Capital, Carbon credits and payment for public good.
FINANCIAL POSITION
In the period reported, Tyne Rivers Trust has seen a IOO/o increase in income {from £485k to £533kl
and a 24% increase in expenditure (from £398k to E491kl compared to 2019-2020. As the country
has begun to recover from the shock of Covid19 there have been more opportunities to raise funds,
both restricted and unrestrirted. Expenditure has increased this year a5 project delivery during 2019-
20 was hampered due to the difficulties created by the impact of Covid19: this problem has eased
dunng 2020-21 resulting in the higher spend.
The surplus of "£41,624 was due to careful management of operating c¢)sts and a concerted effort
being made to bo15ter our reserves as we look to increase our project team in order to deliver
increased outcomes. Funding from tradits'onal sources conb'nues to be paid in arrears. However, we
focused on developing new projert themes during lockdown and these wnb.nue to attrart new funding
stream5.
Re5erve5 policy
During the year the Trust's unrestritted reserves rose 29% from £109k to £141k. The Trust maintains
its target of increasing unrestricted reserves to twelve months. operating Costs to protett against
closure but also preserve cashnow, necessary to deliver many of our projects which are funded in
arrears on proof of delivery. Gro7Mng our reserves also allows the Trust to react demonstratively and
'mely to emerging priorities. As we continue in our success of achiewng an increase in unre5trietive
funds we are able to grow our work for￿ to further increase the positive impatt we can have on our
catchment and its inhabitants.
PLANS FOR THE FUTURE
At the time of writing, Tyne Rivers Trnst has steered a stable ship through tumultuous waters over 2
years of challenge antl di5rupbon cau5eO by the coronavirus pandemic. We have leamed new way5
of working, some of whith we will maintain as wholly beneficial to work life balance, produrtivity and
reducing our carbon footprint. We are acutely aware of new r￿tentIal medical threat5 and most
Imwrtantly the ever-present urgency to add￿5$ the dimate emergency.

physicèl and mental Well￿1ng. This was" launthed by local choirs singing rlver inspired songs along
the ￿orth Tyne and indudes ￿mPle athvits.es to help yOLtrng families to understand and value their
river and rts native species.
We h4.ve Just embarked on a strategic regional projett working with neighbwring local RIVe￿ Trusts
and Gitchment Partnerships to help our local water company ifflprove their partnerthip approath and
Identlfy natU￿-baSed solutions that are beneficlal to the catchrn￿t and ellglble for funding through
the Water Industry National Environment Pro9ramme. We hope this wlll generate substantive
catchment benefits and prove a ￿lS￿￿"ve multi-AMP {water company asset manageffl￿t prDgramme)
approach to catthment Improvements and look forward to reportin9 significant pro9￿S5 next year.

Tumover cr￿p￿seS revenue recognised by the charitable group in respert of goods and services

1.4 COMPAMY STATUS
The charitable company is a ecffipany liM￿ted by guarantee. The memb*5 of the company are the
TNstees named on page l.. In the event of the tharitable company being wound up. the l￿bIlItY in
spect of the guaontee is limited to ÉJ per member of the charitsble cwpanv.
1.5 FU14D ACCOUNTING
General funds are unrestricted funds ore available for Use at the discretion of the Trustees In
furtherance of the general obJert4ves of the tharitable company and which have r￿t been desiynated
for other purposes.
Restricted lund5 a￿ funds which are to be used in accot*anL* with ¥*cific restrictions imposed by
donors whlch have been raised by the charitable company for particular wrposes. The cost of raising
administering such funds are charged against the specific fund. The aim and use of each
stricteé ful￿ is set out in the notes to the financial Statements.
Investment income, galrts and losses are allocated to the appropriate fvnd.

Fundraising costs are those incurred in seeking voluntary contrlbutions ètxl do not include the costs

Incurred directly in support of expenditure on the objects of the charitable cornpany. Governance
costs are those incurred in connection with admIn￿rratI¢Jn of the chafitable company and cornpliance
