## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. 

## **Organisational structure** 

The Pre-school is run by a Board of Directors made up of volunteer parents and members of the local community. Directors are elected onto the Management Committee each year at the Annual General Meeting held in the Autumn Term. 

The Committee meets every 6-8 weeks to discuss plans for fund raising, future development, areas of concern, the financial status and the general day-to-day running of the Pre-school. 

## **Risk management** 

The trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error.

## **ACHIEVEMENT AND PERFORMANCE Charitable activities** 

The principal activity of the company is the provision of early years education. 

The main activities undertaken to achieve these objectives are the operation of the Pre-school and Nursery. To provide a secure, safe and welcoming environment for children from 0 - 4 years old. To enhance the development and education of the children in a "Learning through Play" environment. To encourage parents/guardians to understand the needs of their children and provide an opportunity for them to be involved in the running of the settings. 

The directors are satisfied with the performance during the year under review. 

## **Fundraising activities** 

Fund-raising activities include but are not limited to: Christmas Fayre, Summer Fayre, T Shirts, Sponsorship, Donation Concert. 

## **FINANCIAL REVIEW** 

## **Reserves policy** 

The charity's reserves policy is determined by the directors, who are currently endeavouring to ensure the charity has a reasonable reserve for future operations. 

This report has been prepared in accordance with the special provisions of Part 15 of the Companies Act 2006 relating to small companies.

In order to assist you to fulfil your duties under the Companies Act 2006, we have prepared for your approval the accounts of Blackberry Lane Pre-School for the year ended 31 August 2022. As set out on pages 4-10 from the company’s accounting records and from information and explanations you have given us. 

This report is made solely to the Board of Directors of Blackberry Lane Pre-School, as a body, in accordance with the terms of our engagement. Our work has been undertaken solely to prepare for your approval the accounts of Blackberry Lane Pre-School and state those matters that we have agreed to state to them, as a body, in this report. To the fullest extent permitted by law, we do not accept or presume responsibility to anyone other than Blackberry Lane Pre-School and it’s Board of Directors, as a body for our work or for this report. 

It is your duty to ensure that Blackberry Lane Pre-School has kept adequate accounting records and to prepare statutory accounts that give a true and fair view of the assets, liabilities, financial position and the profit of Blackberry Lane PreSchool. You consider that Blackberry Lane Pre-School is exempt from the statutory audit requirement from the year. 

We have not been instructed to carry out an audit or a review of the accounts of Blackberry Lane Pre-School. For this reason, we have not verified the accuracy or completeness of the accounting records or information and explanations you have given to us and we do not, therefore, express any opinion on the statutory accounts.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 31 August 2022. 

The members have not required the charitable company to obtain an audit of its financial statements for the year ended 31 August 2022 in accordance with Section 476 of the Companies Act 2006. 

The trustees acknowledge their responsibilities for 

- (a) Ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and 

- (b) Preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company. 

These financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies’ regime and in accordance with the provisions of FRS 102 Section 1A – Small Entities

## **1. ACCOUNTING POLICIES** 

## **Accounting convention** 

The financial statements have been prepared under the historical cost convention and in accordance with the Financial Reporting Standard for Smaller Entities (effective April 2008), the Companies Act 2006 and the requirements of the Statement of Recommended Practice, Accounting and Reporting by Charities. 

## **Incoming resources** 

All incoming resources are included on the Statement of Financial Activities when the charity is legally entitled to the income and the amount can be quantified with reasonable accuracy. 

## **Resources expended** 

Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates to write off each asset over its estimated useful life. 

Plant and machinery etc - 25% on reducing balance 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## **Going Concern** 

As with many businesses the company has been impacted by the covid-19 virus. The company saw significant reduction in parent fee income following the announcement of lockdowns. The company has used the government and local council support on offer, including the job retention scheme. At the time of approving the financial statements the trustees believe there is sufficient resources to continue in existence. The directors continue to adopt the going concern basis of accounts in preparing the financial statements.

## **8. GENERAL FUND** 

The purpose of this fund is to enhance the development and education of children primarily under statutory school age.   Encouraging parents to understand and provide for the needs of their children through community groups. Offering appropriate play, education, care facilities and training courses, together with the right of parents to take responsibility for and to become involved in the activities of such groups. Ensuring that such groups offer opportunities for all children whatever their race, culture, religion, financial means or ability. Encouraging the study of the needs of such children and their families and promoting public interest in and recognition of such needs. Instigating and adhering to and furthering the aims and objects of their pre-school learning alliance.
