The Trustees present their annual report together with the audited financial statements of the Charity for the period from 1 January 2025 to 31 December 2025. The Annual Report serves the purposes of both a Trustees' report and a directors' report under company law. The Trustees confirm that the Annual Report and financial statements of the charitable company comply with the current statutory requirements, the requirements of the charitable company's governing document and the provisions of the Statement of Recommended Practice (SORP) applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) (effective 1 January 2019).

Since the Charity qualifies as small under section 382 of the Companies Act 2006, the Strategic Report required of medium and large companies under the Companies Act 2006 (Strategic Report and Directors' Report) Regulations 2013 has been omitted.

Objectives and activities

a. Policies and objectives

The NKF has the objectives of promoting throughout the United Kingdom the best renal medical practice and treatment, the health of persons suffering from kidney disease or renal failure, and to support the related needs of those relatives or friends who care for kidney patients.

The NKF is a national umbrella organisation for the local Kidney Patient Associations (KPAs) that are located in renal units or hospitals throughout the UK. The NKF is unique in the field of kidney charities in that it is run by kidney patients for kidney patients. All members of the NKF Executive Committee are kidney patients themselves or carers of kidney patients, as well as representing a Kidney Patient Association (KPA). Being a patient or carer brings the advantage of experience of living with the disease. Being able to speak from their own experience and empathise with others in the same situation brings definite strength to statements made by the charity and helps it push forward for better treatments as well as giving practical advice based on real experience.

The NKF has been representing and advocating on behalf of renal patients for 47 years, with a focus of providing national patient support services, and campaigning for improvements to renal provision and treatment.

The NKF run the only UK Helpline dedicated solely to patients with the condition. Kidney disease can affect anyone of any age, even from birth. There are currently around three and a half million people with Chronic Kidney Disease (CKD) stages 3 to 5 in the UK, and around 68,000 with end-stage disease: meaning they are either on dialysis or have had a kidney transplant, or are receiving palliative care. NKF offers these patients, their families and carers the information, advocacy and support that is needed.

The Charity has the responsibility of representing and assisting the work of 50 Kidney Patient Associations (KPAs) as well as encouraging prospective KPAs to be formed helping to promote a wider knowledge and understanding of the problems of kidney patients, and those relatives or friends who care for them, to the general public and the appropriate authorities; and to advocate on their behalf.

In setting objectives and planning for activities, the Trustees have given due consideration to general guidance published by the Charity Commission relating to public benefit, including the guidance 'Public benefit: running a charity (PB2)'.

b. Volunteers

Much work is undertaken by volunteers, this includes fundraising and serving on NHS and other committees. Each Executive member also undertakes voluntary activities for the charity in addition to their work as trustees and members of Local Kidney Patient Associations (KPAs).

These volunteers have given much of their time this year, to supporting the charity’s activities with and for kidney patients.

We have two occasional volunteer workers in the NKF headquarters office.

We also have 29 peer supporters who all volunteer their time to support other patients through our Helpline.

These volunteers play an essential role in the life of the charity. Without their generous volunteering, the work in support of kidney patients would not be as effective.

c. Main activities undertaken to further the Charity's purposes for the public benefit

When planning the year’s activities the Executive and management have taken into account the Charity Commissioner’s guidance on public benefit. The NKF supports all kidney patients and their families across the UK particularly focussing on the issues and difficulties often faced by those on dialysis and those on the waiting list or those having had a transplant, but also aims to support all those who have had a diagnosis of CKD. As well as providing advice to individuals, NKF advocates for best practice and treatments to be offered to all kidney patients from the NHS and actively lobbies government and others on their behalf.

The NKF has nine full time staff members and two part time staff members.

Achievements and performance

a. Main achievements of the Charity

The charity carries out a wide range of activities in pursuance of its charitable aims. The trustees consider that these activities, summarised below, provide benefit to members of the Kidney Patient Associations and to those with chronic kidney disease in the wider community, as well as education of the general public.

Helpline

Activity in 2025

In 2025, the Helpline experienced another exceptionally busy year, with contacts exceeding 3,285. Additionally, the Helpline distributed a substantial number of resources, including leaflets, information packs, and patient cards.

Integrated Care Boards (ICBs)

Throughout 2025, we reached out to all 42 Integrated Care Boards (ICBs) and received responses from 25 of them concerning information on Chronic Kidney Disease (CKD) stage 3. From these ICBs, we established connections with 71 GP surgeries that requested our resources for their display units. The results from contacting these ICB’s has resulted in 13,000 leaflets, 250 posters, 35 Helpline cards and 150 flyers being posted to various GP Practices around the UK.

Resources Distribution

The Helpline dispatched a total of 40,500 leaflets to various units and patients. Furthermore, over 2,000 patient support packs and more than 1,395 patient information folders were sent out. These folders contain essential leaflets covering topics such as dialysis, transplants, diet and exercise, as well as information specifically related to CKD stage 3. The information packs created by the Helpline staff have proven to be particularly popular among recipients.

PIF Tick Award 2025

We completed all the online forms again for PIF tick, and we were awarded again the PIF TICK, which is the UK’s only assessed quality mark for print and online health and care information. The PIF TICK is prominently displayed on our website and on every leaflet distributed from the NKF Helpline Patient Information Library.

Helpline Partnership

The NKF Helpline became full members of the Helpline Partnership in November 2025. Helplines Partnership serves as the membership organisation for entities that offer information, support, or advice through various communication channels such as phone, email, or online platforms. By joining we have our NKF Helpline profile listed online with around 350 other organisations in the UK. These members range from large national charities to smaller local and specialised charities.

The Helpline continues to expand and remains a highly sought-after service among patients and renal hospitals.

We continue to have good connections with specialists who assist with the development of new information for us. We also welcomed 10,000 more hard copies of Patient Support Pack, this is one of the Helplines most valuable resources.

The NKF Peer Support Service

Following our expansion of the service in late 2024 our service has gone from strength to strength with the referrals we get from patients and renal hospitals.

We have 29 peer supporters who have experiences with home therapies, kidney disease, failure, and transplantation.

We trained 5 living donor peer supporters in 2025 and also trained up one peer support who has experience in living with IGA.

In 2025 our service helped 112 people this included 52 people needing support for home therapies PD and HD, 17 support given for in centre dialysis patients, 17 support for transplant patients, 6 support for living donors and 20 for people diagnosed with CKD or another type of kidney disease.

All Party Parliamentary Kidney Group (APPKG)

The NKF continued to serve as the Secretariat to the APPKG, which was reestablished in September 2025 with Jo White MP as the Chair. Lord Watts has been appointed as Vice Chair with Sir Desmond Swayne and Mohammad Yasin as Officers. The group now has 38 members and work will continue in 2026 to increase membership.

In October 2025 a meeting was held to discuss the need for a national strategy for kidney disease with Jo White MP confirming that the APPKG will support this need and the joint national campaign for a kidney disease Modern Service Framework. Jo White MP submitted three Parliamentary Questions on what the Department of Health and Social Care are doing to assess the need for a Modern Service Framework. These were answered by Ashley Dalton MP on the 19th November 2025.

The priorities for the group were confirmed as early intervention, organ donation and transplantation and home dialysis.

Policy and Public Affairs

Policy and public affairs activity during 2025 focused on strengthening relationships with stakeholders in England and Scotland and ensuring the patient voice is heard on the national stage. Outreach has been sent to MPs and MSPs to introduce the work of the NKF and garner support for our campaigns to improve the lives of kidney patients and their families. We have met with a Shadow Health Minister and have plans in place for 2026 to meet with additional MPs and arrange visits to renal units.

The Kidney Patient Association Policy Working Group was established and terms of reference approved. The aim of this group is to strengthen engagement and dialogue with KPAs and to embed the patient voice in any representation made to policy and decision-makers.

The NKF continues to provide consultation responses that are appropriate to the mission of the charity and has included NICE Technology Appraisals, NHS Payment Scheme consultation and NHSE consultation on the Cardiovascular Modern Service Framework.

England

The Policy and Public Affairs Manager attended the Labour Party Conference to engage stakeholders and parliamentarians on the key issues affecting kidney patients.

We continued to be members of a number of coalitions and forums, including; Kidney Policy Forum, Specialised Healthcare Alliance, Association of British Pharmaceutical Industry, NICEVCS, Disability Benefits Consortium, CVD-Risk coalition and Prescription Charges Coalition.

We extended our network to include ICBs and sit on the West Yorkshire Kidney Health Strategy Group.

Scotland

We became members of the Scottish Healthcare ALLIANCE to be able to increase influence and represent kidney patients in Scotland.

In September, the Policy and Public Affairs Manager attended a debate in Scottish Parliament along with Kidney Research UK, Kidney Care UK, the Scottish Kidney Federation and Vantive on the impact of kidney disease. This is part of a wider piece of work to influence the Scottish Government to include kidney disease in the LongTerm Conditions Framework. The NKF sits on the Expert Reference Group for the framework.

Marketing Overview

The Communications and Marketing Department is responsible for promoting the work of the NKF and highlighting the impact and benefits for the people we support. The team plans, designs graphics, drafts copy, and schedules content for social media channels, while producing, designing, and writing print and digital materials, including leaflets, posters, and other resources to clearly communicate our services. We do all of the actions required to execute marketing, communications, fundraising, and membership activities, ensuring all work aligns with organisational objectives and complies with brand guidelines. We actively fundraise to secure as much funding as possible, helping us sustain and expand the vital services we provide.

The department represents NKF nationally, collaborating with other kidney charities, professional bodies, and stakeholders, and delivers multi-channel campaigns, such as a highly successful campaign on home dialysis which enabled us to launch a peer support service and was later extended to cover all Helpline service queries and to grow engagement and strengthen the position of the charity as one of the UK’s leading support organisations for people affected by kidney disease. We also scout and coordinate opportunities for ambassadors, patrons, funders and stakeholders to experience our work and get involved with working with us, design and draft internal newsletters, delegating colleagues to provide copy for editing and distribution, contribute to external literature including the Journal of Kidney Care, and plan and execute email communications to all opted-in supporters, covering everything from Helpline promotions to webinars and other key updates. The team also prepares reports for senior leadership and supports policy work to ensure communications are strategic, coherent, and impactful.

Education and Communication

Kidney Life

Kidney Life magazine continues to make strong progress, with the Marketing department working closely alongside teams across the charity to deliver engaging, accurate content. Departments regularly contribute articles and updates to the Kidney Life Editor, ensuring the magazine reflects a broad range of content, while Marketing assists with proofreading ahead of publication. With a growing audience of 10,000 subscribers across email and postal distribution, Kidney Life remains a valuable publication for sharing information, stories, and updates with our community. The magazine is available online at www.kidney.org.uk and can be found as an enhanced ‘flip page’ digital format via ISSUU, offering a more interactive and engaging reading experience for our audience.

Website

Our website views have stayed very consistent throughout 2025, and at the start of the year, we were ahead of last year. The decline towards the end of the year is due to an effort to remove spam website visits from ‘sell my kidney’ search results, which is now showing results, causing a slight decline in views.

The website has also seen a good trend towards helpful information ranking highly, as opposed to spammy links. The top three have had huge increases in their visibility, which means our information is getting to the right people.

We’ve made a big change with page design this year to ensure that the pages on our website are more functional and easier to use. This has extended to our KPA Page and the Home Dialysis Campaign Manifesto page. The biggest benefit from this was the Easy Read Booklets Page, which is a new page that contains easyto-understand kidney disease information, and the page itself is designed to be easy to use to maximise accessibility.

This year, we have made a conscious effort to update the forms on our website to better process data. We did this by integrating our database forms into the website, allowing all signups to our Kidney Life Magazine to be securely and automatically added to our database. This same process is looking to be added to our donation and membership forms.

The Recite me accessibility tool has also seen continued use, and the most standout month saw over 80,000 users translate the language of the website, a detailed view of these can be seen below:

Social Media

In 2025, our social media presence showed steady growth and engagement across most platforms. Facebook, Instagram, and LinkedIn all saw positive follower increases, reflecting sustained audience interest and engagement, while Bluesky demonstrated promising early growth. X (formerly Twitter) experienced a slight decline, but this was offset by gains on other channels, meaning our overall social reach continued to expand. Organic reach remained strong and while numbers were slightly lower than in previous months, this aligns with our strategy of not always using paid advertising. The results show that our content continues to engage a dedicated audience, and selectively incorporating paid support could further enhance reach when needed.

In Touch

Last year, we refreshed our In Touch e-newsletter to provide a shorter, more reader-friendly experience while maintaining all the essential content our audience values. Produced entirely in house, this free monthly newsletter reaches over 9,000 subscribers and delivers timely insights into upcoming activities, including our NKF webinar series, KPA Day, the Annual Event, and World Kidney Day. Each issue also highlights our charity’s achievements, shares the latest updates from the renal community, and provides practical support for patients.

Like the Kidney Life magazine, the e-newsletter is available online at www.kidney.org.uk and features an enhanced ‘flip page’ digital format via ISSUU, offering a more interactive and engaging reading experience for our audience.

Cross-sector Communications Collaboration

The Marketing department is also actively involved in meeting with other kidney charities and key stakeholders to collaborate on shared projects and align communications activity. This includes regular engagement between communications leads across individual charities on work currently taking place around the Modern Service Framework, where messaging is being aligned to unite the kidney community and strengthen collective impact. As part of this work, partners are supporting joint initiatives such as collaborative listening events and coordinated e-actions encouraging supporters to write to their MPs, demonstrating that kidney disease must be prioritised.

Another example of this cross-sector communications collaboration is the DAYLife project, which focuses on working towards shared goals to improve outcomes for people affected by kidney disease, while also enabling the project to be promoted effectively to both healthcare professionals and patients.

Patient Event

The Annual Event took place on 12th October at the Hilton Hotel near the East Midlands Airport. The event followed a different format to the usual, the conference was held over just one day, with delegates welcome to arrive on the Saturday night and enjoy a quiz night, hosted by Pete Revell, and a Pie and Pea supper. The conference day was Sunday and was enjoyed by many, with a good mix of guest speakers that included presentations from professionals, clinical staff and patient speakers. KPA Day

NKF’s KPA Day took place on Saturday 5th April 2025 at the Arden Hotel in Birmingham. The morning sessions saw the NKF’s Executive Committee elected at the AGM which was then followed by a Council Meeting. The afternoon session started with a lighthearted game of ‘KPA Bingo’ followed by members of staff facilitating break out groups focussing on marketing and social media, membership, and joint fundraising. The day was well attended, with great networking opportunities and KPAs sharing best practises. British Transplant Games

The British Transplant Games took place in Oxford this year and the final day saw the NKF sharing a stand with the local Six Counties Kidney Patient Association. NKF Helpline Advisor, Linda Pickering, was joined on the day by Jose Rico-Diaz (Six Counties KPA Chair and NKF trustee) and a team of volunteers from the KPA. The team connected with both new and familiar faces, sharing valuable information about both charity's patient support services. They also distributed emergency transplant and Helpline cards, transplant wristbands, hats, and other merchandise. The Six Counties KPA mascot, ‘Sidney Da Kidney’, also made an appearance on the day, with many competitors taking the opportunity for a photo.

World Kidney Day (WKD)

World Kidney Day (WKD) took place on Thursday, 13th March 2025. Once again, the NKF partnered with the Kidney Charities Together Group—including Kidney Care, Kidney Research UK, UK Kidney Association, PKD, and Kidney Wales—to run a myth-busting campaign under the theme “Don’t Kid Yourself.” The campaign aimed to raise awareness of the vital role kidneys play in our health.

Many KPAs joined in by hosting their own local events and information stands, making the day lively and interactive. Our social media channels were buzzing with posts from participants celebrating WKD and spreading awareness.

In the evening, supporters were invited to “Shine a Light” on World Kidney Day by lighting a candle, shining a torch, and sharing posts online to turn the sky yellow in solidarity. The day also served as an opportunity for people to share their personal experiences of living with kidney disease with friends, family, colleagues, and online communities, sparking conversations and increasing understanding of the challenges faced by those affected.

Fundraising

As we reflect on the past year, we are pleased to share the fundraising highlights and achievements of 2025. Overall, it has been a successful year, once again demonstrating the generosity, loyalty and commitment of our supporters. Their continued backing has enabled the National Kidney Federation (NKF) to deliver vital services for kidney patients and their families across the UK. We are also grateful for the strong and valued relationships we maintain with our Industry Partners, which continue to play an important role in our sustainability.

Increasing Fundraising Income

To ensure the charity can meet its future income requirements and continue delivering vital services, it has been agreed that a dedicated Fundraising role is essential. This position will focus solely on developing fundraising income, strengthening relationships with supporters, and identifying new opportunities for growth. Recruitment is underway, with the aim of having the postholder in place by the end of the first quarter.

I ndustry Partners

Our Industry Partners include pharmaceutical companies, dialysis providers and medical equipment manufacturers. During 2025, we worked with 11 different companies on a range of projects or received funding in recognition of the work of the NKF. Income from Industry Partners accounts for approximately 20% of our overall income, and we are extremely grateful for their continued support and collaboration.

Fundraising Campaigns

Our flagship Best Foot Forward walking challenge enjoyed another successful year, with strong participation and enthusiasm from supporters nationwide. This remains a key fundraising activity and one we will continue to develop and promote to encourage even wider engagement.

While income from individual event fundraising was slightly lower than in previous years, those who did take part raised substantial funds for the NKF. These activities included parachute jumps, half marathons, and partnerships with organisations such as golf clubs selecting the NKF as their Charity of the Year.

Although some income streams fluctuated during the year, the generosity of our supporters consistently exceeded expectations, for which we are deeply thankful.

Trust and Grant Partnerships

Following the appointment of a grants consultant in 2024, we made the decision to bring trust and grant applications back in-house, which resulted in improved net income compared with the previous year.

We were also delighted to receive a significant grant from The National Lottery Community Fund to support our Peer Support Service. This marks the third time the National Lottery has supported the NKF, highlighting their continued confidence in our work.

Legacy Giving

As a health charity, legacy income is a vital and growing area of fundraising. In 2025, we renewed our focus on legacy giving, including the distribution of a Gifts in Wills brochure within Kidney Life magazine. Legacy income remained consistent with previous years, and encouragingly, we have already seen an increase in pledges, which we expect to translate into growth in future years.

Supporter Donations and Membership

Donation income increased compared with the previous year, with valuable contributions received through general donations, shop sales, direct debits and in-memory giving. We continue to look for appropriate opportunities to invite donations, and this proactive approach is beginning to deliver positive results.

In 2025, we also launched the NKF Membership Scheme, with a minimum donation of £3 per month. This has proven very successful and provides a reliable and predictable source of income. Membership fundraising will remain a priority, with a target set to increase membership income by 50% in 2026.

Clothes Collections

UK clothing collections delivered the highest income to date, driven by both house-to-house collections and clothes banks nationwide. In addition to generating vital funds, this activity raises awareness of the NKF among thousands of households who may not otherwise have a connection to kidney disease. We are now exploring opportunities to expand the number of clothes banks across the UK.

Merchandise and Draw Income

Income from merchandise sales, including t-shirts, wristbands and Christmas cards, remained broadly in line with previous years. While Christmas card sales continue to decline, sales of other items, such as wristbands, increased.

The 2025 Spring Draw was delivered exclusively online, reducing printing and cheque processing costs. The Winter Draw, which combined online and paper tickets, generated increased income compared with the previous year. Going forward, we plan to continue with one online-only draw and one combined online and paper draw annually.

Achievements and performance (continued)

KPAs

During 2025, we supported KPAs across the UK to strengthen governance, sustainability, and patient engagement. This included working with established KPAs to support leadership transitions, committee recruitment, governance challenges, and improved communication with members, alongside practical support such as attendance at key meetings, event promotion, and resource development.

We also provided targeted support to emerging and proposed KPAs, helping groups to establish committees, organise patient events, progress towards charity registration, and develop constitutions. Several new KPAs joined the NKF during the year, with others well advanced in their development.

This programme of work has strengthened the resilience of the KPA network, improved local patient representation, and supported greater consistency of engagement across regions, contributing to the NKF’s strategic objectives.

Regional Networks

During the year, we worked in partnership with the KPA Regional Network Leads to strengthen engagement with the KPAs across the UK. Six of the eight regions are now meeting on a regular basis with their local associations, supporting improved communication, collaboration, and patient representation at a regional level. Engagement work is continuing with the remaining two regions, with plans in place to support the development of sustainable and effective regional links, ensuring equitable engagement across all regions.

NHS England - Clinical Reference Group (CRG)

The Renal Service Transformation Programme (RSTP) headed by NHS England finalised its work and was handed over to the eight renal regional networks and is monitored and governed by NHS England’s CRG.

NHS England’s CRG’s National Clinical Director is Professor Smeeta Sinha, NKF have frequent meetings with NHS England leads to discuss areas of concern or where they can work together to better patients’ experiences. New national service specifications are currently being written.

The NKF also works closely with the eight regional networks and has a NKF representative at board level in each of the areas. These areas also have regional meetings with their KPAs to ensure they are kept up to date with what is happening in their region and to ensure the patient voice is heard and listened to.

NHS England and the Department of Health are merging, and we are to see what the future brings when the merger has fully taken place and what this means for kidney patients.

Financial review

a. Going concern

After making appropriate enquiries, the trustees have a reasonable expectation that the charitable company has adequate resources to continue in operational existence for the foreseeable future. For this reason they continue to adopt the going concern basis in preparing the financial statements.

b. Reserves policy

The Trustees recognise the importance of keeping sufficient reserves in line with Charity Commission guidance. In particular they take into account the anticipated significant increase in patients suffering from Chronic Kidney Disease (CKD) over the next 10 years. This is likely to increase demand from the Charities Helpline and also increase the need for involvement in making representation to both the NHS and Government regarding provision and future treatment of kidney disease, particularly taking account of funding challenges for the NHS.

Because of this it is felt prudent to set aside a Designated Fund of £70,000 (2024: £130,000) to cover involvement with the other main kidney charities in the DAYLife project over the next 2 years, recognising that by working together the combined voice of the kidney charities is likely to carry more weight with those tasked with funding and managing renal services in the UK.

Given the difficulties of selling both the property and investments at short notice should the need arise it is felt prudent to set aside £350,000 (2024: £350,000) of Unrestricted Funds to provide a cash reserve to cover any possible adverse movements in values. The Charity relies on capital appreciation of the investments and the income from them to help fund the activities of the Charity.

In addition to this it is felt advisable to retain at least the equivalent of 12 months expenditure to fund ongoing activities and commitments and at the current level this equates to a need for an Unrestricted Reserve fund of £750,000 (2024: £750,000).

This will leave unallocated reserves of approximately £650,000 (2024: £670,000) at the year end and the Trustees expect this to be largely utilised within 2 years to fund by way of partnership or support and alongside other kidney charities projects that can be shown to have a clear benefit to kidney patients who form the membership of the Charity through the Kidney Patients Associations. In addition, a Strategic Development Plan for the next 5 years has recently been finalised and this shows ongoing and new projects requiring additional funding, which will largely use up this unallocated reserves figure.

There are also Endowment Funds amounting to £522,491 (2024: 537,592) at the year end, and whilst these funds could be used for General purposes it is felt to be more prudent at this stage to retain these funds.

The Reserves policy is reviewed annually by the Trustees and it is anticipated that the Resources not otherwise allocated above will be utilised within the medium term to meet the agreed Strategy and Development Plan drawn up for the Charity for the next 5 years.

c. Material investments policy

The objective of the investment is to grow the capital of the charity while managing risk to a low to medium level and to provide for a capital growth requirement with the flexibility to produce income and allow extra deposits or withdrawals in the future as and when required. An ethical investment policy has been adopted which states that we will seek to avoid tobacco and alcohol stocks where practical within the pooled funds approach. The current year includes a loss on investments of £46,990 (2024: gain of £70,945).

d. Principal risks and uncertainties

The building in Worksop is inspected regularly and a full health and safety audit is undertaken, yearly fire extinguishers are inspected, and valid certificates displayed. Internal health and safety checks are conducted on a weekly basis. An annual human resources audit is completed ensuring compliance with employment laws and regulations. The charities accounts are fully audited each year ensuring accountability, transparency and compliance.

General Data Protection Regulations (GDPR) has had an effect on most charities since its introduction. NKF continues to obtain permission from individuals to be able to process their personal data. The Database at the Head office allows personal data to be securely stored and to prevent breaches of information.

A full comprehensive Risk Register has been developed and is now operational. The risk register is reviewed annually.

e. Principal funding

The financial statements for the year ended 31 December 2025 show a deficit of £100,725 (2024: deficit of £168,734) and total funds of £2,346,955 (2024: £2,447,680).

The Executive Committee will continue to carefully monitor the NKF budget, although the detailed line by line monitoring is done by the Finance and General Purposes Committee. The NKF has a healthy level of contingency funding set aside as cash, with the intent of moving this to a low risk investment portfolio. However, budget matters will continue to be given high priority in 2026.

Structure, governance and management

a. Constitution

The National Kidney Federation is constituted as a Company limited by guarantee. Set up in September 1978, the NKF registered with the Charity Commission for England and Wales on 27th January 1979, then reregistered with the Charity Commission in 2004, when it became an incorporated company, Charity Number 1106735.

The NKF registered as a charity with the Scottish Charity Regulator on 4th July 2019, Charity Number SC049431.

b. Methods of appointment or election of Trustees

The method of appointment to the Executive Committee is set out in the governing document ‘The Memorandum and Articles of Association’ The Executive Committee consists of not less than eleven and no more than sixteen members elected by representatives of full member KPAs of the Federation, including a maximum of six officers.

Up to three of the Trustees may be individuals who are members of the Federation, but may not be members of any KPA.

c. Organisational structure and decision-making policies

The charity trustees – the Executive Committee, are responsible for the general governance of the charity. Management of the charity is delegated to the Chief Executive and her team.

The trustees give their time freely and receive no remuneration or other financial benefits (other than agreed expenses incurred in carrying out this role).

The following groups and sub committees have undertaken work on behalf of the Charity:

Finance and General Purposes Subcommittee

This subcommittee examines the current NKF Financial arrangements and ensures full compliancy with charity regulations and best practice. It considers appropriate policies, business plans, key staffing and governance matters in detail prior to making recommendations to the full Executive committee. The NKF budget is closely monitored by the subcommittee and financial recommendations are made to the Executive Committee.

The Event Subcommittee

The Patient Event Subcommittee decides upon a venue, speakers and a programme for the annual Patient Event and the KPA Day. NKF Staff source sponsorship from Industry Partners to cover the costs of these events.

Structure, governance and management (continued)

Following the event, the committee meet in order to evaluate responses and to assess whether objectives for the event had been met and decide what the structure is for the next year’s event. The KPA Day and Patient Event are the main events of the NKF.

Home Dialysis Subcommittee

This subcommittee monitored and pushed forward the five-year increasing home dialysis campaign. All renal units were asked to ensure that they have at least 20% of their patients dialysing at home. The progress of each renal unit has been tracked and an annual report published with recommendations for increasing home therapies further. The reports are widely circulated. This campaign ran for five years, ending in April 2025 with a manifesto for change, supported by the APPKG - https://www.kidney.org.uk/home-dialysis-campaign-manifesto The work of this campaign will be continued through the DAYLife programme, of which NKF are a partner.

Campaigning and lobbying

National Kidney Disease Strategy

The NKF is part of the joint campaign, including Kidney Research UK, Kidney Care UK, PKD, UK Kidney Association, ‘7 Million Lives at Risk – What’s the Plan?’. A national campaign to call on the government to commit to a kidney disease Modern Service Framework. The campaign launched in Westminster on the 22nd October through the All-Party Parliamentary Kidney Group. The NKF is part of the Governance Group for the development of a community kidney strategy and is represented on the Communications and Policy and Public Affairs Subgroup. Work will continue on this campaign in 2026.

d. Policies adopted for the induction and training of Trustees

The first meeting following the Annual General Meeting is in two parts, the first part is to induct new members and remind all members of their roles and responsibilities. All trustees are provided with an induction pack which includes the Memorandum & Articles of Association, Responsibilities of Charity Trustees. Financial Statements and Policy Statements etc. They are briefed on the code of practice for all trustees, their legal responsibilities, the content of the Memorandum & Articles of Association, decision making processes and recent financial performance. The induction also provides an opportunity to meet key employees and other trustees. Support to new members is also provided through a buddy arrangement.

e. Pay policy for key management personnel

The charity sets salary increases for staff after appraisals. Salaries are considered alongside budgets and approved by the executive committee.

f. Financial risk management

The Trustees have assessed the major risks to which the Charity is exposed, in particular those related to the operations and finances of the Charity, and are satisfied that systems and procedures are in place to mitigate exposure to the major risks.

The NKF now has a new database to ensure it is up to date and helps the charity with maintaining relationships with our supporters.

Plans for future periods

NKF Strategy

The NKF Executive Committee and the NKF staff team refreshed the strategy and a new one was produced for 2025 to 2030. A development plan was put into place for the year, and lots of objectives were met. Most of them are detailed in the different sections of this annual report. The strategy continues to help shape the future for the NKFs activities and objectives.

Impact report

The NKF produced their fifth Impact Report for the year of 2025. The 2025 report was circulated with the - summer issue of Kidney Life, in May 2025. Impact reports can be read here: www.kidney.org.uk/our impact

Statement of Trustees' responsibilities

The Trustees (who are also the directors of the Charity for the purposes of company law) are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

Company law requires the Trustees to prepare financial statements for each financial . Under company law, the Trustees must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the Charity and of its incoming resources and application of resources, including its income and expenditure, for that period. 1. General information

The company is a charity limited by guarantee, registered in England and Wales. The address of the registered office is The Point, Coach Road, Shireoaks, Worksop, S81 8BW.

These financial statements have been prepared in sterling, which is the functional currency of the entity.

The principal activity of the charity is to promote the best renal medical practice and treatment and to support the related needs of those suffering from kidney disease or renal failure.

2. Accounting policies

2.1 Basis of preparation of financial statements

The financial statements have been prepared in accordance with the Charities SORP (FRS 102) - Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.

National Kidney Federation meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy.

2.2 Going concern

After making appropriate enquiries, the trustees have a reasonable expectation that the charitable company has adequate resources to continue in operational existence for the foreseeable future. For this reason they continue to adopt the going concern basis in preparing the financial statements

2.3 Income

All income is recognised once the Charity has entitlement to the income, it is probable that the income will be received and the amount of income receivable can be measured reliably.

The recognition of income from legacies is dependent on establishing entitlement, the probability of receipt and the ability to estimate with sufficient accuracy the amount receivable. Evidence of entitlement to a legacy exists when the Charity has sufficient evidence that a gift has been left to them (through knowledge of the existence of a valid will and the death of the benefactor) and the executor is satisfied that the property in question will not be required to satisfy claims in the estate. Receipt of a legacy must be recognised when it is probable that it will be received and the fair value of the amount receivable, which will generally be the expected cash amount to be distributed to the Charity, can be reliably measured.

Grants are included in the Statement of Financial Activities on a receivable basis. The balance of income received for specific purposes but not expended during the period is shown in the relevant funds on the Balance Sheet. Where income is received in advance of entitlement of receipt, its recognition is deferred and included in creditors as deferred income. Where entitlement occurs before income is received, the income is accrued.

Income tax recoverable in relation to investment income is recognised at the time the investment income is receivable.

2.4 Expenditure

Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges allocated on the portion of the asset’s use.

Expenditure on raising funds includes all expenditure incurred by the Charity to raise funds for its charitable purposes and includes costs of all fundraising activities events and non-charitable trading.

Expenditure on charitable activities is incurred on directly undertaking the activities which further the Charity's objectives, as well as any associated support costs.

All expenditure is inclusive of irrecoverable VAT.

2.5 Interest receivable

Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the Charity; this is normally upon notification of the interest paid or payable by the institution with whom the funds are deposited.

2.6 Intangible assets and amortisation

Intangible assets costing £1,000 or more are capitalised and recognised when future economic benefits are probable and the cost or value of the asset can be measured reliably.

Intangible assets are initially recognised at cost. After recognition, under the cost model, intangible assets are measured at cost less any accumulated amortisation and any accumulated impairment losses.

Amortisation is provided on intangible assets at rates calculated to write off the cost of each asset on a straight-line basis over its expected useful life.

Amortisation is provided on the following bases:

Website development - 20 % straight line

2.7 Tangible fixed assets and depreciation

Tangible fixed assets costing £1,000 or more are capitalised and recognised when future economic benefits are probable and the cost or value of the asset can be measured reliably.

Tangible fixed assets are initially recognised at cost. After recognition, under the cost model, tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. All costs incurred to bring a tangible fixed asset into its intended working condition should be included in the measurement of cost.

Depreciation is charged so as to allocate the cost of tangible fixed assets less their residual value over their estimated useful lives.

Depreciation is provided on the following bases:

2.8 Investments

Fixed asset investments are a form of financial instrument and are initially recognised at their transaction cost and subsequently measured at fair value at the Balance Sheet date, unless the value cannot be measured reliably in which case it is measured at cost less impairment. Investment gains and losses, whether realised or unrealised, are combined and presented as ‘Gains/(Losses) on investments’ in the Statement of Financial Activities.

2.9 Debtors

Trade and other debtors are recognised at the settlement amount after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due.

2.10 Cash at bank and in hand

Cash at bank and in hand includes cash and short-term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account.

2.11 Liabilities and provisions

Liabilities are recognised when there is an obligation at the Balance Sheet date as a result of a past event, it is probable that a transfer of economic benefit will be required in settlement, and the amount of the settlement can be estimated reliably.

Liabilities are recognised at the amount that the Charity anticipates it will pay to settle the debt or the amount it has received as advanced payments for the goods or services it must provide.

Provisions are measured at the best estimate of the amounts required to settle the obligation. Where the effect of the time value of money is material, the provision is based on the present value of those amounts, discounted at the pre-tax discount rate that reflects the risks specific to the liability. The unwinding of the discount is recognised in the Statement of Financial Activities as a finance cost.

2.12 Pensions

The Charity operates a defined contribution pension scheme and the pension charge represents the amounts payable by the Charity to the fund in respect of the year.

2.13 Fund accounting

General funds are unrestricted funds which are available for use at the discretion of the Trustees in furtherance of the general objectives of the Charity and which have not been designated for other purposes.

Designated funds comprise unrestricted funds that have been set aside by the Trustees for particular purposes. The aim and use of each designated fund is set out in the notes to the financial statements.

Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors or which have been raised by the Charity for particular purposes. The costs of raising and administering such funds are charged against the specific fund. The aim and use of each restricted fund is set out in the notes to the financial statements.

Endowment funds represent amounts which have been given to the Charity with the requirement that the capital is retained and invested. These funds are permanent in nature, with the capital held to generate income for the Charity in accordance with the donors’ wishes. The income arising on endowment funds is credited to the appropriate fund in line with the terms of the endowment. Investment income, gains and losses are allocated directly to the endowment fund.

The charity obtained a professional valuation during the year ended 31 December 2022 which indicated that the valuation of the leasehold property was £300,000.
