The Trustees are pleased to present their report with the financial statements of the charity for the year ended 31 December 2021. 

## **Governance & The Governing Document** 

Surrey Campaign to Protect Rural England (formerly The Surrey Branch of the Campaign to Protect Rural England) is a company limited by guarantee (number 4551761) and governed by its Articles of Association as adopted on 2 October 2002, and amended on 23 April 2010 and on 30 July 2020. It is also registered as a charity (number 1106245) with the Charity Commission. The members of the Board of Trustees are trustees under charity law and directors under company law. They are known also as Board Members. 

Whilst CPRE Surrey is constituted as a separate legal entity from the national charity CPRE (number 1089685) we have very similar objectives and use the national charity’s branding. CPRE Surrey is an active member of the CPRE network or federation, comprised of all the CPRE local charities, which collectively have 70% of the voting rights at the CPRE AGM. CPRE Surrey supports and contributes to the work of CPRE at a national level. The close collaboration with CPRE, other CPRE local charities and through the South East Regional Group, leads to a sharing of expertise and resources which is vital to the effectiveness of CPRE Surrey. We are financially dependent on receiving our share of the membership fees, which are collected and allocated by CPRE and passed on to CPRE Surrey on a quarterly basis. 

The Articles of Association of CPRE Surrey were amended by Special Resolution at the Annual General Meeting held (virtually) in July 2020. The revised Articles reflect the way CPRE Surrey is now run and, in addition to the formation of district committees enable the establishment of specialist topic committees in Surrey. At the Annual General Meeting every year the officers and trustees are elected to form the Board of CPRE Surrey. The minimum number of Board members is five with a maximum number of ten, the term of office is now limited to six consecutive years after which the Board member must stand down for at least one year before seeking reelection at the following AGM. In 2021 the remaining trustees who had served their six year term stood down at the AGM held on the 10 September at West Horsley Place Barn. Last year’s annual report stated the importance of both succession planning and increasing diversity on the board. CPRE Surrey has a loyal but ageing membership and it was incumbent on the Chair to address this issue. By recruiting new trustees and volunteers has now made the future of CPRE Surrey, and its ability to deliver on its charitable purposes, feel more secure. However, there remains work to be done to give the organisation more breadth and vitality. 

Retiring board members have traditionally been appointed as Vice Presidents at the AGM. Some remain actively involved continuing to generously volunteer their time and expertise. Some remain as local Chairs of district committees while others are engaged in the planning work. They are also essential in training up and encouraging new volunteers to join the planning team. Induction and training of new trustees and volunteers is provided on a national basis by CPRE. 

## **Structure & Management of CPRE Surrey** 

CPRE Surrey was originally made up from eleven District Committees whose areas of responsibility corresponded with the Local Planning Authorities within the County. Each District Committee was represented on the CPRE Surrey Planning and Campaigns Committee which used to meet regularly while the Board of Trustees met less frequently and oversaw the governance and finances of the charity. In recent years the membership and activity of the District Committees had declined to the point where most are no longer active. The day-to-day business of the charity, pre Covid 19, was conducted from the Leatherhead office at the regular Monday morning meetings where the workload was shared by the planners/board members, active volunteers and the Branch Director. By the end of 2019 there was just a handful of people left gathering around the table at these meetings.

## **Structure & Management of CPRE Surrey (continued)** 

CPRE Surrey vacated Room 2 in the Institute in March 2021 and in its place a virtual or paperless office was established for file sharing. Day to day admin duties for CPRE Surrey are now carried out by the Board employing the services of a part time freelance Administrator Phil Partridge. The Monday morning meetings have been replaced by fortnightly early evening virtual meetings which are convenient and well attended. These meetings are the responsibility of our Planning Volunteer Coordinator, Jeremy Saunders. Both Jeremy and Phil report to the Chair and the Treasurer. Their roles are to assist and support the active volunteers and new members and to liaise with national office of CPRE and other CPRE members across the country using the ‘Assemble’ software system. The Board currently employs the services of two social media consultants who report to Craig Freemen, who is a trustee and works in digital marketing. John Goodridge handles the financial reporting, service contracts, 100 Club and budgeting and bank account of the charity, with joint signatory powers with the current Chair. Matt Mallinder is the Vice Chair with responsibility for strategy and governance. Alivia Kratke joined the Board in 2021 and taken over from Tim Harrold in Guildford as well as taking on trustee duties. Sonya Dixon resigned as a Trustee in April 2022 due to pressure of her job, but in her short tenure she was extremely helpful to CPRE Surrey. The Chair of the Board will need to be replaced by the time of the next AGM and may have to be recruited from outside the current Board members. The Chair is responsible for overseeing and fulfilling all the legal duties and charitable purposes of CPRE Surrey. 

## **Public Benefit** 

The charity's trustees have complied with their duty in Section 17(5) of the 2011 Charities Act to have due regard to guidance published by the Charity Commission. 

## **Objectives** 

CPRE Surrey exists to promote the beauty, tranquillity and diversity of rural England by encouraging the sustainable use of land and other natural resources in town and country. It is actively involved in the land use planning process and in consultation on national, county, and district policy formulation and implementation in this context. CPRE Surrey is an advisory member to the Board of the Surrey Hills Area of Outstanding Natural Beauty (AONB), we appear at public enquiries and endeavour to comment on major planning applications in all districts. We campaign strongly for the protection and enhancement of the countryside throughout the county and for the improvement of environmental quality. 

## **Activities & Performance in 2021** 

2021 was a year when we built on the changes that we had begun to make in 2020 during the first lockdown. We had to accept the retirement of Tim Harrold, the sad loss of Max Rosenberg, who was both a board member and chair of the Mole Valley district committee, and the logistical and financial challenges facing this and every other charity. It was clear during Covid lockdowns that retaining an office stacked with files when everyone was working on laptops at home, was an unnecessary drain on resources. The benefits of virtual meetings and ability to book rooms across Surrey on an ad hoc basis were obvious. The role of a Branch Director employed to run the office became redundant and Andy Smith was freed up to return to his freelance journalist work for CPRE and for other organisations. 

At the AGM held at West Horsley Place Barn in September 2021 Simon Murray, Chair of CPRE, was the guest speaker, and he spoke eloquently about the need to Build the Movement and work together in order to be an effective and sustainable organisation. The meeting was well attended given that some Covid restrictions were still in place. The following trustees, although not present at that meeting, stepped down from the Board: Sarah Clayton, who had been involved for 20 years with CPRE, and remains an active member; Malcolm Williamson who having set CPRE Surrey up as a company in 2002 was a sage voice for many years; Gillian Hein who came back on the Board in 2020, resigned in August 2021 and was reinstated as a Vice President at the AGM; Michael Sydney who had completed 6 years on the Board and is now retired. The Chair acknowledged the years of hard work and dedication of Tim Harrold, Tim Murphy (Vice President), Keith Tothill (Vice President), Gillian Hein (Vice President), Malcolm Williamson, Sarah Clayton, Anthony Isaacs (Vice President) and Michael Sydney and said that CPRE Surrey was deeply in their debt. Retirement from the Board does not mean that they cease to be active volunteers. Indeed, it is essential that CPRE Surrey is able to keep working with our veteran members if our new recruits are going to be able to protect and enhance Surrey’s countryside in the future. 

The Board can co-opt four more trustees on to the board this coming year and expect to make up numbers again to a full complement of 10 by the next AGM, when the current Chair comes to the end of her term of office.

## **Activities & Performance in 2021 (continued)** 

Much of the activities for 2021 revolved around moving out of the Institute in Leatherhead, as mentioned above, and recruitment of new Board members, part time staff and volunteers. Whilst some members of the Board at the time disagreed with the termination of the Branch Director’s contract of employment, care was taken to ensure that all the statutory requirements were met and both the charity/employer and employee had the benefit of proper legal advice. 

With regard to planning applications and draft Local Plans, work on responding to these continued to be carried out by our dedicated planners and members, old and new. We fund raised and supported the Land at Red Court appeal in Haslemere, helped raise funds for defence of an appeal in Chobham for 30 houses at Mincing Lane which was refused and supported Sarah Finch’s Court of Appeal case over further drilling at Horse Hill. We objected to the Howard of Effingham application for a further 110 houses on Lodge Farm (refused by Guildford), and to a new floodlit artificial hockey pitch at Urn Field Recreation Ground in Guildford which would cause detriment to the both the AONB landscape and Dark Skies and was rejected by Guildford’s Planning Committee. The Nutfield Green Park application on the old Laporte site, was refused by Tandridge, and the Reigate Cemetery at Woodhatch was also refused by Reigate & Banstead as a result of local opposition supported by CPRE Surrey. We responded to the Draft Mole Valley Local Plan, to the Surrey County Council’s Waste and Minerals Plan - Issues and Options consultation and to the Government’s response to the Glover review on AONBs and National Parks. We are working with Parish Councils and the AONB Board on the Surrey Hills Boundary Review. We were struck by the number and quality of responses, many from our members to the initial evidence gathering exercise over Christmas and up to end of January 2022. 

CPRE Surrey remains active and through our social media outlets, Surrey Voice and e-Newsletters we endeavour to keep our members informed and encouraged to volunteer. It is essential to keep the charity relevant and engaged in the current challenges that face the countryside. 

## **Finance Review** 

## **Income** 

CPRE Surrey had an overall deficit of £13,377 on its activities in 2021. This compares to a surplus of £27,302 in 2020, which was mainly due to the generosity of four charitable trusts that Anthony Isaacs is associated with, who gave £30,000 and in addition one legacy of £5,000. 

Subscription income from CPRE National Office fell slightly to £30,280. 

Donations of £11,330 were received, of which £10,189 were restricted use in respect of the Mincing Lane and Red Court appeals. 

The Branch Director was furloughed for a period and £5,666 was received from the Coronavirus Job Retention Scheme. 

The arrangement with the London Green Belt Council for administrative and report writing services was terminated in March 2021. 

## **Expenses** 

The charity has spent £65,235 this year on charitable activities. The majority of this cost is the employment of our former Branch Director (including redundancy), and our freelance Administrator, £15,200 of donations, principally to the Red Court Appeal and the final costs of the Leatherhead office. Trustees' expense claims have again been negligible. 

## **Investment and reserves policy** 

As in previous years, we have a reserves policy to maintain an unrestricted fund equivalent to at least six months expenditure. Our total funds at the end of 2021 were £1102,609 of which £100,720 was unrestricted and £1,889 restricted use, so we remain well placed. We hope to invest some of these reserves in sustainable funds in 2022. Unfortunately, there have been some delays due to COVID that have reduced capacity within investment houses to open new accounts but we hope to be invested shortly. With some of our reserves tied up in less liquid investments we think it prudent to maintain a reserve of six months expenditure in the current account at all times. We retain the investment in COIF Charities Investment Income Units of £27,255, but the current strategy is to liquidate this and put it into the investment account when we have it up and running.

## **Risk management** 

The Trustees are responsible for identifying the major risks to which the charitable company is exposed and ensuring that steps are taken to manage these risks. 

## **Trustees’ responsibilities in relation to the financial statements** 

The Trustees (who are also directors for the purposes of company law) are responsible for the preparation of the Annual Report and the financial statements in accordance with UK Generally Accepted Accounting Practice (UK Accounting Standards and applicable law). The financial statements are required to give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources of the charity, including its income and expenditure, for that period. In preparing those financial statements, the Trustees are required to: 

- select suitable accounting policies and apply them consistently 

- make judgements and estimates that are reasonable and prudent 

- observe the methods and principles in the Charities SORP 

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue operations. 

The Trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charitable company and to enable them to ensure that the accounts comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. The Trustees are responsible for the maintenance and integrity of the corporate and financial information included on the charitable company's website. Legislation in the UK governing the preparation and dissemination of financial statements may differ from legislation in other jurisdictions. 

This report has been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015), and in accordance with the special provisions of the Companies Act 2006 relating to small companies.

I report on the financial statements of the charitable company for the year ended 31 December 2021 which are set out on pages 7 to 12. 

## **Responsibilities and basis of report** 

As the charity’s trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (‘the 2006 Act’). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity’s accounts as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. 

## **Independent Examiner's Statement** 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

(1) accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 

(2) the accounts do not accord with those records; or 

(3) the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a ‘true and fair view which is not a matter considered as part of an independent examination; or 

(4) the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities [applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)].

For the year ended 31 December 2021 the company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies. 

The members have not required the company to obtain an audit of its accounts for the year in question in accordance with section 476. 

The Directors/Trustees acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and preparation of accounts. 

The accounts have been prepared in accordance with the special provisions of Part 15 of the Companies Act 2006 relating to small companies. 

The financial statements were approved by the Directors/Trustees on 28 April 2022, and signed on their behalf.

## **Notes to the financial statements for the year ended 31 December 2021** 

## **1.  Accounting policies** 

## **(i)  Basis of accounting** 

The accounts have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015), the Charities Act 2011 and UK Generally Accepted Practice as it applies from 1 January 2015. 

The accounts have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant note(s) to these accounts. 

The charity constitutes a public benefit entity as defined by FRS 102. 

The trustees consider that there are no material uncertainties about the charity's ability to continue as a going concern. 

## **(ii)  Fund accounting** 

The Unrestricted fund is available for use at the discretion of the trustees in furtherance of the general objectives of the charity. Restricted funds are donations which the donor has specified are to be solely used for particular areas of the charity’s work or for specific projects being undertaken by the charity. 

## **(iii)  Income recognition** 

All income is recognised once the charity has entitlement to the income, there is sufficient certainty of receipt and so it is probable that the income will be received, and the amount of income receivable can be measured reliably. 

The Surrey share of subscription income received from the National Office of CPRE is accounted for on an accruals basis. Income from events is treated as income when the events actually occur. Dividends are credited to the revenue account as they are received. Donations and legacies are recognised when the charity has entitlement to the resource and it is probable that the resources will be received. 

## **(iv)  Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that settlement will be required and the amount of the obligation can be measured reliably. 

The charity is not registered for VAT and where applicable, expenditure is shown inclusive of VAT. Campaign costs have been apportioned between expenditure on charitable activities and costs of raising funds based on an estimated percentage. 

## **(v)  Fixed assets** 

Fixed assets are stated at cost less aggregate depreciation. Depreciation of office equipment is provided at 25% straight line to write off its cost over its anticipated useful life. 

## **(vi)  Debtors and creditors receivable/payable within one year** 

Debtors and creditors with no stated interest rate and receivable or payable within one year are recorded at transaction price. Any losses arising from impairment are recognised in expenditure. 

## **(vii)  Tax** 

The charity is an exempt charity within the meaning of schedule 3 of the Charities Act 2011 and is considered to pass the tests set out in Paragraph 1 Schedule 6 Finance Act 2010 and therefore it meets the definition of a charitable company for UK corporation tax purposes. 

## **2.  The company** 

Surrey Campaign To Protect Rural England Limited (formerly The Surrey Branch of the Campaign to Protect Rural England) is formed under the Companies Act and has no share capital, being a company limited by guarantee. The maximum liability of each of its members is £1. 

## **3.  Directors/trustees information** 

Directors/trustees received no remuneration for their services (2020: £nil). 

Expenses of £170 for mileage, parking, other travel, and subsistence were reimbursed to 2 directors/trustees (2020: 2 directors/trustees reimbursed £236). There were no other related party transactions. 

## **4. Share of subscription income** 

Members of CPRE who are resident in Surrey and those wishing to support Surrey are automatically members of CPRE Surrey. CPRE Surrey is funded by a variable percentage of subscriptions and linked donations which National Office pass on quarterly.
