Responsibilities and basis of report
As the charity trustees of UCCT you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’).

Chairman's Statement: Financial Year 2024-2025
The trustees have monitored the affairs of the Trust and are happy with the various investments and income. The trustees have met six times during the year to review the operations of the Trust. An AGM and an Ordinary Meeting for members of the Charitable Unincorporated Association were also held.
In order to secure a stronger future for the charity we changed our status from Charitable Unincorporated Association to Charitable Incorporated Organisation, foundation model (CIO).
We continue to provide a minibus hire service to a wide variety of community groups, and to organise our own excursions and weekly Rothbury shopping service for elderly residents.
Demand and provision in our health transport service for elderly, disabled and mobilityimpaired local residents, using our own and volunteers’ cars, have roughly doubled over the past year.
We continue to operate the Route 16 public bus service on behalf of Northumberland County Council, providing access to the remoter parts of Upper Coquetdale.
To facilitate these services to the community we continue to liaise with the Rothbury GP surgery and with Northumberland County Council.
We received funding from The National Lottery Community Fund for purchase of a replacement minibus and support for operational costs. Other funding was received from the Coquetdale League of Friends to support the health transport service and from Rothbury Parish Council. We also received a number of donations.
The charity did not carry out any fundraising activities of the kind covered by the Fundraising Regulator’s Code of Fundraising Practice.

2) The property described in Part 1 of the Schedule hereto comprises all the unrestricted property (within the meaning of section 306(2) of the Charities Act 2011) of the Transferor.

3) The property described in Part 2 of the Schedule hereto comprises all other property of the Transferor.

4) The Transferor is not aware of any existing liabilities in that it has no debts

: and is not a party (nor has it ever been a party) to any lease of property or equipment, any hire agreement or any other form of financial agreement or commitment that could give rise to any potential liability, nor is it aware of any claim or potential claim against it by any organisation or person that could give rise to any potential liability. However, for completeness the Transferor highlights that:
i) The Transferee will become liable for the obligations (contractual and/or statutory) under 3 contracts of employment (with Karen Bell, Alistair Stripp and Lesley Leeson);
ii) The Transferee will become liable for the obligations to provide the Route 16 bus service pursuant to contracts with Northumberland County Council dated 24 October 2024, which expire on 1 November 2025.
NOW THIS DEED WITNESSES that:

The property described in Part 1 of the Schedule hereto shall vest in the Transferee as corporate property of the Transferee with effect from the date of this deed.

The property described in Part 2 of the Schedule hereto shall vest in the Transferee on the same trusts, so far as is reasonably practicable, on which the property was held immediately before the merger, with effect from the date of this deed.

All liabilities of the Transferor shall transfer to the Transferee with effect from the date of this deed.

1) By resolution of the Trustees of the Transferor dated 31° July 2025, the Transferor agreed to merge with Upper Coquetdale Community Transport 1213307 (“the Transferee”) and to transfer all of its property (assets and liabilities) to the Transferee.

2) By Vesting Deed dated 1* September 2025 the Trustees of the Transferor vested certain property, as set out in that deed, in the Transferee, including a stated amount of £53,782 from the Transferor’s Lloyds Bank, a/c 30-17-12 00233309, which sum was the balance in that account immediately prior to executing the deed.

3) By the time the funds were transferred from the Lloyds bank account the balance had changed to £53,858.53 and this was the amount of money transferred to the Transferee’s bank account on 1* September 2025, an additional £76.53 to that stated in the Vesting Deed dated 1 September 2025.

4) Between the transfer to the Transferee on 1* September and closure of the Transferor’s Lloyds Bank account 00233309 on 8th October 2025 the following transactions took place:
3rd September 2025 £96.25 direct debit paid to NEST, which was returned on the same day.
11" September 2025 £96.25 direct debit paid to NEST, which was returned on the same day.
19" September 2025 £2,685 received from Northumberland County Council
2™ October 2025 £2,685 paid to the Transferee’s bank account
3™ October 2025 £16.00 received from Lloyds bank representing a refund of the Transferor’s credit card annual fee
8th October 2025 £7.00 debited by Lloyds Bank as a charge for a returned direct debit
8" October 2025 £9.00 paid to the Transferee’s bank account, being the balance upon closure of the Transferor’s Lloyds Bank account 00233309.
- 5) The Transferor has therefore sought to transfer to the Transferee the property set out in the Schedule hereto in addition to the property transferred in accordance with Part 1 of the Schedule to the Vesting Deed dated 1* September 2025, being the additional sums of £76.53, £2,685 and £9.00 referred to above. Accordingly the total amount transferred to the Transferee from the Transferor’s Lloyds Bank account 00233309 will be £56,552.53.
NOW THIS DEED WITNESSES that:
The Transferor seeks to clarify that pursuant to the resolution of the Trustees of the Transferor dated 31“ July 2025 to transfer all of its property to the Transferee, the property described in the Schedule hereto has EITHER been vested in the Transferee by virtue of being paid from the Transferor’s bank account into the Transferee’s bank account, OR failing that it shall vest in the Transferee as corporate property of the Transferee with effect from the date of this deed.
