The Trustees use maln financial indicators - the proportion of grant funding to total income, and net income
or expenditure generaled.
Grant funding in Ihe year represented 23% of income {2020'. 21%), including amounts from fudoughing some
stsff during Cowd lockdowns. The Trustees continue lo pursue their strategy of contracting commercial routes-
lo Schools, Day Cenlres elc.
lo subsidise the cofft dial-a-ride operation. In this way we have historically been
able to minimise the need for increased public funding lo maintain our objectives.
In the year to 31 Marth 2021 the organisati¢n reported net I￿¢￿￿e of £91k12020.' £6CI( net expenditLsrel. After
several years of confusion over the issuing of sedion 19122 'not for profit. Iicences lor community transport
operators, this has at la81 been resolved and Hoppa resumed operating under these pemiils in 2021.
b. Review of actlvitles
In the period of review the organisalion continued lo provide transport services within the ambrt of the operations
described in its original Business Plan.
At the end of the year Hoppa reported a surplus of £95k (2020.. £115k deficill. This result reflected continuing
support from both Waverley Borough. and Surrey County Councils in maintaining our income funding during the
Covid-19 pandemic. Hoppa managed to promde limited seDAces to our Customers and the NHS during this
period, and despite sfjne added expenditure on PPE, V￿re able to redu￿ overall spending in the year.
The organisalion's core activities are the provision of demand responswe transport within Waverley Borough,
mainly assisting those urith disabilities and the elderly who are unable lo utilise public services by rea$c￿ Of
remoteness or &cess drfficulties. These priority services assist in reducing social exclusion among the
disadvantaged and in the year some 6,264 passenger trips were made {2020.' 19,3261. This was a significant
drop from last year, purely as a resuh of the various lockdowns due lo Covid.
Other community support seryices covers school runs- mainly Special Educational Needs - as well as several
heallh-related transport contracts. A totsl 0126.049 passenger trips were made in this service category during
the year12020.' 34.9761. This reduction related lo periods when the onty school run passengers ￿Ere the children
of key workers.

After makin9 appropriate enquiries, the Trustees have a reasonable expectation thal the company has adequate

Structure. governance and management
a. Constitutlon
The company is registered as a charitable company limited by guarantee and was set up by a Memoiandum of
Association on 9 December 2003.
The charity was fomied in suceession to Waverty Communty Transport and assumed all that companls assets
and liabilrties with effect frcm 31 March 2004.
The principal ¢Jbject of the company is lo provide relief lo the inhabilanls of the Borough of Waverley in Surrey
whose access to transport is affected by age, mental or physical disability, povety or rural isolation, and in
particular lo proV￿e and maintain non-profit community transport SerV￿eS and lo assi51 the charrtable work of
organisalions and bodie8 engaged in promoting relief of such persons through the provision of appropriate
services.
The objectives have not been amended during the year.
b. Method of appointment or election of Trustees
The management of the company is the responsibility of the Trustees who are elected arKI Cwsted under the
temis of the Memorandum and Articles of Asswialion.
¢. Policies adopted for the induction and training of Trustees
l Trustees receive explanatory documentation from Companies House and the Chaniies Commission and an
introductory briefing with the Chairman, Operating Director and Gener31 Manager and attend a full Board
rneeling as an observer before appoinlmenl. Subsequently each Board member re￿IVeS financial results, board
minutes, budgets, draft business plans and a health and safety manual.
d. Pay policy for senior stsff
The General Manager ts the senTh member of staff and a key employee. The Trustees pe4Écy is lo ensure that
this employee is remuneratad on a par with commercial enterprises, and use a combination of salary and
perforniance bonus to achieve this.
e. Organbsational structure and decision-making pollcles
The Chaimian, Operating Director. General Manager aTrJ Board meet monthly and are advised quarterty by kcal
authority Councilors and experts. Limit5 of decision making authority are defined by reference lo magnitude and
banking mandates by Board aulhorty.

The Trustees and senior staff make a declaration each year concerning related parties. There were no
transaction5 Wlth related patties during the year, other than as disclosed in the notes lo the financial slalements.

Plans for future periods
In a cl¥nate of financial challenge for our IcLal authorities, who are our key sponsors, Hoppa continues to
subsidise ils core services by bidding for, and winning, contracts to prO￿e communty transport roLrtes wherever
they frt within the operational crrteria.

Small Company Provlsions
This report has been prepared in accordance with the special provisions relating lo companies sufy'ect to the
small companies regime within Part 15 of the Companies Act 2006.
Statement of Trustees. responsibilities
The Trustees (who are also the directors of the COm￿nY for the purposes of cornpany lawl are responsible for
preparing the Trustees, Report and the financial slalemenls in accordance with applicable law and Un
Kingdom Accountin9 Standards (United Kingdom Generally Accepted Accounting Practice).
Company Law requires the Trustees lo prepare financial slalemenls for each financial year. Under company I￿.

The company operates a defifi￿ contribution pens¢on scheme. The ass*s of the scheme are held
separatety frcxm those of crjnpany in an independenlty administered fund. The pension cost charge
represents contributions payable by the company lo the fijnd and amounted lo £9,880 {2020 - £10,619).

sheet date and are included in credilors.
The Group operates a defined benefft pension scheme.
