Activities
Book Works secweJl ar¥J Completed the extension year to our four-year prograrnme (2018-
2022. +20231. with funding from Arts Council Engknd as a National Portfolio
Organisation. to de]ivery and on8oiDg series of publications and projects and to estsblish a
coherent. nalionwide approach to the development of èrtisuc talent. Our ongoing
commiunent is lo working with and benefiting artists, from dIVe￿e backgrounds, at all stage5
of their career. and to promote and distribule the work we produce to a wide and varied
readership/audience as outlined in our business plan.
The challenges caused by the COVID pandemic for Book Works were 5uc¢essfully
managed. but ongoing. LxJckdDwn. and COVID Safety have meant some stsff illness. flexible
home working, loss and delay to comtni5sioTrs for the Studio aDd to the Publishing
cotnmissloning progrdmme.

Arts Council England Funding
We ate very pleased to report that we were sUccWf￿ in our appb'eation to Arts Council
England IACEI for ongoing NPO funding. and we are deli8hied to remain an NPO
or8ani5ation for the 2023-26 funding period. Our appttcation feedback froTn ACE described
our programme a5'ambiUuus... nurturing artists at Yarious stag(s of theit cateers., that gave
'confidence and that we presented a 'stron8 pian of action, related (o the Investment
Principles- key ￿ ACE investment over the next 10 years.

Flnancial Review
The company had a deficit on unttstrÉcted fund5. of £1.91312022 deficit £70.4641 for the
year. Together with the accumulated SUr￿lL￿ biought fotward frotn Previous years, the
company now has an accumulated surplus on UnTe5tricled fund5 of £310.50612022

Reserves Pollry
Book Works now have free reseryes of £137.307. These are (he unrestricted funds less the
designated funds and the unrestricted fixed assets. The Management CoThTniftee has
e8lablished a reserves poly based on the need to hold lunds as identified in Book Works
risk reviews. The revieTh5 identified that it would be piudenl lo Ix)Id the equivalent ol lour
onths expenditure on salaTie5 and support costs in reserves. This amounts to
approximately £142.LKNJ. The charity is prioriti5ing building the reserves fund. and review5
the reserves policy on a annual t4sis.

funding agreemenl with Arts Council Enpjand. Our objectives. progrnmme a]xl strategy are
defined in our our recent NPO submission for core funding 2023-26.

Book Works (UK) Ltd is a company ]in]iled bv guarantee and a ￿gIStered charity. It is
established with the objects as noted atrK>ve. Th￿e objects are set out in irs governing
instrutnent, whlch is its Memorandutn and Articles of Asso¢i31fion.
The governing body is the Management Conllniiree whose n￿mberS are nOn￿ecutive and
unpaid. Metnbets perform the role of direciors in company law and trustees in Ch￿ilY law.
The Management Committee rneets Tegularly, retains fult a￿d effective control over Ihe
company and monitors the Co-directors. The ManageKnenl Committee 15 involved In major
strategit decisions and has ultirnate responsibility for the conduct and finanaal stsbllity of

## **1. ACCOUNTING POLICIES** 

## _**General information and basis of preparation of financial statements**_ 

Book Works (UK) Ltd is a private company limited by guarantee, domiciled and incorporated in England and Wales. The registered office is 19 Holywell Row, London EC2A 4JB. The nature of the charity’s operations and principal activities are described in the Trustees' report. 

The charity constitutes a public benefit entity as defined by FRS 102. The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland issued in October 2019, the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102), the Charities Act 2011, the Companies Act 2006* and UK Generally Accepted Accounting Practice. 

The financial statements are prepared on a going concern basis under the historical cost convention, modified to include certain items at fair value. 

The significant accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all years presented unless otherwise stated. 

## _**Fund accounting**_ 

General funds are unrestricted funds which are available for use at the discretion of the Trustees in furtherance of the general objects of the Charity and which have not been designated for other purposes. 

Designated funds comprise unrestricted funds that have been set aside by the Trustees for particular purposes. The aim and use of each designated fund is set out in the notes to the financial statements. 

Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors which have been raised by the Charity for particular purposes. The cost of administering such funds are charged against the specific fund. The aim and use of each restricted fund is set out in the notes to the financial statements. Statutory grants which are given as contributions towards the Charity's core services are treated as unrestricted. 

## _**Income recognition**_ 

All incoming resources are included in the Statement of Financial Activities (SOFA) when the charity is legally entitled to the income after any performance conditions have been met, the amount can be measured reliably and it is probable that the income will be received. 

Grants are recognised when the charity has entitlement after any performance conditions have been met. It is probable that the income will be received and the amount can be measured reliably. If entitlement is not met then these amounts are deferred. 

Income received in advance of a book publication or other specified service is deferred until the criteria for income recognition are met. 

No amount is included in the financial statements for volunteer time in line with the SORP. 

Investment income is recognised on a receivable basis.

## _**Expenditure**_ 

All expenditure is accounted for on an accruals basis and has been included under expense categories that aggregate all costs for allocation to activities. Expenditure is recognised where there is a legal or constructive obligation to make payments to third parties. It is probable that the settlement will be required and the amount of the obligation can be measured reliably. 

Support costs are those costs incurred directly in support of expenditure on the objects of the charity. Goverance costs are included within support costs. Governance costs are those costs incurred in connection with the compliance with constitutional and statutory requirements of the charity. 

## _**Tangible fixed assets and depreciation**_ 

All assets costing more than £500 are capitalised. 

Tangible fixed assets are stated at cost less depreciation. Depreciation is provided at rates calculated to write off the cost of fixed assets, less their estimated residual value, over their expected useful lives on the following bases:

## _**Stocks**_ 

Stocks are stated at the lower of cost and estimated selling price less costs to complete and sell. Cost includes all costs of purchase, costs of conversion and other costs incurred in bringing stock to its present location and condition. Cost is calculated using the first-in, first-out formula. Provision is made for damaged, obsolete and slow-moving stock where appropriate. 

## _**Debtors and creditors receivable / payable within one year**_ 

Debtors and creditors with no stated interest rate and receivable or payable within one year are recorded at transaction price. Any losses arising from impairment are recognised in expenditure. 

## _**Leases**_ 

Rentals applicable to operating leases are charged to the Statement of Financial Activities over the period in which the cost is incurred. 

## _**Foreign currencies**_ 

Transactions in foreign currencies are recorded at the rate ruling at the date of the transaction. Monetary assets and liabilities denominated in foreign currencies are translated at the rate of exchange ruling at the balance sheet date. 

## _**Pensions**_ 

The charity operates a defined contribution scheme, which is open to all employees. Employer contributions are charged to the Statement of Financial Activities as they become payable in accordance with the rules of the scheme.

## _**Going concern**_ 

The financial statements have been prepared on a going concern basis as the trustees believe that no material uncertainties exist. The trustees have considered the level of funds held and the expected level of income and expenditure for 12 months from authorising these financial statements. The budgeted income and expenditure is sufficient with the level of reserves for the charity to be able to continue as a going concern. 

## _**Judgements and key sources of estimation uncertainty**_ 

No judgements (apart from those involving estimates) have been made in the process of applying the above accounting policies that have a significant effect on amounts recognised in the financial statements.

Support costs including governance have been allocated as follows: staff costs have been allocated to activities on a time basis: premises and other costs have been allocated on the basis of costs directly attributable to each activity: costs not directly attributable to an activity have been allocated on a 50:50 basis except for rent which has been allocated on the basis of floor space.

## **15. STATEMENT OF FUNDS continued** 

## **DESIGNATED FUNDS** 

The funds of the company include the following designated funds which have been set aside out of unrestricted funds by the management committee for specific purposes: 

## Equipment and premises fund 

This fund was set up to replace printing and ancillary equipment, and to enable the charity to have necessary funds available to fund upkeep of the building and increase premises available for operations over the next 5 years. 

## Website fund 

Set aside for ongoing work on the website and post-launch in 2020, maintenance and development of the site. 

## Redundancy fund 

Book Works has set a fund aside to ensure that Book Works has the necessary funds to cover redundancy costs. 

Development and Staffing fund 

- Following the restructure of the staff in 2019, these funds are set aside to support Book Works fundraising initiatives in order to carry out our charitable aims, through either a new position or freelance contracts. 

- To ensure the operations of the charity can continue in the event of either unexpected staff sickness and maternity or to allow time for the charity to find replacement funding should an existing source come to an end unexpectedly. 

## **RESTRICTED FUNDS** 

The funds of the company include restricted funds comprising the following unexpended balances of donations and grants held on trusts to be applied for specific purposes: 

Commission of new work – relates to contributions towards the costs of producing new book titles.
