Structure, governance and management
Governing document
The Charity is an independent registered charity (No.: 1102834) and Company Limited by Guarantee (No.: 04860522). The charity was incorporated on 8 August 2003 and the assets of the unincorporated association together with the ongoing management were transferred to the Charity on 1 September 2003. It is governed by its Memorandum and Articles dated 8 August 2003.
The objects of the Pre-school are to enhance the development and education of children primarily under statutory school age by encouraging parents to understand and provide for the needs of their children through community groups and by:-
3.1 Offering appropriate play, education and care facilities and training courses, together with the right of parents to take responsibility for and to become involved in the activities of such groups, ensuring that such groups offer opportunities for all children whatever their race, culture, religion, means or ability;
3.2 Encouraging the study of the needs of such children and their families and promoting public interest in and recognition of such needs;
3.3 Instigating and adhering to and furthering the aims and objects of the Pre-school Learning Alliance.
Trustee Induction and Training
New trustees undergo induction into the organisation and undergo a DBS check. They are also encouraged to attend training events, where appropriate. In addition, Trustees are also required to use any specific knowledge or experience to help the Board reach sound decisions. This can include scrutinising papers, leading discussions, focusing on key issues, providing advice and guidance on new initiatives etc.
Risk management
Risk assessments are completed on an ongoing basis.
Organisational structure
Day-to-day management of the organisation and the delivery of objectives are provided by the manager under supervision of the directors.
Key management personnel remuneration
The trustees consider the Board of Trustees and the chief executive as comprising key management personnel of the charity in charge of directing and controlling the charity and running and operating the charity on a day to day basis. All trustees give their time freely and no trustee remuneration was paid in the year. Details of trustee expenses and related party transactions are disclosed in note 13 to the accounts.

Objectives and activities
The objectives of the nursery are to provide a high quality stimulating environment where children can learn, grow in confidence and knowledge to become confident individuals. Staff are now fully using the EYFS ladder to record and track the development and progress of the children.
We have referred to the guidance contained in the Charity Commission's general guidance on public benefit when reviewing our aims and objectives and in planning our future activities. In particular, the Trustees consider how planned activities will contribute to the aims and objectives they have set.

Achievements and performance
September 2022 commenced with a rested and enthusiastic team, there were many new ideas and plans for the nursery, registers were pretty healthy and the team rested from the lovely Summer we had.
Looking back over the course of this financial year, we have seen many changes in all aspects of the nursery setting, commencing with one of the largest changes was in the middle of September 2022 when our long standing Manager, Janet Molloy finally reached her agreed retirement day and with many happy memories waved Goodbye to us and Hello to retirement. Janet had been involved in nursery for over 30 years and saw many changes within nursery life, she was fundamental in steering the settings growth from an informal playgroup in a small church hall until the organisation that we are today. Thank you is simply not enough to say to Janet for her devotion, dedication and hard work over the years. The Committee, Staff and pupils wish her a very Happy Retirement.
There were several other staff changes over the course of the year. Kate Gill joined us in October 2022 and left in July 2023. Stacey Molloy decided not return to the setting after her maternity leave. So, Sophie Knight and Sue Loughran joined the team to help with the running of the lunch time sessions and after school clubs. Another member of the team was on long term absence due to family commitments therefore Maddie Fry joined us on a Relief staff basis.
The Manager's vacancy had been advertised for a long period of time prior to Janet's retirement but we did not get any applicants for the position. After careful consideration Stacey Giles and Debs Hoyle took over the position on a joint basis of Acting Managers for a trial period to ensure that both ladies were happy with their chosen role prior to amending the registrations details with Ofsted.
The new young Management Team undertook an overall audit of the nursery, finding that there were various building faults which were reported to the landlords. There were several broken or damaged pieces of equipment were removed from the setting immediately. Four large pieces of kitchen appliances plus the office printer decided to breakdown and needed instant replacements. To add insult to injury we had just installed new toner cartridges into the machine before its demise.
The audit clearly showed that there was a severe shortage of storage, several fixtures and fittings needed replacing and that the outside area was clearly still not up to the standard that we require for the children. Inside, the Children's play areas were reorganised and enhanced with small items of equipment and displays to create child friendly areas with a home from home feeling.
After careful consideration of the audit, it was clear that the nursery would be unable to fund the project without the assistance of grant funding, Debs volunteered to commence the process of constructing a wish list and gathering the information required for grants applications. But it was also clear that some of the projects needed urgent attention so a sum of up to £10,000 was allocated from the nursery general reserve accounts to start the projects running and which could be used as match funding for any future grant applications. The budget for the outdoor area was £5,000 and then up to a further £5,000 to replace the kitchen equipment and general

improvements. This figure was to come out of our reserve funding account.
A meeting was held with the Lighthouse Centre Manager to seek permission to obtain an additional piece of unused land next to our outdoor area. Both the LCL and Haverigg Primary School agreed to us doing the project so the project commenced with a fence and hardcore this area, we purchased a good quality shed and sturdy storage boxes, then commenced move surplus items from inside the nursery into the shed, leaving the existing storage room as a Preschool Quiet Room.
This project alone has improved the functioning of the rooms, as the existing store room is in the long term plans to become the new office and the new Preschool Room tasking up residence in the larger existing office. This is planned to happen over the course of 2023-24.
Financial review
The nursery madea loss for the year of £6,855 (2022 - Profit £13,512). Reserves at 31 August 2023 were £152,059 including £1,812 in restricted reserves.
Plans for future periods
It is the aim of the nursery to identify gaps in the development of children, and using the pupil premium for families of children in the three year old nursery education grant programme, purchase equipment and resources to fulfill those gaps.

1. General information
The charity is a public benefit entity and a private company limited by guarantee, registered in England and Wales and a registered charity in England and Wales. The address of the registered office is Lighthouse Centre, Atkinson Street, Haverigg, Millom, Cumbria, LA18 4HA.
- Statement of compliance
These financial statements have been prepared in compliance with FRS 102, ‘The Financial Reporting Standard applicable in the UK and the Republic of Ireland’, the Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (Charities SORP (FRS 102)) and the Companies Act 2006.
- Accounting policies
Basis of preparation
The financial statements have been prepared on the historical cost basis, as modified by the revaluation of certain financial assets and liabilities and investment properties measured at fair value through income or expenditure.
The financial statements are prepared in sterling, which is the functional currency of the entity.
Going concern
There are no material uncertainties about the charity's ability to continue.
Disclosure exemptions
The charity has taken advantage of the disclosure exemptions permitted by the Charities SORP 2015 (FRS102) regarding inclusion of a Statement of Cash Flows as the Charity is a small charity as defined in Update Bulletin 1 of the Charities SORP (FRS102).

Judgements and key sources of estimation uncertainty
The preparation of the financial statements requires management to make judgements, estimates and assumptions that affect the amounts reported. These estimates and judgements are continually reviewed and are based on experience and other factors, including expectations of future events that are believed to be reasonable under the circumstances.
Significant judgements
The trustees consider there were no significant judgements in preparing the financial statements.
Key sources of estimation uncertainty
Accounting estimates and assumptions are made concerning the future and, by their nature, will rarely equal the related actual outcome. The trustees consider there are no key sources of estimation uncertainty.
Cash at bank and in hand
Cash at bank and cash in hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account (other than those held for investment purposes).
Fund accounting
Unrestricted funds are available for use at the discretion of the trustees to further any of the charity's purposes.
Designated funds are unrestricted funds earmarked by the trustees for particular future project or commitment.
Restricted funds are subjected to restrictions on their expenditure declared by the donor or through the terms of an appeal, and fall into one of two sub-classes: restricted income funds or endowment funds.

Incoming resources
All incoming resources are included in the statement of financial activities when entitlement has passed to the charity; it is probable that the economic benefits associated with the transaction will flow to the charity and the amount can be reliably measured. The following specific policies are applied to particular categories of income:

e income from donations or grants is recognised when there is evidence of entitlement to the gift, receipt is probable and its amount can be measured reliably.

e —_ legacy income is recognised when receipt is probable and entitlement is established.

e income from donated goods is measured at the fair value of the goods unless this is impractical to measure reliably, in which case the value is derived from the cost to the donor or the estimated resale value. Donated facilities and services are recognised in the accounts when received if the value can be reliably measured. No amounts are included for the contribution of general volunteers.

e income from contracts for the supply of services is recognised with the delivery of the contracted service. This is classified as unrestricted funds unless there is a contractual requirement for it to be spent on a particular purpose and returned if unspent, in which case it may be regarded as restricted.

Resources expended
Expenditure is recognised on an accruals basis as a liability is incurred. Expenditure includes any VAT which cannot be fully recovered, and is classified under headings of the statement of financial activities to which it relates:

¢ expenditure on raising funds includes the costs of all fundraising activities, events, noncharitable trading activities, and the sale of donated goods.

¢ expenditure on charitable activities includes all costs incurred by a charity in undertaking activities that further its charitable aims for the benefit of its beneficiaries, including those support costs and costs relating to the governance of the charity apportioned to charitable activities.

e other expenditure includes all expenditure that is neither related to raising funds for the charity nor part of its expenditure on charitable activities.
All costs are allocated to expenditure categories reflecting the use of the resource. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs are apportioned between the activities they contribute to on a reasonable, justifiable and consistent basis.
Tangible assets
Tangible assets are initially recorded at cost, and subsequently stated at cost less any accumulated depreciation and impairment losses. Any tangible assets carried at revalued amounts are recorded at the fair value at the date of revaluation less any subsequent accumulated depreciation and subsequent accumulated impairment losses. An increase in the carrying amount of an asset as a result of a revaluation, is recognised in other recognised gains and losses, unless it reverses a charge for impairment that has previously been recognised as expenditure within the statement of financial activities. A decrease in the carrying amount of an asset as a result of revaluation, is recognised in other recognised gains and losses, except to which it offsets any previous revaluation gain, in which case the loss is shown within other recognised gains and losses on the statement of financial activities.
Depreciation
Depreciation is calculated so as to write off the cost or valuation of an asset, less its residual value, over the useful economic life of that asset as follows:

Impairment of fixed assets
A review for indicators of impairment is carried out at each reporting date, with the recoverable amount being estimated where such indicators exist. Where the carrying value exceeds the recoverable amount, the asset is impaired accordingly. Prior impairments are also reviewed for possible reversal at each reporting date.
For the purposes of impairment testing, when it is not possible to estimate the recoverable amount of an individual asset, an estimate is made of the recoverable amount of the cashgenerating unit to which the asset belongs. The cash-generating unit is the smallest identifiable group of assets that includes the asset and generates cash inflows that largely independent of the cash inflows from other assets or groups of assets.
For impairment testing of goodwill, the goodwill acquired in a business combination is, from the acquisition date, allocated to each of the cash-generating units that are expected to benefit from the synergies of the combination, irrespective of whether other assets or liabilities of the charity are assigned to those units.
Financial instruments
A financial asset or a financial liability is recognised only when the charity becomes a party to the contractual provisions of the instrument.
Basic financial instruments are initially recognised at the amount receivable or payable including any related transaction costs.
Current assets and current liabilities are subsequently measured at the cash or other consideration expected to be paid or received and not discounted.
Debt instruments are subsequently measured at amortised cost.
Where investments in shares are publicly traded or their fair value can otherwise be measured reliably, the investment is subsequently measured at fair value with changes in fair value recognised in income and expenditure. All other such investments are subsequently measured at cost less impairment.
Other financial instruments, including derivatives, are initially recognised at fair value, unless payment for an asset is deferred beyond normal business terms or financed at a rate of interest that is not a market rate, in which case the asset is measured at the present value of the future payments discounted at a market rate of interest for a similar debt instrument.

Financial instruments (continued)
Other financial instruments are subsequently measured at fair value, with any changes recognised in the statement of financial activities, with the exception of hedging instruments in a designated hedging relationship.
Financial assets that are measured at cost or amortised cost are reviewed for objective evidence of impairment at the end of each reporting date. If there is objective evidence of impairment, an impairment loss is recognised under the appropriate heading in the statement of financial activities in which the initial gain was recognised.
For all equity instruments regardless of significance, and other financial assets that are individually significant, these are assessed individually for impairment. Other financial assets are either assessed individually or grouped on the basis of similar credit risk characteristics.
Any reversals of impairment are recognised immediately, to the extent that the reversal does not result in a carrying amount of the financial asset that exceeds what the carrying amount would have been had the impairment not previously been recognised.
4. Limited by guarantee
Every member undertakes, if the company is dissolved while he or she is a member or within 12 months after he or she ceases to be a member, to contribute such sum (not exceeding £1) as may be deemed of him or her towards the payment of the debts and liabilities of the company incurred before he or she ceases to be a member, and of the costs, charges and expenses of winding up, and the adjustment of the rights and of the contributions among themselves.
