The Trustees, three of whom are who also Directors of the Charity for the purposes of the Companies Act 2006, present their report with the financial statements of the Charity for the year ended 31 March 2021. The Trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015). 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing Document** 

Gilgal Birmingham (Gilgal) is a Company limited by guarantee and is a registered Charity. Gilgal has been established since 1994 under a previous name of Gilgal Project. The current company was established under a Memorandum of Association which established the objects and powers of the charitable company, and it is governed by its Articles of Association incorporated on 6th June 2003, amended on 9th February 2004. In effect therefore, the organisation itself has been in existence now for 27 years. 

In the event of the company being wound up, members are required to contribute an amount not exceeding £1.00. Overall governance is the responsibility of a Management Committee which meets on a quarterly basis. 

## **Recruitment and Appointment of the Management Committee** 

The Directors of the company are also Charity Trustees for the purpose of charity law and under the Articles of Association are known as members of the Management Committee. Members are elected to serve until he/she resigns, retires or is removed in accordance with the relevant provisions of the Articles. 

Trustees and other Management Committee Members are recruited for the skills and experience they bring to the Organisation and come from the wider community. 

The Company endeavours to recruit members from an ethnically diverse population in order to reflect the community and Clients that it represents. 

## **Organisational Structure** 

Gilgal can have a Management Committee of up to 9 members which meets quarterly and is responsible for the strategic direction and policy of the Charity. At present we are actively seeking new members however, the Management Committee currently has 8 members from a variety of backgrounds relevant to the Charity. 

Our current Management Committee Members in addition to the 3 Trustees named above are: Brenda Melhado (Chair), Suzie Duncan, Tamaan Wilkinson, Sanja Kalik and Brian Adams. Our Trustee Yvette John was appointed Company Secretary at our quarterly meeting held on 19th April 2021. 

## **Induction and Training of New Trustees** 

All new Trustee Directors are required to attend an induction session to familiarise themselves with the Charity and the context in which it operates.  This covers:- 

- The Obligations of the Management Committee Members. 

- The main document which sets out the operational framework for the Charity including the Memorandum and Articles. 

- The current financial position as set out in the latest published Accounts. 

- Future plans and objectives. 

In addition, all Trustees are provided with a copy of the Charity Commission guide 'The Essential Trustee: What you need to know, what you need to do  (May 2018)'. 

Day to day responsibility for management of the refuge is delegated to the Chief Executive Officer (CEO). The CEO is responsible for ensuring that the Charity delivers the services specified, that key performance indicators are met, and provides guidance and advice to the Management Committee. 

Gilgal is a managing agent for Citizen Housing Group Ltd. Citizen provide and maintain the Refuge premises.

## **OBJECTIVES AND ACTIVITIES** 

## **Objectives and Activities** 

Gilgal is a refuge which provides safe, short-term emergency access accommodation and support to women and children from all backgrounds who are made homeless as a direct result of domestic abuse. Gilgal aims to ensure that women are re-housed in safe and appropriate accommodation, within a reasonable timescale. Gilgal aims to support women, children, and young people to rebuild their lives and gain the relevant skills build emotional resilience to live in a positive and abuse free environment. 

The work is enabled by a skilled Staff Team which now includes an Operations Manager who heads the Staff and is responsible for the day to day operation of the Refuge. The Staff work with women, children and young people at the Refuge and also provide a Floating Support Service to those women and families who have moved on into the community. 

Gilgal also recognises that children and young people affected by domestic abuse are often unseen victims/survivors of abuse and have special needs. We therefore provide a dedicated service to the children and young people in our Refuge by employing Children, Young People and Family Workers (CYP&F) (2 x job-sharing a full-time post) and one part-time Children's Sessional Worker. This ensures that wherever possible and practicable, the needs of the children are met. 

The Children's work at Gilgal has been funded by the Henry Smith Charity since 2017. We have in December 2020 successfully secured funding again, part by Henry Smith Charity for a further 3 years. This will enable us to continue to provide the very necessary services to children and young people in Refuge. This vital work is also supported by funding received from Grantham Yorke Trust and Tesco Bags of Help Covid-19 Community Grants. Our Children's Sessional Worker post which supports the work during evenings and some weekends is funded by a donation from William Cadbury Trust which ends in Sept 2021. 

## **How Our Activities Deliver Public Benefit** 

The Trustees confirm that they have complied with the duty in Section 4 of the Charities Act 2006, to have regard to the Charity Commission's general guidance on public benefit 'Charities and Public Benefit'. 

Our main activities and who we try to help are described below:- 

## **Refuge Accommodation and Support** 

Gilgal are currently in the 2nd year of a 3 year Contract with Birmingham City Council Vulnerable Adults Housing & Well-being Service. This new Contract commenced in December 2019 and although considerably less than our previous Contract, enables Gilgal to continue to provide emergency access support. 

## **Covid-19 Pandemic** 

As a result of the national lockdown during 2019, many women and children were forced to live in serious conditions, in fear of coming to harm at the hands of their perpetrator(s). Those who were fortunate enough to access Refuge accommodation were grateful to have been released from the coercive control of the perpetrator but then struggled desperately with the whole process of lockdown. Many experienced psychological deteriorations due to feeling controlled again and also experiencing isolation for another time, from extended family and friends. To help support our women through this process we set up a new project specifically addressing the impact of deteriorating mental health. 

We are very pleased to report that we were able to access funding to support this new project, in the main from HS2 to provide salary costs for Mental Health and Well-Being Workers. This role is a full-time role job-shared between 2 part time Workers supporting the women with deeper mental health issues through the use of CBT and is able to have 1-1 and group sessions with the women in Refuge. The women continue to receive support in the community for up to 12 weeks once they have moved on from our Refuge, to help maintain that new sense mental stability and strength they have developed through our Mental Health and Well-being Service. In total 23 women have benefited from the service since it began in November 2020. 

Part of the Mental Health and Well-Being Service will involve delivery of the Freedom Programme for the women. We anticipate this group being ready to commence in the next financial year.

As a result of the Covid-19 pandemic we had to adapt our services to ensure safety for our Service Users and Staff and to enable social distancing within the Refuge. We were successful in raising funds to purchase laptops and mobile phones for Staff and tablets for our Service Users. This allowed us to continue to provide our services remotely, whilst keeping everyone safe. 

Residents' House Group Meetings were able to continue especially giving updates on lockdown restrictions, addressing Service Users concerns and, gaining their views and suggestions on changes needed to maintain a Covid free environment. 

We are pleased to report that throughout the 12 months of Covid-19 we had no instances of Covid-19 within the Refuge. This has been due largely to the Staff and Service Users working together and maintaining regular lateral flow testing and, when it was available to their age group, many making the decision to receive the Covid vaccination. 

One casualty of pandemic and greatly reduced local authority funding was having to make the decision to close our Out of Hours Service. This Service ended in December 2020 with the loss of 3 experienced and longstanding Staff to redundancy.  This was a great loss to Gilgal, however, was necessary in order to maintain a refuge service for the future. 

After consultation with our Staff and Service Users around what would be a safe provision of service for the out of hours emergencies, we are pleased to report that we successfully launched our new On-Call Service on 1 January 2021. We successfully obtained funding to extend our CCTV and install a new fob door entry system for the Staff and Service Users. Since launching our On-Call Service, our Service Users have advised that they feel very safe and say that the new system has also given them increased confidence and independence in readiness for move on to independent living. 

Gilgal Staff team continue to provide support in Refuge until women move on to live free from violence and abuse. After moving on, Gilgal support women and their children for up to 12 weeks on a Floating Support basis. This helps ensure women settle into their new home and become familiar with their new community and local services. This also helps to support our women to maintain their tenancies and become a positive part of their local community. Even during the Covid-19 pandemic we have been able to maintain social distancing whilst still providing an effective service. 

During this financial year Gilgal accommodated 55 women and 24 children. Delays in moving women on from Refuge came about due to the Covid-19 pandemic and services grounding to a virtual halt due to the resulting lockdown. 

All rooms becoming available at Gilgal are cleaned and fully furnished with a single bed for mom and separate beds in family rooms for the children. Also included in each room is a wardrobe, chest of drawers, hand wash basin, a small fridge, bedding, toiletries, towels, flannels and a cuddly toy for all women and children. Cuddly toys help women and children to feel comforted after a traumatic move from family, friends and even schools/college etc., due to their experience of domestic abuse. 

During the past 12 months Gilgal accommodated women from 15 different ethnic origins, all of whom required emergency accommodation and support due to fleeing domestic abuse. 

Women came with varying degrees of support needs including some needing help rebuilding confidence and  self-esteem, help with budgeting, needing support to apply for the correct benefits, assistance making housing applications for move on accommodation, needing advocacy support, assistance with the local authority bidding process, making appeals re refusal of benefits and housing applications, needing support accessing ESOL classes for those with little or no English as their first language, support to access GP, Dental, Opticians and many accessing our new Mental Health and Well-being Service due to depression and isolation around Covid-19 pandemic and the resulting lockdowns, assistance to access Immigration Solicitors (for those women who came to us with no recourse to public funds) and the need for Family and Criminal Law Solicitors for advice around protection orders such as Non-Molestation Orders and advice around child contact. 

Some women have needed support engaging with Children's Services, signposting to other services such as drug and alcohol support, finding new Nursery/School/College placements where children and young people have been forced to move from educational establishments to remain safe from perpetrators.

## **Children and Young People Services** 

Gilgal has continued for a further year, to receive funding for our services to children and young people which has been used to cover a range of activities such as trips, new resources, age appropriate toys and equipment for use by children and young people in-house, although trips to the cinema and other soft play areas were closed due to the Covid-19 pandemic, our Children and Young People Workers were very creative in keeping the children and young people occupied with the use of tablets for online homework sessions, activities, games and even birthday parties together with gifts for all children and young people. Moms were encouraged to take the children out for a daily walk or play in the local park to help combat isolation from school friends and family. The online presence daily helped to maintain some sense of excitement and intrigue for children and young people whilst in lockdown. Online activities and one to one family sessions were enabled with the use of Microsoft Teams. 

During the coming year we plan to have 2 of our Children and Young People Workers trained in Play Therapy, which will result in a Certificate in Play Therapy. Funding has already been received for this course of study. We will also be having a Staff from our Mental Health and Well-being Service trained later in the year to deliver the Children's Freedom. We are very excited about moving towards providing a more therapeutic way of working with our children. This will support our work in building emotional resilience, confidence and addressing issues around their experiences and witness of domestic abuse. 

Our Services to children and young people and working with external agencies such as Children's Services will continue for up to 12 weeks after the families have moved on from refuge. 

## **Volunteering** 

The work of the Charity with women, children and young people is greatly enhanced by input from regular volunteers who take time out of their busy lives to volunteer their help with administration tasks and reception work. This however has greatly reduced due to having to maintain social distancing within the Refuge, as a result of Covid-19. 

It is hoped that by the end of the financial year our team of Volunteers would increase. 

## **FINANCIAL REVIEW** 

## **Reserves policy** 

## **Financial Review** 

Overall income this year is £556,283 as opposed to the previous year of £413,351. Increased grant funding has resulted in a surplus for the year of £19,338 compared to a deficit of £30,741 for the previous year. 

## **Reserves Policy** 

Gilgal have an ongoing commitment to our Service Users, Employees and Volunteers. To continue this, we need to hold reserves to cover unexpected events, unforeseen costs or shortfalls in income. These reserves are built up from general surpluses on operations and unrestricted grants and donations when available. 

## **Designated Reserves (General Service Continuity Fund)** 

The aim is to hold in reserve the equivalent of approximately six (6) months running costs to cover unforeseen withdrawal of major funding Contracts. This will ensure accommodation and services continue at Gilgal or will enable alternative provision of services. In addition, this fund would provide redundancy payments and an orderly handover of services to other providers, should the need arise. 

As at 31 March 2021 unrestricted reserves stand at £98,489 these consist of £37,710 tied in fixed assets and £60,779 free reserves. Included within free reserves is £23,607 net cash at bank. Estimated running costs to satisfy our reserves policy of 6 months would suggest reserves should be in the region of £200,000 and hence we are £139,221 short of the ideal reserves position (2020 - £127,500 short).

## **FUTURE PLANS** 

Although Gilgal has had a large reduction in local authority funding, Gilgal will continue to work to a very high  standard to provide the necessary services our Service Users need and require. We will continue to work hard to rebuild our lost revenue and have a number of outstanding applications to various Funders still pending. This is supporting the aims of our Strategic Plan, to diversify our funding streams, which will strengthen our financial position and reduce risk. 

This year we would like to thank the following Trusts, Grant Funders, and individual Donators for all their support and help towards keeping our various Services running at Gilgal. These have benefitted all our Service Users throughout this financial year, both women and children. With support and encouragement our Staff Team will continue the much-needed work both in the Refuge and in the community during the forthcoming year. 

We will continue to work in partnership with our various Stakeholders which include the National Women's Aid Federation, Refuge Line, Birmingham and Solihull Women's Aid, many other Refuges in and around Birmingham, Get Grants, West Midlands Police, West Midlands Fire Service, West Midland Ambulance Service, Children's Services in and around Birmingham, local Supermarkets, various Food Banks, Small Heath Baptist Church, Kids Out, The Buddy Bag Foundation, 4 Steps to a Smile, and individuals who regularly provide donations for the women, children and young people we serve at Gilgal who also include our local Asda at Small Heath and Tesco at Fox and Goose Fare Share donators. 

Although the Covid-19 pandemic has greatly disrupted normal life as most people know it, we still hope to remain on track with working towards the aims of our Strategic Plan for the next 3 years. It is still our plan to grow and develop the organisation by seeking new larger Refuge premises. This will be our main area of focus for this year. New premises will provide more emergency access bed spaces for women and children fleeing domestic abuse in the city, expanding the Staff Team so that we become more efficient during the business hours. 

Gilgal have a vision to launch out into the community, providing more outreach services and prevention work in the area of domestic abuse. We are continuing to look at how this may be undertaken in the future. 

Fundraising will be another key activity for the organisation throughout the year, to help rebuild our financial resources which is necessary to the safe running of the Refuge and services we provide. 

## **Birmingham Business Charter for Social Responsibility (BBC4SR) and Social Value** 

Gilgal continues to meet its responsibilities under the BBC4SR and has included activities like employing locally, buying in Birmingham first, building partnerships in the community, being a good employer, being green and sustainable and being ethical in our procurements. 

We continue to meet our responsibilities under the Social Value Act 2012 in various activities which help women receiving our support to move out into the local community more confident and motivated to making a positive contribution to their local community. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. The history of the charity is further expanded upon page 2 of this report under Governing Document. 

## **Risk management** 

Risk Management is monitored via regular Management Committee meetings. Any major risks have been identified and Policies and Procedures are in place to provide for such contingencies. A major risk has been identified as the reliance of the charity on short term funding, in particular from Supporting People, and the charity is developing a strategy of diversification to reduce this risk.

## **Independent examiner's report to the trustees of Gilgal, Birmingham ('the Company')** 

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 March 2021. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

Since your charity's gross income exceeded £250,000 your examiner must be a member of a listed body. I can confirm that I am qualified to undertake the examination because I am a registered member of FCCA which is one of the listed bodies. 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or 

4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)). 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities.

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
