Structure* governance and management
Governing document
The charitsble company is a registered charity (v￿th registratÉon number.. 11025331 and a private company limited by
guarantee (with company number. 04866257). The charitable company was estsblished under a Memorandum and
Artides which established the objeds and powers of the charitable company and is governed under its Articles of
Association. In the event of the charitable company being wound up, members are required to contribute an amount
not exceeding £1. The charity is govemed by a board of of oftru5tees who are also the directors.
Structure and management
Meetings are held on a regular basis, approximatety 6-8 times per annum when the overall management of the home
is discussed and agreed. Day to day management is undertaken by the care manager and management team.
Recrultment and appoiniment of trusteeg
New trustees are appolnted by the current trustee's board, and training will be provided where necessary.
Publlc beneflt
The home benefits the public by providing a suitable residential care hcme for the local community. We have
complied with the duty in section 17151 of the 2011 charities act to have due regard to guidance published by the
Charity commlssion {i.e. public benefit statement).

The major risk facing the charlty is If occupancy rates fall bélow an aCcepta￿e level and this ¢8 monitored at all trustee
meetings.
Similarly, the risk of infection continues and sultable infection control procedures have been Implemented, and are
followed, 8t all times.
Objeclives and actlvltles
The primary objective of the trustees is to ensure the security of the home going forward in providing a suitable
environment for the residents.
Strategic report
The followng sections for achievements and performance and finan¢tal review form the strategic report of the charity.
Achievements and perfomiance
on￿ again. the home has continued to provide a wann and secure environment for the residents. It has operated
satisfactortly during this period in an environment whi¢h has been broadly nonnal. However, the environment will
always be challenging, both from an operating standpoint of caring for vulnerable residents with the conts'nued risk of
infection. From a financial standpoint where economic constraints continue to be evident both individua51y and also for
local and national Government. That the Home has done so in such an environment is testament to the commitment
and dedi¢2tion of the hom8'S Staff and gratefiJl thanks Continue to be extended to them for their Contn'bulion
throughout this period.

Flnanclal revlew
A surplus of £131,162 was achieved whtch is a very satisfactory result and therefore considered to be another
excellent result for the year. It was achieved as a result of income increasing with occupancy being generally high
throughout the year and at higher rates than in the previoLts year, At the same time wages have increased to supwt
this level of occupancy and also maintenance of the Home in an ac￿pIable ￿ndItion has continued.
Unrestricted fvnds carried fO￿ard at the end of the year amount to £889,168 ￿lch is increased from the previous
year due to the surplus and the trustees are satisfied that these should prove adequate for ong¢Jing activities wth a
degree of Confiden￿ in the current environment.
The main funding Sour￿ is residents, income whith conlinues to support the Charity's main activity of providing a
warm and secure environment for its, residents.
Reserves pollcy
The home strtves to maintain suffiaent funds to enable SIX months running costs.
At the year end, the level of unrestrfcted reseryes represented 226 days (or 7 months) worth of annual overhead
expenditure (2024: 195 days) in line with the charity's rv8erves policy.
As at 31 March 21f25, the charity had total reserves of £899,152 which can be analysed further as follows..

Golng concern
The trustees have a reasonable expedation that the charitable company has adequate resources to continue in
operational existence for the foreseeable fjjture. For this reason, they continue to adopt the going ￿nCern basis in
preparing the financial statements.
Plans for future perlods
As noted aLN)ve the operation of the Home has operated in an environment wthich was, as far as it can ever be.
nomial. Occupancy has generally remained high this year and this helped to produ￿ the result for the year.
Once again, the Home is indebted to the loy81 arKI enthusiastic staff, ably led by the managers, for their hard work and
commitment to continue providing the residents with the wa￿n and safe environment in which they live. The Ttustses
would like to record heir gratefvl thanks to all members of stsff for their efforts. in particular Sin￿ the year end when
they had to navigate the kitthen refurbishment whilst continuing to ensure the residents received adequate
sustenance.
As stated above, the Home continues to incur substanttal amounts on maintsining it in an acceptsble state. The plans
for the fiJture are continuing to provide a suitable environment for the residents and in order to maintain financial
security. appropriate18vels of reserves will be preserved wherever possible. As noted last year, the major project is
the complete refurtjishment of the kitchen which was undertaken after the year end. The total cost of this, vthen all
ancillary items are included is is c£200,000.

Company law requires the charity trustees to prepare financial statements for each year ￿lch give a true and fair

including the income and expenditure, for that period.

requirements that are relevant to our audit of thé financi81 statem6nt8 in the UK, induding the FRC'$ Ethical Standard,
and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the
audit evidence we have obtained is suffiaent and appropriate to provide a basis for our opinion.
Conclusion8 relating to going concern
In auditing the financial statements, we have conduded that the trustees, use of the going concem basis of
accounting in the preparation of the financAal statements is appropriate.
Based on the work we have perfomed, we have not Identified any materlal uncertaint18s relating to events or
conditions that, individually or collectively, may cast significant doubt on the charity's ability to ¢ontinue as a going
concern for a period of at least ￿e1ve months from when the financial statements are authorised for issue.

4. Perfomlng audit work over the risk of management override of controls. induding testing of journal entries for
appropriateness.
Whilst consldering how our audit Wofk addressed the detection of irregularities, we also ¢onslder the likelihood of
detecti¢)n based on our approach. Irregularities from fraud are inherently more difficult to detect than those arising
from error.

Judgements and key source$ of estlmatlon uncertalnty
The preparation of the financial statements requires management to make judgements, estimates and
assumptions that affect the amounts reported. These estimates and judgements are continually reviewed and
are based on experien￿ and other factors, induding expectations of future events that are believed to be
reasonable under the circumstances.
No significant judgements have had to be made in preparing these financial ststements.
Fund accountlng
Unrestricted fvnds are available for use at the discretion ofthe trustees to further any of the eharitys purposes.
Designated funds are unrestricled funds earmarked by the trustees for particular future project or commilment.
Restricted funds are subjected to restr¢ctions on their expenditure declared by the donor or through the tems of
an appeal, and fall into one of subdasses.. restricted income fvnds or endowment funds.

Tangible assets
Tangible assets are inilially recorded at cost, and subsequently stated at cost less any accumulated
depreciation and impai￿ent losses. Any tangible assets carried at revalued amounts are recorded at the fair
value at the date of revaluation less any subsequent accumulated depreciation and subsequent ac£umulated
impainnent losses.
An inc¥ease in the ¢arying amount of an asset as a r8suIt of a revaluation. is recognised in other recognised
gains and losses, unless It reverses a charge for impaimient that has previously been recognised as
expenditure within the statement of financial activlties. A decrease in the carrying amount of an asset as a
result of revaluation, is recognised in other recognised gains and losses, ex￿pt to ￿1¢h it offsets any previous

Impalrment of fixed assets
A review for indicators of impairment is carried out at each reporting date, with the ￿COVerable amount belng
estimated where such indicators exist. Where the Carrying value ex¢eed$ the re¢overab16 amount, the asset Is
impaired a¢xordingly. Prior impaiments are also revlewed for possible reversal at each reportlng date.
For the purposes of impainnent testing, ￿en it is not possible to estimate the recoverable amount of an
individual asset, an estimate is made of the recoverable amount of the ¢ash*enerating unit to which the asset
belongs. The cash-generating unit Is the smallest identlfiable gfOUP of assets that includes the asset and
generates cash inflows that largely independent of the cash inflows from other assets or groups of assets.
For impairment testing of goodwill, the goodwill acquired in a business combination is, from the acquisition date,
allocated to each of the cash-generating units that are expected to benefit from the synergies of the
combination, irrespective of ￿ether other assets or liabilities ofthe charity are assigned to those unlts.
Stocks
Stocks are measured at th6 lower of cost and estimated selling price le$8 costs to complete and sell. Cost
indudes all costs of purchase, costs of conversion and other costs inujrred In bringlng the stock to its present
location and condition.
Governm6nt grants
Government grants are recognised at the fair value of the asset received or receivable. Grants are not
recognised until ther6 is r6asonable assuran¢e that the Charity will Comply with the conditions attaching to them
and the grants will be received.
Where the grant doès not impose specified future perfornancfrrelated cond¢tions on the recipient, it is
recognised in Income when the grant proceeds are received or r￿1vable. Where the grant does impose
specified future performance-related conditions on the recipient, it is recognis6d In income only ￿en the
perfomance-related condltions have been met. Where grants received are prior to satisfying the revenue
recognition criterla. they are re¢ognised as a liability.

The company only has basic finanaal Instruments.
Financial assets
Flnancial assets comprise items such as Cash at bank and in hand, trade and other debtors. These are initially

Included in the 8¢counts is £60,620 (2024: £106,835) in respect of repairs and maintenance payments made to
A J. Huggins. A. J. Huggins is the partner of D. Huggins who is a trustee of the charity.
J. Bates, who is a trustee of the charity, is also a govemor of Bimiingham City Unlversity. During the year,
Blrmlngham City Unlversity provided physiotherapy seNi¢es to the charity amounting to £Nil (2024: £2,520).
There were no outstanding balances due tolfrom either related paty at the end of the current or immediately
