APPOINTMENT OF DIRECTORS

Launched in April 2025, the "Empowering women through
vegetablg cultivation" project supports 40 women in growing
cherry tomatoes and chilli peppers using semi-hydroponi
methods. Two greenhoLJS85 With drip irrigation have bèan
installed, and over 900 saadlings have been plant8d.
Harvests 8XPeCted in October wi11 create sustainable income
opportunities year-round.
Th8 "Crafting fairer futurgs: Improving livelihoods of artisan$
through sustainable and aco-friendly handcraft production.
is an eco-ent8rprisè project, launched in March 2025 in
partnership with Rwenzori Sustainabl8 Trade Centre and
TEXFAD, supporting 200 artisans to produce handwov$n
products from banana libra. A production centre equippad
with libre-procèssing machines and 30 handlooms has
been establishèd, and training in sustainablè sourcing of
raw matèrials has been complet8d. Production begins in
Novèmbèr 2025.
'Sustainable coffoè futur8s.' building cllmate and valua chain
resilience" is a 12-month project fundod by ADA through
the SSNUP programrne. This initl8tivè anhances th8 climat$
rasiliance of 500 coffee lamiars In Cyato, Ftwanda. In
partnership with Troplc Coffee, this project PTtsvldès training
in sustainablè eoffao production, finan¢ial Iltaracy, and co-
operatlvo governance, and popargs larm8rs for organlc and
Fairtrade certification.
Funded by the Gu•rnsgy Ov8rs•as Ald Comrni88l¢n, tha
'Enhancing woman's IIv81ihoods by incrgaslng tha oconomic
valu* ol shaa Is a 12-month project launehad in August 2025
that èxpands a previous shea inltlatlve with COPRONOS and
PNCE-B, the local fair tracjè natwork ol But*ina Faso. The
primary aim of thSs prolact is to transition from manual to
m8chanl¢al shea butt8r production to Improve productlvlty
and In¢omè.
"Growlng fairer futures.. ampowèrlng young cocoa farmors
through beekeeping Intagratlon. was launched In S¥ptemb8r
2025. Thi5 18-m()nth projèct aims to support 150 young
cocoa farmèrs In Cbta d'lvoir8 to diversify Into beekeeping,
b¢¢stlng income and engagement wlth agriculture. The
project Is being delivered in partnarshlp with RICE and
th8 cocoa co-operativ¢ CAYAT, with funding Irom th¥
Chocolonely FoLJndatlon.
We Concludèd the following six pr()je¢ts durfng th8 year.
'Beas lor buslness Rwenzori" jointly lund6d by the Mlan and
Ngsta Ferguson Charitable Trust, a trust wishing to remaln
anonymous and also deslgnated unrestricted funds. was a
16-month initiativè that supported 141 coffee larmèrs130%
women) In w8starn Uganda to diversify into b8akgaping.
To delivèr this project, we partnered with Bukonzo Organi¢
Co-oparative Union. By the end of the project, 2,293 kg of
honey had been produced and sold, g8n8rating an income ol
25,633.
The"Soilless farming Burklna Faso" project was fundad
by the E A Foundation and supported 75 economleally
vulnerable womèn w￿h disabilities to establish a sustainable,
organi¢ veg8tabl6 production enterprise using sollless farming
techniquès. The project was deliv8rèd In partnarship with
Groupè d'Action des Femmes PQLJr la Ralance Economique
dLJ Houat, a local NGO and the PNCE-B. During the proj8ct,
the women harvested 5,171 kg of vegetables, surpassing the
Initial target 015,000 kg, and sales totalled £3,521.
'Improving livelihotsds through shea agro-procèsslng"
funded by thè Evan Cornish Foundation, was d6livered in
partnership with the PNCE-B and COPRONOS, a local shea
and nut co-operative. This 12-month project supported 40
woman in processing shea nuts into butter and builds upon
The Foundation works alongside Shared Interèst Society,
sharing a joint mission to provid8 financial seNices and
business support to mak81ivelihoods and living standards
better for péoplè as they trade their way out of poverty.
This eollabtsration aims to empower smallholdèr producers
and their communities to create sustainable livelihoods and
improve living standards through trade. It combines the
Society's roltr as a social lender, providing affordable and
ethical financial seNices, with the Foundation's broader
capacity-building and development Èfforts. Together, we
seek to bridge the gap b8tw8én Ilnance and social impact
by supporting producèr organisations, cooperatives. and
srn811 antèrprisès to become more resilient. competltivè, and
sociAlly responsible.
Through training, technical asslst8nca, and innovative
initiatives, the Foundation helps producers strengthen their
governan¢& structuras, improve product quality, divÈrsKy
incoma strèams, and build climate resilience. Our focus
rèmalns on businesses operating wlthln thè fair trade
movement, where ensuring falrnass, transparency, and
SU5tainability In trada ralationships is central to our appr08ch.
By enabllng thasa ent6rprises to thrive, wg alm to eraata a
ripplè effect of prosperity that ext8nds bayond Individual
producers to beneflt famllle$, ¢ommunitios, and future
generations.

fostering stronger, moro rosiliènt businesses that generate

Thls year, w8 undertook 15 projocts almad at Improving
th8 Ilvelihood5 of farmers and artlsans through enterprise
development, women and yOLrth ampowerment, and bullding
cllmale resiliènca. Tan projects were carrled ov¥r from last
year, and Ilva ar• new.

The "Brian legacy SEED" prol8et. launched in 2023, support$
200 female groundnut farmers In adding value lo their
produce by procasslng nuts into products such as paanut
buttar. Aftgr initlal challenges with the local dèllvèry partner,
naw project Co-ordinator restarted aetivltiès in mid-2025. The
women were organised intts thra8 co-operatives and trained
in financial literacy and group management. Processing
is expected to commèncè In January 2026, following the
Dec8mb9r harvast. Also see Risk Asse55rnent on paga 6.
The projèct 'lmproving cocoa production in C6tè d'lvolrè
through biological control ol pests and disaas•s" Is an
Innovatlve initiative being carried out in collaboratlon wKh
Fallx Houphouet-Boigny Univèrsity in Abidjan, University of
Ghana, and the Ivorian Fair Trada Natwork IR5CE). Laboratory
trials have been ¢ompl8tÈd, and field trials across four co-
operatives are Ljndèrway. Field data collection and analysi$
will be ¢¢mplatad by December, l0Slowed by product
registration and mass production.
Tha"Growing fairer futures" project IS 8 liva-year initiative
with CAYAT Co-operative that supp()rts 50 young farmers in
establishing or expanding cocoa lamis. By year four, yields
increased by 146%, dèmonstrating significant productivity
gains despite climate challenges. Farmers continue to r8cèlva
training on improv8d agronomic and farrn managemÈnt

the success of our 2023 shea processing initiatlV8. After
the first production cycle, 3,418 kg of butter was produced
and sold lor £5,335. By 8dvancing up th8 value chain, thèsè
woman have shifted from raw material suppliers to active
entreprèneurs wth greater control over their income and
decision-making.
"Bees lor business Kabwohe". a 16-month project, fundéd by
thè Fitzer Lacy Trust, concluded in Junè 2025 and supportèd
210 coffèè farmers146% women) in western Uganda. We
partnered with Banyankole Coffèe Services IBCSI to deliver
the project whlch enabled the women to diversify Into
baekeeping, creating a secondary source of incomè. A honey
procèsslng shop was Also established, and following the flrst
haNest. 2,018 kg ol honey was produced and sold for £8,704.
"rechnical assistan¢g, increasing thè profitability and
sustainability ol producor groups" was fiJnd8d from our
deslgnated unrestrictèd funds and support&d 21 Shar8d
Interest Socl8ty customers a¢ross Africa and Latln Amerlca
to build thair governance and financial managemant
capacity. This 12-month project dèlivered in partnarshlp with
COLEAD and Peruvian consultant Josa Femando Reyas saw
organlsatlons strengthèn Internal syslams, Improve gendèr
equality and governance structures.

daslgnaled unrestricted func15 and d8livar$d In partnershlp
with ParLJvian coffee co-operallve CACVI. this one-year
project Increased the incoma 0158 young coff8• farmers by
processing waste pulp into markatable products, ganoralin
£11.297 from 6,000 kg ol pulp. Thè Inltlallv8 improvad

lostarlng Innovatlon among youth.
Thls year, we algo lorrnally closed our'Strength•nlng the
resllience of coffe¥ lamers through income dlversilleatlon"
proja¢t In Uganda. An Impact ass6ssmènt ¢onducted aftèr
four yaars l(>und that 94% ¢f farmers reportad an overall
Increasg In housohold Incom•. With the additional in¢orn8
used to pay school fees, purchasg household food and make
household improvam*nls.
In 2026, our work wlll eontlnue to focus on our three koy
th8malle araas. We havo sacured restrlcted funding to
irnplement two projects in Wast Africa to empowar women
economically. Additionally, we havo £300k ol deslgnatod
unrestricted funds to deliver four furthgr projects across Cole
d'lvolrè. Perv, Rwanda, and Uganda. Thesè initiatives w511
strengthgn tho climate raslliènce of coffee and ¢ocoa farmers
through Innovatl¢ns in biolertlllsor, tailored training. and value
addition.
UNRESTRICTED INCOME FUNDS
Unr8Stri¢ted incomè for th8 year was £508k, compared to
£350k in the previous year, bLJt £125k higher than our budget
lor the year. Much of this funding is provided by donations
and legacies from members ol the Shared Interest Socièty.
for which the Trustaas are very grateful. A nurnber of the
sums donated again camè from accounts where we are
aware, sadly, that the membèr of Shared Interest Society has
died. We would Ilke to extend our (J88pe5t sympathy tts the
families in question and assure you that we will seek to do
th6 very best to honour ygur relative by putting their generou$
donatlon to good use in tha Foundation.
The Foundation continues to hold a number of legacy
nominations from th8 m8mbers of the So¢lety and the
Trustoes of the Foundatlon arg thankful to Society rnembers
who hav8 Indicated that they Intend to support tha ¢harity by
leaving a lègacy in this mannèr.

Durlng tha yèar, the Trustees bacame aware ol an Incidtrnt In
relation to the Brlan's Legacy Saad Projoct followlng a project
monitoring vlslt in Novèmber 2024. During the visit the
Foundation identified suspected fraud and thè èmbezzlement
of prolact funds by a senlor official at the delivery partner. The
project was Immediately pausgd to prevent further losses.
The matter was formally reported as a Serious Incident to th$
Charities comm￿sSIon who Subsequently ¢onfirmed that, duè
to thè Trustees, handllng of the incident and management
of rlsks, they would not be taking action. We subsèquently
appointed1•gal counsel in Uganda to initiate judicial
intetvention and PLJrsue the recovery ol assets and funds.
While legal proceedlngs are ongoing, a nèw project rnanagar
has been appointed to ansure the continuation of the
intendgd project activities and dalNery with th8 bandiciary
groups.
An independent revlew ol our due diligèncé and operational
control procedures was undèrtaken by a specialist ¢on5ultant,
strengthaning the robustness Of our project d&vèlopmgnt,
managemant, and evaluation lilecycle.
LIVELIHOOD SECURITY FUND
The Llvèlihood Security Fund was relaunchèd in 2020 to
ralse restricted lunds to halp producers in Alrfea and Latin
America who arè severely Impacted by events outside of their
eontrol. A restrlctad fund sum of £7,80612024.' £7,806) and a
dèsignated fund sum 01212,11212024.. Q12,1121 was hald in
thls fund at the financial y8ar-end. Thls fund Is held ready to
deploy in appropriate emerg8n¢les and with no claims on it in
the past year, has not changad in value.
RESTRICTED INCOME FUNDS
We acknowlèdge the recelpt of restricted funds totalling
£175k12024'. £172kl in our flnan¢ial statements and details
are provided at not9s 2 and 3. Wa are grateful to all thé
donors who hav8 SUPPOrted our work in the past year.

RESERVES AND GOING CONCERN
STATUS
in the United Kingdom governing the preparatlon and
dissemination ol financial statements may differ from
lagislation in other jurisdictions.
The Trustees have agreed that th8 rÈsèNès pollcy should
be to keep, normally, th8 8quivalent ol three to six months
unrestrictad axpènditurè as free reserves to cover periods
of unèven income or unexpected income shortfa115. Tha
balance on the Unrestricted incom8 fund at the year-end,
net of amounts designated for speeilic projects, represents
about 24 months ol forècast unrestricted expenditure, which
is appropriate in the current very challenging operational
and funding environment. In order t(> comply with thè new
Charity SOFIP which takgs effÈet aftar this accounting period,
the Trustegs are revislng the reserves policy and this will be
implamèntad from 1 October 2025 onwards.
8ased on the financial position at tho 30th Soptembar and the
Business Plan for the 2025126 yÈar and bayond, th8 Trustees
believe that Shared Intergst Foundation is a going concern
and these linanclal statamonts have been prepared on that
basls.
STATEMENT OF DISCLOSURE OF
INFORMATION TO THE AUDITORS
The Trustees who were in offlce on the date of approval ol
these financial statèmènts have confirmed, a5 far as thay are
aware, that th8r6 is no relevant audit inforTnation of which the
auditors are unaware. Each of the Trustè6s have confirmed
that they have taken all th8 Stèps that they ought to have
taken as Trustees in ordar to make themselves awarè ol any
relevant audit information and to establish that it has been
comrnunicated to the auditors.
INDEPENDENT AUDITORS
The charity only has on8 member, Shared Interest Soclaty,
and there is a high degrae of overlap between thè Boards
ol tr)oth organlsations. The charity does not thèrefore hold
an Annual General Megting but the Board of the Society wlll
ra-appoint Armstrong Watson as auditors for the year whlch
began on 1 October 2025.

1. SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES

The financial statements have been prepared in accordance
with Accounting and Fleporting by Charitias.. Statement of
Recommended Practice applicable to charities preparing
their financial statèmants in accordance with the Financial
R8POrting Standard applicable in the UK and Hepubllc of
Ireland IFRS 1021 leffective 1 January 20151- (Charities SORP
IFRS 10211, the Financial R8POrting Standard applicable in
the UK and Republlc of Ireland IFRS 1021 and the Cornpanies
Act 2006. Thè financial statements are prepargd in 5t8rfing
which is the functional currency of the charity and rounded
to the nearest £1. The financial statamènts are prepared on a
going concern basis as tha charlty has sufficient funding and
activity to takè It through 2026.
Sharèd Intèrast Foundation meets the definrtion ol a publlc
bènefit entlty und8r FRS 102. Assets and liabllltlas arè initially
recognised at historical cost or transaetlon value unless
otherwlse stated in thè rèlevant accountlng pollcy.

The company is limited by guarante• and has no share
capital. In the event of a winding up •vary mamber

Rostricted funds are funds which ar$ to ba usèd In

ara chargad against the specific fund. The alm ancs use 01

11.41 Income
Charitable expenditure includes those Costs incurred by the
Charity in the delivery of its activities and services for its
beneficiaries. It ificludès costs that can be allocated dir6CtIy
to such activitlès and those costs of an indirèct nature
nocessary to support them.
Governance Costs includè those costs associated with
meeting th9 constitutional and statutory requirèments ol th8
Charity and include the audit fees and costs linked to the
strateglc management of th8 Charlty.
(1.6) Interest receivable
Interest on funds h81d on deposit is included when racalvablo
and the arnount ean b6 measured reliably by the company.,
this is n()mally upon notification of th8 intèrèst paid or
payablè by the bank.
