Suitable personnel are identified by the existing trustees on the basis of their skills and knowledge and invited to become trustees. Newly appointed trustees are provided with copies of the charity’s accounts and memorandum and articles of association prior to appointment. Guidance on the charity’s ethos and activities is provided by the Chairman and Festival Artistic Director.
The following trustees retire by rotation at the next annual general meeting and offer themselves for re-election:A Howells; Ms A Renshaw; A Lancaster and Mrs H A Frank. In addition RJA Robinson has indicated his intention to retire at this meeting.

The Festival Executive Committee which includes the Chairman, Vice-Chairman, Treasurer and Festival Director liaise on a regular basis in order to make key decisions relating to Festival events.
As a result of the Covid-19 pandemic, face to face meetings had been temporarily suspended and when communication was required, this was undertaken via video conferencing. As a matter of convenience for board members a number of meetings are still held in this way,

The Trustees present their annual report which includes the Directors Report for Companies Act purposes and financial statements for the year ended 30 June 2024.
Legal and administrative information set out on pages 1 and 2 forms part of this report.
The trustees have adopted the provisions of the Charities SORP (FRS102) ‘Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102).
## **Objects and principal activity of the charity**
The Trustees have complied with the duty in Section 17 (5) of the Charities Act 2011 and have had due regard to public benefit guidance published by the Charity Commission in setting the activities required to meet its objects.
The charity’s objects are to advance, promote, develop and maintain public education in male voice choral singing.
The principal activity of the charity during the year was to finalise the planning for the eleventh International Male Choral Festival which took place on 2 May – 6 May 2024. This involved investigating and securing venues, recruiting choirs and adjudicators and receiving entries for the 2024 International Composers competition which was judged in 2023 and some of the winning entries were performed during the 2024 Festival.
In addition the Charity has continued to support the establishment of young male choirs in the county at primary and secondary ages.

## **Chairman’s Report 2024**
The eleventh Cornwall International Male Choral Festival (CIMCF) was held over the period 2[nd] – 6[th] May 2024 and when considering that we are still very much in the recovery period from the backdrop of the global covid pandemic and bearing in mind how the current cost of living crisis severely restricted the commitment of Overseas and UK choirs due to the cost of travel, hotel accommodation etc., the Festival proved once again to be a major event and was a great success with a total of 49 choirs with in excess of fifteen hundred singers taking part! The choirs were involved in forty events at thirty locations throughout Cornwall and reflecting the true “Cornwall International” spirit, success and reputation of the Festival, we welcomed thirty choirs from across Cornwall, fifteen choirs from across the United Kingdom and four choirs from around the world.
In addition to the fifteen Regional Concerts that took place across the county, there was a lunchtime concert held at Truro Cathedral, plus there was also daytime singing taking place from some of our most well-known and iconic attractions including St Michaels’ Mount, Pendennis Castle, Princess Pavilion, Killacourt and Trebah Gardens. There were two International Gala Concerts – our opening Gala Concert held in Truro Cathedral, who also very kindly hosted for us on the Saturday of the Festival the Adult Category I and Category II Competitions along with the Youth Celebration Event with awards for these along with the Composers Competition Presentation and Performance of Winning Pieces all taking part on the Saturday – a very busy and successful day! On the last evening of the Festival our Finale: the International Gala Concert was held at the Hall for Cornwall and was another successful concert that celebrated the music of Goff Richards through Voice and Brass. Finally, the Educational Outreach programme once again used neutral locations throughout the county and with the great support of the Cornwall Music Service Trust (CMST) was extremely successful engaging over 500 children, all helping to promote our policy of encouraging younger male voices to sing.
We were once again very fortunate to have the support of our major sponsors as well as support from a number of other very kind sponsors, along with our generous Patrons and programme advertisers. In addition, we would also wish to acknowledge the continuing support of a large number of Town Councils and in particular pay a very special thanks to Cornwall Council and BBC Radio Cornwall for their excellent continued support. We are also very grateful for the contribution made to the Festival by Claire Churcher, the Artistic Director’s assistant who has worked tirelessly on the administration for many years now to make the Festival a success.
On behalf of the Board, I would like to acknowledge the absolutely marvellous support that is continually received from the Cornish Choirs, for without their major contribution along with providing a host of volunteers, the Festival would most certainly not be possible. Also on behalf of the Board our sincerest thanks must be given to our President – Colonel Sir Edward Bolitho, Lord Lieutenant of Cornwall and to our Vice Presidents:- Michael Galsworthy, David Peters, Ellen Winser and Peter Davies all of whom are extremely supportive. In February 2024 we received the very sad news that one of our Vice Presidents Dr Roy Wales had passed away. Roy was the founder of the Cornwall International Male Choral Festival back in 2003 and was its first Director – what a great legacy he created, one which we are determined to keep going!
The Board along with my personal wish is to also record our sincere appreciation for all the hard work and dedication of our Festival Artistic Director, Gareth Churcher - this was Gareth’s third Festival as Artistic Director and as with the first two, he embraced it with great enthusiasm and commitment! I would also like to record my personal thanks to the Board members and other members of the Company for the tremendous amount of dedication and hard work that they all put into each and every Festival to make it the incredible “event” that it has now become.

## **Chairman’s Report 2024 continued**
I am able to report that the 2024 Festival was indeed a choral and operational success and thanks to an incredibly generous benefaction made by our Festival Artistic Director was also one that will see us take forward a budget surplus to our next Festival. I can say our next Festival, as following a 2024 Festival review meeting where all factors were taken into consideration, I am delighted to be able to confirm that the Board has made the unanimous decision to hold the 12[th] Cornwall International Male Choir Festival in 2026. It also gives me great pleasure to confirm that Gareth Churcher has agreed to continue as our Festival Artistic Director and we genuinely thank him for the superb contribution that he has made and we remain excited about the future of the Festival under his Artistic Directorship.
In conclusion, it is once again a massive thank you from me to “one and all” for helping create, support and to grow “The Worlds’ Largest Male Choral Festival”… something of which we should all be so proud and we now look forward to our 12[th] Festival in 2026.

## **Trustees’ report**

## **Festival Artistic Director's Report 2024**
There were two main objectives for the 2024 Cornwall International Festival, to programme a cultural and musical festival that choirs and the general public have been accustomed to over the many years and in doing so making sure that the festival was financially successful so that it could provide the basis for future festivals. Both these objectives were achieved.
Although numbers were down on previous festivals in regard to choir attendance, this hampered by last minute withdrawals from multiple UK and International choirs, each event still had an International, UK and Cornish choir at the majority of performances. The use of the Cathedral and Hall for Cornwall offered two prestigious venues for some of the larger events and thanks to the community rate offered by the Hall for Cornwall the closing international gala concert was a financial success as well as a celebration of Cornish music that featured the late composer Goff Richards.
We welcomed mixed youth choirs, monetised the live streams and crowd sourced the overall international composers competition winner that demonstrated further innovation in 2024. The use of different categories, as opposed to numbers of choristers in choirs, attracted new competing choirs in a format that saw choirs competing alongside others of a similar standard.
Marketing and ticket sales at all events is still something that requires attention and this along with many other recommendations are included in the post festival evaluation report which has been presented to the Festival Board. The support mechanism offered from Melody Music through Mark Burrows is extremely valuable and should remain in place for the 2026 CIMCF. There are a reduction in affordable hotels presently and this may create challenges for visiting choirs at future festivals thus a condensed version of the event for 2026 may be wise.
As always it never ceases to amaze how the Cornish choir community comes together to support this event and welcome visitors with such enthusiasm. Thank you to all the Cornish choirs, their musical directors, committee members and supporters for this wonderful support and hospitality offered. My sincere thanks go to the CIMCF Board and Executive who offer their time voluntarily who form the fabric of this amazing group of people who do so much to promote and present one of the most important cultural events in Cornwall.

## **Trustees’ report**

## **Review of Financial Position**
The income and expenses for the year are disclosed on page 10. The Charity achieved a surplus of £20,725 during the year on its unrestricted activities. The trustees received support from patrons, sponsors, grant providers and local authorities for the event in 2024 which along with income from ticket and programme sales, entry fees and commissions received, covered the costs of holding the Festival. Unrestricted Reserves of £34,597 remain at 30 June 2024 which has supported the decision of the trustees to organise a festival in 2026.
## **Investment Policy**
The charity’s investment powers are set out in its Memorandum and Articles. The Trustees consider the day to day cash flow requirements of the charity are such that surplus funds need to be held on a short, rather than a long term basis. Cash funds are monitored on a regular basis and where possible are invested on short term deposit.
## **Reserves Policy**
The Trustees aim is to create sufficient reserves to ensure the charity’s long term viability and in particular to support the holding of further male choral festivals. The Unrestricted Reserves stood at £34,597 at 30 June 2024.
Whilst the trustees would like to increase reserve levels in future to about £50,000 following the end of a festival they are happy that with careful budgeting and extensive fundraising that a 2026 festival can go ahead.
## **Risk Management**
The Trustees have assessed the major risks which they have identified and to which the charity is exposed and are satisfied that systems are in place to mitigate the charity’s exposure. The major risks relate to:-
- a) financial viability which the trustees have adopted a reserves policy to address and b) event risk for which insurance cover is held
A detailed risk assessment will be undertaken in advance of each future event.
## **Tax Status**
The company being a registered charity is exempt from corporation tax on its investment and other non-trading income.
## **Future Plans**
Following their review of the activities and finances of the 2024 festival the trustees have made the decision to hold another festival in 2026 together with a composer’s competition.

## **STATEMENT OF TRUSTEES RESPONSIBILITIES**
The trustees (who are also the directors of Cornwall International Male Choral Festival for the purposes of company law) are responsible for preparing the Report of the Trustees and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure of the charitable company for that period. In preparing those financial statements, the trustees are required to
- select suitable accounting policies and then apply them consistently;
- observe the methods and principles in the Charity SORP;
- make judgements and estimates that are reasonable and prudent;
- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in business.
The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charitable company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. This report has been prepared in accordance with the provisions of Part 15 of the Companies Act 2006 relating to small companies.

## **Independent examiner's report to the trustees of Cornwall International Male Choral Festival Ltd ('the Company')**
I report to the charity trustees on my examination of the accounts of the Company for the year ended 30th June 2024.
## **Responsibilities and basis of report**
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.
## **Independent examiner's statement**
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:
1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or
2. the accounts do not accord with those records; or
3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or
4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached

Statement by the directors :
The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 30 June 2024.
The members have not required the charitable company to obtain an audit of its financial statements for the year ended 30 June 2024 in accordance with Section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for:
- (a) ensuring that the charitable company keeps accounting records which comply with sections 386 and 387 of the Companies Act 2006 and

## 1. **Constitution**
The company was incorporated in England under the Companies Act 2006 as a private company Limited by Guarantee and not having a share capital. In the event of winding up, every member of the company is liable to contribute a sum not exceeding £10 per member towards the debts and liabilities of the charity and the costs and expenses of winding up. The company number and registered office address can be found within the Report of the Trustees. The financial statements cover an individual entity.
## 2. **Accounting policies**
## _**Basis of preparing the financial statements**_
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP ‘Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (effective 1 January 2019)’, and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. The financial statements are presented in sterling, which is the functional currency of the charity. Monetary amounts in the financial statements are rounded to the nearest pound sterling.
## _**Donations**_
Income from donations is credited to the statement of financial activities when it is receivable.
## _**Grants**_
Grant income is recognised when the charity is entitled to the income and receipt is probable.
## _**Resources expended**_
Resources expended are included in the statement of financial activities on an accruals basis.
## **Unrestricted funds**
These are monies received by the charity which can be used by the trustees without restriction to meet the charity’s objects.
## **Restricted funds**
These are monies received by the charity for a specific purpose imposed by the donor.

## **Going Concern**
The board has considered a period of twelve months from the date of approval of the financial statements and the board has a reasonable expectation that the charitable company has adequate resources to continue in operational existence for the foreseeable future. There are no material uncertainties that may cast a significant doubt over the charitable company's ability to continue.
