Organisation structure:
The Trustees are responsible for the management and control of the charity and receive regular reports from the Festival Artistic Director
The Festival Executive Committee which includes the Chairman, Vice-Chairman, Treasurer and Festival Director liaise on a regular basis in order to make key decisions relating to Festival events.
As a result of the Covid-19 pandemic, face to face meetings had been temporarily suspended and when communication was required, this was undertaken via video conferencing. Regular meetings have resumed in 2022.

The Trustees present their annual report which includes the Directors Report for Companies Act purposes and financial statements for the year ended 30 June 2022.
Legal and administrative information set out on pages 1 and 2 forms part of this report. The trustees have adopted the provisions of the Charities SORP (FRS102) ‘Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102).
Objects and principal activity of the charity
The Trustees have complied with the duty in Section 17 (5) of the Charities Act 2011 and have had due regard to public benefit guidance published by the Charity Commission in setting the activities required to meet its objects
The charity's objects are to advance, promote, develop and maintain public education in male voice choral singing.
The principal activity of the charity during the year was to finalise the planning for the tenth International Male Choral Festiva! which was took place 28 April - 2 May 2022. Due to the covid pandemic it needed to be postponed from April 2021. This has involved investigating and securing venues, recruiting choirs and adjudicators and receiving entries for the 2021 International Composers competition which was judged later in the year and some of the winning entries were performed during the 2022 Festival.
In addition the Charity has continued to support the establishment of young male choirs in the county at primary and secondary ages. After the setting up of a separate new company called Vocalising CIC to support male youth choirs in the country this charity was able to pass over the restricted funds being held of £10,768 which principally comprised a legacy from former board member Denis Arbon

Chairman’s Report 2022
The tenth Cornwall Intemational Male Choral Festival (CIMCF) was held over the period 28" April — 2"? May 2022, once again it was a major event and considering that we were still very much in the recovery period from the global covid pandemic was a great success with a total of fifty three choirs and in excess of fifteen hundred singers taking part! The choirs were involved in forty events at thirty locations throughout Cornwall and reflecting the true “Cornwall International” spirit, success and reputation of the Festival, we welcomed twenty seven choirs from across Comwall, twenty one choirs from across the United Kingdom and five choirs from around the world, including Canada, Germany, Switzerland & Iceland.
In addition to the sixteen Regional Concerts that took place across the county, there were lunchtime concerts in Truro at the St Clement Church and the Cathedral, plus there was also daytime singing taking place from some of our most well-known and iconic attractions including St Michaels’ Mount, the Minack, Tate St lves, Pendennis Castle, Princess Pavilion and Trebah Gardens. For this Festival we replaced the Symposium with the Voces8 workshop which was engaging and practical and had in excess of 150 delegates. There were two International Gala Concerts at the newly refurbished Hall for Cornwall plus a further Gala Concert held in Truro Cathedral, who also very kindly hosted for us the Adult Competitions on the Saturday plus the International Youth Gala Concert and Competition on the Sunday. Finally, the Educational Outreach programme used neutral locations throughout the county and with the support of the Cornwall Music Service Trust (CMST) was extremely successful engaging over 500 children, all helping to promote our policy of encouraging younger male voices to sing.
Financially we were fortunate to have gained a significant Arts Council Grant which most certainly gave us financial stability through a very challenging period. We were once again very fortunate to have the support of our major sponsors as well as support from a number of other very kind sponsors, along with our generous Patrons and programme advertisers. In addition, we would also wish to acknowledge the continuing support of a large number of Town Councils and in particular pay a very special thanks to Cornwall Council and BBC Radio Cornwall for their excellent continued support. We are also grateful for the contribution of Swen Keary and his team for all their support with our virtual Composers Competition.
On behalf of the Board, | would like to acknowledge the absolutely marvellous support that is continually received from the Cornish Choirs, for without their major contribution and a host of volunteers, the Festival would most certainly not be possible. Also on behalf of the Board our sincerest thanks must be given to our President — Colonel Edward Bolitho, Lord Lieutenant of Cornwall and to our Vice Presidents:- Michael Galsworthy, Dr. Roy Wales, David Peters, Ellen Winser and Peter Davies all of whom are extremely supportive. The Board along with my personal wish is also to record our sincere appreciation for all the hard work and dedication of our Festival Artistic Director, Gareth Churcher - this was Gareth’s second Festival as Artistic Director and as with the first one, he embraced it with great enthusiasm and commitment! | would also like to record my personal thanks to the Board and other members of the Company for the tremendous amount of dedication and hard work that they put into each and every Festival to make it the incredible “event” that it has now become.
| am able to report that the 2022 Festival was indeed a choral and operational success but unfortunately ran over its financial budget mainly due to increased costs and in particular due to a significant decrease in ticket sales, which we feel without doubt wasa factor of covid. Although there are reserves in place, there has to be a cautionary note that very careful consideration and budget management will need to be observed going forward.

Following a 2022 Festival review meeting where all factors were taken into consideration, | am delighted to be able to confirm that the Board has made the unanimous decision to hold the 11" Cornwall International Male Choir Festival in 2024 (2°¢ — 6" May), | can also confirm that Gareth Churcher will continue to be our Festival Artistic Director and we genuinely thank him for the superb contribution that he has made and we remain excited about the future of the Festival under his Artistic Directorship.
So once again, thank you “one and all” for helping create, support and to grow “The Worlds’ Largest Male Choral Festival"... something of which we should all be so proud and we now look forward to our 11" Festival in 2024.

Festival Artistic Director's Report 2022
The 2022 Cornwall International Male Choral Festival, the tenth festival, was always going to be a challenge. In fact the 2019 CIMCF had its challenges with the closure of Hall for Cormwall which saw the venue and the box office functionality removed. However with every challenge there always appears to be a balancing opportunity. In the below brief report | will outline how in reality the 2022 CIMCF was a huge success after the substantial amount of challenges presented and how it also embraced new opportunities.
The beginning of 2022 saw the UK and many parts of the rest of the world emerging from the COVID-19 pandemic. One of the elements of society during the pandemic that was really hard hit was singing. The science showed how the act of singing could quite rapidly spread the virus and there had been reports that choir rehearsals that went ahead in the early times of the pandemic caused many of the choristers in these rehearsals to fall seriously ill and sometimes worse. Due to this and quite responsibly so many choirs did not return to rehearsals at the earliest until late 2021. Therefore recruitment of local, national and international choirs was going to be the biggest challenge for the 2022 CIMCF.
Key strategic decisions were made to ensure the 2022 festival progressed as planned. These were many but included deferring registration dates for potential participating choirs. This had a huge knock on effect because all the planning post registrations had to be concertinaed into a much smaller time frame. Sadly some Cornish choirs were unable to support the festival in 2022 due to adverse effects of the pandemic. This in turn meant that two of the normal venues where regional concerts would normally happen had to be removed from the programme. The impact of COVID was also still very apparent with some Cornish and visiting choirs having to withdraw as late as a week before the festival.
All of the above meant the obligation to plan and programmea visiting International, UK and Cornish choir at every event was extremely difficult but was successfully implemented albeit that this had a knock on financial impact for the festival.
It was comforting to have the Hall for Cornwall (HfC) back as a venue and box office facilitator. To try and draw an audience suitable to the size and grandeur of the HfC headline acts were booked and programmed. There have been many lessons leamt collaboratively with CIMCF and HfC that will inform a few key decisions for the 2024 festival.
“Adapt and overcome” was certainly a phrase that was relevant to the 2022 CIMCF and again innovations through the 2022 event will pay forward informed small modifications to the 2024 festival. CIMCF is a huge collaboration which is represented in the coming together of choristers and choirs from all over the world down to the nitty gritty of organisation and the team effort it requires to put on such an excellent festival. CIMCF remains a key event that raises aspirations for choristers and choirs alike. We have to be aware that our support network of Cornish choirs is not as affluent as it was 10 years ago and with other key partners, stakeholders and organisations there is work to be done to reinvigorate this important cultural movement. This for many reasons but also so that CIMCF can enjoy many future festivals through the support of Cornwall's Male Voice Choir movement.

Review of Financial Position
The income and expenses for the year are disclosed on page 10. The Charity achieved a surplus of £1,173 during the year on its unrestricted activities. The trustees were able to secure the second tranche of a grant from the Arts Council Culture Recovery Fund which together with generous support from our patrons, sponsors and local authorities enabled the charity to return to holding a live event in 2022. Unrestricted Reserves of £25,154 remain at 30 June 2022 which will aid the trustees in organising future events and a further festival in 2024
Investment policy
The charity's investment powers are set out in its Memorandum and Articles. The Trustees consider the day to day cash flow requirements of the charity are such that surplus funds need to be held on a short, rather than a long term basis. Cash funds are monitored on a regular basis and where possible are invested on short term deposit although current low interest rates provided little opportunity to do this.
Reserves Policy
The Trustees aim is to create sufficient reserves to ensure the charity’s long term viability and in particular to supportthe holding of further male choral festivals. The Unrestricted Reserves stood at £25,154 at 30 June 2022.
Whilst the trustees would like to increase reserve levels in future to about £50,000 following the end of a festival they are happy that with careful budgeting and extensive fundraising that the 2024 festival can go ahead.
Risk Management
The Trustees have assessed the major risks which they have identified and to which the charity is exposed and are satisfied that systems are in place to mitigate the charity's exposure. The major risks relate to:-

a) financial viability which the trustees have adopted a reserves policy to address and b) event risk for which insurance cover is held
-
c) the covid pandemic which resulted in the postponement of the 2021 live Festival to 2022
-
A detailed risk assessment will be undertaken in advance of each future event.
Tax Status
The company being a registered charity is exempt from corporation tax on its investment and other non-trading income.
Future Plans
Following their review of the activities and finances of the 202 festival the trustees were able to make the decision to hold another festival in 2024 together with a composers competition in 2023.

STATEMENT OF TRUSTEES RESPONSIBILITIES
The trustees (who are also the directors of Cornwall International Male Choral Festival for the purposes of company faw) are responsible for preparing the Report of the Trustees and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure of the charitable company for that period. In preparing those financial statements, the trustees are required to

select suitable accounting policies and then apply them consistently;

- observe the methods and principles in the Charity SORP; - make judgements and estimates that are reasonable and prudent; - prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in business.
The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charitable company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. This report has been prepared in accordance with the provisions of Part 15 of the Companies Act 2006 relating to small companies.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 30 June 2022.
The members have not required the charitable company to obtain an audit of its financial statements for the year ended 30 June 2022 in accordance with Section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for:

(a) ensuring that the charitable company keeps accounting records which comply with sections 386 and 387 of the Companies Act 2006 and

(b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its profit or loss for each financial year in accordance with the requirements of sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company.

1. Constitution
The company was incorporated in England under the Companies Act 2006 as a private company Limited by Guarantee and not having a share capital. In the event of winding up, every member of the company is liable to contribute a sum not exceeding £10 per member towards the debts and liabilities of the charity and the costs and expenses of winding up. The company number and registered office address can be found within the Report of the Trustees. The financial statements cover an individual entity.
2. Accounting policies
Basis of preparing the financial statements The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP ‘Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (effective 1 January 2019)’, and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. The financial statements are presented in sterling, which is the functional currency of the charity. Monetary amounts in the financial statements are rounded to the nearest pound sterling.
Donations
Income from donations is credited to the statement of financial activities when it is receivable.
Grants
Grant income is recognised when the charity is entitled to the income and receipt is probable.
Resources expended
Resources expended are included in the statement of financial activities on an accruals basis.
Unrestricted funds
These are monies received by the charity which can be used by the trustees without restriction to meet the charity's objects.

The board has considered a period of twelve months from the date of approval of the financial statements and the board has a reasonable expectation that the charitable company has adequate resources to continue in operational existence for the foreseeable future.
