Th8 Trustees present their annual report together with the financral statements of the company for the 1
January 2025 to 31 D￿ember 2025. The trustees confinn that the Annual Report and financial statements of
the company cornply ￿llih the current slalutory requirements, the requirements of the companVs governing
document and Ihe provisions of the Statement of Recommended Practice ISORP}, applicable to charrties
preparing their accounts in accordance wf(h Financial Reportlng Standard applicable in the UK and Republic
of Ireland IFRS1021 {effective 1 January 20151 as amended by Update Bulletin 1 leffective 1 January 20151.
Since the company qualrfies as small under section 383, the strategic report required of medium and large
companies under Tho Companies Act 20CE (Strategic Report and Directovs Rèport) Regulations 2013 is not
required.
0￿ECTIVEs AND ACTIVITIES
Objectlves and actlvStles
The objects for which the charity was established are lo 'promote, maintain, improve and thance the
education of the public in the art and science of music by the presentation of public concerts and rocitds.,
The Tetbury Music Festival of 2025 consisted of concerts over fivo days, 27th September and 2nd- 5th
October 2025, fuwilling the charills objectives as detailed above.
Publlc benefit
The Trustees are awara of The Charity Commisston's Public Benefit rules and ks guidelines 88 to
inlerprelation of the relevant section of the Charities Act 2011. They are salisffed that the objects of the
Charity and the actimlies of the Charity are wthin the definf(ions of Charitable Purposes as set down in the
Act. The Trustees are not aware of any public delrimenl caused by the Chariws objecls or xtiviti&s, and nor
are they aware of anyon8 recewing any fom of private benefrt from the Charty's activities.
VolunteeTr3
The Festival continues lo be the grgleful beneficiary of the pro bono work of its Trustees and supporters.
ACHIEVEMENTS AND PERFORMANCE
Review of activities
We again presented programmes and perfomiers of the highest artistic standards, and the Fesliwal's
reputation for excellence has continued lo grow. We continued to keep ticket Pri￿$ 88 low as possible {from
£10 to £40), keeping the prices acioss all categories of seals the same as in 2024. Once again we offered
free access lo children behveen 8 and 16 when accompanied by an adult. We remain proud that a significant
portion of OUT audiencg comes from within a radius of 20 miles of Tetbury, but our audience also consists of
music lovers from much further afield.
Folk)wing the succèss of the Saturday pr￿Oncert lecture slot in prevKJus ygars, we repeatgd this fom)ula this
year with a relevant lecture on the aftemoons of of the concerts, in each case from the highly
distinguished Sir Nicholas Kenyon. Both wer8 held at the nearby Tetbury Go(Kls Shed Arts Centr8 and the
feedback was uplffting.
We are most grateful lo the Rev Sarah Ha￿ard and the Telbury PCC for allowng us to use St Marys, Church
for our concorts, for which privilege the Festival pays a chaige.
FINANCIAL REVIEW
Principal funding $our¢es
The Fr￿ndS of the Telbury Music Festival - the 'Dolphins' _ are coliectively and individually very important
donors and supporters. Their numbers, and thus their financial support, continues to grow each year with the
number of subscribing Dolphin8 hawng reached a record 217 in 2025 lup from 200 in 20241. Sir Martin and
Lady Smrth in particular continue lo contribute in a meaningful way by making their home available lo the
Fests'val when such a venue is needed and their accompanwng hospitalty ig undoubtedly lo the bènefrt of the
charity and its objecltves.

ReseNes pollcy
Taking into consideration the uncertainty of what may happen at any given time Icowd and the challenges of
operating then th8 country is in lockdown being the most recent example to cf(el. the ever rising cost of fiving
and a goneral sense amongst many that they have less disposable income than they once did, the Fe8twal
deems rt prudent to rnaintain reserves al a lovel al which the Trustees cOns￿er would be sufficient to
withstand a reduction in income for these or any other factors that may cause the Festival to not go ahead or
face a material diop in ticket sales.
A base levd of £50,000 of unrestricted funds is considered by the Trustees to b8 a minimum prudent resetVO
to have in the bank at any Calendar year end. These roserves, which we re￿eW on an ongoing basis, enabl¢
the Festival lo have the confKJenc8 to embark on projocls which, while advancing the standing of the Festwal
and maintaining ils artistic integrity, may carry a dogree of financial risk. At tho end of 2025 our reserves
stood usefully above that £50,000 base level number.
As at 31 December 2025, reseNes con$isled of £109,830 (2C124: 98,878) general, unrestricted and
des￿Jnated reserves. These are held to enable the Continued operations of the charity.
Going concgrn
After making approprlale enquiries. the Trustees have a re8sonable expeclalion that the company has
adequate resources lo continue in operallonal existenc& for the foreseeable future. For this reason they
continue lo adopt the going concern basis in preparing the financial statements. Further dètails regarding the
adoption of the going concem basis Can be found in the Accounting PoI￿les.
FUTURE PLANS
The festival is, for the first lime. hosting a Song Weekend on 13th & 14th March 2026 lo be held. at
Weslonbirt School, a m&re 3 miles from Tetbury. With a lenor and piano on the first evening and a soprano
and piano on the second, these Iwo differing and specially curated evenings in a richly decorated and intimate
sotting broadens the festival's footprint. This is a new addrf(ion to our offering and one which, depending on
the success of thesg first two nights. we very much hope will become an annual event in March in futurg
ygars.
The charity wll continue to operate in line with historic operations, with the 2026 Tglbury Music Fèstival
programme already available and foaluring 5 concerts bethen 26th September and 4th October.

The charty is controlled by ils goveining dccumenl, a deed of trust, and conslilute$ a limited Company, limited
by guarantee, as defined by the Companies Act 2006.

The company is registered as a charitable company limrted by guarant9& and was 8et up by a Memorandum
of Association on 10 July 2003. The company is also a registered charty uncler the number 1099203.
The principal objecl of thg company is to promote, maintain, improve and advance the education of the public
in the art and science of music by the presentation of public concerts and recitals.

The management of the company is the responsibilty of the Trustees who are elected and ¢￿0p1ed under the
terms of the Artlcles of AsBociation.
The Tetbury Music Festival is govemed by a Board of Trustees,. Ihero were six Truslees during 2025. There is

STRUCTU￿ GOVERNANCE AND PJlANAGEMENT
Oryanisational structure
The management team induded Pam Johnson and Sam Jones, our two part-time Fgslival Adminlstrators.
The Festival employs a Concerts Manager, Nicholas Ullmann,"during the Festival. The 2025 Festival was
Jonathan Cohen's 12th and last Festival as A￿StIC Director his first having been in 2013. He has played a
huge￿ important role over his tenure for which we will long be grateful. In his stead we have ap*)DIn1￿ Sir
N￿hOlaS Kenyon as the Festival's artistic advisor, Sir Nicholas brings a wealth of knowledge and experience
to the Festival having had a dislinguishod career in this space and we ate all looking fotward lo worf<iny
closely wf(h him over the years ahead.
Rlsk manag8mont
The Trusl*s have a duty to identrfy and review the risks lo which the charty is ewsed and lo ensure
appropriate controls are in pla¢0 lo provide reasonable assu¥anGe against fraud and error.
The Board of Trustees is responsible for the management i)f the risks faced by the charity. In the winion of
tho Trustees, however, there are rto majof risks to which the Charity is exposed, and continued responsible
administration will ensure that there is no budget deficrt.

Basls of preparing the financial statements
The financial statements have boen prep￿ed in accordance with Accounting and Reporting by
Charities.. Statamenl of Recommended Prsetice applicable to charities preparing their accounts in
accordance with the Financial Reporting Standard applicablè in the UK and Republic of Ireland IFRS
1021 (effective 1 January 20151- (Charities SORP IFRS 11)21}, the Financial Reporling Standard
appI￿able in the UK and Republic of Ireland {FRS 1021 and the Companies Act 2006.
The Tetbury Music Festival meets the definition of a public benefit enlify under FRS 102. Assets and
liabilities are initially recognised al historical co61 or transaction value unless olheM8e stated in the
relevant accounting policy.
Company status
The company is a private company limf(ed by gLFarantse incDrp¢)rated with￿￿ Engiand & Waies. The
company's fft&istered address and Trustees land directors for purposes of Company Lawl are detsik
on the Reference ?nd Administrative page.
In the event of the company being wound up, the liability in respect of the guardnlee is limited lo £1 per
member of the company.

Income
Al income is recognised in the Statement of Fln8ncial A¢liMlies once the charty has enlillement lo the
funds, it is probable that the income will be received and the amount can be mgasured reliabty.
For legacies, entrflement is taken as the earlier dale on Which èither. the company aware that
probate has been granted, the estate has been finali8ed and notification has been made by the
execulorls) lo the Trust that a distribution wll be made. or when a distribution is received from the
estate. Receipt of a legacy, in whole or in part, is only considered probable when the amount can be
measured reliably and the company has been notified of the executors intenlKJn lo make a distribution.
Where legacies have been notified lo the company. OT the company is awarg of the granting of
probate, and the criteria for income recognition have not been met, then the isgacy is treated as a
contingent asset and disclosed if material.
Donated services or facilities are recognised when the company has control over the item, any

use of the company of the item is probable and that economt benefit can be measured reliably. In

Expendlture
Expenditure is r￿Ognised 0￿e there is a legal or constructive obligatlon to transfer economic benefit
lo a third party, il is probable that a transfer of economic beneffts will be required in settlement and the
amount of the obligation can be measured reliably. Expenditure is classified by aclivty. Tho costs of
each aclivty are made up of the total of dirgct costs and shared costs. including support costs involved
in undertaking each actiwty- Direct costs attributable to a single acliwty are allocated directly to that
activity. Shared costs which contrlbule to morè than one actI￿ty and support C081s which are not
attributable lo a single activity are apportioned betweèn those aetivities on a basis consistent with the
use of Tesources. Administrative costs are allocated on the basis of time spent, and depreciation
charges allocated on thè portion of the assgt's use.
Support costs are thoBe costs incurred directly in support of expenditure on the objects of the company
and include projocl management carried OLrt at Headquarters.

Charitable aclivtti'es and Governance costs are costs incurred on the compan￿5 operaions, ineluding
support costs and costs relating lo the governance of thè company apporboned to charitable aclivitios.
Taxation
The company is considered to pass the 18818 sel out in Paragraph 1 Schedule 6 of the Finance Act
201 O and therefofft il meets the definition of a charitable company for UK Corporation Tax pury)oses.
Accordingly, the company is polenlialy exempl from taxation in respect of income or capital gains
received within Categories cov&red by Chapter 3 Part 11 of the Corporation Tax Act 2010 or Section
256 of the Taxation of Chargeable Gain8 Act 1992, to the extent that Such In￿Me or gains are applied
6xclusively to ch8ritsble purposes.
Fund accounting
General funds are unrestricted funds which are available for use al the discretk?n of the Twslees in
furtherance of the general objedives of the company and which have not been designated for other
purposes.
Designated funds comprise unrestricted funds that have been set aslde by the Trustees for particular
purposes. The aim and use of esch designated fund is sel out in the notes to the financial statements.
Restricted funds are funds whl¢h are to be used in accordance with sp￿￿1¢ restrictions imposed by
donors or which have been raised by the company for particular purposes. The costs of raising and
administerrng such linds are charged against the specific fund. The aim and use of each restricted
fund is sel out In the notes to the financkil statements.
Investment Income, gains and1088es are allocated to the appropriate fund.

Going ¢oncem
Thore are no material uncertainties that may cast signific8nt doubl on the Charitls ability to eontinue
as a going concern. The Irustegs are of the opinion that reserves remain sufficient for the objectives of
the Ch2rty to be achieved in the next 12 months.
Debtors
Trade and other deblors are recognised at thè settlemgnt amount after any trade discount offered.
Prepayments are valued al the amount prepaid nel of any trade discounts due.
Cash at bank and in hand
Cash at bank and in hand includes Gash and short temi highly liquid Investmer￿ wlh a short maturity

required to settle the obllgation. Where the effect of the time value of money is materlal, the provision

Financlal Instruments
The company only has fin8riGial assets and financial Ilabilities of a kind that qualfy as basic financial
instruments. Basic financial instruments are initially recognised at transaction value and subsequontly
measured at their settlement value wlh the exceplKin of bank loans which are subsequent￿ measured
at amortised cost using the effective interest method.
