Constitullon
Botsnic Gardens ConseTvation International was estsblished as the Botanic Gardens ConseNation
Secretariat by IUCN, the World Conservation Union. al Ihe beginning of 1987. In 1990 it became a
separate entity and in 1994 changed its name to Botanic Gardens Conservation International.
On 20 February 2003, Botanic Gardens Conservation International {a company limited by guarantee) was
incorporated. Charitable status Wds granted, and with effect from 1 January 2004, all assets, rights and
liabilities were transferred from Botanic Gardens Conservalk)n Intemab'onal to this new company. Botanic
Gardens Conservation Internalional (the trustl became dormant from this date. Botanic Gardens
Conservation Inlemational is govemed by a memorandum and articl8s of asscciation and the liabilty of
the members is limtted to £10 per member.
Organl8ational StTUCturo
BGCI is govemed by the Board of Trustees that meets quartety to guMJe the organi$ation'$ work
programme and to r8view management accounts, future development and other organisational matters.
Day to day rnanagem•nt of the charity is delegated lo the Se¢￿thry General. who acts as BGCI'S chief
•xecutive officer reporting to the Board.
The charity is guided by the International Advisory Council. The Coun￿1 consists of highly rospectad
leaders of the botanic garden and plant conservation communty. They provide technical and scienllfic
guidance and advice on the Strategic direction of BGCI.
The charity has a Finance and Audit Committee which meets on a wular basis to raview and monitor
financial and nsk management issues. The charity also has a Developfflent Committee which meets
regularly and a Remuneration Committee and Nominations Commrttee which meet on an ad hoc 89
required basis.

Addresslng global challenges through public engagement and education.. BGCI'S
network of botanic gardens attracts hundreds of millions of visrtors each year. and many
gardens engage their visrtors on sustainabilty issues su¢h as reducing carbon. water, energy
and waste. However, changing visfLor behaviour related to sustainability is not a mainstream
activrty in the world's t(slanic gardens. Despite the fact that gardens are ideally placed to
influence attFtudes and Ixhaviours. their visitors are generally high consumers. and shifting to
more sustainable practices is consistent wrth their v21ues.
Ensurlng an effective and resilient BGCI: BGCI's institutional risk register itemizes
financial, govemance, operational and reputational risks to the Organization that are actively
managed in order to minimize any vulnerabilities. In order lo ensure a robust and resilient
organizalion, further work is required in some areas of BGCI'S business. including
¢ommunications. fundraising, sustainabilty, IT infrastructure. data protection, Health and
Safety, and regulatory compliance.

IUCN Red List update showing 29% of the wortd's trea8 are at risk of extinctK)n.
We launched the Global BK)dNersty Standard * COP-16 in Cobmbla, publish8d lh8 Off￿1*1
manual and awarded the first site certifications. including a satisfactory assessment of the
storation work of Jane Goodall Institute and the Tengele Community Land Asso¢iation in
Uganda.
The new Voluntary Complemenlary Actions for the Global Strategy for PLqnl Conservatbn
were adopted al COP-16, Providing 21 actions for the global plant con8er¥ation community to
champion and contribute lo.
Two new Global ConseNation Consortia, for Conifers and for Whitèbeams, Rowan$ and
SeNlce Trees. have b88n established.
Conservation Action Tracker now in¢ludes 1.122 Critully Endangered specie¥
The 2024 Techntsl Review fc¢used on the importance of botanic gardens In lackling the
illegal plant trade.
BGCI developed a Propagation Proti>col Manual off•Ting pradi¢al guldance and stfucture
templates for documenting propagation methods.
IPSN now includes 100 members, induding their first representatives from the Caribbean and
Soulh&ast Asia.
We held conservation planning workshops in Chile and Sabah, funded by Franklinia and
supported by the IUCN SSC Conservation Planning Sp8Cbalist Group. the University of
Concepcion and the Sabah Forestry Department.
We held 3 Tree Conservat¢on Think Tank in Costs Rica. gatheryng experts and or9anisations
to develop new alliances to COn5er¥e rare and endangered t￿$ in Central America.

We started proJ8Cts supporting the plarrting of more dIve￿e. high-quality seedlings of
native tree species in laige-scale forest landscapo restoration programmes in Africa, funded
by Germanvs international Climate Initiative and the UKS Da￿1n Innovation Inrtiative. We
also ran a project to develop novel food products from native S￿leS in Uganda and
contributed to the Darwin projed focused on growing threatened trees, resloration capacity in
Cole d'lvoire's cocoa landscapgs.
In China, working with Shanghai Botanical Garden and fijnded by Franklinia, we secured the
future of Baohlta Yulan, an endemic Chinese Magnolia, while in Indonesia, working with
Perhimpunan Masyaraka Elnobiologi Indones￿, we have worked to consaNe the threatened
Castanopsis of Mount Halimun-salak, West Java.
In Samoa, supported by the Keidanran Nature conservalion Fund and Franklinia, we have
worked with the 9ovemment and the Samoa Conservation Society to implement inte9rated
Conservation for some of the most endangered tree speues.
Inspiring and Leading Peoplg
We added 64 new members in 2024. induding three new Patron Gardens: Denver Bolanic
Gardens, Massachus8tts Horti¢ultural Society and Gothenbury Botsnic Gard•n. We now
number 934 members across 126 countries.
Singapore Botanic Garden hosted 8GCI's Bth Global Botanic Garden8 Congre33 in August,
with 950 delegates participating in panel dl8cus8ion8, tslks and interactwe workshops.
BGCI hosted or organised 10 events globally vthh over 1,500 atténdees.
We had 395 responses to our most recent membershlp suNey. which identified a numb8r of
very useful 8CtKJns for us to focus on in 2025 in ord8r to support our members better. We
were thrilled to leam how mu¢h they valued being part of an inlem8tional netr￿rk that
supports plant conservation.

Sharing Knowledge and Resources
BGCI and the Society for Ecological RestoratKJn iointty published 'The Global Biodiversity
Standard: Manual for assgssmerrt and best Practi￿$. The manual is available in English and
French and is a key milestone in the global adoption of this crucrdl standard.
We distributed 57 grants worth over USD200k to 53 institutions across 28 countries through
the Global Botanic Garden Fund, wth generous suppjrt from partners including the Leon
Levy Native Planl Preserve and Fo￿Stry England.
We delivered 18 webinars in 2024, engaging with over 900 parttcipant$. including tsvo Marsh
Award ceremonies on education and conservation, as well as webinars on conservation
planning. GBGF gr8nts, the Internakn'onal Plant Sentinel N8￿rk, The Global Biodiversity
Standard, the Illegal Plant Trade and coastal restoration efforts.
We also delivered 18 training workshops and expanded our online training offering by
launching some ol our modules in Spanish and Frénch. In lolal we engag8d with nearly 2.800
participants through our v￿binals, workshops and online training.
We Celebrated a significant milestone with the award of the 100th botanic garden
accreditation lo Jardim Botanico Munl¢lpal de Bauru in Brazil. We now hava 116 accredited
8olani¢ Gardens acTOSS 35 countries.
As well as our long•stalished joumals. Roots and BGjoumal. we produced our first ever
podcast, 'The Understorf. fo¢u$ing on CBD COP16.
Addre88ing Global Challenges through Publlc Engagement and Educatlon

In 2024 we launched GLOBE - the Global Learning and outreach N8fvnrk for Botanic
Educators - on Linkedin. provKling a dedicated platfomi for education and public engagem8nl
spec181istS 8nd professionals from botanic gardens worldwlde.
We condu¢ted awaren8s8 raising activities in v￿tnaM around the project to protect the white-
cheeked langur and its habrtat in Ihe limestone mountains of the Quang Binh province, while
improving livelihoods, with a Train-the-trainer proqramme, a sch¢￿1 programme, a tea¢he¢$
tijolkit and awareness materials.
In Malawi where we are working to dov&lop $ustslnable Ilvelihood options from the native
palnls of Ihe Mount Mulane Biosphere Reserve. the education component focused on
behaviour change, with radK) programmes, leadership trainlng and other activities lo engage
local cornmunities with the project's key messages.
In southem Tajikigtan. where we aim to protect the region's unique broadleaved forest
biodiversrty, public engagement is a comerstone of the project. We have conducted
workshops with local cOmmunit￿S to get input in order to cTrcreate outreach intervonlions

Financial Review and Reserves
The transactions of the charty are summarised on page 18 of the financial siatements. ￿th ￿rther details
of reslri¢ted funds transactions in note 17 on page 30.
The charity in common with many othef similar charitie$ receives its donalhm and grant income with
fluctuations in liming and frequency. Payments are dependent on a number of factors such as the
preference and cash flow of fvnders, the completNJn of work and the submission of rep)rts. In some cases
ft]nding is provided in advance of work and in other cases the charity pr&finances exp8nditure. Some
fijnding is provided through medium temi agreements while other funding has shorter agreements or is
one off in nature. Al of these factors contribute to the need for the chanty to hold unrestricted ￿serVeS.
At the year-gnd net ass&t8 and total funds showed a Surplus of £40S,647 {2023 £627.0291 which was
made up of raslricted funds of £42,82012023 £207.8751 and unrestricted funds of £362,82712023
£419. 1541. In 2024 the trustees 8imed to hold unrestrictéd funds in the order of £500.000 but a shortfall In
naw funding and timing differan¢8s in thé allocation of costs against existing projects. resulted in 8
£137,173 shortfall from this target. The 2025 budget continues lo target £500k unrestricted reserves by
year end.
Investment Policy and Perforniance
Investment advisors, Ralhbone Unit Twsl Management. o)nllnued to guid8 the trugts68' declsion-making
consistent with th8 alm of gTOWI'ng surplus capilal with a reasonable incom8 and wlth a balanced or
medium attitude lo investment risk. Sufficient cash was to bé fetained In Current and deposit accounts to
provide for the regular expendrture associated wrth the charty.
BGCI inv88ted £200,1)00 during 2018 in Rathbone's C¢)re Investment Fund for charit￿$. Income in 2024

BGCI'S mission is to mobilise bOtaft￿ g8rdens and engage partnets in s8curing plant dwe￿Ity for the well-
being of p80pI8 and the planet. The undetying assurnption behind this mission ststemerrt is that by
growing. influencing and empowering our membership {and partnerships), we can bettgr conseNe plant
diversity, encourage people lo live in an environmentslly sustsinable way and provide benefrts for people
as well as Ihe ecology of thg planet.
BGCI'S five-year goal is that more than 1000 botanical organisations in our netwoth will be playing a
critical role in preventing plant species extinctions and creating a more sustainable planel. Our w
towards achievement of the goal can be broken down into the following work streams.

BGCI's18adeTship role in the Global Tree Asse$$ment, Global Trees Campaign. Global
Conservation Consortia, Ecological Restoration Alliance, Gkjbal Seed Conservat￿n

The 1 Oth European Botsnlc Gardens Congress. EUROGARD, wll tske place in September In
Rome. with the theme.. "Botanl¢ gardens in the UN Oecade of Eeogystem Restoration"
We will officially launch the Illegal Plant Trade Coalrtion al the IUCN Worfd Conservation
Congress in Abu Dhabi in September, y￿th communications toolkits for so¢ial media and other
oulreach materials. to raise awareness about the extinction of plants from Illlcit trado.
The 9th Global Botanic Garden Congress wll be held in Chi¢8go in 2027, hosted by Ihe
Morton Arboretum and Chicago Botanic Garden, focusing on the role of botanic g8rd8ns sn
restoring habitats impacted by climate change. Thi5 wll be the first time the congress has
been held in Norlh Amerlca in 27 years.

We will continue to offer onlin8 coufses to member institutions. with an expanded offering in
2025. available in both English and Spanish.
Our popular Global Botanic Garden Fund for undor-resour￿d b)tanic gardens from high

The XXIII AETFAT Congress wll take place in Accra. Ghana in August 2025, proudly hosted
by the Universty of Ghana. 11 is the ffirst time the AETFAT congress is being held in West
Africa, coinciding wrth ils 75th anniversary.
The Korea National Arboretum will host the 11th Intemation81 Congress on Education in
Botanic Gardens, in Seoul in June. the theme of- "Education for Change.. Botanic
Gardens. Role in Addressing Global Challenge5".

respect of irregularities, including fraud The extent to which our procedures are capable of delecting
irregulartbes, including fraud is detailed below:
The Charitable Company is required to comply with both company law and charity law and,
based on our knowledge of its activrbes. we identified that the legal requirement to accurately
account for restricted funds was of key signrficance.
We gained an understanding of how the chantable company complied with its legal and
regulatory framework, including the requirement to propedy account for restricted fvnds,
through discussions vAth management and a review of the documented policies, procedures
and conlrols.
The audit team, which is experienced in the audrt of charities, considered the charitable
company's susGeptibility to rnalerial misstatement and how fraud may occur. Our
considerations included the risk of management override.
Our approach was to check that all restricted income was properly identifi8d and separately
accounted for and to ensure that only valid and appropriate expenditure was charged lo
restricted funds. This included reviewing joumal adjustments and unusual transactions.

Gardens Conservation International and its subsidiary. a company lirnited by 8uarantee, Botanir Gardens
Conservation InternatSonal Africa limited. The fully-owned subsidlary 8GCI Tradin8 has been dormant
since Incorpordtion and is Induded in the consolidated accounts at COSL Thls 5ubsldlary was WOLtnd up on
13 January 2025, never having traded. A new tradin8 company, 8iodiver5ity Conservatlon se￿i(e5 Ltd,
wa5 incorporated on 4 Aprll 2024. wlth £1 of share capltal, wholly owned by BGCI. Thi5 company has not
