The Trustees (who are also directors of the charity for the purposes of the Companies Act) submit their annual report and the financial statements of CAMMS Meals on Wheels Ltd (the Charity) for the year ended 30 April 2021. The Trustees confirm that the annual report and financial statements of the Charity comply with current statutory requirements, the requirements of the Charity’s governing document and the provisions of the Statement of Recommended Practice (SORP) applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (Second edition October 2019, effective 1 January 2019).
Since the company qualifies as small under section 383, the strategic report required of large and medium companies under The Companies Act 2006 (Strategic Report and Director’s Report) Regulations 2013 is not required.
OBJECTIVES AND ACTIVITIES
The objectives of the Charity continue to be to relieve the aged, infirm or poor in Cambridgeshire by the provision of hot meals for those who either through age or infirmity are unable to prepare meals for themselves and have no other person available to prepare one for them. With each and every visit the deliverers have a duty to check with the clients that all is well and if necessary report any concerns to the CAMMs Meals on Wheels Ltd Office for further action to be taken. In an emergency, the appropriate emergency services must be contacted immediately. In the exercise of our powers to that end we have paid due regard to the published guidance from the Charity Commission on the operation of the Public Benefit requirement under the Charities Act 2011.
ACHIEVEMENTS AND PERFORMANCE
The average weekly sales to clients increased substantially to 929 during the year ended 30 April 2021 (2020: 768). The price charged for a hot two course weekday meal delivered to Cambridge and the city area was increased from £6.50 to £6.75 on the 23[rd] March 2020. This reflected increased staff costs in Spring 2020. A further increase to £6.90 was made on 5[th] April 2021 following higher meal and staff costs. As a result principally of the increase in volume, Sales income, excluding write-offs, was over 25% higher than last year’s record.
Costs also increased to new records levels, principally meal costs due to the volume increase and also staff costs due to rates of pay, as staff numbers were slightly lower. During the year the Charity invested in new office IT facilities including 3 new pc’s and associated Microsoft office applications, replacing aging and mostly donated equipment. In addition an IT support contract is now in place with a local IT services company. These improvements will safeguard vital business support infrastructure.
The above resulted in a Profit of £4,472 , a substantial improvement [2020 net loss (£16,530)]. The Trustees welcome the much improved financial performance, particularly meal sales as foreshadowed in last year’s Financial Statement, which is more in accordance with the financial objectives of the Charity.
The outlook for the current 2021/22 year is continuing to improve further and this is described in more detail in the Future activities section below. The objective remains to develop operations by maintaining, and if possible increasing, the number of clients served in the Cambridge and surrounding area.
The impact of Coronavirus on the activities of the charity continues but is being well managed. As an essential service, the Charity has continued to operate in full compliance with Government advice. This includes sourcing supplies of personal protective equipment (masks, gloves, sanitiser) for all staff, changed working practices, including delivery of meals and accepting deliveries. The impact on the Charity finances has been mixed. Additional costs have been incurred for instance with Personal Protective Equipment, however some of these extra costs have been covered by grants as described in the Notes to the Financial Statements below. The Trustees also believed that new clients have been gained as a result of the onset of the virus.

FINANCIAL REVIEW
Total incoming resources amounted to £340,379 (2020 £262,124) and after deducting total resources expended of £335,907 (2020 278,654) the net profit amounted to £4,472 [(2020 net loss (£16,530)]. At the year-end restricted funds amounted to £nil (2020 £1,215) and unrestricted funds amounted to £265 [2020 negative (£5,422)].
Closing Capital funds therefore return to surplus as foreshadowed in last year’s Financial Review.
Future Activities
The information above reports substantially increased sales and income in 2020/21. In the 5 months after 30[th] April 2021, weekly sale numbers have increased substantially again to 1,007 (2020/21: 929) and weekly sales amounts are £6,950 (2020/21: £6,422). This is partly due to new delivery areas, in keeping with the charity’s strategic aim. Sales income therefore continues to increase and while some increases in costs are expected, cost control remains vitally important.
Following three grants received in 2020/21, three further grants have been awarded post 30th April 2021 as follows:

The above grants being used to continue the process of safeguarding vital infrastructure.
Reserves Policy
The Trustees remain committed to ensuring that the Charity, which is “not for profit”, is financially well managed. 2020/21 has seen a substantial increase in sales, underlying our relevance and strength in the target market, coupled with a successful grant application programme. Thanks to the exceptional efforts of the management and staff, the Trustees believe that the Charity continues to work well in the Coronavirus environment and therefore Reserve policy remains unchanged. The Trustees believe that adequate Reserves are necessary and need to be maintained in order to manage future business risk.
The Trustees consider that in the event of a major disruption to the meals service there would be some ongoing costs necessarily incurred during the recovery period, which are currently estimated at £28,000 . The Trustees have reviewed the Reserves Policy initially in October 2016 and annually thereafter. They have concluded that it was appropriate to have an overall target of £25,000 in funds which could also be available for emergency repairs and replacement ovens. The current level of free reserves[1] is -£6,983 (meaning that the charity had no free reserves as at 30 April 2021) (2020: negative -£7,415). The Trustees very much recognise the need to build unrestricted profit and increase free reserves to the required level over the next 4/5 years and believe the increased income described in Future activities will importantly assist this objective.
Going Concern
The operation of the charity has proved more than resilient under very difficult conditions and after a detailed examination of the post 1[st] May 2021 operations, as described in the Future activities, the Trustees have a confident expectation that the company has adequate resources to continue in operational existence.
The trustees also believe, after making appropriate enquires, that the financial performance to April 2021 will continue for 12 months following the date of approval of these Financial Statements and remain positive for the foreseeable future. For this reason they continue to adopt the going concern basis in preparing the financial statements.

STRUCTURE, GOVERNANCE AND MANAGEMENT
CAMMS Meals on Wheels Ltd was incorporated on 6 June 2001 as a company limited by guarantee and obtained charitable status on 18 June 2003. The Charity is governed by its Memorandum and Articles of Association. At its Annual General Meeting held on 16th May 2012 the members approved a change of name from CAMMS Ltd to CAMMS Meals on Wheels Ltd.

In accordance with the rules of the Charity, C L Charter and M J A Ough retire by rotation and, being eligible, offer themselves for re-election at the Annual General Meeting. Trustees are appointed in order to provide valuable and practical skills to the Charity.
The Trustees determine the general policy of the Charity. The day-to-day activities of the charity are the responsibility of the Charity Manager (appointed November 2020).
Statement of Trustees’ Responsibilities
The trustees (who are also the directors of the company for the purposes of company law) are responsible for preparing the trustees’ report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
Company law requires the trustees to prepare financial statements for each financial year. Under company law the Trustees must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing these financial statements, the trustees are required to:

select suitable accounting policies and then apply them consistently;

observe the methods and principles in the Charities SORP;

make judgements and estimates that are reasonable and prudent;

prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in operation.
The trustees are responsible for keeping adequate accounting records that are sufficient to show and explain the charitable company’s transactions and disclose with reasonable accuracy at any time the financial position of the charitable company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

I report to the company trustees on my examination of the accounts of the Company for the year ended 30 April 2021.
This report is made solely to the company’s Trustees, as a body, in accordance with section 145 of the Charities Act 2011 and regulations made under section 154 of that Act. My work has been undertaken so that I might state to the company’s Trustees those matters I am required to state to them in an Independent examiner’s report and for no other purpose. To the fullest extent permitted by law, I do not accept or assume responsibility to anyone other than the company and the company’s Trustees as a body, for my work or for this report.
Responsibilities and basis of report
As the trustees of the company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (‘the 2006 Act’).
Having satisfied myself that the accounts of the company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity’s accounts as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act.
Independent examiner’s statement
Since the charity's gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination because I am a member of the Institute of Chartered Accountants in England and Wales, which is one of the listed bodies.
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or

the accounts do not accord with those records; or
-
the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a ‘true and fair view which is not a matter considered as part of an independent examination; or
-
the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities [applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)].
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The company’s financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.
The Trustees consider that the Charity is entitled to exemption from the requirement to have an audit under the provisions of section 477 of the Companies Act 2006 (“the Act”) and members have not required the company to obtain an audit for the year in question in accordance with section 476 of the Act.
The Trustees acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.

1 Accounting Policies
- a. Basis of financial statements - The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (second edition October 2019, effective 1 January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.
CAMMS Meals on Wheels Ltd meets the definition of a public benefit entity under FRS 102 Assets and Liabilities are initially recognised at historical cost of transaction value unless otherwise stated in the relevant accounting policy.
There were no significant estimates or judgements by management in preparing these financial statements.
- b. Going concern – The Trustees are fully aware of their obligations under law and decisions have been taken and further discussions are ongoing in order to secure the future of the Charity. The Charity is monitoring its working capital requirements carefully and the Trustees consider that in preparing the financial statements they have taken into account all information that could reasonably be expected to be available and they therefore consider that it is appropriate to prepare the financial statements on the going concern basis.
With respect to the next reporting period, 2021-22, the most significant area of uncertainty that affects the charity is the level of meal sales and donations received. There are no significant estimates at the reporting date that have a risk of causing a material adjustment to the carrying amounts of assets and liabilities within the next reporting period.

c. Fund accounting – General funds are unrestricted funds which are available for use at the discretion of the Trustees in furtherance of the general obligations of the Charity and which have not been designated for other purposes.

d. Income – All income is recognised once the Charity has entitlement to the income, it is probable that the income will be received and the amount of income receivable can be measured reliably.
Income from the sale of meals is recognised in the period in which the meals were delivered to the client and any amounts owing to the Charity at the end of the year are included in debtors.
Grants received for use in purchasing capital items are treated as spent once the item has been purchased, via a transfer to unrestricted funds. Any grants received in advance are carried forward as deferred income.
Income tax recoverable in relation to donations received under Gift Aid is recognised when received.
Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the charity; this is normally upon notification of the interest paid or payable by the bank.
- e. Expenditure – Expenditure is recognised in the period in which it is incurred and is allocated to expense headings such as meal supplies and governance costs, either on a direct basis or apportioned according to time spent or space occupied.
All expenditure is accounted for on an accruals basis.
Support costs including governance costs are those costs incurred directly in support of expenditure on the objects of the Charity. Governance costs are those incurred in connection with administration of the charity and compliance with constitutional and statutory requirements. Expenditure includes attributable VAT, which cannot be recovered.

- f. Fixed assets and depreciation/amortisation – All assets costing more than £100 are capitalised (from 1[st] May 2021 this threshold will be £500). Tangible fixed assets are stated at cost less depreciation. Intangible assets relate to Website development and are stated at cost less amortisation.
Depreciation/amortisation is provided to write off the cost/value of tangible and intangible fixed assets over their estimated useful lives by annual instalments at the following rates:

g. Stock – Useable stock is stated at the lower of cost and estimated net realisable value.

h. Debtors – Trade and other debtors are recognised at the settlement amount after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due.

i. Cash at bank and in hand – Cash at bank and in hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account.

j. Creditors and provisions – Liabilities are recognised when there is an obligation at the Balance Sheet date as a result of a past event, it is probable that a transfer of economic benefit will be required in settlement, and the amount of the settlement can be estimated reliably. Liabilities are recognised at the amount that the company anticipates it will pay to settle the debt or the amount it has received as advanced payments for the goods or services it must provide.

k. Financial instruments – The charity only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. Basic financial instruments are initially recognised at transactions value and subsequently measured at their settlement value.
2 Status
The Charity is a company limited by guarantee. The members of the company are the Trustees named on page 1. In the event of the Charity being wound up, the liability in respect of the guarantee is limited to £10 per member of the Charity.

The above are restrictive grants totalling £15,608 as shown in note 12. The grant of £3,000 received in 2020 was from Cambridgeshire Coronavirus Fund to cover costs of personal protective equipment, volunteers’ mileage and a new driver from 1 April 2020. See note 12. All donations received in 2021 and 2020 were unrestricted.

In 2021 £16,823 (2020 £1,785) was spent from restricted funds relating to depreciation and other costs, the balance of £318,255 (2020 £276,869) being spent from unrestricted funds.
Included within the Meals service staff costs is a small proportion of management and administration time which although considered negligible for apportionment purposes, is deemed to be a support cost and is necessary in the running of the meals service.

15 Related party transactions
During the year 1 trustee made personal donations to the charity totalling £180 (2020: £850). No benefits were received as a result of these donations and no restrictions were placed on the use of those funds.
16 Contingent liability
In August 2018 a possible liability arose relating to a Notice of Claim from the Employment Tribunal which was immediately brought to the attention of directors and discussed at their meeting in October 2019. The directors did not accept that the Company is liable. A Preliminary Hearing was held on 11[th] May 2020 which included setting Tribunal Hearing dates as 23[rd] to 26[th] August 2021.The company worked with the Litigation department of Croner Group to prepare the Tribunal documentation required, which robustly and evidentially refutes liability.
A Settlement Agreement was reached to conclude the matter. Part of these costs were met by our Insurance and the balance of £5,250 has been included in creditors.
