Report of the Directors
A. Structure. Governance & Management
Governln8 Document
The organisavon is 3 charitable company limited by guarantee. incorporated on 30 Aprll 2003 and
registered as 3 charlty on 13 June 2003. The company was ertablished under a Memorandum of Association
that established the objerts and powets of the tharitable company and is 8overned under its Articles of
Association. In the event of the company bein8 wound up members are required to contrlbLrte an amount
not exceeding £10.
Recrultment and Appointfflènt of Dlrectors l Trustees
The dirertors of the charitable company are the charlty trustees and are the members of the company.
They are responsible for Investing and expending the funds of the charity in such manner as they shall
conslder most beneficial for the achlevement of the objects. They erter into contracts on behalf of the
charity, They a￿ iesponsible for the proper mana8ement and a(Iministratlon of the charltable company In
accordance wlth the Memorandum and Articles of Association.
The trustees are not subject to retirement by rotation and may Serve untll they rerlre or are removed In
accordance with the Articles of Associatlon. Appointmenls are made by members of the cc)mpany at its
Annual General Meetln6 or at other tlme5 by ordinary resolution. Trustèès are recruited for thelr ability to
manage the charity In accordance with the provisions of the Memorandum and Articles of Associatlon and
In furtherance of its objects and In so doing they shall have full and proper regard to the splrlrual leèdership
ol the ¢hur¢h.
The present trustees hwe a varlety of backgrounds and ski115 and the board seek$ ro maintaln an
èpproprlate range of skills to match the tasks undertaken by the board. Trustees must be famllSar wlth the
?ctivitie5 of the charlty and be in 5VmPathy with them. Trustees are therefore likely to come from wlthln
the Vineyard rnovement. Potential trustees are identified by the existin8 trustees, discussed with the other
trustees then approached to Check their availability. Trustees must subscribe to the Statement of bellefs
Set out In the schedule to the artlcles.
Tr8lnin8 of Trustees will be on an ongolng basS$ through attendance of trustee meÈtln8s and In$truttlon
and guidance from existing rrusrees. New trustees will be encouraged to seek outside training from all
source5 available to further their urKler5tanding of the role ihe¥ lake on and to enhance their skills for not
only thelrs but also the Charity's benefft.
Risk Analy515
The director5 have assessed the major risks to which the charity is exposed and where ne￿$Sary havo
taken steps to mlnimise such r15ks. The Trustees have undertaken a Rlsk Analysis of ¢ur operatlons and
each area will be subjett to ￿gUlar review. A Risk poI￿V docU￿ftt 15 held ty the Pastor and copied to the
Trustee5. Risk assessment is undertaken at each quartertyTrustees Meetin8 on an onioin8 basis. reviewin8
any change5 in the format fequired.
Child protertion Issues are covered by a policy and guidellnes document. Disclosure Barring Service check5
are completed for all who work with children and advice is acce55ible from CCPAS. The Charity Trustees
are 5irnilarly 5ublerted to re8Jlar D85 checks.
Procedures are in place to Ènsure compliance wtth Heahh & Safety issues covering stJff. volunteers and
visitors. A key element in the management of financial risk is the settin8 of a reserves policy and its reBu1ar
revlew by trustees

to advance religious or secular education;
to relieve pers¢ns who are In conditions of need, haTdshlp or who are a8ed or sick and to relieve
distress.
Actlvltles- How our actfvltles provide a publlc benefft
The Charity carries Qut a wide range of activities in pursuance of its ¢haritable aims.
Attivities through the year were still aimed ar inirixlucin8 mre people to Jesus, deep¢nln8 their
relationshlp and knowledge of him and providing support and encouragement to those In need.
Our Sunday main service provides a venue for worship, teathin& relationship building ané prayer Mlnistry.
In addltlon, Small Group5 provide a settlng for sharin8 and learning In a smaller more Intlmate settlni.
Pastoral care and sUPPOrt are available to all. The runnin8 of Alpha 8roups is becoming a regular feature of
the church's calendar.
Wells Vlneyard Church has had two compassion ministrles- a foodbank whKh operates for two sesslons
every week and a lurnitUTe storehouse whlch collects and dellvers items to equip a home, normally on¢e
week. Both of these minlstfies are in the process of bein8 established as a Charity in their own right and
wlll cease to be a function of Wells Vineyard ch[￿tIan Fellowship at the end of this 2023124 financial year.
We115 Vlneyard plays an actfve part in working wlth other Wells Churches and It5 leaders meet wlth the
leaders of other Wells Churches, as CTWA- Christians To8ether in the Wells Area. on a regular ba51s.
C Achievements and Performance
Advancln8 the Chrlstian Faith
Thls year has been one of greater 5tabilrryforthe church. with several new members makin8 Wells Vineyard
their home. Stron8 core leadershSp and new Trurtees have confjnued to Strengthen the chur¢h and enable
posltlve, healthy 8ro¥V<h.
5 MaTland has malntalned the community relatlonships berween the Wells Vlneyard Church and other
Churches and organisations in Wells. In particular, S Marfand has played an 3ctNe role in CTWA Ichrlstlarns
Together Wells Areal and the WCN (Wells Coronavirus Network) now the Wells Community Network.
Flnanclal supwrt was provideLI to Vineyard Churches UK for trainin8 and church planting. The church
remains commltted to Identlfying and training F)Otential chur¢h planter5 for the future.
Compa551on mlnlstry continues to be a prlorlry for Wells Vlneyayd and the￿ wlll be new Inltlatlves belng
established in the coming year.

Training was enjoyed by ￿?[￿ the leadership and Church members, in panicular, variousvineyard Leader5,
gatherings at both the natlonal and regional le¥e15. were instrumental in ble55ing our Church community
with empowerment and er￿j13Bement.
Wells Vlneyard Church remains committed to devekiplng beadership qualitie5 and gifts. especially looking
to train up the nert 8eneratiL)n of leaders. The Worship Team attended a weekend of Worship Leadin8
Development and several church members accompanied 5 teenagers on the Dreamlng The Imposslble -
DTI Camp, Inthe summer.
Rellef of need and hardshlp
support has continue(J for various or8anlsatlon5 that work to Tel￿ve need and hardshlp Includlng the
sportsorshipi through Compassion International, of three thildren, one In Indonesia, one in Kenya and one
In Nicaragua. Several members of the congregation also personally support chlldren through thi5 minlstry
We continue to 5UPPOrt other causes in the UK and workjwide on a re8ular basis a¢¢ording to need.
D. Plans for Future Perlods
The overall aims of the next year will be to progress furtheT With youth ministry. Offer at least two Alpha
courses In the communlty, coordlnate an Outreach programme in July 2025 planning several event9 wSth
the involvement of the CTWA Churches. Prayer Ministry in all areas of the Church Is somethin8 that
contlnues to be a Browlng prlorlry.

Income for the perlod was £76,56112023 - £132,994) wlth expendfture of £80,295 {2023 - E78,0391
resulting In a profit/ldefi(itl of Irkwme over expenditure by1£3.7341,12023- £54,955).
Outward donatlon5 went to vaTiOU5 needy or8anisatlons. The minimum target of IO% of income
lexcludlng the restricted Incomel was achleved.
Grant makln8 pollcy
Grants are made, subject to an overdll minimum guidJn¢e limit of IO% of the Charty's Income, to
individuals or organisations for use in furtherance of the Chariry's objettlves.
Reserves Poli
The target reserve policy, which is to maintain a level of cover for njnning co5t5. which will ensure
continuation of operètions for at least Six months. Is stlll in forcè and will continue to be monitored and
action taken if required.
Thi5 was achieved and a separate HSBC bank account fund of £IO.O(M) has been maintained throughoutthe
period.

programmes.

Expenditure is recognised on an accrual basls as a liability is incurred. The charitable company is not
registered for VAT antl accordingly expenditure is shown gross of unrecoverable VAT.
Charitable expenditure comprises those costs incurred by the charity in the delivery of its artfvltles
arKI Services for its beneficiaries. It includes both costs that can be allocated directly to such
artivities and those costs of an indirert nature n¢￿ssary to support them. Donation5 or 8rants

Governance costs include those Costs associate<l with meetin8 the constitutional ènd statuiory
requirement5 of the charity.
All costs are allocated between the expendlture categories of the SOFA on a basi5 designed to

There are a number of peopk who are members of the Churth andlor local community who regularly 8ive
their time freely to ensure the Church runs smoothly. Whllst thls 15 of great value to the Church in its
runnin& it has not been reflected in the ac¢ounts as a °val￿" therefore has not materially affected the
outcome of the years report.

Christian teaching the organisatlon Is called CTWA - Christians Together In Wells Area. Thls Is a co-
operative organi5ation that undertakes various events throughout each year. funded by the membor
churcheslcharities through modest subscriptions to these events. The Co￿perative has a treasurer
who uses these funds to payfor any associated costs which are usually very small and cover rentS4 printing
and anclllary item5. The decision.mak*nB process is undertaken by a forum of representative5 of all the
Churches and Church leaders.
