The trustees present their report and accounts for the year ended 31 March 2021.

The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the financial statements and comply with the charity's Memorandum and Articles of Association , the Companies Act 2006 and “Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)” (as amended for accounting periods commencing from 1 January 2016) .

Objectives and activities

Knowsley Development Trust announced the establishment of the Knowsley Youth Enterprise Academy, whose main objective is to use knowledge and encourage progression by Knowsley's youth regardless of their education or economic status to boost enterprise opportunities and have consistently covenanted monies to enable the charity to develop work around this theme.

The trustees have paid due regard to guidance issued by the Charity Commission in deciding what activities the charity should undertake.

Achievements and performance

Ormside Education Centre

Our main focus during this year has been Ormside Education Centre. While we have been unable to accommodate visitors due to the on-going pandemic, we have been able to move forward with the new build project.

0% VAT was achieved with the assistance of BWM, meaning that costs of the new build can be kept to a minimum. The 0% rating was awarded due to the fact that Ormside is for educational use only. A bid was also put into Sport England, for a fund of up to £150,000.00. KEA were awarded £75,000.00 which will greatly assist. This fund will be accessed in the current year once invoices are received for various aspects of the project.

Phase 8 Development Company Ltd completed work on the timber frame & stair pack at their factory on Arbour Lane in Knowsley. The frame will be held there until it is required on-site in Cumbria.

Other Projects

Unfortunately, during this year, we were unable to run the NeetTV Film Project, Arts Festival & the JASON project. This was due to the pandemic & the government rules that were in place in regard to social distancing etc.

Staffing

No new staff were recruited during the year.

Financial review

Income for the year ended 31 March 2021 amounted to £78,709 (2020: £77,325). The Statement of Financial Activities gives details of total expenditure for the period of £107,342 (2020: £78,662), resulting in net expenditure in the year to 31 March 2021 of £28,633 (2020: £101,337). This brought the total funds of the charity to £392,786 of which £338,781 have been designated for ongoing and future projects.

Reserves policy

It is the policy of the charity that unrestricted funds which have not been designated for a specific use should be maintained at a level to meet at two years' staffing and operational costs less donated staff and premises costs. The trustees consider that reserves at this level will ensure that, in the event of a significant drop in funding, they will be able to continue the charity’s current activities while consideration is given to ways in which additional funds may be raised. This level of reserves has been maintained throughout the year.

The main purpose of this policy is to eliminate any potential liability to the charity and to reduce the dependency on public funding.

The trustees have assessed the major risks to which the charity is exposed, and are satisfied that systems are in place to manage exposure to the major risks.

Plans for the future / Covid-19

Our main focus is again, the new build at Ormside Education Centre. On-site work has now begun to create the foundations prior to the timber frame being erected. The project is moving forward & we aim to have all of the works completed in time for March 2022, when bookings will commence for the end-of-year residential visits.

Funds were received from Sport England for the timber frame & stair costs, in the sum of £59,500. Further invoices will be raised when received for other aspects of the build, with a further £15,500 available from the fund.

The Arts festival is currently in planning for commencement in May/June 2022, with the aim of a September 2022 auction event. The NeetTV Film Project & JASON Project will go into planning over summer 2022 to commence in September 2022.

We have recruited a new staff member as of August 2021, who is focusing on the social media presence of KEA as well as KDT & Phase 8 Development Company Ltd. He will assist with projects going forward.

Structure, governance and management

The charity is a company limited by guarantee, established to regenerate areas of social and economic deprivation and in particular the Borough of Knowsley.

The company was incorporated on 5 December 2002 (company registration number 4609187) and registered as a charity on 11 June 2003.

The trustees, who are also the directors for the purpose of company law, who served during the year were:

I report to the trustees on my examination of the financial statements of Knowsley Enterprise Academy (the charity) for the year ended 31 March 2021.

This report is made solely to the charity's trustee s , as a body, in accordance with Section 145 of the Charities Act 2011. My examination has been undertaken so that I might state to the charity's trustee s those matters I am required to state to them in an Independent Examiner's report and for no other purpose. To the fullest extent permitted by law, I do not accept or assume responsibility to anyone other than the charity and the charity's trustees as a body, for my examination, for this report, or for the opinions I have formed.

Responsibilities and basis of report

As the trustees of the charity (and also its directors for the purposes of company law) you are responsible for the preparation of the financial statements in accordance with the requirements of the Companies Act 2006 (the 2006 Act).

Having satisfied myself that the financial statements of the charity are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of the charity’s financial statements carried out under section 145 of the Charities Act 2011 (the 2011 Act) . In carrying out my examination I have followed all the applicable d irections given by the Charity Commission under section 145(5)(b) of the 2011 Act.

The directors acknowledge their responsibilities for ensuring that the charity keeps accounting records which comply with section 386 of the Act and for preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of the financial year and of its incoming resources and application of resources, including its income and expenditure, for the financial year in accordance with the requirements of sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the company.

The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476.

1 Accounting policies

Charity information

Knowsley Enterprise Academy is a private company limited by guarantee incorporated in England and Wales. The registered office is North Mersey Business Centre, Woodward Road, Knowsley Industrial Park, Merseyside, L33 7UY.

1.1 Accounting convention

The financial statements have been prepared in accordance with the charity's Memorandum and Articles of Association, the Companies Act 2006 and “Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)” (as amended for accounting periods commencing from 1 January 2016). The charity is a Public Benefit Entity as defined by FRS 102.

The financial statements are prepared in sterling , which is the functional currency of the charity. Monetary a mounts in these financial statements are rounded to the nearest £.

The accounts have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.

The Charity has taken advantage of the provisions in the SORP for Charities applying FRS 102 Update Bulletin 1 not to prepare a Statement of Cash Flows.

1.2 Going concern

At the time of approving the accounts and as detailed in the Trustees’ report the Trustees have considered the impact of Covid-19 on the charity and the Trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Thus, the Trustees continue to adopt the ‘going concern’ basis of accounting in preparing the accounts.

1.3 Charitable funds

Unrestricted funds are available for use at the discretion of the trustees in furtherance of their charitable objectives.

Designated funds comprise funds which have been set aside at the discretion of the trustees for specific purposes. The purposes and uses of the designated funds are set out in the notes to the financial statements.

Restricted funds are subject to specific conditions by donors as to how they may be used. The purposes and uses of the restricted funds are set out in the notes to the accounts.

1.4 Income

Donations, legacies and other forms of voluntary income are recognised as income when receivable, except insofar as they are incapable of financial measurement.

Bank interest is accounted for when received into charity's bank accounts.

Donated services and facilities

Donated professional services and donated facilities are recognised as income when the charity has control over the item, any conditions associated with the donated item have been met, the receipt of economic benefit from the use by the charity of the item is probable and that the economic benefit can be measured reliably.

On receipt, donated professional services and donated facilities are recognised on the basis of the value of the gift to the charity which is the amount the charity would have been willing to pay to obtain services or facilities of equivalent economic benefit on the open market; a corresponding amount is then recognised in expenditure in the period of receipt.

1.5 Expenditure

Expenditure reflects all amounts paid and accrued during the year. Expenditure is allocated to charitable activities or governance costs.

Charitable expenditure comprises all expenditure directly relating to the objectives of the charity. Value added tax is not recoverable by the charity and is included in the relevant cost in the statement of financial activities.

Governance costs represent costs associated with meeting the constitutional and statutory requirements of the charity and include the accountancy fees and costs linked to the strategic management of the charity.

1.6 Tangible fixed assets

Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.

Depreciation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is recognised in net income/(expenditure) for the year.

1.7 Impairment of fixed assets

At each reporting end date, the charity reviews the carrying amounts of its tangible assets to determine whether there is any indication that those assets have suffered an impairment loss. If any such indication exists, the recoverable amount of the asset is estimated in order to determine the extent of the impairment loss (if any ) .

1.8 Cash and cash equivalents

Cash and cash equivalents include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less.

1.9 Financial instruments

The charity has elected to apply the provisions of Section 11 ‘Basic Financial Instruments’ and Section 12 ‘Other Financial Instruments Issues’ of FRS 102 to all of its financial instruments.

Financial instruments are recognised in the charity's balance sheet when the charity becomes party to the contractual provisions of the instrument.

Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

Basic financial assets

Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.

Basic financial liabilities

Basic financial liabilities, including creditors and bank loans are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future receipts discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.

Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of operations from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.

Derecognition of financial liabilities

Financial liabilities are derecognised when the charity’s contractual obligations expire or are discharged or cancelled.

1.10 Employee benefits

The cost of any unused holiday entitlement is recognised in the period in which the employee’s services are received.

Termination benefits are recognised immediately as an expense when the charity is demonstrably committed to terminate the employment of an employee or to provide termination benefits.

1.11 Retirement benefits

Payments to defined contribution retirement benefit schemes are charged as an expense as they fall due.

1.12 Taxation

As a registered charity the Company benefits from various exemptions from taxation afforded by tax legislation and is not liable to corporation tax on income or gains falling within those exemptions. The Company is not VAT registered. Expenditure is recorded in the accounts inclusive of VAT.

2 Critical accounting estimates and judgements

In the application of the charity’s accounting policies, the trustees are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.

The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.

Donated goods and services

Donated services were provided to Knowsley Enterprise Academy by KDT in the form of premises and staff costs. Premises costs total £20,000 (2020: £20,000) and is based on the actual rental income which KDT would expect to receive for the space provided. Staff costs total £24,000 (2020: £24,000) and are stated at the level of salary paid to each staff member by KDT during the year.

NEET TV - a unique and innovative project focused on working with 16-19 year olds in Knowsley who are currently not in Education, Employment or Training (NEET). The aim of the project is to motivate and equip young people with skills to enhance their employability prospects. The overspend of £231 (2020: £24,061) has been funded from unrestricted funds.

Ormside Project - during a previous year, the charity designated funding to the Ormside Centre, a centre based near Appleby in Cumbria, with the aim of providing youngsters of NEET TV the access to the facilities for both fun and educational purposes. During the current year £20,000 was donated from Knowsley Metropolitan Borough Council towards the costs of building an extension at Ormside.

Jason Project - £100,000 was previously designated as a subsidy to employers to offer support and training through freelance tutors to help young people into employment with local businesses. £92,500 is remaining and has not been spent in the year due to all projects being on hold because of Covid-19.

Arts Festival - £20,000 was previously designated to help fund the upcoming Festival, now postponed due to Covid-19.

17 Related party transactions

Knowsley Enterprise Academy is a charitable venture, limited by guarantee and set up by Knowsley Development Trust Ltd.

Knowsley Development Trust Ltd is a not for profit organisation operating from North Mersey Business Centre. All Trustees of Knowsley Enterprise Academy are also directors of Knowsley Development Trust Ltd. During the financial year Knowsley Development Trust provided staff and office facilities free of charge to Knowsley Enterprise Academy totalling £24,000 (2020: £24,000) and £20,000 (2020: £20,000) respectively. There were no other transactions with Knowsley Development Trust Ltd during the current or previous year.

Mr S Dumbell, Mr J Garvey, Mr D Harwood, Mr A Hassan, Mr J Hignett and Mr J Reynolds are also directors of Your Travel Borough Wide Ltd. There were no transactions with Your Travel Borough Wide Ltd in the current year (2020: expenditure of £10,875).

Mr A Hassan and Mr S Dumbell are also directors of Phase 8 Development Company Limited (a 100% owned subsidiary of Knowsley Development Trust Ltd.). There were no transactions with Phase 8 Development Company Limited in the current year (2020: expenditure of £2,640).

Mr S Davies is also a director of Structec (N.W.) Limited. There were no transactions with Structec (N.W.) Limited in the current year (2020: rental income of £203).

There are no other related party transactions.

18 Company limited by guarantee

Knowsley Enterprise Academy is incorporated under the Companies Act as a company limited by guarantee. The liability of the members is limited to £10.
