## **Trustees' report For the year ended 31 March 2025** 

The Trustees present their annual report together with the financial statements of the Charity for the year 1 April 2024 to 31 March 2025. The Annual report serves the purposes of both a Trustees' report and a directors' report under company law. The Trustees confirm that the Annual report and financial statements of the charitable company comply with the current statutory requirements, the requirements of the charitable company's governing document and the provisions of the Statement of Recommended Practice (SORP) applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) (effective 1 January 2019). 

Since the Charity qualifies as small under section 382 of the Companies Act 2006, the Strategic report required of medium and large companies under the Companies Act 2006 (Strategic Report and Directors' Report) Regulations 2013 has been omitted. 

## **Objectives and activities** 

## **a. Policies and objectives** 

Our new Strategic Plan 2025 – 2028 reaffirms our core values of: Collaboration, Solidarity, Striving for Excellence, Reflectiveness and being Person Centred. We identified four key strategic directions: (1) Fostering an Enabling Environment; (2) Adapting our Service Delivery Model; (3) Diversifying funding and income streams; (4) Strengthening our Evidence and Impact. We also agreed our Theory of Change and planning principles SCORED (Scope, Client, Others, Risks, Evidence and Doable) so that we could respond to any changes in the wider landscape. During the financial year we continued to strengthen and develop our policies and procedures. New policies adopted by the Board included: Data Retention and Privacy (5/24); Young Peoples Conduct, Health and Safety, Drugs Education and Awareness (9/24); Anti-harassment and Bullying (1/24); Leave, including holiday, p/maternity , sickness, time off in lieu etc. (1/25); and Grievance, Redundancy and Safer Recruitment (3/25). We held a number of Trustee sub groups including: Housing, Destitution, Finance, Staffing and Evidence and Impact. We also worked on the creation of a new database system using Salesforce. 

## **b. Activities undertaken to achieve objectives** 

During the year as part of KRAN’s work with separated young refugees and asylum seekers, the charity continued to run Learning for Life (L4L) classes and Advocacy and Support services in the Canterbury and Folkestone areas, as well as social media and influencing initiatives to amplify the voice of young people with lived experience. Our Advocacy and Support services continue to provide: an established mentoring service; early intervention, complex, legal and housing casework; Youth Ambassador and Trainee schemes; wellbeing activities and support service in Canterbury and Folkestone. KRAN employs 32 members of staff both full and part time, along with volunteers, who are trustees and mentors. 

## **c. Volunteers** 

We have had over 54 volunteer mentors over the past year who are trained, DBS checked and supported to offer regular meetings with young people they are put in a mentoring partnership with. We also have 12 volunteer trustees. Other volunteers include back-office support for IT, and support for L4L classes shopping and cooking, as well as a research student placement.

## **Achievements and performance** 

## **a. Main achievements of the Charity** 

New collaborations were established with KCC’s Resettlement Team and Rising Sun to deliver Afghan families integration workshops; however, a change in party at KCC has stopped this. There is also an established partnership with North West Kent  Citizens Advice Bureau (NW CAB). This involved weekly day release training for one of our staff as part of their Legal aid provision. Other collaborations include: art and drama work with the Gecko Theatre and Good Chance Company film ‘From Here on’ which was screened nationally and locally; People United and F51 Climbing Centre Folkestone; art activism ‘Holding On’ installation, and a coproduction of an art exhibition with the Carl Freedman Gallery and Studio Lenca. We also collaborated with the Together with Refugees ‘Fair Begins Here’ campaign. Bell Educational Trust supported our Youth Ambassadors and Trainees as ‘experts by experience’. We also participated in Refugee Week with the Social Justice Network and Canterbury Cathedral. 

Organisationally we have now established a new accredited L4L provision along with the Arts Awards. We launched our new Strategic Plan 2025-28 after a summer of consultations using a True North approach. We appointed a new Senior Manager: Advocacy and Support and were able to offer additional trainee roles. Also, all staff completed a two day ‘Healing spaces’ International Rescue Committee training course. 

Achievements in media and communications included: the launch of a podcast series called ‘Stories without limits’ on Spotify; an Election Manifesto by the Youth Ambassadors; and live interviews on BBC South East and BBC World Service during the elections. Also, we have developed our following on Instagram and LinkedIn. In addition, we worked with one of our patrons, Gavin Esler, during the year on different initiatives. 

## **b. Fundraising activities and income generation** 

We continue to have a very positive relationship with our established grant funders. However, our relationship came to an end with Lloyds Bank Foundation as we are now too big for their criteria,  Bennelong decided to close their grant funding, and Blue Thread were informed that This Day were reviewing their grant priorities. Nevertheless, we secured new grants from Cummins Global Giving Grant, the Civic Power Fund (a 3 year grant), new long term funding from the National Community Lottery, and funding (twice) from the Millionaires Postcode Lottery (Folkestone and Canterbury). Also, one year’s funding from the CAF Resilience fund along with workshop support and new funding from Garfield and Weston towards our core costs. 

## **Financial review** 

## **a. Going concern** 

After making appropriate enquiries, the Trustees have a reasonable expectation that the Charity has adequate resources to continue in operational existence for the foreseeable future. As noted last year, the large carry forward was from grants paid in to the financial year window, for spending in the subsequent financial year. During this financial year, some of the regular large grants were received after this year’s financial window, hence our income is presented as below our expenditure. For this reason, they continue to adopt the ‘going concern’ basis in preparing the financial statements. Further details regarding the adoption of the ‘going concern’ basis can be found in the accounting policy. 

## **b. Reserves policy** 

Sufficient amounts of unrestricted and restricted funds are maintained throughout the year to cover management and administration costs for a 3 month period. We also agreed to put our carry forward fund into high interest accounts, with reasonable access in order to increase our reserves. Our unrestricted funds are designated by the Trustees and not the funders and so can be used as required. We are continually working to increase our reserves as part of our Fundraising Strategy. Our General Funds were used this year to support running costs.

## **c. Annual performance** 

There was an increase in unrestricted funds of £36,874 during the year. At the year end, the charity had unrestricted funds of £235,938, of which £204,094 have been designated, and restricted funds of £231,213. 

## **d. Principal risks** 

We have a robust Risk Register and Risk policy which is regularly reviewed and updated at the Trustee Meetings. This is a live document and available on request. 

## **e. Accounts variations** 

There are a number of variations in this year's accounts. Firstly, Project and Sessional staff costs have gone from approximately £38k to £12k. In the financial year 23/24 we contracted sessional teachers, a sessional housing caseworker and sessional trainees. We have made a conscious effort to move these roles onto our payroll for consistency and to improve our commitment to our trainees. Secondly, insurance costs increased due to the tendering requirements of Virtual Schools Kent to have higher cover for Indemnity and Public Liability insurance. Training costs increased as there was a focus with the new Senior Manager: Learning for Life to provide training and resources to our teaching provision. We received additional funding for this and for new equipment including tangible assets of two new SMART boards for our teaching. 

Our carry forward was higher than usual. We received a number of restricted grants towards the end of 2024 and beginning of 2025. Some of this funding was preserved for use in 25/26 to help towards the shortfall in secured funding. The carry forward also includes the Destitution Fund of around £80,000. We agreed that 20% of the CEO’s time should be allocated to Fundraising costs, and that the Destitution Fund and Amal Fund (created through interest gained) should be separated. 

## **Structure, governance and management** 

## **a. Constitution** 

Kent Refugee Action Network is a charitable company limited by guarantee and is governed under the Companies Act of 2006 by a Memorandum of Association and Articles of Association originally agreed at an Extraordinary General Meeting held on December 19th 2002. 

The trustees named on page 1 served during the year, supported by a Senior Management Team. The Officers of KRAN are Trustees and were recommended to members of KRAN by the existing Trustees at the Annual General Meeting in February 2025. Their appointments, together with the election of other members of the committee, were approved by the meeting in accordance with our governing documents. 

## **b. Methods of appointment or election of Trustees** 

The Management of the charity is the responsibility of the Trustees who are elected and co-opted under the terms of the Trust deed. Trustees are recruited through an open call during the year based on the skills and expertise needed on the Board and are coopted until the AGM, at which point they are elected by our members for a term of 3 years initially, when they can be re-elected or stand down. Office bearers are appointed at the first Board of Trustee meeting after the AGM. 

## **c. Organisational structure and decision-making policies** 

In 2024/25 there were no substantial changes to our organisational structure, having secured the full complement of staff. A Senior Management Team, a core staff team, Learning for Life Team and Advocacy and Support Team.  A detailed up-to-date list of staff is available on our website: www.kran.org.uk.

## **d. Trustees' indemnities** 

The charity is insured for public liability and trustee indemnity. 

## **Plans for future periods** 

We will be implementing and reviewing our Strategic Plan 2025-28 breakthrough objectives in light of wider changes and emerging needs. We aim to become Immigration Advice Authority (IAA)  Registered to be able to offer Legal Advice and Support and obtain a Trauma Informed Quality Mark, and we will be exploring our partnerships to mitigate the social housing crisis on our young people. We will also be monitoring the implications of the Local Government elections and will develop responses to the adverse impact they may have on our young people. 

We would like to sincerely thank the major funders, together with the many smaller funders, organisations and individuals without whose generous support we could not continue to help our young people so effectively.

## **Statement of Trustees' responsibilities** 

The Trustees (who are also the directors of the Charity for the purposes of company law) are responsible for preparing the Trustees' report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). 

Company law requires the Trustees to prepare financial statements for each financial . Under company law, the Trustees must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the Charity and of its incoming resources and application of resources, including its income and expenditure, for that period. In preparing these financial statements, the Trustees are required to: 

- select suitable accounting policies and then apply them consistently; 

- observe the methods and principles of the Charities SORP (FRS 102); 

- make judgments and accounting estimates that are reasonable and prudent; 

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Charity will continue in business. 

The Trustees are responsible for keeping adequate accounting records that are sufficient to show and explain the Charity's transactions and disclose with reasonable accuracy at any time the financial position of the Charity and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the Charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

## **1. General information** 

Kent Refugee Action Network is a charitable company limited by guarantee which was incorporated in England and Wales. 

The Charity's registered office is Unit 1, 34 Simmonds Road, Wincheap Industrial Estate, Canterbury, Kent, CT1 3RA. 

## **2. Accounting policies** 

## **2.1 Basis of preparation of financial statements** 

The financial statements have been prepared in accordance with the Charities SORP (FRS 102) - Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006. 

Kent Refugee Action Network meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy. 

The financial statements are presented in pounds sterling and are rounded to the nearest pound. 

## **2.2 Going concern** 

The Trustees have considered the charity's projected income and expenses along with the current level of reserves and concluded that the charity will be able to continue to operate for the foreseeable future.  Therefore, the accounts have been prepared on a going concern basis. 

## **2.3 Income** 

All income is recognised once the Charity has entitlement to the income, it is probable that the income will be received and the amount of income receivable can be measured reliably. 

The recognition of income from legacies is dependent on establishing entitlement, the probability of receipt and the ability to estimate with sufficient accuracy the amount receivable. Evidence of entitlement to a legacy exists when the Charity has sufficient evidence that a gift has been left to them (through knowledge of the existence of a valid will and the death of the benefactor) and the executor is satisfied that the property in question will not be required to satisfy claims in the estate. Receipt of a legacy must be recognised when it is probable that it will be received and the fair value of the amount receivable, which will generally be the expected cash amount to be distributed to the Charity, can be reliably measured. 

Grants are included in the Statement of financial activities on a receivable basis. The balance of income received for specific purposes but not expended during the period is shown in the relevant funds on the Balance sheet. Where income is received in advance of entitlement of receipt, its recognition is deferred and included in creditors as deferred income. Where entitlement occurs before income is received, the income is accrued. 

Income tax recoverable in relation to investment income is recognised at the time the investment income is receivable.

## **2.4 Expenditure** 

Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. 

All expenditure is inclusive of irrecoverable VAT. 

## **2.5 Interest receivable** 

Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the Charity; this is normally upon notification of the interest paid or payable by the institution with whom the funds are deposited. 

## **2.6 Tangible fixed assets and depreciation** 

Tangible fixed assets are initially recognised at cost. After recognition, under the cost model, tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. All costs incurred to bring a tangible fixed asset into its intended working condition should be included in the measurement of cost. 

Depreciation is charged so as to allocate the cost of tangible fixed assets less their residual value over their estimated useful lives, using the straight-line method.

## **2.7 Investments** 

Current asset investments are a form of financial instrument and are initially recognised at their transaction cost and subsequently measured at fair value at the Balance sheet date, unless the value cannot be measured reliably in which case it is measured at cost less impairment. Investment gains and losses, whether realised or unrealised, are combined and presented as ‘Gains/(Losses) on investments’ in the Statement of financial activities. 

## **2.8 Debtors** 

Trade and other debtors are recognised at the settlement amount after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due. 

## **2.9 Liabilities and provisions** 

Liabilities are recognised when there is an obligation at the Balance sheet date as a result of a past event, it is probable that a transfer of economic benefit will be required in settlement, and the amount of the settlement can be estimated reliably. 

Liabilities are recognised at the amount that the Charity anticipates it will pay to settle the debt or the amount it has received as advanced payments for the goods or services it must provide.

## **2.10 Financial instruments** 

The Charity only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. Basic financial instruments are initially recognised at transaction value and subsequently measured at their settlement value with the exception of bank loans which are subsequently measured at amortised cost using the effective interest method. 

## **2.11 Operating leases** 

Rentals paid under operating leases are charged to the Statement of financial activities on a straightline basis over the lease term. 

## **2.12 Pensions** 

The Charity operates a defined contribution pension scheme and the pension charge represents the amounts payable by the Charity to the fund in respect of the year. 

## **2.13 Fund accounting** 

General funds are unrestricted funds which are available for use at the discretion of the Trustees in furtherance of the general objectives of the Charity and which have not been designated for other purposes. 

Designated funds comprise unrestricted funds that have been set aside by the Trustees for particular purposes. The aim and use of each designated fund is set out in the notes to the financial statements. 

Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors or which have been raised by the Charity for particular purposes. The costs of raising and administering such funds are charged against the specific fund. The aim and use of each restricted fund is set out in the notes to the financial statements. 

Investment income, gains and losses are allocated to the appropriate fund.

## **21. Related party transactions** 

Andrew Beard, husband of Trustee Caroline Beard, is an employee of Kent Refugee Action Network, and during the year he received a salary of £14,206 (2024: £5,258) and employer's pension contributions of £711 (2024: £190). At the balance sheet date there were no amounts outstanding (2024: £Nil).
