REPORT OF THE TRUSTEES FOR THE YEAR ENDED 31 MARCH 2024
The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 March 2024. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).
OBJECTIVES AND ACTIVITIES
Objectives and aims
The charity's objects are the support of people either living in or visiting Warwick District with restricted mobility resulting from age, sickness, disability, accident or other disability (whether of a temporary or permanent nature), primarily through the loan of equipment, to enable them to travel outside their homes. We also sell small items of equipment, give advice and information, and signpost to other organisations.
The trustees have paid due regard to guidance issued by the Charity Commission in deciding what activities the charity should undertake.
Significant activities
Last year the scheme's opening hours were reduced to four days per week (Monday, Thursday, Friday and Saturday) during February and March 2023 as a trial period, due to low usage by customers mid-week during the winter months. The scheme reverted to six-day opening from April 2023 but the number of members and the number of day hires has continued to decline. The winter months saw very low usage, and some weekdays there were no customers at all. This was difficult for the scheme manager, working Monday to Thursday, due to lack of work.
Although long-term hire of scooters continued to be popular, the fleet of portable scooters was becoming increasingly unreliable due to their age, and the Board felt that this was not a core part of our service. Another factor was the physical strain on our employees when assisting hirers to load and unload scooters from their vehicles. The decision was therefore taken to discontinue provision of portable scooters from October 2023. The remaining serviceable portable scooters were sold off. The day-hire fleet of larger scooters remains.
In consideration of the above factors, the Board took the decision to permanently reduce opening days to Thursday, Friday and Saturday, with reduced hours. This involved redundancy for the scheme manager in October 2023, which was mutually agreed. This leaves just one employee of the scheme, who is due to retire in 2025. There has been no negative feedback from the public about the reduced hours. The Board will consider whether to wind up the scheme entirely in the light of usage over 2024.
The lifts in the Royal Priors continue to fail frequently, causing difficulty for our users. No further developments have occurred in relation to the premises used by the scheme.
The Board have continued to meet regularly, alternately via Zoom and in person. In March 2024 a marketing consultant was engaged to try to increase usage of the scheme. So far, new publicity material has been produced and a number of meetings held with local organisations to publicise our service.
The Board are grateful to Stephen Marks, Clerk to Royal Leamington Spa Town Council, for his work as Secretary to the Shopmobility Board. The Board also recognise the continuing loyalty and flexible approach of our remaining employee, who has been promoted to Scheme Manager.
Support from Royal Leamington Spa Town Council grant continues, at a reduced level commensurate with the reduced operational costs of 3-day opening. The grant, together with income from the sale of surplus scooters, has maintained healthy finances. Fewer donations of equipment have been received than last year.
We continue to benefit from the provision of free accommodation and services from Royal Priors, as well as a good relationship with the management team who have kept us informed of the changing plans for the centre. Wenman Healthcare have continued to support and sponsor the scheme.

FINANCIAL REVIEW
Reserves policy
It is the policy of the charity that unrestricted funds which have not been designated for a specific use should be maintained at a level equivalent to between three and six month's expenditure. The trustees consider that reserves at this level will ensure that, in the event of a significant drop in funding, they will be able to continue the charity's current activities while consideration is given to ways in which additional funds may be raised. This level of reserves has been maintained throughout the year.
The trustees have assessed the major risks to which the charity is exposed, and are satisfied that systems are in place to mitigate exposure to those risks.
The trustees have a duty to identify and review the risks to which the Charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error. We have policies in practice for lone working, equipment testing and compliance.
All decisions about the operation of Warwick District Mobility are made by the board of trustees, informed by an Operation Group.
STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006.

Were there a requirement for new trustees, these would be identified and appointed by the remaining trustees. The Chair of trustees is responsible for the induction of any new trustee which involves awareness of a trustee's responsibilities, the governing document, administrative procedures, the history and philosophical approach of the charity. A new trustee would receive copies of the previous year's annual report and accounts and a copy of the Charity Commission leaflet 'The essential Trustee : What you need to know'.

Independent examiner's report to the trustees of Warwick District Mobility Limited ('the Company')
I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 March 2024.
Responsibilities and basis of report
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.
Independent examiner's statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or
-
the accounts do not accord with those records; or
-
the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or
-
the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. ACCOUNTING POLICIES
Basis of preparing the financial statements
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.
Income
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.
Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.
Tangible fixed assets
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

Stocks
Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items.
Taxation
The charity is exempt from corporation tax on its charitable activities.
Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
