## **31 December 2022**
The directors and trustees present their report and the independently examined financial statements for the year ended 31 December 2022.
## **Governing Document**
The organization is a charitable company limited by guarantee, incorporated on 22[nd] August 2001 in the old name of The Council for the Protection of Rural England and again on 23[rd] July 2003 by reason of name change to The Campaign to Protect Rural England. The Company is governed by the Memorandum and Articles of Association.
## **Management and Direction**
The Executive Committee comprises a maximum number of 12 members. These members are Trustees and Directors and are elected annually. The Executive Committee has a Chairperson, a Vice Chairperson, Treasurer, Minute Secretary and Company Secretary. A number of similar organisations are invited to attend the meetings which are held each quarter. Up to five organisations can be involved.
The Executive Committee oversees and monitors the activities of the Company, sets policy, establishes employment criteria and investment activity.
The Management Group comprises up to five members who manage, in conjunction with the Technical Secretary and the Branch Development Manager, the day to day affairs of the Company.
Recruitment to these bodies is by selection resulting from advertising and recommendation from members.
There is no formal training provided by the Company, but external bodies are used when necessary to provide additional development.
## **Objectives and Activities**
The Company’s objects and principal activities are to:-
- 1) Promote and encourage, for the benefit of the public, the improvement, protection and conservation of the English countryside and in particular that of the County of Warwickshire as constituted from time to time plus the City of Birmingham (including Sutton Coldfield), the City of Coventry and the Metropolitan Borough of Solihull (hereinafter called the “area of benefit”), its countryside, towns and villages, and the better development of the rural environment; and
- 2) Promote such other charitable purposes as may from time to time be determined.
This is achieved by:-
- Expert and technical input into the formulation of plans for development control

- Careful monitoring of Planning Applications
- Campaigns to address matters of public concern
- Education, training and advice to members of the public and interested parties.

## **Objectives and Activities (continued)**
It is the intention to continue to promote the objectives of the Company by continual assessment of the needs of members, reference to the national policies of the CPRE and involvement in key planning and development matters in the countryside. An active policy of recruitment of volunteers to fulfil the primary roles as stated and the secondary functions of fund raising, membership development, effective administration and communication will be pursued.
## **Reserves Policy**
The Directors consider the current level of financial reserves to be adequate to fulfil the objectives of the Company. There is a Reserves Policy in place which sets out the criteria for the management of the capital and income of the Company.
## **Transactions and Financial Position**
This is shown in detail within this report. There was a net surplus on unrestricted activities of £2,062 for the year (2021: £95 deficit) and the unrestricted reserves are stated at £48,422 (2021: £46,360).
## **Directors and Trustees**
All Directors of the Company are also Trustees of the Charity.
## **Auditors**
The Company is not required to appoint auditors.
## **Independent Examiner**
Alice Helps was appointed Independent Examiner with effect from 23 January 2023.

## **STATEMENT OF DIRECTORS’ AND TRUSTEES’ RESPOSIBILITIES**
The Trustees are required by law to prepare financial statements for each financial year which give a true and fair view of the financial activities of the charity and its financial position at the end of that year. In preparing those financial statements the Trustees are required to:
a) select suitable accounting policies and apply them consistently;
b) make judgements and estimates that are reasonable and prudent;
- c) state whether applicable accounting standards and statements of recommended practice have been followed, subject to any departures disclosed and explained in the financial statements, and
- d) prepare the financial statements on a going concern basis unless it is inappropriate to assume that the Company will continue in operation.
The Trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charities Act 1993. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

## **Independent Examiner’s Report to the Trustees of the Campaign to Protect Rural England – Warwickshire**
I report on the accounts of the company for the year ended 31 December 2022, which are set out on pages 7 to 10.
## **Respective responsibilities of the Trustees and Examiner**
The Trustees, who are also directors of the company for the purposes of company law, are responsible for the preparation of the accounts. The Trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed.
Having satisfied myself that the charity is not subject to audit under Company Law and is eligible for independent examination, it is my responsibility to:
- examine the accounts under section 145 of the 2011 Act;
- to follow the procedures laid down in the General Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act, and
- to state whether particular matters have come to my attention.
## **Basis of Independent Examiner’s Statement**
My examination was carried out in accordance with the General Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as Trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a “true and fair view” and the report is limited to those matters set out in the statement below.
## **Independent Examiner’s Statement**
In connection with my examination, no matter has come to my attention:
1. which gives me reasonable cause to believe that in any material respect the requirements:
- to keep accounting records in accordance with Section 386 of the Companies Act 2006 and
- to prepare accounts which accord with the accounting records, comply with the accounting requirements of Section 396 of the Companies Act 2006 and with the methods and principles of the Statement of Recommended Practice: Accounting and Reporting by Charities have not been met or
2. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

For the year ending 31 December 2022 the Company was entitled to exemption from audit under Section 477 of the Companies Act 2006.
The members have not required the Company to obtain an audit in accordance with Section 476 of the Companies Act 2006.
The Directors acknowledge their responsibility for complying with the requirements of the Act with respect to accounting records and for the presentation of accounts.

## **1. Accounting policies**
## **Basis of accounting**
The financial statements have been prepared in accordance with applicable accounting standards and under the historical cost accounting rules.
## **Income**
Income is accounted for on a receivable basis and is shown gross with the associated costs included in expenditure.
## **Expenditure**
All expenditure is included on an accruals basis and is recognized where there is a legal or constructive obligation to pay for expenditure.
## **Restricted funds**
Part of these funds are held on behalf of Keep our GreenBelt Green (KOGG), an organisation campaigning to prevent the greenbelt around Coventry being used for housing. The other part of these funds are to be used to protect the countryside in South Warwickshire.
