Directors' Report (incorporating the Trustees' annual report)
The trustees, who are also directors of the charity for the purposes of the Companies Act, present their annual report for the year ended 31 March 2021 incorporating the Company information on page 1 and the financial statements on pages 12 to 18.
Structure Governance and Management
The charity is operated under the rules of its memorandum and articles of association incorporated 8 February 2002. It is a company limited by guarantee and therefore has no share capital.
Overall management of the charity is the responsibility of the directors who are elected and coopted under the terms of the memorandum and articles of association. Day to day project activity is managed and carried out by paid staff and volunteers.
Consent was obtained from the Registrar of Companies to dispense with the word "Limited" because of the Company's charitable status.

Aims and organisation
The principal objects of the company are:
To promote the benefit of the community within East London and Essex, without distinction of sex, or of political, religious or other opinions by associating statutory authorities, voluntary organisations and the general public in a common effort to advance education and to provide facilities in the interests of social welfare for recreation and other leisure time occupation with the object of improving the conditions of life for those who have need of such facilities by reason of their youth, infirmity or disablement, poverty or social and economic circumstances.
To advance the education of the public at large, in agriculture, horticulture, home crafts, country life, protection and improvement of the natural environment through best environmental practices especially by encouraging reduction, re-use and recycling, and related subjects and in the principles of self-discipline and good citizenship and through their leisure time activities so that they develop their physical, mental and spiritual capacities and grow to full maturity as individuals and members of society and their conditions of life may be improved.
To promote among the public, humanity and morality by advancing education in the care and consideration for all animals, particularly animals in need of care and protection so that the public and particularly the younger members thereof will learn greater awareness of and appreciation for such animals.

To provide education and training for persons who have need of such facilities by reason of their age, youth, infirmity or disablement, poverty or social and economic circumstances, so as to prepare them for any trade, occupation or service and thereby advance them in life to enable them to earn their own livelihood.
To relieve physically or mentally handicapped or disabled or deprived persons by the provision, as remedial, recreational or therapeutic activity, of facilities, including horse and pony riding and gardening, subject, where appropriate, to the consent of the medical advisors of all such persons.
Activities
The Farm exists to provide a focus for community activity creating opportunities for people to grow, make a positive contribution and promote social cohesion through education, training, therapy and recreation.
Summary of the main achievements during the period
In planning our activities for the year, the trustees kept in mind the Charity Commission's guidance on public benefit at the directors' meetings. Unlike previous reports, this financial year's report has been severely impacted by the pandemic.
The proposed development of the sustainable housing around the neighbouring site started, but the farm has got no timeline for when the project will kick off at the farm site. If the development is fully implemented it will involve the farm obtaining more land and new buildings whilst losing a strip of the existing site. Phase one, the building of the first 14 houses including show homes has begun but due to the pandemic and unforeseen circumstances, the project has encountered delays. This phase has taken significantly longer than expected and therefore the development schedule has altered again with no projected date possible. This is an exciting venture that has the potential to refresh current resources, increase capacity and expand our services.
Effect of Coronavirus on the Farm
Since the outbreak of Covid-19, the farm has faced a very challenging time. Prior to the start of the year, the farm had only been able to open from 1st March 2020 to 23rd March 2020. The farm closure impacted 45 young farmers, 10 Duke of Edinburgh students, over 20 work experience students, 15 NEET young adults, an estimated 7,000 school children, and 3,000 event visitors.
During this short time we had started seeing a major drop in visitor and volunteer numbers including a stoppage to school visits.
All events for 2020 were cancelled with the exception of online website and Facebook updates where we got positive comments on the Facebook page, google feedback and Instagram.
All income generating activities including fundraising events and volunteering sessions were stopped during closure.
Our young farmers club had been closed in February due to the pandemic, to reduce risk and protect the young people and staff.
As soon as the schools were closed, our Hands On training programme, which supports young people for whom mainstream education is a challenge, had to stop.

We experienced a great loss of income in the last financial year. Our biggest expenditure is staff and the cost of caring for our animals, so even if the services we provide were stopped during lockdown, our expenditure remained little changed.
In order to reduce the risk that the farm may not be able to continue and to minimise the impact on our hard-working staff we sought financial help from as many sources as possible. Some farm job roles and programmes did not have an online alternative therefore furloughing staff was the only option.
Our trustees have worked really hard to ensure the viability of the farm, once re-opened, by updating all our policies, planning online staff training, budget planning, as well as applying for the discretionary Bourough grant. The farm site has been updated with signage and posters including social distancing guidance ready for re-opening. Most of the farm's training programmes have moved online.
The trustees have also developed a formal strategy in response to the Covid-19 crisis and the interruption to the farm's normal service by looking at avenues for securing funding, reaching as many service-users, including members and drawing up a timetable for re-opening following government lockdown guidelines. This will enable the safe opening up of the farm's physical spaces again.
With the inability to run services, we have seen a major struggle for our older volunteers to keep in touch and take part in online farm updates due to lack of devices and / or unaffordable data packages and digital know how. Staff and trustees have shown a greater willingness to adapt and take on new responsibilities in order to go above and beyond to support our members and volunteers.
The trustees working alongside staff have started planning farm events for 2021 which will be partially 'in-person' at the farm and partially online. We now have a recorded talk to go out to schools when the hatchpacks and incubators are dropped off to enable the children and teachers to have a more fulfilling hatching time. The trustees have continued to develop partnerships, and implemented new approaches and projects that can be done whilst social distancing.
To mitigate the negative impact that isolation presents for the mental and physical wellbeing of individuals, we have kept the support we offer by phone and emails by referring vulnerable and disadvantaged volunteer members of the community to the respective borough departments.
Our weekend young farmers club and school visits could not be restarted due to restrictions.
During the lockdown, Wellgate Community Farm trustees embarked on a fundraising and donation based model, on the crowd funding page, to support the farm. Here we encouraged individual donations raising much needed funds to feed the animals. This has been a positive fundraiser as we lost all income from physical donations.
Our Hands On project in partnership with Lambourne Outdoor Centre has re-opened as schools went back after Christmas. The students were happy to be back after the lockdown and after a little readjustment back into a work routine, are continuing with their levels 1 & 2 City & Guilds in animal care. A very small handful are struggling to adjust to the changes but with continued help from tutors, both in and out of school, should settle down soon. Spring is a time of new life on the farm and bottle feeds are a part of the students' day bringing many smiles.

Bagley Springs Allotment project
Due to current circumstances with Covid-19, the farm's involvement as well as plot holders had completely dwindled, meaning the site had unfortunately been left untouched.
The farm started working to get the site back up and running once the rules were relaxed by the government.
To date the following has been implemented with the help of staff and volunteers:

Plots are now allocated to people in the local community

Two compost bins for plot holders have been constructed

Two fully functioning water butts have been installed
-
Pathways have been outlined with wood panels and some plot holders have started using woodchip to mark their plot boundaries

Each plot is clearly marked out with a number

To help each plot holder get started, a basic instruction booklet has been distributed to all plot holders.
Everyone has been informed that compost is readily available for collection from the farm for their plots to help enrich the soil.
One of the major changes to happen on site was the purchase and installation of a new robust modern security gate. However, in order to fully utilise the full potential the site has to offer, and to support the community to the best of our ability, further funding is required:

To improve the fencing along the school boundary. This is very important as we plan on using a section of the site to provide grazing for our animals.

To provide a community shed for all plot holders to be able to securely store their tools, as they have previously been stolen when left on site.

To employ a Horticultural Project worker, who will liaise with the plot holders and support them whilst maintaining the grazing area and carrying out gardening sessions.
By taking all of the above points into consideration, our overall aim is to provide a nice communal space where all the residents can grow their own fruit and veg in a safe and functional communal space.
Wellgate Farm going forward after lockdown:
After 15th April we gradually opened the farm up to the public through an online booking system for groups of no more than 6 people over the age of 5. We implemented a one way system around the farm, and no entry to visitors' signage on staff buildings to keep staff and students safe. The toilets have a one person at a time system to maintain social distancing.
There has been a lot of interest in the farm visits with the booking slots filling up quickly and more going onto waiting lists. We have increased the amount of time slots available to the public and have introduced bottle feeding during the day for our orphan lambs. The farm has been cautious with re-opening fully to the public but will always conform to Government guidelines. The volunteers are returning slowly, and are gradually building up their hours. Due to the pandemic, not all our volunteers have returned and some have opted to do half days instead so there are some days that still need filling.

Having successfully applied for a grant to the Jack Petchey Foundation, we are currently running our Branching Out project targeting young people aged 16-25 years to attend the farm for work experience, work placements, extra-curricular activities particularly for Special Education Needs pupils and longer term volunteer places for young people not in education, employment, or training (NEET).
We also offer a week day supported adult volunteering project for 30 people who are not in education, employment, or training, currently funded by the Provident Social Impact fund through the London Community Foundation. These volunteers will gain work experience on the farm working with the animals, gardens and the yard in small teams supported by an experienced instructor. Once the guidelines allow, the participants will start to engage with their peers, other farm users and visiting members of the public including visiting groups.

Proposed 2021 Fundraising Events
Open Day - Our longest running event with traditional crafts.
The Wellgate Games - Created by our Young Farmers, this is a summer event at the farm - A competitive animal show for young people to show their pets and the farm's animals in a friendly competition.
Animal Encounters Day - A small open day event in the summer holidays.
Halloween at the Farm - A child friendly spooky event at the Farm.
Christmas Grotto.
Tea Party - A social event with an opportunity to interact with the animals whilst socialising with friends and neighbours.
Beaks and Squeaks - Sessions for young children including preschoolers.
Farmer For a Day Sessions - Sessions for 8 to 16 year olds to have a fun filled farming day.
Herbies Farming Session - Forest school style event for children to engage with nature on the farm.
This year all offsite mobile farm community events were cancelled. The mobile farm is a vital way for us to meet with new people, teach them about farming and introduce them to our animals. It is also a vital source of additional income for the farm. We do hope that when restrictions are lifted the farm will be able to book and attend events across the local area and surrounding Boroughs. We usually engage with SEN pupils in the local area during the community and school organised visits. We enjoy being at these events and the visiting public love engaging with our animals and getting local produce including our popular honey.
The farm usually attends the London Festival of City Farms and Community Gardens. This year we took part online and there are plans to hold a physical event in 2021.
The charity's policy on reserves
Wellgate Community Farm has agreed that free reserves should aim to be a minimum of 3 months and a maximum of 1 year's expenditure. The Trustees believe that this level of reserves would enable us to meet our aims and objectives on a short-term and long-term basis. This would also provide for unanticipated shortfalls in income and to cover costs such as staff sickness, delays in receiving grants, moving premises or other unplanned events. The level of reserves is regularly kept under review

Future developments
To implement the business plan bearing in mind the business risk assessment.
To maintain and develop our partnership with Barking & Dagenham Council, Lambourne End Centre, Social Farms and Gardens (the amalgamation of the Federation of City Farms and Community Gardens and Care Farming UK) to increase our partnership working.
To continue to use our resources as efficiently as possible and to be alert to possibilities for developing the farm, including new streams of funding.
To continue to work with the developer to realise the proposals for the new development.

Financial Review
The results of the year are set out in the Statement of Financial Activities on page 17.
Management accounts continue to be presented to the Trustees at each meeting.
The Trustees have continued to work with the local Council for Voluntary Services to provide advice on commercial management and viability.
For the coming year the farm needs to continue to increase its income in order to further develop and maintain its resources.
Directors' responsibilities
The directors are responsible for preparing the report and accounts in accordance with applicable law and regulations.
Company law requires the directors to prepare accounts for each financial year. Under that law the directors have elected to prepare the accounts in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the directors must not approve the accounts unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period. In preparing these accounts, the directors are required to:

select suitable accounting policies and then apply them consistently;
-
make judgements and estimates that are reasonable and prudent;
-
prepare the accounts on the going concern basis unless it is inappropriate to presume that the company will continue in business.
The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company's transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the accounts comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
Small company provisions
This report has been prepared in accordance with the provisions in Part 15 of the Companies Act 2006 applicable to companies subject to the small companies regime.

We have performed certain procedures in respect of the Company’s unaudited accounts for the year ended 31 March 2021 (which comprise the Profit and Loss Account, the Balance Sheet and the related notes), made enquiries of the Company’s directors and assessed accounting policies adopted by the directors, in order to gather sufficient evidence for our conclusion in this report.
This report is made solely to the Company’s directors, as a body, in accordance with the terms of our engagement. It has been released to the directors on the basis that this report shall not be copied, referred to or disclosed, in whole (save for the directors’ own internal purposes or as may be required by law or by a competent regulator) or in part, without our prior written consent. Our work has been undertaken so that we might state to the directors those matters that we have agreed to state to them in this report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the Company and the Company’s directors as a body for our work, for this report or the conclusions we have formed.
Respective responsibilities
You have confirmed that you have met your duty as set out in the directors’ statement. You consider that the Company is exempt from the statutory requirement for an audit for the year. Our responsibility is to form and express an independent conclusion, based on the work carried out, to you on the accounts.
Scope
We conducted our engagement in accordance with the Institute of Chartered Accountants in England & Wales Interim Technical Release AAF 03/06. Our work was based primarily upon enquiry, analytical procedures and assessing accounting policies in accordance with the Financial Reporting Standard for Smaller Entities. If we considered it to be necessary, we also performed limited examination of evidence relevant to certain balances and disclosures in the accounts where we became aware of matters that might indicate a risk of material misstatement in the accounts.
The terms of our engagement exclude any requirement to carry out a comprehensive assessment of the risks of material misstatement, a consideration of fraud, laws, regulations and internal controls, and we have not done so. We are not required to, and we do not, express an audit opinion on these accounts.
Conclusion
Based on our work, nothing has come to our attention to refute the directors’ confirmation that in accordance with the Companies Act 2006 the accounts give a true and fair view of the state of the Company’s affairs as at 31 March 2021 and of its profit for the year then ended and have been properly prepared in accordance with the Financial Reporting Standard for Smaller Entities.

1 Accounting policies
Basis of preparation
The accounts have been prepared under the historical cost convention and in accordance with the Financial Reporting Standard for Smaller Entities (effective April 2008).
Accounting convention
The financial statements are prepared in accordance with applicable accounting standards and Accounting and Reporting by Charities Statement of Recommended Practice (SORP 2005).
Fund accounting
The following types of funds are maintained:-
Unrestricted funds
These represent funds that are expendable at the discretion of the directors in the furtherance of the objects of the charity. Part of the unrestricted fund balances are designated funds which have been earmarked by the directors for particular purposes.
Restricted funds
These represent grants, donations and other types of income which are allocated by the donor for specific purposes.
Depreciation
Depreciation has been provided at the following rates in order to write off the cost of assets less their estimated residual value, over their estimated useful lives.

Incoming resources and resources expended
The charitable company has taken advantage of the concessions given in Appendix 5 of SORP 2005 and does not analyse either income or expenditure by activities. The income and expenditure classifications used, therefore, in the Statement of Financial Activities (SoFA) are natural ones.
Incoming resources
All incoming resources are included in the Statement of Financial Activities (SoFA) when the charity is legally entitled to the income and the amount can be quantified with reasonable accuracy. The following specific policies are applied to particular categories of income.
Voluntary income is received by way of grants, donations and gifts and is included in full in the Statement of Financial Activities when receivable. Grants, when entitlement is not conditional on the delivery of a specific performance by the charity, are recognised when the charity becomes unconditionally entitled to the grant. Incoming resources from grants, where related to performance and specific deliverables, are accounted for as the charity earns the right to consideration by its performance.
Donated services and facilities are included at the value to the charity where this can be quantified. The value of services provided by volunteers has not been included in these accounts.
Farm sales, investment income and membership fees are included when receivable.
Training and educational fees are recognised within the financial statements when receivable by way of performance of services.
Resources expended
Expenditure is accounted for on an accruals basis.

All restricted fund balances represent unspent grants which are carried forward for use in the next financial period.
The grants were given for the following purposes:-
Jack Petchey Foundation
The Farm runs a Youth Achievement Scheme awarded to young people between the ages of 11 and 25 and is expended at their discretion within the charity's activities. We were also awarded two grants.
1- Jack Petchey Give Something Back Grant
To run a youth volunteering project for young people to volunteer and give back to their local community. The project is for 11 to 18 year olds to volunteer at the Farm during school holidays. The key benefits of the programme are that the young people are learning new skills with like-minded people at a community farm.
2- The Jack Petchey Covid-19 Recovery Fund
This grant was awarded to the Farm to enable staff to return from furlough to support and supervise the young people 11 to 25 years in London/Essex. The project increased the number of young people able to attend after lockdown and during the Covid-19 pandemic. This was achieved through work experience, work placements, extra-curricular activities perticularly Special Educational Needs pupils, and longer-term volunteer places for young people not in education, employment or training (NEET).

Charles S French Trust
This grant was awarded to the Farm to contribute to the Farm Manager's salary costs. This enabled the Farm Manager to return from furlough to plan and set up new Covid-19 secure working practices; this will allow the return of other staff for training, then in turn volunteering and educational activities to resume as permitted by Government guidelines.
National Lottery Community Fund
This was originally awarded for the running of the Wellgate Farm Summer Community Events. Due to the pandemic we requested a change of plan and the grant has been used to fund two projects:

Spring Back to Life - Plan for reopening to the general public in a Covid safe way for small groups of people to attend for booked visits at set times.

Wellgate Challenge and Farm Show - this funded a programme of events and activities for our service users in a socially distanced style. We ran a programme of challenges and activities and an animal show for all farm volunteers, students and young farmers.
Essex Youth Trust
£3,000 was awarded to help fund the costs of the weekend Young Farmers' Club and £3,000 to fund our rabbit house.
Garfield Weston
This grant was awarded to help close the funding gap for 2019/20 and to contribute towards Farm core costs as well as offset the full costs of delivering services to disadvantaged people whilst maintaining our ethos of inclusivity..
NCIL 4th Round
This funding is to contribute towards the replacement of our old rabbit house which is no longer fit for purpose. This resource will support educational and volunteering activities at the Farm.
Provident Social Impact Fund
This grant was used to support the Branching Out project providing supported volunteer places for young people 18 to 30 not in education, employment or training and those transitioning from education.
Tesco Groundwork
This grant was awarded to contribute towards purchase of equipment and materials enabling the Farm to reopen the Young Farmers Club and volunteering project safely.
The Fore Trust- Raft Emergency Fund
This grant was used to support the Farm through loss of income due to the Covid-19 pandemic.
The Nineveh Trust
Funding towards the replacement costs of the old rabbit house, no longer fit for purpose.
Ford Trust Grant
This was awarded to fund the purchase of new laptops for students.
North Meet South Dragon's Den
This was a grant used for preparation of the allotment site to run community growing workshops.
Marsh Christian Trust
Awarded to help re-open in a safe way to be able to provide for the community.

Greggs Foundation
This was awarded to regenerate the old young farmers garden, transforming a neglected corner of the Farm into an improved garden with safer fences, adding wheelchair access, interpretation signs and raised beds for vegetables, herbs and fruit bushes.
London Borough of Barking & Dagenham
This is a service level grant towards the core costs of the Farm. Additional discretionary funding was granted which was used to support the Farm through the loss of income due to the Covid-19 pandemic.
