before Morch 2024 which could be used in the cvrrent f inanciol yeor. fhis meons thot income 15 shown in the previous
year'5 occounts, whi5e the expendilure is in this yeor's accounts.
The Community Fovndotion for Stoffordshire and Shropshire's Endowment portfolio hos developed despile the
market pressures of this yeor ond now stonds at more Ihon £8.9m.
The Community Foundotion for Stoffordshire & Shropshire hos successfully operated grant distribution contracts
on behalf of the Department for Culture, Medio ond Sport, Stoffordshlre County Council. Sloke-on-Trent City
Council. Lichfield District Council, Stofford Borough Council. Tomworth Borough Council, Midlgnds Partnership

The Community Foundation hos odopled on Emergency Appeals Policy which ollows vs to launch emergency funds

The Best Kept Village & Communlty Competition continues to rvn with o focus on community involvement,

Achlevements and performance
o. Main achievements of the Company
The Community Foundotion for Stoffordshire wos first estobli5hed In 2001 and begon operotlng across Stoke-on-Trent
in 2008. In 2009 the geogrophicol oreo of benefit wos exponded to cover the county of Stoffordshire. Following the
closure of the neighbouring Shropshire and Telford Commvnity Foundotion in 2015, we begor) offering ad-hoc grant-
giving servlces to Shropshire to ensure that community ond voluntory orgonisolions could continve to occe5s locol
grossroots funding. After several failed ottempts by voriov5 orgonisations to estoblish another community foundotion
we began offering tull services to the covnty in 2016. operating Under the name Commvnitu Foundotion for Shropshire,
and becomlng the county's only occredited community foundotion. In 2023, it was agreed to formally change the nome
of the comporiy ond charity to Communlty Foundation for Stoffordshire & Shropshire. and to use this new name ocr055
both covntles Usuolly. the chority is referred to os the Community Foundation.
In the eorlu 2020,5, following on from the Covid pondemic and various foctors offecting investments we hod revised
down our growth forecasts, but hod olso manoged to surposs them. In creating our Business & Development Plon 2024
2029 we were coutiously optimistic. bvt ogoin managed to perform beyond expectolions.
Durlng the year new endowment funds were secvred totolling over £457k to benefit both Staffordshire & Shropshire.
New flowthrough schemes. Used for imrnediote gront giving. were secured which totalled more than £3.8m.
Our work across Shropshire wos fLJrther solidified, ond we won new controcts for gront delivery in the county in the 2024
colendor year and secured two scheme extenslons toking the programmes into 2026. We algo odded some lond
holdjng5 to our portfolio of Shropshire assets due to trust transfers and secured u significont new legacy. There
remained o competitor organisotion using o similar nome. but the boord of trustees took the decision thot os the
legitimate, registered ond notionally recognised community foundation for Shropshire we should continue our work
brlnging benefit to communities across Shropshire & Telford and Wrekin.

a. Reserves pollcy
We oim to cover the running costs of the chority. (including basic Dperoting costs and more advonced ond client facing
activities), through doy-to-doy business octivity, including the distribution of gronis for which a cc)niribulion lo costs
rnau be mode by the fvnder. ond through the contribution to costs we receive from our f undholders.
As a charity ond a non-profit making compony we do not aim to moke o profit. but o surplus may occur when income
exceeds expenditure.
The boord reco9niges the need to grow endowment levels to o crltlcol moss to provide o sustoinable source of future
Income. which is one not offected by new contract5 ond funding cycles. An endowment fvnd volve of £12m would be
enough to cover our runnlng costs ot current levels, ond the current endowment fund total is jusi short Ol this. The
boord olso recognlses thot there is a need to ensure thot. should Income leve15 not be suff iclent to cover runnlng costs.

To address thi5 concern. we have developed ihe f ollowing re5erve5 policy.
Unrestricted reserves may be used lor any purpose thot the chorily sees f it, and this affects the level of reserves that
we oim to mainloin. Certoln Items of income may not contribute to unrestricted reserves. os they ore olreody allocoted
for expenditure in advance. For the purposes of this policy expendable endowments are not included in reserves,
althovgh they mtsy offer flexibility with regords to planned expendlture. In addition lo ovr held reserves. we have
estoblished our own endowment fund, which Is set up to cover development Costs ond strotegicollu imporlonl work
which may not be covered by ordinory income.
For the purposes of this policy the board have set o level of £270.000 to be held in unrestricted reserves. which will be
the equlvolent of 9 months, running costs ot current levels. The reserves policy stotes 9 months. with a tolerance of 3
months either woy. meaning reserves held will be the equivolent of belween 6- and 12-months running costs. This level
wlll give the Foundotion time to find olternative funding sources should there be a significant drop in incorne level&
b, Moterlal investments pollcy
We invest following Charity Commission guidelines. As port of thot strotegy, we hove odopted on eihicol inveslmenl
policy encompa55ing changing communitu otlitudes. During the year we continued to employ CCLA as one of our
Investment managers ond also utiliged the services of Cozenove. We ore olso the custodian of a held fund which Is
invested with Morlborough. Every three year5, accordlng to our internal policies ond procedures. we consider our
investment slrotegy ond the suilobility of our investment monogers. and the nexl review is dve In 2026.
As port of the regulor review into the Investment portfolio. o decision wos taken to diversify our Investments. ond to
increase the level of sociol impact during the Investment process. Whi15t we already hold Investments In commercial
property, we wanted thot property to be based locolly, so that we con hove o more direct ond positive impact on our
locol community. All decisions token ore in line with the governing document. and further discvssions continue to take
ploce to exomine how best to balance finonciol and sociol return, with protecting the investmenl value. We now own o
building in Stafford whlch Is let ot preferentiol rotes to local chorltles, social enterprises. and comtnunity groups. The
income generoted is used to focilitote further grant giving.

Over the lost 12 months there have been some slgniflcont income streams provided through local authorities, which
were turn funded by government. Usuolly, we aim to ensure thot the mojority of our Income con be clossed os
susitsinoble income. thot being os o result of endowment or chargeoble services. In the 2024/25 finonciul year the
bolonce wos more equol, being 40Vo OS o result of flowthrouoh fundlng. whlch we define as funding which is designed to
be oworded over o short-term tlmescole. Whilst thls is o monogeoble figure, and whilst we will continue to monoge
these streams. we have dedicoted extro resources to growino our business development team. and revlsed and
updated our Busine55 Development Plan, to ensure that growth f rom suslainoble sources con be the focus in the future.
This focus ollows us to respond more quickly to emerging and immediate need, strengthens our strotegic resilience ond
in turn puls u5 in a Stronger position to monage flowthrovgh funding. These risks ore kept under regulor review in order
to provide eorly mitigotion ond oction if needed. A formol Risk Assessment provides detoils of the actions needed to
mitigate these risks, olong with o list of further mitigation Ihot we need to toke.
With a growth in prlvotely held endowment there is o need to expond the business services we offer in order to provide
o fvller service to donors. os well as to look at complimentary services This must be corefully balonced with sustoinoble
income ond resources to ensure there is no retroctlDn of services.
d. Trustees
One of our trustees. Mr A Halden. took the declslon to stond down as a trustee ond director. olthough he remoins
Involved with our work. An open recru,'tment round for trustees wos held during Autumn ond Wlnter 2024125, with a
porlicular focus on Shropshire bosed trustees. We were pleosed to find two high colibre candidat8s to join our board,
ond they will be formally oppointed from Summer 2025.
As a result of these new appointments. we will hove o diverse board with the skills needed to help us drive growth. The
make-up of the boord will be roughly 50/50 between Stoffordshire ond Shropshire focused trvstee& 50150 between
men and women, ond feature trustees from o range of ethnicities. 50cio-economic bockgrounds. and ages.

The boord meets four times o yeor to discuss governance, review progress on funding and identify opportunlties for the
orgonisotion. They ulso meet twice o year for strotegic plonning workshops. Trvstees also form four sub-commlttees
with differing regponsibililies which meet o minimum of four times per yeor.
d. Arrangements for setting key management personnel remuneration
The re5ponsibilily for the setting of the Chief Executive's remuneratlon rests with the Chair and the Boord of trustees.
Remuneratlon for other key monogemenl personnel is set by the Chief Executlve ond formolly approved by the Board
