on behulf of the Deportment for Culture, Medla and Sport. Stoffordshire Courity Council, Stoke-on-Trent City
Council. Lichfield Di51ricl Council. Stafford Borough Council. Tomworth Borough Councll. Midlands Porinership
Foundation Trust. North Stoffordshire Combined Heolthcare Trust, and ihe Office of the Staffordshire
Commissioner, (for Police. Fire & Crlme). amongst others.

Through consolidation the Communlty Foundotion now monoges 44 individvol Endowment Funds on beholf of

o. Maln achlevements of the Company
The Community Foundation for Stafford5hire wos first eslab115hed in 2001 ond began operoling ocross Stoke-on-Trent
in 2008. In 2009 ihe geogrophicol areo of benefit wos expanded to cover the county of Stafford5hire. Following the
closure of the Shropshire ond Telford Communily Foundation 2013. we expanded to cover the covntg of Shropshire in
2015. In Shropshire we used the operoting nome Commvnity Foundotion for Shropshire. At the AGM in November 2025.
it was agreed to formolly chonge the name of the compony and chority to Community Foundotion for Staffordshire
ond Shropshire, and to use this new nome ocross both counties. Usuollu. the charity is referred to os the Communitu
Foundotlon.
We continue to grow, exceeding pre-set targetg thot werè Included in the charity s Business Development Plan 2020
2023 ond our Fund Development Plon. Following the covid-19 pondemic. ond subsequent lockdowns, we revised down
our growth forec05t. However, growth exceedèd those targets ond continues to outperform originolly set torget5. Dve
to morkel volotility, there wos some f luctuation in fund values throu9hout the yeor, but by year end, f und value5 were
increosing again. Due to increased grant giving ond new endowment5. expee(otions were surpossed.
During the year new endowment funds were secured totolling over £lm. New Ilowthrough schemes. used for
immediate grant giving, were secured which totolled more than £4m.
Our work ocross Shropshire was further solidified. and we won three new conlrocts for gront delivery in the county in
the 2024 colendor year, as well os gaining ts new endowment. A competitor organisotion In Shropshlre emerged, ond
we spent some time trying to bring the two orgonisotlon5 together. This was not possible, ond the board of Irv5tees
took the decision thot as the legitimote. registered and notionally f ecognised community foundotion for Shropshire we
should continue our work bringlng benefit to communities ocross Shropshire & Telford and Wrekin..
Financial review
The Stotement of Financial Activities for the ueor is sel ovt on pa9e 16 of the finonclal statements. A summary of the
finonciol result5 is sel out below.
Income received comprised donations, monagement fees ond endowmeni funds of £2.705,362 (2025.. £5.67B.400).
Detoils of grants paid out are disclosed in Note 8.

a. Reserves policy
We oim to cover the running costs of the chorily. (including bosic operoting costs and more advonced ond client facing
activities), through doy-lo-day business ocliK'ity, including the distribution o* gronts for which o conlributlon to costs
may be mode by the lunder, and through the contribution lo costs we receive from our fundholders
As o charity and o non-profit moking compony we do not oim lo moke o profit, but 0 Surplus moy occur when income
exceeds expenditure.
The boord recognise5 the need to grow endowment levels to a criticol moss to provide o sustolnable source of f uture
income. which Is one not offected by new contracts and funding cycles. An endowment f und value of £7.8rn would be
enough lo cover our running costs ot current levels, ond the current endowment fund toial is just short of this. The
board olso recognises thot ther? is a need lo ensure that, should income levels not be sufficient to cover running costs,
there Is o plan in ploce lo en5vre our continued operotion In the short-term. to allow vs a chonce to recover ond grow.
To address this concern. we hove developed the following reserves policy.
Unrestricted re5erve5 moy be used for ony purpose thot the charity sees fil. ond this offects the level of reserves Ihot
we oim to maintoin. Certoin items of income moy not contribute to vnrestricted reserves. as they ore olreody ollocoted
for expenditure in odvonce. For the purposes of this pollcy expendable endowments will not be included In reserves.
ollhough they may of*er flexibility with regords to plonned expenditure. In additlon to these reserve5. we hove
estoblished our own endowment fund. which is set up to cover development costs which moy not be covered by
ordinory income.
For the pvrposes of this policy the board hove Sel o level of £270.000 to be held in unrestricted reserves. whlch will be
the equivolent of 9 months. rijnning costs ol current leve15. The reserves policy stotes 9 months. with o toleronce of 3
months either woy. meaning reserves held will be the eqvivolent of between 6- and 12-monlhs running costs. This level
will give the Foundotion tlme to find olternative funding sovrce5 should there be o significant drop in Income level5.
b. Material investments policy
We invegt following Chority Commission guidelines. As part of thot strategy. we hove odopted an ethicol investment
policy encompossing chonging community attitudes. During the yeor we continued to employ Brewin Dolphin and
CCLA os our investment monagers ond ore custodion of a held fund which is invested with Morlborough. Every three
yeors. occording to ovr internol policies ond procedures. we consider our investment strotegy ond the suitobility of our
investment monogers. A review ond 'beuuly porode, took place in Februjru 2023, with o decision to change Investment
managers from April 2024.
As port of the regular review into the investment portfolio. a decision wos token to diversify our investments. ond to
increase the level of social impoct during the investment process. Whilst we olreody hold investments in commerciol
property. we wonted thai property to be bosed locolly, so thot we can hove a more direct and positive impocl on our
Iocc51 conimunitu. All decislons token are In line with ihe governing document. and further discussions continue to toke
place to exomine how best to bolarnce finonciol ond sociol return, while protecting the Investment valve. We now own a
building in Stafford which Is let ol preferentiol ralÈs to locol chorities, sociol enterprise5. ond community groups. The
income generated is use(J to facilitate f urther gront givlng.

income. thot being os o resvlt of endowment or chorgeable services. In the 2023/24 finonclal year the bolonce wa5
more equol, being 40Qkn os a result of flowthrough fundino. Whilst this 15 a monogeable figure. and whilst we will continue
to manoge these streoms. we hove dedicated extro resources to our business development team. ond revised and
updoted our Busines5 Development Plon, to ensure that sustoinoble growth con be the focus in the future. These risks
ore kept under regular review in order to provlde early mitigotion and action if r)eeded. The formol Risk Assessment
provides details of the actions needed lo mitigole ihe5e risks. along with o list of f urther mitigation that we need to toke.
With o growth in prSvotely held endowment there is a need to expand the business services we offer in order to provide
a f uller service to donors, os well as to look ryt complimentory service5. Thls musl be corefully balanced wlth sustainoble
income ond resources to ensure there is no retroclion of services.

Al the AGM In November 2023 our choir. Roger Lewis. ond one of our vice-chairs, Jonothon Andrew. retired Both
decisions hod been long-plonned and 50 we hud accounted for the chonges needed. Ashley Brough wos elected choir
from November 2023. with Chorlotte Almond being elected o vlce-chair. Simon Price had been one of the vice-chairs
since 2019 ond was re-elected.
An op&n recruitment round for trustees wos held In December 2023 ond Jonuory 2024. This rÈcruitment round oimed to
reploce the two trustees thot hod retired ond add new Irustees from Shropshlre to ensure there was representotion
from a51 oreos covered by our work. We were successful In recrviling four new trustees. olthgugh they were not
formolly appointed until Aprll 2024.

Stoffordshire) is registered os o choritable compony limited by guorantee. incorporoted on 21 May 2001 ond reglstered
as o charity on 16 April 2002. The compony wos esloblished under o Memorandum of Association. In the event of the
company being wound up. eoch member is required lo contf ibute un amount not e><ceeding £10.
The directors of the compony are also charity trustees for the purposes of charity law.

board. Boordroom Apprentice wos originollu lounched in Northern Irelond in 2017. ond ran for the first Ilme across
Englond. Woles & Scotland In 2Q23. It is supported by the Deportment for Levellino Up, Housing & Communities. 11 is O
Iwelve-monih leorning. development. and placement programme. which enables those people who Would like to serve
on a public or third sector board the opportunity to leorn ond gain experience in o safe way before they take the step of
joining one. It seeks to enable o wider diversity of individuals to ploy their part in our boardrooms, The overorching aim
