The Trustees present their annual report and financial statements for the year ended 30 September 2025.

The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the financial statements and comply with the Charitable Company's Memorandum and Articles of Association, the Companies Act 2006 and "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)".

Objectives and activities

The objects of the charity are to promote the benefit of the inhabitants of East Grinstead and the surrounding area without distinction of sex, sexual orientation, race or of political, religious or other opinions, to advance education and to provide and assist in the provision of recreation and leisure-time occupation with the object of improving the conditions of life of the said inhabitants.

The Trustees pay due regard to guidance issued by the Charity Commission, including guidance on public benefit, in deciding what activities the Charitable Company should undertake.

The Charity owns and operates the East Grinstead Sports Club as a multi-use sporting facility open to the public. No membership is required and the site is open to any member of the public to use. A number of sports are catered for including cricket, netball, squash, hockey, badminton, football, table tennis, tennis, pickleball, and now padel. The site has a large indoor sports hall used for a number of other sports including walking sports (football, netball), indoor hockey, netball, cricket, lacrosse, boccia, futsal and basketball and a fully functional and modern gym with 30 weekly classes.

Anyone interested in any sport, from beginners to experts, from juniors to seniors is welcome at the club, as are any new sports clubs or organisations wishing to base themselves at the Saint Hill site. The site is open to the public and welcomes any individual of any level who wishes to participate in sporting activity.

Current Activities

The Charity operates from its only site in Saint Hill Road, East Grinstead and is proud to support the provision of high quality sporting facilities with top quality pitches for padel, elite hockey, cricket, football and netball as well as squash courts, gym and a sports hall.

History of significant events

In 1989 East Grinstead Cricket Club and East Grinstead Hockey Club merged to create East Grinstead Sports Club. Both clubs had a long tradition of playing sport in the town but could see the benefits of joining forces for mutual advantage.

As part of the merger the cricket ground at West Street was sold, and the cricket club moved to the current site at Saint Hill, which the Hockey Club had purchased in 1959. The proceeds of the cricket ground sale were invested in building a new pavilion and sports hall at Saint Hill, laying an artificial hockey pitch, and creating a new cricket square. East Grinstead Ladies Hockey Club played its hockey at the old cricket ground and decided to move to Saint Hill at the same time and become another founder member club of the Sports Club.

The Sports Club expanded further in 1997 through the joining of the Felbridge Badminton Club. Key developments and milestones in the subsequent years include:

In addition, as at 30 September 2025 there were six sports clubs chose to affiliate to the charity and base their clubs at the Saint Hill site – EG Hockey Club, EG Cricket Club, Felbridge Badminton Club, CD Phoenix Netball Club, Dunnings Squash & Racketball Club, and East Grinstead Meads Football Club. The charity also works closely with a number of other clubs and organisations that use the facilities and welcomes any new sports to the site.

Achievements and performance

Whilst the Charity owns the site, day to day operations are leased to a local operator Acorns Leisure and Gym Limited (“Acorns”)

Leasing the facility in this way enables the Trustees to focus on the Charity’s strategic objectives through identifying and working towards future developments to maintain and enhance the facilities and providing sporting/well-being opportunities to the local community.

Developments in the year

At the AGM in July 2025, Gary Needle stepped down as Chair after eight years of service. The Board wishes to place on record its appreciation and thanks for his contribution to the club and is delighted that he is remaining on the Board as trustee. We are delighted to welcome a new Chair of the Charity, Adam Smith.

Over the recent years, with assistance of the site operator the Charity has significantly expanded the range of sporting provision on site, most notably now including padel. Padel is the UK’s fastest growing sport and caters to all ages and skill levels, making it the perfect addition to our facilities. During the year, with kind support of the Lawn Tennis Association, Mid Sussex District Council, East Grinstead Town Council and a number of private individuals and organisations the charity constructed four state-of-the-art covered and floodlit padel courts. The addition of these courts is part of a broader effort by the club to continue improving its facilities and fostering a more diverse and inclusive sporting environment for all members of the community. As padel’s popularity grows in the UK, East Grinstead Sports Club is positioning itself at the forefront of this exciting movement. Take up of court usage has been exceptional and there is now an active and enthusiastic following of this new sport.

Financial review

The Charity has net incoming resources of £68,285 (net incoming resources in 2024: £33,416), as shown in the Group Statement of Financial Activities on page 13, and accompanying notes to these financial statements. Included within the incoming resources are donations of £110,900 (2024: £45,002), and included within the resources expended are depreciation charges totalling £28,556 (2024: £5,056).

The Charity’s only sources of funding are donations and grants from third parties, rents received from the operator to which the facilities are leased and any funds generated from the new padel courts. Donations and grants that are given for specific purposes are used entirely for those purposes. The Charity minimises as best it can the costs associated with its operations (noting that all Trustees provide their time on a voluntary basis), and as a result a minimum of 85%-90% of all unallocated income (essentially rental income above that received for specific costs such as insurance) is used for charitable activities in accordance with the Charity’s objects. As all grants and donations are fully utilised in this way, well over 90% of all income received is used directly to support the work of the Charity.

The Charity continues to work with all sports clubs and users to raise funds to offset the depreciation charges (and hence eventually replace/replenish existing facilities). The Charity has a policy to build up sinking funds where resources permit, for the replacement and development of all the facilities on site. Affiliated Clubs are also encouraged to assist where possible. In addition, various restricted funds may be held for specific purposes and allocated to individual clubs (e.g. by the terms of a donation) which are held in the Charity’s restricted funds. Over the year these sinking funds decreased by £9,833 (decreased in 2024 by £3,362).

In addition to where the clubs raise funds for the restricted pots, the charity is also building up a general projects fund. During the year, £114,566 was released from the fund to contribute to the financing of the new padel courts. The charity has also established new funds to ensure that funds are available to renew the padel courts at end of life and to ensure funds are available to repay the related private loans.

Reserves policy

It is the policy of the board to have a prudent and balanced view on unrestricted reserves. Free reserves are intended to reflect a minimum level of approximately between three and six months’ uncommitted expenditure over and above the value of the land, buildings and pitches.

The Future

It was a key achievement to complete the funding and construction of the four new padel courts and to successfully launch padel as a new sport on the site. Now that this is in place the trustees are mindful that with a site that is complex and diverse it is imperative that the facilities are maintained to a high standard and that the site is operated efficiently and to the satisfaction of all the members and sporting users. The Board has governance in place to assess and prioritise key projects and developments and to develop funding plans to achieve those aims. The immediate focus in 2026 is to replace the playing surfaces for the 3G football pitch and the water-based hockey pitch. Once complete in the summer of 2026, both these playing surfaces will be completely renewed to the highest standards.

Renewal of existing facilities requires significant amounts of capital which will need to be raised from a broad range of sources, including the charity, affiliated clubs, users, the operator, as well as external grant funding and the Charity is always open to new sources of revenue to help keep the site to high standards.

Structure, governance and management

East Grinstead Sports Club Limited is a company limited by guarantee and a registered charity governed by its Memorandum and Articles of Association.

The Directors of the charitable company ("the charity") are Trustees for the purpose of charity law and Directors for the purpose of company law. Collectively they are referred to as Directors.

None of the Directors has any beneficial interest in the company. Every member of the Company has a liability to contribute up to £1 to the assets of the Company in the event of it being wound up whilst they are a member or within one year after ceasing to be a member.

The Board shall consist of not less than six members and there is no maximum.

Under the terms of the Company’s Articles of Association one third of the Board members are required to retire each year, although all are eligible for re-election. At the Annual General Meeting on 16 July 2025, Nigel Fish, George Christopherson and Jason Coleman stood down as Directors under rotation but agreed to stand for re-appointment. Both were reappointed unanimously by the members present at the AGM. In addition, two new Director trustees were appointed, Adam Smith and Spencer Bowen.

Those entitled to vote at the AGM are either a current Trustee of the Charity or an adult member of one of the following sports club as long as the club holds a current affiliate status of the Charity: East Grinstead Hockey Club, East Grinstead Cricket Club, Dunnings Squash and Racketball Club, CD Phoenix Netball Club, Felbridge Badminton Club, and East Grinstead Meads Football Club.

As part of this process a governance review will be undertaken to make sure the Charity continues to be operated efficiently and in line with modern standards.

The Directors have identified and considered the overall risks to the Charity. These risks are regularly reassessed with regard to their impact and their likelihood of occurring within the organisation. Systems to control and mitigate these risks are in place.

Small company exemption

This report has been prepared in accordance with the provisions applicable to companies entitled to the small companies' exemption.

STATEMENT OF TRUSTEES' RESPONSIBILITIES FOR THE YEAR ENDED 30 SEPTEMBER 2025

The trustees, who are also the directors of East Grinstead Sports Club Ltd for the purpose of company law, are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

Company Law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources, including the income and expenditure of the charitable company for that year.

Opinion

We have audited the financial statements of East Grinstead Sports Club Ltd ('the charitable company') and its subsidiary ('the group') for the year ended 30 September 2025 which comprise the Group Statement of Financial Activities, the Group Balance Sheet, the Charity Balance Sheet, the Group Cash Flow Statement and notes to the financial statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland (United Kingdom Generally Accepted Accounting Practice).

In our opinion, the financial statements:

Basis for opinion

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor's responsibilities for the audit of the financial statements section of our report. We are independent of the group in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Conclusions relating to going concern

In auditing the financial statements, we have concluded that the trustees' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the charity’s ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

In preparing the financial statements, the trustees are responsible for assessing the charitable company's ability to continue as a going concern, disclosing as applicable, matters related to going concern & using the going concern basis of accounting unless the trustees either intend to liquidate the charitable company or to cease operations, or have no realistic alternative but to do so.

Auditors responsibilities for the audit of the financial statements

We have been appointed as auditor under section 144 of the Charities Act 2011 and report in accordance with the Act and relevant regulations made or having effect thereunder.

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor's report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

Irregularities, including fraud, are instances of non-compliance with laws and regulations. The extent to which our procedures are capable of detecting irregularities, including fraud, is detailed below.

In relation to fraud, the objectives of our audit are to identify and assess the risk of material misstatement of the financial statements due to fraud, to obtain sufficient appropriate audit evidence regarding the assessed risks of material misstatements due to fraud through designing and implementing appropriate responses and to respond appropriately to fraud or suspected fraud identified during the audit.

However it is the primary responsibility of management, with the oversight of those charged with governance, to ensure that the entity’s operations are conducted in accordance with the provisions of laws and regulations and for the prevention and detection of fraud.

In identifying and assessing the risks of material misstatement in respect of irregularities, including fraud, the audit engagement team made enquiries of management, and those charged with governance, regarding the procedures relating to identifying, evaluating and complying with:

  1. laws and regulations and whether they were aware of any instances of non-compliance;

  2. detecting and responding to the risks of fraud and whether they have knowledge of any actual, suspected or alleged fraud;

  3. the internal controls established to mitigate risks related to fraud or non-compliance with laws and regulations;

We obtained an understanding of the legal and regulatory framework that the Charity operates in, focusing on those laws and regulations that had a direct effect on the financial statements or that had a fundamental effect on the operations of the Charity. The key laws and regulations we considered in this context included the UK Charities Act, data protection regulations, taxation and employment legislation. The engagement partner has reviewed the team selected to undertake the engagement and ensure that they have sufficient competence and are capable of identifying and recognising non-compliance with laws and regulations. No non-compliance was identified.

Discussion was held among the engagement team regarding how and where fraud might occur in the financial statements and any potential indicators of fraud. As part of this discussion, we identified potential for fraud in the following areas:

Management override of the controls in place

The audit engagement team identified the risk of management override of controls as the area where the financial statements were most susceptible to material misstatement due to fraud. Audit procedures performed included but were not limited to testing manual journal entries and other adjustments and evaluating the business rationale in relation to any significant, unusual transactions and transactions entered into outside of the normal course of business.

Revenue recognition

Audit procedures performed included, but were not limited to, performing walk through tests to identify the control procedures in place and once an understanding of the income recognition process was obtained, substantive procedures were also performed.

Related Party relationships and transactions

Valuation of freehold and investment property was identified as a significant risk. Audit work performed included reviewing the valuations provided, confirming they were reasonable and in line with expectations based on current industry information, as well as confirming the surveyor was suitably qualified to perform the valuations. Other testing included an impairment review performed by the audit engagement team, and physical inspection of the properties.

Use of our report

This report is made solely to the charity’s trustees, as a body, in accordance with part 4 of the Charities (Accounts and Reports) Regulations 2008. 1 ACCOUNTING POLICIES

Charity information

East Grinstead Sports Club Limited is a private company limited by guarantee incorporated in England and Wales. The registered office is Saint Hill Road, East Grinstead, West Sussex, RH19 4JU.

The group consists of East Grinstead Sports Club Limited and its subsidiary.

The financial statements have been prepared in accordance with the Charitable Company's Memorandum and Articles, the Companies Act 2006, FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Charities SORP "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)". The Charitable Company is a Public Benefit Entity as defined by FRS 102.

The financial statements are prepared in sterling, which is the functional currency of the charity. Monetary amounts in these financial statements are rounded to the nearest £. The financial statements have been prepared under the historical cost convention, modified to include the revaluation of investment properties and certain financial instruments at fair value. The principal accounting policies adopted are set out below.

1.2 Basis of consolidation

The consolidated group financial statements consist of the financial statements of East Grinstead Sports Club Ltd together with the entity controlled by the Trust (its subsidiary). All financial statements are made up to 30 September 2025. Where necessary, adjustments are made to the financial statements of the subsidiary to bring the accounting policies in line with those used by the holding Trust.

All intra-group transactions, balances and unrealised gains on transactions between the group are eliminated on consolidation. Unrealised losses are also eliminated unless the transaction provides evidence of an impairment of the asset transferred.

Subsidiaries are consolidated in the group’s financial statements from the date that control commences until the date that control ceases.

1.3 Going concern

At the time of approving the financial statements, the trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Thus the trustees continue to adopt the going concern basis of accounting in preparing the financial statements.

1.4 Charitable funds

Unrestricted funds are available for use at the discretion of the trustees in furtherance of their charitable objectives.

Trustees may choose during the reporting period to set aside a part of the unrestricted funds to be used for a particular future project or commitment. By earmarking funds in this way, the trustees set up a designated fund that remains part of the unrestricted funds of the charity. This does not legally restrict the trustees’ discretion in how to apply the unrestricted funds that they have earmarked.

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.

1.5 Income

All income is recognised in the Statement of Financial Activities when alI of the following criteria are met:

Other grants, donations and legacies are included in full in the Statement of Financial Activities when receivable.

Income from charitable activities and other income is included in the Statement of Financial Activities in the year to which it relates.

Income from investments is included in the Statement of Financial Activities in the year in which it is receivable.

Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement, and the amount of the obligation can be measured reliably.

Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges are allocated on the portion of the asset’s use.

Expenditure is recognised on an accrual basis as a liability is incurred. Expenditure includes any VAT which cannot be fully recovered, and is reported as part of the expenditure to which it relates.

Charitable expenditure comprises those costs incurred by the charity in the delivery of its activities and services for its beneficiaries and their associated costs.

Support costs now include governance costs which are those costs associated with meeting the constitutional and statutory requirements of the charity and include independent examination fees and other professional fees.

Allocation and apportionment of support costs

The main activity of the charitable company is the provision of leisure activities to the local community, so all costs related to this are classified as direct costs and all other costs are allocated as support costs.

1.7 Tangible fixed assets and depreciation

Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.

Depreciation is recognised so as to write off cost or valuation of assets less their residual values over their useful lives on the following bases: Freehold land is not depreciated

Freehold building & building works Straight line over 50 years Squash court components Straight line over 10-30 years

Pitches Straight line over 10 years The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is recognised in the statement of financial activities.

1.8 Fixed asset investments

Fixed asset investments are initially measured at transaction price excluding transaction costs, and are subsequently measured at fair value at each reporting date. Changes in fair value are recognised in net income/(expenditure) for the year. Transaction costs are expensed as incurred.

A subsidiary is an entity controlled by the charity. Control is the power to govern the financial and operating policies of the entity so as to obtain benefits from its activities.

1.9 Cash and cash equivalents

Cash and cash equivalents include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.

1.10 Financial instruments

The charity has elected to apply the provisions of Section 11 ‘Basic Financial Instruments’ and Section 12 ‘Other Financial Instruments Issues’ of FRS 102 to all of its financial instruments.

Financial instruments are recognised in the charity's balance sheet when the charity becomes party to the contractual provisions of the instrument.

Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

Basic financial assets

Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.

Derecognition of financial assets

Financial assets are derecognised only when the contractual rights to the cash flows from the asset expire or are settled, or when the charity transfers the financial asset and substantially all the risks and rewards of ownership to another entity, or if some significant risks and rewards of ownership are retained but control of the asset has transferred to another party that is able to sell the asset in its entirety to an unrelated third party.

Basic financial liabilities

Basic financial liabilities, including creditors and bank loans are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.

Debt instruments are subsequently carried at amortised cost, using the effective interest rate method.

Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of operations from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.

Derecognition of financial liabilities

Financial liabilities are derecognised when the charity’s contractual obligations expire or are discharged or cancelled.

2 Critical accounting estimates and judgements

In the application of the company’s accounting policies, the trustees are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.

The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised, if the revision affects only that period, or in the period of the revision and future periods if the revision affects both current and future periods.

Going concern

The trustees are of the view that the charity has sufficient assets which can be realised in an orderly manner and that the future income from the farming subsidiary, the provision of courses and investments is sufficiently secure to mean that the charity will continue to operate for the next 12 to 18 months and that on this basis the assessment of the trustees is that the charity is a going concern.

Investment properties

The valuation of investment properties is based on an insurance valuation obtained when the Trust was first set up. The change in value, apart from additions at cost, is estimated by adjusting the value each year by the percentage change in the insurance valuations of properties for which an insurance valuation is available.

Residual value of fixed assets

Fixed assets including freehold properties and excluding land are depreciated over their useful lives to an estimated residual value. Residual value is the amount that would currently be obtained from the disposal of the asset after deducting estimated costs of disposal if the asset were already of the age and in the condition expected at the end of its useful life. Management have reviewed the residual value of all assets and adjusted the depreciation charged accordingly.

Freehold land and buildings were donated to the charity at a value of £1,586,364 during the year ended 30 September 2003. Freehold land was donated to the charity during the year ending 30 September 2017 with a value of £50,000, and during the year ending 30 September 2019 with a value of £80,000.

All freehold land and buildings are included in the financial statements at lower of cost, donated value or residual value agreed by the directors. In the opinion of the directors, the open market value of the freehold land and buildings is not less than the stated value.

There is a legal charge over the netball courts in favour of Sport England, and a second over the squash courts in favour of England Squash and Racketball.

A third legal charge was registered on Companies House on 27 November 2024 in favour of LTA Tennis Foundation, in respect of the new padel courts. This charge ranks pari passu with the Sport England charge.

22 RELATED PARTY TRANSACTIONS

East Grinstead Sports Club made payments totalling £288 (2024 - £96) to the company BGL Communications Ltd of which a trustee, Lee Farren, is the sole director. The payments related to telecommunication expenses.
