The trustees who are also dlrectors of the charity for the purposes of the Companies Act 2006, present their
report with the financial statements of the charity for the year ended 30 September 2023. The trustees have
adopted the provisions of Accounting and ReFMNting by Charities." Ststement of Recommended Practic
applicable to charities preparing their accounts in accordanco with the Financial Reporting Standard
applicable in the UK and Republic of Ireland IFRS 1021 {effactive 1 January 2019).

OBJECTIVES AND ACTivrriES
Public benefft
The Trustees have c£)mplied with their duty in section 17151 of the 2011 Charits'es Act lo have due regard to
public benefit guidance published by the Charity Commission when reviewing aims and objectives of the
charity in planning fulure activities. In particular. the trustg8s consider how planned activities will contribute to
thg aims and objectives set.

The followng are examples of schemes that are in place which benefit the public..
The Freedom membership, which all¢)ws a 400A discount on the full fithess membership to those on b8nefits
(inwme support, job seekors, hoLSsing. disability. child support) and students. This membership has been
re-markeled in pathership with Ribble Valley Borough Council.
The tharlty manages the Ribble Valley Heatth and Wellbeing Partnership. The has taken over the Ribble
Valley 'Up and Active, scheme. replacing il with the 'Lets Live Lrfe. schgme. The 5chem8 encourages a
healthy lifestyle. by putting on S￿cIalIst ctassas whlch are available at a 60% discounted pric8. Classes
include sealed exeras8, circuits. stretch. meditation, aorobics, tone. Tai Chi, fitn8S5 (x)me dancing and
sessions for GP referrals such as wpervised gym. 'Lots Live Life scheme, also runs the 'Rural roadshow this
puts on aerobics classes in k)cal village halls and is currently lun from Flmmington, Hurst green, Longridge.
Sabden and many mora,
The Ribbl8 Valley Health and Wellbeing Partnership now has a children section, which is run by Sarah
Cowgill. This department is now in its 4th year of running the Holiday Acb'vilies Fund (HAF}, which provides
eligible chiklren wtth free holiday dub provision in easter, summer and winter holidays. This now Nns in the
partnership along with the dgpartment of education and Lancashire County cnuncil. The partnership is also in
its 3rd year of running the Play ActNili8s Teatime skills provision (PASTA). this is an aftgr school club for
children aged 4-8 year old with high BMI within Edisford and Lowmoor wards, il Nns in Ihe partnership wrth
Lancashire County coun￿1.

and all other ￿ntre pursuits. The centre has seen a subslanbal incr8ase in partnerships wilh l¢xal ￿hCX)IS,
community groups and sports clubs. Al 6 local Se￿ndary schooLs uso the cenlre fv4ic8 a week and 4 local
primary schools once a week.
A 25% diseounl per team on sports hall hire for a local indoor crown green bowling league for both league
and practi￿ sessions. 95V/o of Ihe partidpants are over the age of 60.
The ¢%ntre holds a free runnlng dub, walking Glubs, electric bike sessions and boot camps for local r&sidents.

Thg Centre works in partnorship wtth a k)cal charity including Ribble Valley Families Foundation. amongst
others.
Through the partnership, the charity is currently overseeing the Department of Education funded initiative
'Holiday Activities and Food, programme. Lancashire County Council funded, 'Play and Skills al Tgab"me'
activits'es. Both iniliats'ves support local families who need help with food and nutrition, enriching actmties and
planning for school aged chiklren.

ACHIEVEMENT AND PERFORMANCE
Fundraising actlvttles
This report relates to the 12-month perlod from 1 October 2022 to 30 September 2023, being the 19th year
the charity has been trading as a company limited by guarantee.
The charity ¢onlinues lo achiev0 tts objectives by delivering c¥)mmercial and non-¢ommercial fitness actimties.
This is the 111h full year of management by David Potts and he has continued lo achiève the objactiv8s of th8
charity and improved Ihe range of discounts and facilities offered by the centre in the Ribble Valley.
Over the 11 years of management, David Potts has overseen several profvcts which havg hglped improve the
facilities of the c8ntre. These include a new state of the art spinning studio, increased squarè meterag8 of the
changing provisions, improved lighting for several sports in Ihg Sports hall. Ribble Valley Health and Well
being partnership has been a significant success for the charity and has allowod the charity to go above and
beyond rts charitable aims. Also within this year end, David Potts has ov8rsegn the £150,000 investment in
new fits)ess equipmènt and upgrades in fitness equipment.
The trustees are satisfied with the job DaMd Potts has undertaken. part￿larty managing the centre through
these uncartain and challenging limes.
Income from donatlons and trading acliwlies overall has increased from £714,647 10 £888,431, with the
fitngss Sulte genaratSng 760k of the trading income. This continues to be commeraally drw8n and provides
income to support community kKused initiatives.
Non-trading income has increased from the previous period from £156.947 10 £209,931. A grant from
Clitheroe Town Council was received in the year of £25,000 which was nol recew&Y in 2022. {2021- £17.500}
Total ￿sOurCeS 8xpended has incrgasgd from £828,947 10 £941,723. An increase in average month
expenditure from £69.07910 £78,477.
FINANCIAL REVIEW
Prlncipal funding sources
The main sources of income were from the supply of commerdal and non￿OMMercIal fftness actwi(les. Grant
funding Wds accessed through the 'HAF' prcsjramme and partnering inibatives. as well as the Ribble Valley
Health and Wellbeing Partnership.
These sources of income enable the centre to operate effectively and lo ensure that the centra FS maintained
lo continue providing faulilies to fvrther ils obiedives.
Reserée$ pollcy
The Trustegs have examined the charftys requirements for reseNes by considering the main risks to the
organisalion. The Trustees are working towards a position whereby the cash and bank balances held by the
charity shjukl be fv40 to three months ofthe annual expenditure of the tharity.
The total reserves al the y8ar end are £368.807. The unrestricted funds al the year end are £57,429, and is
used for general fvnd raising activities, and running costs of the cenlre. The restricted funds at the year end
are £311,378, and is used for activities in relation lo the restricted income.
Going concém
The Iruslees consider that there are no matarlal un￿rtaIntieS about the charilies, ability to continue as a going
¢))ncem.
The board ¢onsiderg the current cost of liwng crisis as the current challenge and are working the Centre
Manager on how the charity can support the local ￿Mmunity whilst bein9 fully operational.
The board are hopefijl given the futur8 plans detailed below that we will see a healthy position in 2024 and
2025.

FUTURE PLANS
Future plans indude-
The continuance of the Ribble Valley Health and Wellbeing Partnership, as well as expanding the services the
charity can deliver for national, regional, and local schemes. This will include the delivery of physical and
mental wellbeing support outside the walls of the charity and into the wider community. This wll now be run
as a separate sector within the charity.
New fitness equipment and layout to fitness room was finalis8d al the end of this financial year {Sep1emt￿r
20231. This investment will help the centre in growing in fitness income ané membership numbers.
In 2024, the charity will receive fijnding from the Govemment 'levelling up, fund to change the function of the
climbing wall into a slale-of-the-art spin rwm. This will allow for more 'spinning classes, and help improve
fithess income. It wll also allow for a growlh within the sports hall income and this will free up time within the
sports hall. as spinning class will no lon9er be laking pla￿ in the hall.

Goveming document
The charity is controlled by its goveming document, a deed of Irusl, and constitules a limited company, limited
by guarantee. as defined by the Companies Act 2006.

The Company has a Board of Tru51eeslDirectors comprising of individual m8mb8rs of the Charity plus the
prescribed nominees in aox)rdan￿ with Ihe provisions of its Aklcles.

general Tunning of the charity is that of the centre manager.

statement of trustees, responsibilities. This induction indudes an introduction to the objectives. scope and
policies of Ribble Valley Sports and Recreation. presentation of the Memorandum and Artides of Association
and referral lo Charity Commission information on trustee responsibilities.

The trustees (who are also the directors of Ribble Valley Sports and Recreation for tho purposes of company

Bagis of preparing the financial statements
The financial ststements of the charitable company, which is a public benefit entity under FRS 102,
have been prepared in accordan￿ with the Charities SORP (FRS 1021 'Ac¢ounting and Reporting by
Charities-. Ststement of Recommended Practicé applicable to charities preparing their accounts in
accordance wth the Finanrial Reporting Standard ap￿1¢able in the UK and Republic of Ireland IFRS
102) (effective 1 January 20191,. Financial Rep)￿n9 Standard 102 'The Financial Reporting Standard
applicable in the UK and republic of Ireland. and the Companies Act 2006. The financial statements
have been prepared in sleding l£} using the histOriC81 cost convention.
Going Concom
The trustees conssder thal there are no material uncertalnles about the charities, ability to continue as
9)ing eon¢em.
Atthough the balance sheet reports net Current liabilities of £68.089, creditors due within year
includes £71,808 of gym income in advance which will revers8 to the Statement of Finanaal Aclwities
in 2024.
The board consider5 the currenl cost of living [￿SIS as the current thallenge and are Wofking the
Centre Manager on how the charity can SUFWlrt the local communty whilst being fijlly operational.
The board are hopefvl given the fijlure plans detailed in the trustees report that we will see a healthy
p0S￿On in 2024 and 2025.
The trustees th&refore continue lo adopt the going cOn￿M basis in preparing the financial staternents.

project.
Grants. where entitlement is conditional yet the conditions are wthin the charivs control and there Is
sufficient evidence that the cDnditions can be met, are recognised when the chanty becom8s &nliUed to
the grant. Gran15 are treated as restrictsd funds where the promder has specified how the grant should
b8 uts"lised.
Investrnent income is included when receivable.
Expendlture
Liabilities are recognised as expendtture as soon as there Is a legal or constructive obligation
committing Ihe charity to that expenditure. it is probable that a transfer of economic benefrts wll be
required in setuernent and the amount of the obligation can be measured reliably. Expenditur8 is
accounted for on an accruals basi5 and has bèen classthed under headings that aggregate all ¢ost
related to the category. Where costs cannot be directly attributed lo parbcular headings they have been
allocated to activities on a basis ¢onslstent wth the use of re50urc*s.
Allocatlon and apportlonment of costs
It is the opinion of the trustees that all costs are directty attributed towards the cost of njnning the
centre. therefore all supp)rt costs have been allocated to this activity.

The interest element of these oblwJatFons is Gharged lo the Statement of Finarrial Activities over the

Bowland Trust loan - Thère has been an agreed repayment hotiday in place and confirmation has been
received post year end agreeing no further balance 1$ oulstanding.The balance will be transferred to
donations received in lh8 2024 year end.
RVBC loan - This loan has an interest rate of 4.036% pla and is payable monthly. It was due lo b8 paid
tswce a year but was later negotiated to be paid monthly. Due to the pandemic, an 18 monlh
repayment holiday was agreed with RVBC bul this ended In Odober 2021 and monthly repayments
have been made since..
This loan is now due to be repaid by 30 Sepbmber 2037 (previously March 2036).
Natwest Bounce Back Loan- This loan has an interest rate of 2.5% pla and is payable m￿ly.
The loan is guaranteed from the UK Govemmenl under the Bounce 8a¢k Loan Scheme, and is due to
be repaid by August 2026.
Nalwest Small Business Loan - This loan has an interest rate of 8.5Yo pla and fs payable monthly.

Holiday activitses and food programme {HAFI'. This grant was received to facilitate the provision of
school holiday activities and food programme for school aged children, for the year lo 31 March 2024.
This grant is restrided per the agreement and the grant period will cease after the 2023 Christmas
school holiday. The balance of £16,041 in restricted funds has been used after the year end to fund the
provision of activities and food during the 2023 Chrislmas school holiday.
Play and skills at teatime activities IPASTA}: This grant was re￿iVed to facilitate the provision of after
school activities to children aged 5 to 8.
This grant is restiicted per the agreement and the grant period wll cease on 31 March 2024. The
balance of £4.787 in restricted funds has been used after the year end lo fund the pn)vision of these
activites up to the cessalion of the agreement.
Purchase of electric bikes: This grdnt was received for the purchase of electiic bikes. It remains a
restricted fund as per the grant agreement. £4,166 has been used to purchase fLxed assets and £4,133
remains unspent. £3,749 of the balance carried forward will b8 written off over the useful economic life
of the asset con¢emed.
23. EMPLOYEE BENEFIT OBLIGATIONS
Al Ihe year end £2,381 of pension contributions was due lo bè paid over to the pension provider 12022
- £2,505).
2& RELATED PARTh DISCLOSURES
During the year the trustees paid the charity for gym and sessional membership at market value, and
there were no amounls outstsnding at the year end.
