Th8 financial statements have been prepared in accordance wilh the accounting polictes set out in note 1 to the
financial ststements and comply with Ihe charivs governing doGument. the Compan*s Act 2006, FRS 102 Yhe
Financial Reporting Standard applicable in Ihe UK and Republtc of Ireland. and the Charities SORP 'Accounting
and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in
accordance with Ihe Financial Reporb'ng Standard applicable in the UK and Republic of Ireland (FRS 1021..

The purposes and activities of th8 charitsble company are to advance the education and development of thildren
living in the North Huyton arnas of Merseyside and the wider community by the provision of high quality nu￿ery
care & oul of school facilities and wothing in partnership with other agencl8s to secure lh8 wlde$t range of servl
is avallable thal best maiches the needs of our dient population.
In shaping our objeclives for the year and planning our adivities, the directors have considered the Charlty
Commission's guidance on pvblic b8n8fit, Induding the guldance 'pJblic benefrt: running a charity (PB2)'. The
charity relies on the income from fees. charges and grants to cover its operating costs. Affordatslty and access to
¢Jur facilities is importanl lo us and is rellecled in our pricing policy.
A¢hl•v•m•nt8 and p•rfomian¢•
Significant activities and achievements against obiectlves
The resufts for the year and financial position of the charitable company are as shown In the annexed financial
statements. The charity. wtth Ihe support of both its staff and volunteers contlnues to provlde much needed Sgfvices
by the provision of high quality nursery carè & out of school frdciltties. The charity has seen a sleady high demand
for its seryices and has had some success in obtaining cofflmitsnents for fuiure funding to enable it to luther its
aims
most notably in November 2025 (post year end) a capilal grant of £18.719.10 has been awarded by
Knowsley Council to enable the expansion of our wraparound after-school provlslon. The directors are conlinuing to
seek additional fvnding to support fvture operational plans. The latest Otsled inspection report rated overall
effectlveness as C￿, with the latest Quality audft from the Local Authority being Outstsndlng.
Flnanclal r•vl•w
Reserves a￿ needed to bridge the gap between Ihe spandin9 and receiving of income 8nd lo cover unplanned
emergency repaits and other expendiiure. The directOTS have established a policy whereby the unrestricted funds
not committed or invested in tangible fixed assets ('the free reserves,) held by the charity should be beNveen 6 and
9 months of th8 resources expended. which equates lo belween approximately £265,000 to £397,500 in general
fvnds. At this level. the directors feel Ihat they would be able to c(mtinue the curTent activities of the charity in the
event of a significant drop in fvnding. At 31 March 2025 the free reserves amounted to £204.589 and are below the
tsrget level. The directo￿ are considering ways in which additional unrestricted reserves can be raised.
In preparing the alxounts. the directors consider that the thariiable Ix)mpary has suTrient re%)urces to conllnue
operations for the foreseeable future.
Structure, goveman¢e and management
The organisab'on 15 a charitable company limited by guarantee, inccyporated on 27 July 2000 and regtstered as a
charity on 11 January 2002. Members of the charttable company guaranlee lo contribute an amount not ex￿edIng
£10 in Ihe event of the Charity winding up. The company is govemed by the Kx)licies rnade from tirne to b'me by the
directors together with Ihe terns of its Memorandum and Articles of Assoclation which set out the objects and
powers of the company. The p￿CedUreS for the appointment, reliremenl and removal of directors are set out in the
Articles. All directors are enc4)uraged lo attend appropriate extemal training events where these will facilitate the
undertaking of their role. The day to day operational asp8cts of the charity have been delegated to the Manag8f and
her team.

directors have elected to prepare the financlal ststements in accordance with United Kingdom Generally Accepted
AccA)Unting Practice. Under company law the directors must not approve Ihe financial slatements unless they are
satisfied that they give a true and fair view of the slate of affairs of the company and of the profrt or loss of the
company for that P8ri0d. In preparin9 Ihese financial statements. Ihe directors are required to:

uncertainties that the charity faces and: Ihe establFshment of policies, systems and procedures to mitigate those
risks id8ntified in th8 annual review; and the implementstion of procedures designed lo minlmis8 or manage any
potential Impact on Ihe charity should those risks materalise.
Financial sustainability is the major financial rlsk for the charity. A key element In the management of financial rTsk
a regular.￿vIeW of available liquid funds to settle debts as Ihey fall due and activ8 managemenl of trade debtors
and ueditor balances to ensure sufficlent worklng ¢apitsl is available.
Attention has also been focused on non-finandal risks aiislng from chlld protectlon, fve. heafth and safety and f<)od
hygiene. These risks are managed by ensuring prrtedures and accreditations are up to dale. having robust policies
in place. and regular awareness training for slaff and volunteers in these operational areas. Standa￿s are
rnonilored both internally and extemally to ensure eonsi5tenl qualty of delivery for all operational aspects of Ihe
charty.

Restricted funds are subject to speclfic (x)nditions by donors or grantors as to how they may be used. The

harity.
