tunnels.
Volunteer and Staff Trainlng
The Chatity continuès with its staff training pmgrammÈ to ensure stsndards remained as hYJh as posslble.

The Charity has maintained the care h¢rne environmentto o high stsndard.
Community Activities
The Covid19 pandemic significantly ￿dUCed a¢tss5 to our norrn81 range of ¢ommunty 8ctivities, and despite the easing
of lockdown in April 2022, the use of PPE was required to be maintained in 811 care homes for 8 further period of time.

Thè financial position of Williarn Blak8 House Northants I herein8fter TEf8rred to 88 WBHI as of 30th Septèrnber 20L is
challenging because of a defi¢it for the 18 rnonths of £237,500. The Balance sheet as of 3tsEh September 2022 is
showing net ￿trent liabilittes of £92.582 and net assets of£691.300.
As of 30th September 2022, th8 amount owing to H M Revenue & Customs for PAYE and N8tional Insurance was
£500,293131st March 2021.. £204.8481. H M Revenue & Custorns have been very helpful 8nd understanding of the
financial challenge facing the Charity, especially during the Covid emergency12(Y20-221- 8asgd on the latest inforrnabon
available as of 30th September 2024, a totsl of £1,390,735 is owed to HMRC. The Charity has communic8ted its
sumption of PAYE payFnents The Charity Twstees have a plan to re801ve the situation, by engaging William Blake
House in a joint Ven￿re with a land devèlopment eornpany. leading to the settlefflent of PAYE liabilities to HMRC in the
near-term.
The ts)sts of agerjw staff and care workers of £331,6161£82.033- 31.03.20211 had a significant impact on WBH due to
thè Covid ernergency, with cost5 spiralling upwards because of the ￿duCtiOn in the availability of professional staff for
recruitment across the care sector. The parallel growth of th8 agerw 5e¢tor paying higher lees to athrA professional
care workers, rne8nt that WBH had no Choi￿ other th&n to pay these higher agen¢y costs, to rernain ca)mpli8nt wlth
Care Quality Commission ICQCI regu18tions. Unfortunately, none of thesè exceptional Costs are ￿Coverable.
The Chartty has also focused on a strategic project to develop lutur& incomè streams from rts St&in8r athos. Thi$ project
whlch is to launch in 2025 with e(Jucational online course5 and seminars, has been developed by the CEO in
¢ollabordtion with the Chair of Trustees and his consu￿ng wmpany. The antiupated retum on expenrfrture of £258,380
as of 30th September 2022 1£8.089 - 31.03.20211 is forecast to be within three yè8rs, with positive revenue generation
moving fDrwards.
The legal tile of land at the North8mptonshire Country Centre, vèstsd to Williarn Blake House by agr8em@nt of the
Charities Commission prO￿5S for engagement and rnerger of seNices. was del8yed for 18 mcrfths during the Covid
emerggncy. due to an administrative oversight. This has now t)een rectified and the asset value indep8ndently
ommissioned by the Charity in 2020 showed £575,000 and included in the main assgts. The audtiors are aware that a
valuation commissioned by an independent organisation that the Charity rnay engage in a joint ventUTe development
project, and this shows a land valuation minimum of £200.000 rising to £1.500.000 subjert to ￿annIng petrnission being
granted

The objective of the Trustees, Reserve5 policy is to ensure the provision of adequate capit81 resources. The pollcy
adopted to a¢hieve thi5 is to build up the Net Current Assets proportron of the Unrestrieted Income Fund to a minimum
level equivalent to Nvo months, value of the budgeted running costs for the ensuing year.
This policy has not been adhefèd to this period because ol reasons disclosed in other sections of this report. rh¥

trying to obtain a time to pay agreem&nt with HMRC and th2t ' HM R8venue & Customs have verbally ststed that they
are not in the business of do￿ng down charities as a result of unp8id PAYEINIC liabilities.. The auditors arÈ of the
opinion that HM Revenue & Customs ￿ul(j force Closu￿ of the cornpany, p8rhculady Sinc￿ the (Jebt at 31st October
2024 as pèr the latest unauditeLI management aC￿Unts has risen to approxim8tely £1.4 million.
The company is hopeful of developing the land Ih8t it owns so that it will be able to raise funds in order tc> pay the dèbt to
HMRC and this depends on planning pemission being obtained. At the dats of this report no planning pemission has
been obtained yèt 8nd so we canrKJt comment on the Mability of this as a rnethod of repaying the debt.

prOd￿t , which, in any event, is in its infancy and is taking longer than anticipated to be av8i18ble to be brought to the
Internet marke( we a￿ unable to comment on the viability of thè projected &Ft¢ome stream and therefore it is possible
that this debtor may be wholly or partly irrecoverable. If this were to be the case then the finanaal results for the period
would be worse by a rnaximurn of £258.380.
The consultsncy sgreement relating to the development of the strategy. whlch was signed by betsveen William Blake
House Nothants and Van Krugèr Consultit¥J limited on 22nd November 2017, tross refers to a project detail forrn relating
to a ten yÈar strategy between 2017 to 2027. During a Meeting of the trustees on 23rf October 2024, the Board agEed
that the costs In￿rred on the devebpment of the stramy should be recharged to Steiner Friends Limited, and we would
draw the readerfs attention to the othèr points wlthin this audit report and fin8nrAal staternents in relation to thi$ matter.

WO have not been provided wth detailed cashflow and profit forecasts for the Charitable company 8s a wholè entity.The
charitable company is hoping to devek)p the land it owns such that it will be able to pays its HMRC debt. However tFys
does depend on planning pemiission beiro gr3nted and therefoiè, 81though the trustee directors may have an ouuine
plan of action, its outcorne is at bèst uncertain.
Valuatson of the freÈhold land & buildings
The financial ststements show the value of the Lqn(3 8nd buildings detem)ined by professional valuers, Fisher
Gerrnan. and incorpoi8ted ift the year ended 31st March 2020 statutory financial statements in the surn of£575.000.
This open market valuation ineluded an element of.hope valuè. whith refie￿e￿ the hope of planning pemiission.
The sam8 company valued the same site at £200,000 for existing use value at 16th April 2024. The trustses have
requested that the original valuation of £575,000 be usetj 8S this valuation was provided to thgm for their purpose
whereas the newel valuation was provided to the prospective developer of the site on the basis of 8xi8ting use. bare
land, value. We wsh to dr8W the attèntion tr> the readers of this ￿pOrt to the possibility that an impeirment write down of
£375,000 tnay be appropriate leading to a further worsening of the company's results for the period by a figure of
£375,000.

belong to the Crown. On 8th DETrmber 2023 the cotnpulsory strike-off action was tèrnpornrily suspended
under Seotion 1000 of the Cofflpanies Act as an objection to the st￿king off has bèen received by the RegIS￿r.
Whi15t the objectoi is not named on the docurnent filed at Companies House. it is likely that HM Revenue and
Custorns were the paity responstrble as they are owed material Sums in relation to income tax and national

The period Covered by th6 financial statements i8 18 rnonths to the 30th September 2022 whereas the
comparntive figures are for the year ended 31st March 2021. This rneans that the figures in the finanual
statements arè not entirely cornparable. On 8th August 2022 Williarn Blake House Northants changed its
reporting date to 30th Septsmber, an 18 month period of 8cwunting as allowed under the Companies Act 2006,
to tie in with thg then expected In￿al live commissioning date of new edueatlOllo1 products arising from the
Strategy Project.
The principal activty of the charity in the period was the provison of a spiritually oriented comrnunty consisting of

All of the reshJents of the charity have drfferent ear8 neèds and as such the income for each resident is agpéed
with the loeal 8Lrthority in which the resident originally resided. Their ngeds are 8ssessed by referern￿ to the
contract 8g￿ed with each local authority, together with 8ny uplift for addibonal care at the ￿queSt of thèir pa￿nt
or guardians arid addilionalty reliance is placed wth the Care Quality Calculator to determine the value of the
daily of carè. Invol￿$ are then raised each month with refer8nce to the ag￿ed contract, subject to psriodic
plifts ts addrtss the inlationary issues with th& o)sts associated with the individual residents e8re.
Day Centre fee and other income
The day centre fe8$ are ¢JÈterniined by referen￿ to the specific 8¢tivities and the level of earg required to support
peoplè undertaknng the activities. These are detgmiined on a day rats and charged on a daily basis to the

POST BAWCE SHEET EVENTS
On 28th NovèmbÈr 2023 the Registsr of CoMpan￿S published in the Gazette that the ￿MpanY would be struck
off the register of companias and dissolved in 2 months from th8t date. If this had taken pl￿ all the property and
rights vested in . or ￿Irt in trust for, the Cotnpany a￿ deemed to be" bona vstsntia" and would have tElonged
to the Crown. On 8th De¢emb8r 2023 the compulsory strike-off action was temporarily suspended under
Sectitsn 1000 ot the Companies Act as an ¢>bjection to the striking off has been received by the Registrar.
At a board meeting held on thè 23rd October 2024. it was agreed that the Stratsgy C08ts incurred in
development of commercial services alignèd to the Rudolf Stsiner principles wll be invoiced to Stetner Friends
Limited RegiSte￿d Charty Nurnber 107178, the then Trustees of were Mr B Hamid & Mrs J Other. On thè 20th
November 2024. Mrs J Other stood down as a Trustée of Steiner Friends Limited and Mr l Hiso)ck and Mrs P
Jenner We￿ appointed as trustees for Steiner Friènds Limited. These costs would then be repaid from the
income stream that this st￿tegY will C￿ate. There has been no adju5trnents Included in these financial
