IN PARTICULAR BY GIVING OF ADVICE, COUNSEL AND HELP FROM MEMBERS OF THE COMPANY WORKING UNDER DIRECTION WHO ARE SELECTED AND PREPARED TO GIVE SUCH ADVICE, COUNSEL AND HELP
