The Iruslèes submit their report along with the financial stslemenls of the charity for the year ended 31
March 2024. The financial statements have been prepared in accordance with the accounting policiès set
out in note 110 the financial stslemenls 8nd comply with the charity's governing documents, the Charities
Act 2011 and the Charities SORP (FRS 102).
Governing Document
The organisalion is a charitable company limited by guarantee, incorporated on 17 April 2000 and
registered as a charity. The company was established under a Memorandum of Association which
established the objects and powers of the charitable company and is governed under ils Articles of
Association. In the event of the company being wound up members are required to conlribute an amount
not exceeding £1. The charity does not have a share capital and consequently no dividends are payable.
Review of activities
During the year the charity's income increased to £121,814 {2023 £86,529). Ils funds surplus during the
year amounted lo £8.330. A summary of the financial results is set out on page 7.
Rlsk Management
The trustees have during the yèar Continued to revlew the major risks to whSch the charity is exposed and
to establish systems lo miligale those risks identified not already covered by thé charity's existing systems
and risk m8nagem&nt strategies and controls.
Worklng for the publlc beneflt
The trustees confirm that. in Èxercising Ihelr powers and duties, they have complied with their duty to have
règard lo the guidance on public benefit published by the Charity Commission.
Oblects of the charlty
The charity's objects are the protection and preservalion of spiritual, emotional and psychological health by
the provision of counselling and supportive help to those in need thereof and the training of individuals or
groups in the provision of such counselling and supportive help. The charity is a member of the British
Association for Counselling and Psychotherapy and Counsellors and Psychotherapists in Primary Care.
Recrultment and appolntment of Management Committee and organlsatlon of the charity
The charlty's activit188 are controlled by the trustees, all of whom arè directors.
The trustees provide seNices lo the company on a voluntary basis. There can be up lo nine at any one
lime.

Investment powers
Under the Memorandum and Articles of Association, the charity has the power lo make any investments
which the trustees See fit. Spare funds are invested in interest bearing bank accounts which usually have
instant access.
Rlsk management
The trustees are reviewing the major risks lo the charity in accord8nce with the Statement of
Recommended Practice.
Achievement and perforrnance
The financial year 2023-24 saw the organisalion sellle into new premises in central Norwich and grow in
terms of the number of counsellors and number of clients bul also the number of clients needing the
support of low-cosl counselling with ongoing cost of living challenges and rising interest rates.
The trustees were able lo secure ongoing grant support for funding free and low<ost counselling for clients
neèding lo access counselling bul unable to do so otherwise. The trustees took the careful decision to lake
two additional counselling rooms Sn the new calendar year 2024 to meet the growing demand for the
seNice and rooms.
The trustees are grateful lo the grant funding provided by the National Lollery, Geoffrey Walling and funds
through the Norfolk Community Foundation that have supported and continue to support the work of the
organisalion during this financial year and beyond.
The trustees are pleased lo report the organisalion made a small surplus this year following a deficit in the
previous two financial years. This surplus includes grants awardèd during the year for free and low-cost
counselling, renting additional rooms and towards counsellors expenses and adminislralion resources
which will be ulilised into the new financial year.
Reserves
At the year end the company had unrestricted funds of £31,259. Company policy Is lo match applicable
expenditure lo ils reslrict&d receipts, with any shortfall being made good from unrèstricted funds. The
Ghaiity's policy is to establish such reserves that are needed to allow il to continue to meet ils objectives for
period of 6 months if all funding ceased. Whilst reseNes are currently below this level, given funding and
income from self referred clients would gradually redu¢e and contract income is always paid in arrèars,
together with the projected reduction in nel costs in the next financial year, the trustees are satisfied the
reserves arè sufficient for the next 12 months, the policy will be kept under close review, and we will seek
lo increase reserves again in the medium term.
The directors therefore confirm that the company has sufficient reserves available lo fulfil ils obligations.

Responsibilities of thè board of trustees
The trusteès (who are also directors of Off The Record Counselling Service (Norfolk) Limited for the
purposes of company law) are responsible for preparing the Trustees. Rèport and the financial slalemenls
in accordance with applicable law and United Kingdom Accounting Standards {FRS 102).
Company Law requires the trustees to prepare financial statements for each financial year which give a
truè and fair view of the state of affairs of the charitable company as at the balance sheet date and of ils
incorning resources and application of resources, including income and expenditure, for the financial year.

safeguarding the assets of the charitable company, and hence for taking reasonable steps for the
prevention and detection of fraud and other irregularities.
This report has been prepared in accordance with the special provSslons of Part 15 of the Companies Act
2006 relating lo small companies and in accordanc8 with the Gener81 Directions given by the Charitl8S
Commission under Section 14515)(b) of the Charities Act 2011.

We report on the accounts of Off the Record Counselling Service (Norfolk) Limited for the year ended
31 March 2024 set out on pages 7 to 13.
Respectlve responsibilities of trustees and independent examlner
The charity's trustees (who are also the directors of the company for the purposes of company law)
are responsible for the preparation of the accounts. The trustees consider that an audit is not required
for this year under section 144 (2) of the Charities Act 2011 (the 2011 Act} and that an independent
examination is needed.
Having satisfied ourselves that the charity is not subject to audit under company law and is eligible for
independent examination, it is our responsibility to..
examine the accounts under section 145 of the 2011 Act.,
to follow the procedures laid down in the general Directions given by the Charity Commission
under section 14515)(b} of the 2011 Act; and
to state whether particular matters have come to our attention.
Basis of Independent examlner's statement
Our examination was carried out in accordance with the General Directions given by the Charity
Commission. An examination includes a review of the accounting records kept by the charity and
comparison of the accounts presented with those records. It also includes consideration of any
unusual items or disclosures in the accounts, and seeking explanations from you as trustees
concerning any such matters. The procedures undertaken do not provide all the evidence that would
be required in an audit and consequently no opinion is given as to whether the accounts present
'true and fair view, and the report is limited to those matters sel out in the statement below.
Independent examlner's statement
In connection with our examination, no matter has come to our attention.,
which glves us reasonable cause to believe that in any material respect the requirements.,

ACCOUNTING POLICIES
a. Basis of preparatlon
These financial statements have been prepared in accordance with the provisions of
Section 1A "Small Entities" of Financial Reporting Standard 102 "The Financial
Reporting S18ndard applicable in the UK and Republic of Ireland. and the Companies
Act 2006. The financial statements have been prepared under the historical cost
convention.
The financial statements have also been prepared in accordance with the Charities
Act 2011 and the Charities SORP IFRS 102).
The principal accounting policies adopied in the pr8paration of the financial ststements
are as follows'.-
b. Going concern
The accounts have been prepared on a going concern basis on the grounds that current
and future sources or funding support will be more than adequate for the company's
immediate needs. In determining this, the trustees have considered a period of ￿e1ve
months from the date of approval of these financial stalemenls. However. the trustees
have identified the need for greater income and reduced fixed costs to ensure that the
company has sufficient funds to continue ils charitable objectives over a longer period of
time.
c. Incomlng resourc&s
Income from oper8ting activities of the charity's objectives is included in the period in
which the charity is entitled to the income.
d. Donations and grants
Income from donations and grants is included in incomlng resources when these are
receivable, except as follows..
Wh&n donors specify that donations and grants given lo the charity must be used in
future accounting periods, the income is deferred until those periods.
When donors specify that donations and grants are for particular restricted purposes,
which do not amount lo pre-conditions regarding entitlement, this income is included
in incoming resources of restricted funds when receivable.
e. Interest r•celvable
Interest is included when receivable by the charity.
f. Resources expended
Resources expended are included in the Statement of Financial Activities on an accruals
basis, inclusive of any VAT which cannot be recovered. Expenditure relates lo:

Governance costs associated with the administration of counsellors and the
charity.

g. Fund accounting
Funds held by the charity are either:
Unrestricted general funds
these are funds which can be used in accordance with
the charitable objects al the discretion of the trustees. The charity's policy is to
establish such reserves that are needed to allow it to continue to meet ils objectives
for a period of six months if all funding ceased. At the year end the trustees consider
that an unrestricted reserve of £31,259 is sufficient to meet this policy.
Designated funds
these funds are set aside by the trustees out of unrestricted
general funds for specific future purposes or projects.
Further explanations of the nature and purpose of each fund is included in the notes to the
financial stalemenls.
LEGAL STATUS OF THE CHARITY
The charliy Ss a company limited by guarantee and has no share capital. The liability of each
member in the event of winding up is limited to £1.

RELATED PARTY TRANSACTIONS
Lisa Burnett, the wlfe of Paul Burnett, a trustee and director of the company, is employed by
the company as an administrator. Her gross salary totalled £14,300 {2023'. £12,000) and the
company also made pension contributions of £242 (2023: £1731 during the year.
