Governing t)ocument is a Trust Deed
During 2024 we continued our discussions about the future of the Charity. This was a
testing time for the Trustees and sadly one of our Trustees stood down towards the
end of the year, meanwhile some positives appeared with three potential new
Trustees. This coincided with what was for us a sizeable legacy donation, all of which
encouraged us to decide to f ind a way to move forward.
We worked through our Trust Deed document in more detail and were able to plan for
changes to roles of Trustees for the comin9 year.
At the beginnin9 of the year we had not taken any new pupils for 2024, but by the end
of 2024. things looked different for us, so the decision was made to start UP School
sponsorship again in January 2025, meanin9 there would be just one year of secondary
school with no sponsored pupils.
We planned to take on some or all of the new Trustees in 2025 once we had had an
opportunity to meet and get to know one another. This was planned f or January 2025.
Two were already known as supporters of the charity for many years.

Our representative in Kenya is still Jonah Arome, supported by his brother Stephen
Arome. Jonah is the person who f ulf ils most of the responsibilities. He is paid a small
retainer twice a year by EducAid Af rica and basic expenses are reimbursed. Stephen
and Jonah are both retired and based in Mombasa with a house still in Stephen's
village where they have strong links with the local community.
As part of our discussions during 2024 we decided to f ind ways to strengthen the
representative group in Mombasa to formalise the way decisions are made and the
f inances are managed, and to better safeguard our trusted representatives by
forming a committee of carefully selected local people and including one of our
Trustees ( Sunny Thethy) This would be started when Sunny next visited Mombasa,
where he has family, at the beginnin9 of 2025.
Communicatlon and links with our re
resentative
The Trustees maintain contact chief ly by email. There is a WhatsApp link both with
our representatives and a separate group includin9 past sponsored students.
It has been the tradition for some Trustees to visit every two years when possible,
but given that this is at our own expense. it cannot be a condition of being a Trustee.
As Trustees get older and have health issues, this has become more of a challenge f or
some. However one of our Trustees has family and business interests in Nairobi and

Mombasa so can always be the charity's "in person. representatives when he is there
on other matters.
Although there is reasonable communication by email or occasionally WhatsApp, the
personal visits play a dif ferent role and often to lead to chan9es in what we do or
additional improvements that emerge throu9h the experience of the Visit and face to
face meetings. The last such visit was in 2023. No other Trustees were able to visit in
2024, and no plans made to 90 in 2025.

In addition to governance, Trustees are willing to give talks about EducAid Af rica.
Such engagement with local schools, churches and interest groups has somewhat faded
since COVID. Nevertheless the revenue f rom regular supporters and churches
continues. Some schools are still holdin9 f und raising events for us and Trustees givin9
talks about the charity in Assemblies. We are not lacking the resources we currently
need.
One of our Trustees has been helping to or9anise and support a successf ul golf
tournament and corporate day and another such day was held in 2024.
The challenge of supporting our successful school pupils through college and University
since the increase in cost in 2023 has made us think more caref ully about doing this,
however as we had funds left and were thinking we would close the charity, we decided
to keep helping those already on our lists. After that, with our U turn later in 2024,
we are prepared to deal with requests as they come to us. and there are thoughts that
the legacy money could well be used for some of our University students.
We have never been able to sponsor those looking for f undin9 at overseas universities.

The charity b￿an as a response to meet the needs of youn9 people in Kenya who could
not aff ord to attend secondary school. Each year we are able to sponsor a number of
pupils at this level for a period of 4 years in boarding schools in their local area.
In 2024, the new school year began in Jan￿ry but as agreed we took on no new school
pupils.
All existing sponsors have continued to receive regular termly reports and a letter
f rom their pupil, with extra photO9raphs and information af ter a Trustees, visit.
We have been able to continue support of two nursery schools with Uji ( maize
porridge) f or their daily f eeding programme as well as equipment and books to a local
primary school. These schools are also visited by Trustees when in Kenya.

In the summer of 2024 we supported some students who wanted extension or new
courses, most of which were short courses and less expensive, as we f elt this was a
good way of using funds we were holdin9. and would need to draw down if the charity
was to close. This was before we knew about the legacy dor￿tiOn.
We the Trustees are aware of our responsibilities with reference to safeguarding
children both in this country and in Af rica and take this issue seriously. We currently
have no powers to inf luence any controls of Kenyan personnel in Kenya or the system in
schools there. We can however have dialogues with our representatives in Kenya to
raise their awareness of the importance of safeguarding matters and would respond
promptly if issues or concerns affectin9 sponsored pupils and students we support are
brought to our notice. The type of contact between those who operate for us in Kenya
and the students and youn9 people there is enough to ensure our funds are accounted
for, but is almost entirely done through the schools, where young children are involved.
Many of the older students are adults. and actual one to one contact is minimal.

The aim of the Trustees was always to maintain the level of f undraising and support at
around the same level. Whilst we would wish to raise more money because there are
always needs, our current or9anisation relies on a small local operation in Kenya and it
would become unmanageable if it were to grtiw too large.
Financlal Review
In 2024, our f inancial controls were again reviewed in line with recommendations of
the Charity Commission.
Records are kept of donations and income in £sterling. The accounts are independently
examined and are attached to this report.
When required. funds are transferred to our bank account in Mombasa managed by our
representatives. They distribute the f unds to schools as needed, f or f ees, individual
needs, equipment, etc. They send a statement of f unds in Kenyan shillings two or three
times a year and have an annual off icial audit of their f inances, a copy of which is sent
to us each year.
Funds have been transf erred as needed, norn￿llY twice a year. In December 2023
however the UK bank failed to send the larye transfer in t)ecember at the correct
time and so it appears in the accounts in early January of 2024, meaning we appear to
have a much greater carry over than normal. This transf er was for the payment of
school f ees f or the 2024 school year but includes other amounts to support the
nurseries and equipment f or the Primary school we support, as well as an amount that

can be used in small amounts in the case of hardship or medical needs of our sponsored
pupils and students, at the discretion of our colleagues in Mombasa.
Gift Aid is an important source of income and we try to encourage all regular donors to
Gift Aid where possible.
Each year our carry over is maintained at a level such that we can still support
outstanding sponsorships where that money is in the account already, plus suf f icient
to meet an adverse change in the exchange rate.
The legacy donation has doubled our f unds, however we are keen to f ind appropriate
ways to use it very soon and are considerin9 moving It into a short term account where
it can earn us some interest until a decision has been made. We do not wish to retain
large sums.
