## **Report of the Trustees for the Year Ended 31 March 2021** 

The trustees are pleased to present their annual directors' report together with the financial statements of the charity for the year ending 31 March 2021 which are also prepared to meet the requirements for a directors' report and accounts for Companies Act purposes. 

The financial statements comply with the Charities Act 2011, the Companies Act 2006, the Memorandum and Articles of Association, and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015). 

## **OBJECTIVES AND ACTIVITIES Objectives, aims and public benefit** 

## **Our vision** 

Our vision is a society where the diversity, expertise and richness of faith communities actively contributes to the building of safe, healthy and cohesive communities throughout Derbyshire. 

## **Our mission** 

The Multi Faith Centre encourages and facilitates dialogue, co-operation, mutual respect and understanding between people from different faith communities and civil society, who by coming together aim to improve the wellbeing of vulnerable people living in Derbyshire. 

## **Our objectives** 

Part of the process of building these bridges is to better understand what the faith sector actually needs, and also to unite leaders of different faiths so that civic services can engage with the faith sector more   easily. With this in mind, MFC will focus on four key objectives: 

1. **CREATE AN INFRASTRUCTUR** E Produce a platform for the faith sector to come together to act strategically and maximise their impact 

2. **FACILITATE COMMUNICATION** Create safe spaces for faith groups to hold conversations on social and community issues common to everyone 

3. **NURTURE COLLABORATION** Encourage faith groups to join together and then create partnerships with local authorities and key agencies 

4. **PROMOTE CELEBRATION** Shine a light on good news stories around the positive contribution faith communities make to our society

## **OBJECTIVES AND ACTIVITIES Significant activities Covid:** 

Like every charity today, we face challenges and uncertainty resulting from the current pandemic. It has been an incredibly difficult year for our organisation. Sadly, we have seen the temporary closure of our premises, considerable disruption to our work programmes, events cancelled and lost income. Staff and trustees have had to adapt to new ways of working. We are grateful to the Community Lottery Fund and Derby City Council for the emergency funding that offset a loss of income and ensured that we could maintain vital services. 

## **Strategy & Governance Review:** 

The significant disruption caused by Covid 19 pandemic and the untold damage to the health and wellbeing of communities across our region gave our staff and trustees cause to reflect on the charity's strategic purpose and business plan. 

Our objective is to come through this period stronger as an organisation and pave the way for an invigorated and increasingly impactful future. To this end, MFC: 

1. Commissioned a governance review. Audited the skills and capabilities of the current board. Created an improvement plan to ensure effective strategic decision-making and the right balance between strategy and governance. 

2. Created a new strategic plan for the Multi Faith Centre that is owned by trustees, staff, stakeholders and funders. This included work around MFC's vision, mission and core values; created a framework and dialogue around strategic strengths, weaknesses, opportunities and threats; setting goals, objectives   and action plans. 

## **Projects:** 

## **Race & Religious Hate Crime Project** 

MFC continued to manage a network of 35 community groups to build bridges, improve communications and shape better police responses and interventions around the Race & Religious Hate Crime agenda. The network supports communities that might not otherwise know about services such as the Derbyshire Victim Service or feel confident to speak to the police directly. It also identifies and flags issues of community concern. MFC then co-ordinates efforts to tackle religious hate crime through this network and its close links with the Derbyshire Office for the Police and Crime Commissioner. 

Significant achievements for the year include implementing a 'remote delivery model' and a total transition to Teams, Zoom, and online Knowledge Hub. This transition enabled more people to join and more time per meeting/event to host various activities, as we did not have to account as much time for intros, settling in, commutes, etc. as we would for in-person events.

## **OBJECTIVES AND ACTIVITIES** 

Functioning fully remotely for a project on hate crimes gave our project new contours, as issues of (online) bullying and harassment faced by Asian community and network members became the centre of our meetings immediately following the initial lockdown and the anti-Asian hate that has been running parallel to the pandemic itself. A hyper-focused initiative to address this came via the Hate Crimes Awareness Week in October 2020. Our work on the Race and Religion Hate Crimes Project grew over time with the pandemic. Many members of the community institutions that comprise our Network shared they and/or people they know have been facing hate violence first-hand. We addressed this in our Network meetings by inviting guest speakers from Stop Hate UK, the OPCC (Office of the Police and Crime Commissioner) itself, as well as Inspirative Arts. Key takeaways from our Network meetings, as well as research done by our Program Manager, have been shared with the OPCC and the Hate Crimes Practitioners' Network. 

Currently, the current Program Manager has developed a solid structure to the Core Partners program that the previous Program Manager began working on. With this structure, we can keep abreast of support services being offered by our Core Partners, as well as find parallel between that work and our efforts within the Network. 

Going forward, we will continue strengthening the Network by recruiting more members and offering a program of support tailored to needs specific to our members' experiences. With regard to tangible results coming out our conversations with the Core Partners and from our Network initiatives, we await the OPCC's word on which of our proposed ideas to see to fruition. 

## **Roma Community Care (RCC)** 

Roma Community Care was established in 2013 as the only Roma led support organisation in Derby and Derbyshire providing advice and advocacy to Eastern European Roma communities. 

The project adapted to the Covid crisis by closing the drop-in centre and creating a service offer that included online, phone and home visits to support vulnerable people at a time of crisis. This support was maintained throughout the pandemic relying on the commitment and energies of the project staff. 

Flowing from the challenging environment resulting from the Covid pandemic, and with the support of our funders, the management of the project was transferred to the St James Centre in January 2021. 

The trustees of both organisations believe the advantages of this new approach provide Roma communities with greater access to a broader range of services, advice and support and creates a sustainable and resilient service that is supported by the infrastructure of a larger charity. 

MFC is grateful for the generous support and guidance of the Tudor Trust and the Badur Foundation   and look forward to the projects next stage of development under the care of the St James Centre. MFC remains committed to the success of the project having established a close and supportive working relationship with the St James Centre and will continue to offer support and practical help to ensure the project's continued success. 

## **Training** 

No training was delivered in a classroom environment. MFC developed an online version of its award-winning Overcoming Anti-Semitism training and delivered and evaluated it in January. 

## **Use of Premises** 

In line with government restrictions and University of Derby policy, the premises were closed throughout the year. No onsite events, activities or services were undertaken. At the time of writing, the country is tentatively emerging from a third lockdown, but the building remains closed. 

## **Online Events** 

All events at the Centre were cancelled and we developed and tested new activities online including:

- Celebrating Interfaith Week at an online event for Derby City Council employees on 10th November 

- Contributing to a Multi Faith Conference "Faith in uncertain times" for employees at Rolls-Royce plc in November 

- Ran weekly online Buddhist Mediation Classes 

- Organised a Hate Crime Awareness Online Conference attracting 109 delegates. 

- Online Annual General Meeting - October 

- Supported Holocaust Memorial Day - January 2020 

In addition, MFC also made regular contributions to local radio shows, helping to raise the profile of faith and contribute to civil discourse on a range of subjects: 

- Radio Sound Community Radio event - Sunday 20th September - produced a radio special for community radio to support Derby Peace Week. Panel discussion involving faith representatives and peace related songs and prayers. - Provided a Jewish perspective on Radio Derby's Donna Alos Breakfast Show yesterday about anti-Semitism and Jewish worship in lock-down 

- Ali Akbar on Radio Derby - Interview about local perspective on story about Prophet Mohamed sparking community protest in Batley. 

## **FINANCIAL REVIEW** 

## **Reserves policy** 

The charity constantly monitors its core activity costs against available core funding incomes throughout the year through budgets and forecasts. The unrestricted fund deficit currently stands at £181,431 (31.03.2021). The board will budget to reduce this amount steadily in future years to ensure greater financial stability. The MFC has negotiated a payment schedule with the University against the loan on its balance sheet, and continues to put £12,450 a year aside for the University loan.

## **FUTURE PLANS** 

The effects of Covid 19 continue to have an enormous impact on communities across our region. The crucial work that faith groups undertook during this time has led to a growing awareness from central and local government that there is much to be gained from partnering with faith communities to meet the needs of vulnerable communities. 

There is a willingness from faith communities to move their pandemic response models from providing emergency support to becoming active partners in the region's recovery and beyond. However, faith communities need support, resources, facilitation and organisation, networks and infrastructure if they are to organise and achieve their potential as partners. 

Extensive consultation with communities, local authorities, and public sector stakeholders identified an important strategic role for MFC - a role that enables faith communities to build on what they are currently doing to support vulnerable communities, improve and connect faith networks with local partners across public sector and civil society, and cultivate honest dialogue and greater collaboration within and across faith communities. 

In line with the strategic review and extensive research and consultation to shape the way forward, the Multi Faith Centre will align future activities around four key objectives: 

- Creating an Infrastructure: Produce a platform for the faith sector to come together to act strategically and maximise their impact. 

- Facilitating communication: Create safe spaces for faith communities and civil society to hold conversations on social and community issues common to everyone. 

- Nurturing collaboration: Encourage faith groups to join and create partnerships with local authorities and key agencies that meet the needs of vulnerable communities in Derby and Derbyshire. 

- Promoting Celebration: Shine a light on good news stories around the positive contribution faith communities make to our society. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. 

The Multi-Faith Centre at the University of Derby is constituted as a Registered Charity (25 June 2001) and a Company Limited by Guarantee. It is governed by its Memorandum and Articles of Association dated 16 March 2000, amended and submitted for approval and agreed by the Charity Commission in January 2006 and subsequently amended and agreed by the Charity Commission in March 2010.

## **STRUCTURE, GOVERNANCE AND MANAGEMENT Recruitment and appointment of new trustees** 

Under the amended Memorandum a total of fourteen Trustees are appointed as follows: 

The Bishop of Derby Six from faith members Three from the University of Derby Four independent members 

Trustees shall be appointed as directors and trustees of the company for an initial term of up to three   years. At the end of their initial periods of appointment Trustees may be reappointed or re-elected as appropriate for further periods of up to three years, except that no Trustee (except the Bishop of Derby) may serve for more than three such periods [nine consecutive years] without having stood down from the Board for a minimum period of one year. 

The Trustees have no financial interest in the company. 

## **Organisational structure** 

The Trustees are responsible for decisions covering significant areas of MFCs (Multi Faith Centre) affairs: 

- Overall strategy and planning in accordance with the MFC's charitable purpose 

- Approval of budgets and development of key policies including financial and risk management. 

- Appointment and line management of the Director. 

In order to carry out their duties effectively as a Board of Trustees, they are assisted by a few subcommittees: Finance, Human Resources, and Planning & Development. Other sub-committees or working groups may be convened for purposes required by the Board of Trustees. 

The day to day management of MFC affairs was delegated to the Interim Director, Geoff Sweeney, who was responsible for overall organisational management. The Director is supported by an office manager (p/t) and finance officer (p/t) and project managers and staff relating to the projects MFC delivers. 

## **Related parties** 

The charity has a close working relationship with The University of Derby. The University of Derby has representation on the board and provide funding to enable the charity to carry out its objectives. 

## **Risk management** 

The trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error. A risk register is maintained and reviewed regularly.

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 March 2021. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of   your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act   other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they   have been allocated to activities on a basis consistent with the use of resources. 

## **Allocation and apportionment of costs** 

Allocation and apportionment of direct costs are based on staff time spent on those activities. Fixed overheads are based on percentage of usage of those activities. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. 

Long leasehold - over the period of the lease Fixtures and fittings - 25% on reducing balance Computer equipment - 25% on reducing balance 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. The charity is outside the scope of VAT. Unrecovered VAT suffered is written off to the relevant expenditure. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

There were no trustees' remuneration or other benefits for the year ended 31 March 2021 nor for the year ended 31 March 2020. 

## **Trustees' expenses** 

There were no trustees' expenses paid for the year ended 31 March 2021 nor for the year ended 31 March 2020. 

Mr Mateen (a Trustee) received the amounts of £13,003 in wages. This was for the project management and delivery of a specialist project for young people. There is a written agreement between the Charity and Qazi Mateen. Payments were authorised by the Director and Trustees. Mr Mateen did not take part in any decision made by the Trustees in any aspect of this agreement.

## **12. RELATED PARTY DISCLOSURES** 

The charity has close working relationships with The University of Derby. The University has representation at the board. The University also makes a donation to the Centre and provides professional and other in-house premises services to the Centre for a fee. 

The University also provide financial support by way of grant instalments amounting to £61,924 during the year (2019 - £61,924). 

The University provided a loan towards the building of the centre. The loan balance is £256,952 at the end of the year. The University has agreed to waive its entitlement to charge interest at 5% on the loan until further notice and, therefore, no interest has been accrued for in these financial statements.

## **13. LEGAL STATUS OF THE COMPANY** 

The charity is a company limited by guarantee and has no share capital. The liability of each member in the event of winding up is limited to £1. 

## **14. GOING CONCERN** 

The trustees have formed a judgement at the time of approving the financial statements, that there is a reasonable expectation that the company has adequate financial resources to continue in operational existence for the foreseeable future. This is dependent upon the support of the charitable company's funding partners and bankers, which is expected to continue. For these reasons, the trustees   continue to adopt the going concern basis in preparing the financial statements. 

## **15. FUNDS IN DEFICIT** 

The unrestricted fund deficit currently stands at £181,431 compared to the 2020 deficit of £196,001. The board will budget to reduce this amount steadily in future years to ensure greater financial stability.The majority of the deficits were accumulated during the formative years.
