Welcome to the 2024 TISBUS AGM

The TISBUS management team are:-

Sandra Sampson Chairman Anne Ralphs Secretary Keith Walters Transport Manager Chris Ewin Treasurer Don McLean Trustee Martin Ryan Trustee David Milas Coordinator Susie Ladbrook Trustee & Driver Liaison

For those of you who don’t know me, my name is Sandra Sampson and I became Chair of Tisbus in August 2023.

Before I go on to tell you about our Trustees I want to say how sorry we all were at the sad news of the passing of some of our members during the past year, but specifically our previous chairman Gordon Sorenson and our 2 drivers, Ed Marnier and Steven Beaumont. Steven, I know will be greatly missed by our East Knoyle members.

I would now like to briefly tell you a bit about what the Trustees do and how TISBUS would not be as successful as it is without them.

Our secretary Anne Ralphs, in addition to dealing with TISBUS admin, keeping the member’s details up to date and dealing with correspondence, does a fantastic job of ensuring that we, as Trustees, all adhere to best practices whilst carrying out our duties and most importantly keeping us topped up with coffee at our Trustee meetings.

Anne and Susie produced an excellent calendar of outings for the TISBUS members, ranging from film shows, visits to gardens, museums and the coast, and an overseas trip for the first time, albeit to the Isle of Wight. A lot of planning goes into

these trips as they research not only prices, but the accessibility for members with mobility issues and the travel times to ensure that the trips are viable.

The members’ outings are discussed at our monthly committee meetings, and it would be very helpful if you have any ideas or suggestions for future trips, that you tell Anne or Susie so they can have them in mind when they plan trips for 2025.

Our transport manager Keith does an excellent job ensuring that our buses are all roadworthy. He also introduces new drivers to the requirements needed for TISBUS and over the past months has spent a lot of time and effort sourcing the best option for our new bus. Keith gives the committee a monthly update on the state of the fleet including details of any necessary repairs and tests. His annual report is included in the AGM papers and Keith will answer any question arising from it when he presents his report. _**Since writing my report I’m very pleased to say that the Trustees have agreed the purchase of a new bus sourced and recommended by Keith and he will tell you all about it when he presents his report. This will be the first new bus in 5 years and the Trustees hope that it will be a good addition to our fleet. We have been very fortunate to receive grants from Wiltshire Council, Tisbury Parish Council and Link to help fund the new bus and Chris, our treasurer, will also give us an update on how this is going to affect our finances.**_

As well as roadworthy buses TISBUS depends on drivers. The vast majority are volunteers and all of us are grateful to them for giving us not only their time but, as members attest, their consideration in small ways such as taking shopping to the front door of members’ houses.

In addition to being a volunteer driver, Susie Ladbrook is the liaison for the drivers’ keeping them updated and informed of relevant changes.

We are always looking for new drivers so, if you know of anyone who might like to volunteer, please let us know.

Chris Ewin, our treasurer, presents a monthly financial report to the trustees to keep us informed of all the financial aspects of TISBUS. As a board of Trustees, we rely heavily on this information to help us make informed financial decisions and I’m pleased to report that our financial position is good. A copy of the annual financial report was in the AGM papers and Chris will formally present this report to the meeting and will be happy to answer any questions you may have.

Martin Ryan and Don McLaren are long serving volunteers as former Treasurer and Secretary respectively. Martin, with his accounting knowledge, and Don with his driving and administrative expertise bring a depth of experience to TISBUS which helps us deal swiftly and efficiently with any problems which may arise. _**Don has been particularly helpful in securing the grant from Wiltshire Council towards the cost of the new bus.**_

In an organization like TISBUS good coordination is essential and we are very fortunate to have Dave Milas as our coordinator. His quiet efficiency and, on occasion, rapid response to changing circumstances ensures, as far as is humanly possible, that TISBUS provides a service for members and private hire clients, the latter being important income generators.

In addition to our buses, drivers and trustees we rely heavily on donations from individuals and external organizations such as Wilts & Dorset County Councils. The task of applying for relevant grants is carried out by Chris and without them TISBUS would not be viable. We are extremely grateful for donations to help keep TISBUS going.

Of course, TISBUS wouldn’t be the success it is without you, our members. TISBUS provides a service through shopping trips and enjoyment through members’ outings and importantly

gives our members the opportunity to share time together and catch up on local news. Your very positive feedback on trips such as the American museum, Highclere Castle and the Christmas lunch help spur us, the trustees, to continue to provide this relevant and helpful service to you. Again, I would remind you that if you have any comments, good or bad, to guide us on for another year, please let us know.

We hope that you all continue to enjoy the facility offered by TISBUS and look forward to seeing you on our trips and hope that you all keep well.

**The Tisbury and District Community Minibus Ltd Notes to the Accounts for the year ended 31 March 2024**

## **1 Accounting policies**

## _**Basis of preparation**_

The accounts have been prepared under the historical cost convention and in accordance with FRS 102, The Financial Reporting Standard applicable in the UK and Republic of Ireland (as applied to small entities by section 1A of the standard).

## _**Turnover**_

Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the sale of goods and from the rendering of services. Turnover from the sale of goods is recognised when the significant risks and rewards of ownership of the goods have transferred to the buyer. Turnover from the rendering of services is recognised by reference to the stage of completion of the contract. The stage of completion of a contract is measured by comparing the costs incurred for work performed to date to the total estimated contract costs.

## _**Tangible fixed assets**_

Tangible fixed assets are measured at cost less accumulative depreciation and any accumulative impairment losses. Depreciation is provided on all tangible fixed assets, other than freehold land, at rates calculated to write off the cost, less estimated residual value, of each asset evenly over its expected useful life, as follows:

Motor vehicles

7 years straight line

## _**Debtors**_

Short term debtors are measured at transaction price (which is usually the invoice price), less any impairment losses for bad and doubtful debts. Loans and other financial assets are initially recognised at transaction price including any transaction costs and subsequently measured at amortised cost determined using the effective interest method, less any impairment losses for bad and doubtful debts.

## _**Creditors**_

Short term creditors are measured at transaction price (which is usually the invoice price). Loans and other financial liabilities are initially recognised at transaction price net of any transaction costs and subsequently measured at amortised cost determined using the effective interest method.

## _**Provisions**_

Provisions (ie liabilities of uncertain timing or amount) are recognised when there is an obligation at the reporting date as a result of a past event, it is probable that economic benefit will be transferred to settle the obligation and the amount of the obligation can be estimated reliably.

7

## **The Tisbury and District Community Minibus Ltd Notes to the Accounts for the year ended 31 March 2024**

## _**Leased assets**_

A lease is classified as a finance lease if it transfers substantially all the risks and rewards incidental to ownership. All other leases are classified as operating leases. The rights of use and obligations under finance leases are initially recognised as assets and liabilities at amounts equal to the fair value of the leased assets or, if lower, the present value of the minimum lease payments. Minimum lease payments are apportioned between the finance charge and the reduction in the outstanding liability using the effective interest rate method. The finance charge is allocated to each period during the lease so as to produce a constant periodic rate of interest on the remaining balance of the liability. Leased assets are depreciated in accordance with the company's policy for tangible fixed assets. If there is no reasonable certainty that ownership will be obtained at the end of the lease term, the asset is depreciated over the lower of the lease term and its useful life. Operating lease payments are recognised as an expense on a straight line basis over the lease term.
