It was incorporated th on 11 January 2001 and registered as a charity on 12 February 2001. The company was established under a Memorandum of Association which established the objects and powers of the company and is govemed under its Articles of Association. The trustees of the Charity, who are also the Directors of the Company, delegate responsibility for the day-to-day running of the charity to the Chief Executive Officer, Anndeloris Chatxn. Recruitment and Appolntment of Trustees Trustees are appointed at the Annual General Meetlng of the charity. The artides of association specify a minimum level of representation of members of the black and minority ethnic communities and also of carers or former carers.

The Company's objects are: To relieve the mental and physical distress among the black carers of people who are in need of care and who ara residents in Bristol by: 1. Providlng infomiation, advlce, training, outreach. and development services and 2. Providing a forum which brings together carers in order to determine their needs and 3. The provision of advocacy for ServI￿S relevant to the needs of black carers. The use of the term °Black" refers to Caribbean, African, South Asian, and other minority ethnic people who share a common experience of dlscrimination in the United Kingdom on account of their colour or racial origin. Ensurlng our work delivers our aims Bristol Black Carers have referred to the guidance contained in the Charity Commission's general guidance on public benefit when reviewing our aims and objectives and in planning our fijture activities. 8ristol Black Carers Ihrough their unlque approach called G.E.M.S. provide information, advice, advocacy, support, empowerment, and outreach to Carers (adult, young adults, and children) and Iheir cared-for, which sometime5 indudes their support network. We support carerslservice users to access specific and mainstream health and social care services both physically and emotionally through advocacy, referrals, a5SiSting With financial issues and signposting depending on their need at the time of contsct. We work on educating our Garers, the cared-for, family members, communities, professionals, and organisats'ons that the role of a carer is an additional role for the individual. It should not be tsken for granted because if they did not carry out this role for the cared-for, health and social care would not be able to cope. Our events and activities help improve quality of life, emotional and physical wellbeing of our carerslservice users as we maintaln their dignity wlth respect and trust, which enables them to retain their independence and reduce their loneliness and isolation. Risk Management Bristol Black Carers has identified areas of risk associated with a small publicly funded tharty to ensure the achievement and maintenance of its: Operational perfomiance Aims and objectives Image The rnain areas of possible risk considered: Finan￿$ Personnel Pro￿rty Service dellvery It is acknowledged that the Trustees are fully responsible for the instigation and maintenance of the Bristol Black Carers Risk Management. Procedures are in place to ensure Complian￿ with health and safety of stsff, volunteers, Carers and visitors. These procedures are periodlcally revlewed to ensure that they continue to meet the needs of the charity. Financial Review The charity reports a deficit of £31.948 on unrestricted funds during the year (2024 deficit of £25,123) after temporarily utilising reserves to continue cerlain activities. 2024-25 was a very challenging year for the charity, and funded work was delayed due to organlsational difficulties. The stsff and new board of trustees are prioritising funding applications to contlnue Ihe activitles and contribute to the core costs of the charity, and also working to leverage consultancy ino)me and crowdfunding to address the accumulated deficit on unrestricted funds. They are confident that the charity will remain a going 0)n￿rn in the future. Reserves Pollcy The charity has a Reserves Policy whereby the unrestrictgd funds not committed should be six months of resour(xs expended on running costs, which is estimated as £100,000 {2024 £103,847). The reserves are needed to meet the working capital requlrements of Ihe tharity and the trustees feel confidenl that at this level they would be able to o)ntinue the charity's current activities. The genefal funds at the end of the year were In deficlt by £12,602 (2024 surplus of £19,345). 11 Is planned to generate sufficient surpluses over time to ensure there are sufficient free reserrfes to provide financial security and operalional flexibilty. io

Statement of Responsibilities of the Trustees The trustees (who are also directors of the charity for the purposes of company law) are responsible for preparing the twstees, report and the financial ststements in accordance with applicable law and United Kingdom Accounting Stsndards, including Financial Reporting Standard 102: The Financial Reporting Standard applicable in the UK and Republic of Ireland ' (United Kingdom Generally Accepted Accounting Practice). Company law requires the trustees to prepare financial statements for each financial year, which give a true and fair view of the state of affairs of the charity and of the income and expenditure of the charity for that period. In preparing those financial statements the trustees are required to: Select suitable accounting policles and then apply them consislently; Observe th8 melhods and principles in the applicable Charities SORP; Make judgements and estimates that are reasonable and prudent; State whether applicable accounting stsndards and statements of recommended practice have been followed, subject to any material departures disclosed and explained in the financial statements", and Prepare the financial statements on the going concern basis unless it is inappropriate to presume that tho charlty will continue in operation. The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy al any time the financial position of the charity and which enable them to ensure that Ihe financial statements comply with the Companies Act 2006. The trustees are also responslble for safeguarding Ihe assets of the charity and hence for taking reasonable sleps for the prevention and detection of fraud and other irregularltles. The trustees are responsible for the maintenance and integrity of the corporate and financial information included on the charitable company's website. Legislation in the United Kingdom governing the preparation and dissemination of financial statements may differ from legislation in other Jurisdictlons. The tnjstees are members of the charity but this entitles them only to voting rights. The trustees have no beneficial interest in the charity. Independent examiner's report to the trustees of Bristol Black Carers I report lo the trustees on my examination of the accounts of Brislol Black Carers (the charitable company) for the year ended 31st March 2025, which are set out on pages 13 to 19. Respective responslbllltles of trustees and examiner As the trustees of the charitable company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirernents of the Companies Act 2006 {'the 2006 Act,). Having satisfied myself that the accounts of the charitable company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respecl of my examination of the charitable company's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act,). In carrying out my examination I have followed the Directions given by Ihe Charity Commission under section 145(5) (b) of the 2011 Act. Independent examinerfs statement I have completed my examination.
