## **Structure, Governance and Management** 

The organisation is a registered charity and a company limited by guarantee. It was incorporated on 11[th] January 2001 and registered as a charity on 12[th] February 2001. The company was established under a Memorandum of Association which established the objects and powers of the company and is governed under its Articles of Association. The trustees of the Charity, who are also the Directors of the Company, delegate responsibility for the day-to-day running of the charity to the Chief Executive Officer, Anndeloris Chacon. 

## **Recruitment and Appointment of Trustees** 

Trustees are appointed at the Annual General Meeting of the charity. The articles of association specify a minimum level of representation of members of the black and minority ethnic communities and also of carers or former carers. 

## **The Company’s objects are:** 

To relieve the mental and physical distress among the black carers of people who are in need of care and who are residents in Bristol by: 

1. Providing information, advice, training, outreach, and development services and 

2. Providing a forum which brings together carers in order to determine their needs and 

3. The provision of advocacy for services relevant to the needs of black carers. 

The use of the term “Black” refers to Caribbean, African, South Asian, and other minority ethnic people who share a common experience of discrimination in the United Kingdom on account of their colour or racial origin. 

## **Ensuring our work delivers our aims** 

Bristol Black Carers have referred to the guidance contained in the Charity Commission’s general guidance on public benefit when reviewing our aims and objectives and in planning our future activities. 

Bristol Black Carers through their unique approach called G.E.M.S. provide information, advice, advocacy, support, empowerment, and outreach to Carers (adult, young adults, and children) and their cared-for, which sometimes includes their support network. We support carers/service users to access specific and mainstream health and social care services both physically and emotionally through advocacy, referrals, assisting with financial issues and signposting depending on their need at the time of contact. 

We work on educating our carers, the cared-for, family members, communities, professionals, and organisations that the role of a carer is an additional role for the individual. It should not be taken for granted because if they did not carry out this role for the cared-for, health and social care would not be able to cope. 

Our events and activities help improve quality of life, emotional and physical wellbeing of our carers/service users as we maintain their dignity with respect and trust, which enables them to retain their independence and reduce their loneliness and isolation. 

Bristol Black Carers gives the carers a voice through participation in consultations, research, and conferences.

1. To improve the _**Carers’ experience and journey**_ through the health and social care system to help them gain outcomes that are suitable for them, at the time needed which can improve the wellbeing holistically. 

2. To improve the understanding of the _**Carer’s role and responsibilities**_ to assist organisations, professionals, and individuals to know the difference from that of _**care workers**_ who give direct assistance to the cared-for _._ 

3. To help individuals be healthy citizens who contribute to building of Bristol City.

## **Report from Chair and CEO** 

## **Greetings and Thanks from the Trustees and Staff of Bristol Black Carers** 

We extend our heartfelt gratitude to everyone for their support and partnership from April 2023 to March 2024. We are thankful to be able to support our communities through the services we provide, helping them navigate access to health and social care in ways that meet their needs. 

Our services are delivered through listening, discussion, consultation, support, advocacy, and referrals, addressing the issues and needs that service users wish to tackle to reduce their stress or improve their wellbeing. 

We have seen an increase in requests for home care services that reflect cultural backgrounds. We have provided relevant support through referrals to appropriate service providers. This presents a significant challenge as our population over sixty grows, and the health of their carers is compromised due to the increasing needs of those with long-term chronic conditions. 

We have successfully hosted activity groups as joint projects and continued with our popular yearly event, the “Brims and Bows Tea Party,” which remains a highlight of the year. 

Looking ahead, we see the potential to develop additional services to enhance the overall health and wellbeing of individuals. Areas to address include nutrition and food, foot care, mobile hair care, and meals on wheels with flavour. These essential services can significantly improve the lives of our communities. 

We believe that our collaborations, partnerships, and co-design of new and existing services will foster a better understanding of differences and identify commonalities and overlaps. With this positive outlook, we are moving confidently into the future.

**Organisation: BSWM and Jikoni Duration: 3 months –[June, July & August] Service: Home delivery of 50 cooked meals Outcome:** 

- **Part time Worker** “It has been a life saver to me and my family especially with the current cost of living crisis that the country is in.   To be able to have at least one nutritional cooked meal a week without it coming out of my tight budget has truly been a big help” 

- **Full time carer** – As a full-time carer having these weekly meals delivered I have been able to relax and not worry about preparing food.  I am now able to spend some time on myself” 

- **Mother of 4 –** Being a full-time mother is not easy, having 4 mouths to feed is not easy.  I’m use to sacrificing my meal to ensure that my children eat. But now every Friday we are all able to eat together with no one going without.           Thank you. 

As Bristol Black Carers it is our privilege to be able to work alongside Jikoni in the delivery of their food on Fridays. Our clients have been grateful for the weekly meal they have been receiving which has been a welcoming relief for the majority of them

## **Risk Management** 

Bristol Black Carers has identified areas of risk associated with a small publicly funded charity to ensure the achievement and maintenance of its: 

- Operational performance 

- Aims and objectives 

- Image 

The main areas of possible risk considered: 

- Finances 

- Personnel 

- Property 

- Service delivery 

It is acknowledged that the Trustees are fully responsible for the instigation and maintenance of the Bristol Black Carers Risk Management. 

Procedures are in place to ensure compliance with health and safety of staff, volunteers, carers and visitors. These procedures are periodically reviewed to ensure that they continue to meet the needs of the charity. 

## **Financial Review** 

The charity reports a deficit of £25,123 on unrestricted funds during the year (2023 deficit of £11,343) after temporarily utilising reserves to continue certain activities. During 2024-25 a surplus is expected due to increased funding and reduced expenditure. 

Budgets are set according to the funds available, and no activity is undertaken without sufficient funding. Therefore the trustees are satisfied that the charity remains a going concern on an ongoing basis. 

## **Reserves Policy** 

The charity has a Reserves Policy whereby the unrestricted funds not committed should be six months of resources expended on running costs, which is estimated as £103,847 (2023 £105,891). 

The reserves are needed to meet the working capital requirements of the charity and the Management Committee feel confident that at this level they would be able to continue the charity's current activities. 

The present general funds available to the charity of £19,345 (2023 £44,623) are below target. It is planned to generate sufficient surpluses over time to ensure there are sufficient free reserves to provide financial and operational flexibility.

## **Statement of Responsibilities of the Trustees** 

The trustees (who are also directors of the charity for the purposes of company law) are responsible for preparing the trustees' report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102: The Financial Reporting Standard applicable in the UK and Republic of Ireland (United Kingdom Generally Accepted Accounting Practice). 

Company law requires the trustees to prepare financial statements for each financial year, which give a true and fair view of the state of affairs of the charity and of the income and expenditure of the charity for that period. In preparing those financial statements the trustees are required to: 

- Select suitable accounting policies and then apply them consistently; 

- Observe the methods and principles in the applicable Charities SORP; 

- Make judgements and estimates that are reasonable and prudent; 

- State whether applicable accounting standards and statements of recommended practice have been followed, subject to any material departures disclosed and explained in the financial statements; and 

- Prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in operation. 

The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity and which enable them to ensure that the financial statements comply with the Companies Act 2006. The trustees are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

The trustees are responsible for the maintenance and integrity of the corporate and financial information included on the charitable company's website. Legislation in the United Kingdom governing the preparation and dissemination of financial statements may differ from legislation in other jurisdictions. 

The trustees are members of the charity but this entitles them only to voting rights. The trustees have no beneficial interest in the charity.

## **Independent examiner's report to the trustees of Bristol Black Carers** 

I report to the trustees on my examination of the accounts of Bristol Black Carers (the charitable company) for the year ended 31[st] March 2024, which are set out on pages 22 to 28. 

## **Respective responsibilities of trustees and examiner** 

As the trustees of the charitable company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the charitable company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of the charitable company's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

- accounting records were not kept in respect of the charitable company as required by section 386 of the 2006 Act; or 

- the accounts do not accord with those records; or 

- the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a 'true and fair view' which is not a matter considered as part of an independent examination; or 

- the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practie for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102). 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
