The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 March 2022.

The Trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and to enable them to ensure that the financial statements comply with the Companies Act 2006. The Trustees are also responsible for safeguarding the assets of the charity and hence taking reasonable steps for the prevention and detection of fraud and other irregularities.

The report has been prepared in accordance with the provisions applicable to companies subject to the small companies' regime as set out in Part 15 of the Companies Act 2006 and in accordance with the Charities SORP (FRS 102).

The trustees, who are directors for the purposes of company law, present the annual report together with the financial statements of the charitable company for the year ended 31 March 2020.

OBJECTIVES AND ACTIVITIES

Objectives and aims

SAA-uk is a charity and a company limited by guarantee, established in Leeds in 1997 to raise the profile and awareness of the rich arts and cultural practice of the diverse South Asian communities that have made the United Kingdom their home, and to build the confidence and pride of this community to explore and share its rich tradition of classical music and dance and encourage the wider population to take part and access high quality South Asian Arts, in the heart of Leeds, the region, nationally and internationally. Ultimately our aim is enriching people's lives through engagement and participation in traditional and contemporary South Asian music and dance. SAA-uk believes South Asian Arts are integral to the UK's cultural diversity and deserve to be championed.

SAA-uk aims to achieve this through our mission which is: 'to preserve the traditional and facilitate the contemporary'

The trustees confirm that they have complied with the requirements of section 4 of the Charities Act 2011 to have due regard to the public benefit guidance published by the Charity Commission for England and Wales.

Use of volunteers

SAA-uk has a small but dedicated group of volunteers who assist us in the delivery of the SAA-uk academies, Seasonal event series, and projects and act as ambassadors for the charity.

STRUCTURE, GOVERNANCE AND MANAGEMENT

Nature of governing document

The charity is constituted as a company limited by guarantee and is therefore governed by a Memorandum and Articles of Association. The directors of the company are also trustees of the charity. Eligibility for membership of the charity and membership of the board of trustees is governed by the Memorandum and Articles of Association. There are no restrictions in the governing document on the operation of the charity or on its investment powers, other than those imposed by general charity law.

Recruitment and appointment of new trustees

When new or additional trustees are required then beneficiaries and client organisations are invited to submit nominations and, subject to their compliance with the Memorandum and Articles of Association, they are considered by the governing body of trustees for election.

Organisational structure

SAA-uk is governed by a board of trustees, who are reported to by senior management on a quarterly basis. The organisational structure is composed of Chief Executive & Artistic Director, Operations Manager, Marketing & Fundraising Manager, Education Officer, Marketing & Programming Assistant, Social Media AssistantArts Administration Assistants/Board Secretary and Freelance Artists/Volunteers.

Induction and training of new trustees

SAA-uk Board of Trustees new members are provided with an induction pack including previous board papers, policies and practice for board members. SAA-uk provides continued training in board development as identified and agreed by senior management and trustees.

Relationship with related parties

The charity is under the control of the trustees. The trustees consider that there is no controlling party of the charity.

2021-22 Key Achievements and review

In 2021-22 we had to face unexpected challenges through our Performance, Education and Special Projects programmes as we began to explore and navigate our way back to face-to-face delivery and at the same time sustain online engagement.

Our plan to develop a hybrid offer (online and face-to-face) of art and culture to deliver in 2021-22, was achieved, but not without its difficulties. Navigating ever-changing COVID measures, working to mitigate fears and concern of families and individuals, and venue cancellations to reduce financial risks have been constant threats through 2021. The arts and culture sector has been hit hard by the pandemic, but with restrictions being progressively reduced, with the start of 2022 we have found positive energy to reconnect and respond to the challenges we envisage as a sector in Leeds.

Over the last 12 months we focused on three key commitments: supporting the many artists in our community lacking regular, paid, performance opportunities, providing certainty at a time of uncertainty for our students and their families, and cautiously but proactively re-engaging live audiences to the city's arts and culture offer.

This translated into:

" 12 events, 10 of which delivered live in Leeds featuring partnerships and collaborations with Opera North & Howard Assembly Room, Leeds International Concert Season, Carriageworks Theatre, and more,

" X edition of the SAA-uk Summer Solstice Festival, an all-nighter of Indian classical music, this time in celebration of the voice. Performances from 5 acts ranging from semi-classical to devotional Qawwali singing, were pre-recorded and live streamed on SAA-uk's YouTube channel for an audience of 1,876 viewers,

" Performance opportunities for 10 young talented dancers and musicians and students of the SAA-uk Academies to perform as opening act of live performances at Carriageworks Theatre, Interplay Theatre, and Stanley & Audrey Burton Theatre in Leeds,

" Announced as PRS Foundation Talent Development Partners with SPOTLIGHT, our talent development programme to shine a light on underrepresented creators rooted in diverse music genres, who want to explore new expressions and challenge perceptions. We supported 4 music creators to work on projects including cross-cultural exploration, digital/technological artistic pieces, and composing opportunities for 18-25 young creators.

" Our Music and Dance Academies (4 music disciplines, 3 vocals and 2 dance styles) successfully delivered as a hybrid offer (online and face-to-face), starting from September 2021, with students from across the UK attending regularly for 30 weeks of the year.

A major opportunity this year was to focus on our role as talent development hub. Through LMEP grant as well as individual gifts and donations, we were able to fund for a 2nd year SAA-uk's Music Mentors Scheme: a programme combining the structure of Silver Arts Awards with the North Indian classical music tradition, to engage young talents in the co-creation of new work and become inspiring mentors and teachers of the future. The outcome of this 2nd year of work was a showcase at Carriageworks Theatre where 4 young musicians performed a short solo each, opening the live performance of Anamika Chowdhury (Zee TV's SaReGaMaPa L'il Champs International 2008 Winner).

STRUCTURE, GOVERNANCE AND MANAGEMENT

An event we are particularly proud of is the 'Feed The Soul - Winter Benefit Concert', a joint fundraising with The Campaign to Protect Afghanistan's Musicians (CPAM), Interplay Theatre, and the Daanish Foundation UK (DFUK), to provide life-saving aid to musicians in Afghanistan. During the Winter we were able to raise over £9,000 for this cause, and we continue to look for opportunities to support fellow musicians currently living in Afghanistan as well as torchbearers of this country's rich musical traditions in the UK.

In 2021-22 we have worked alongside organisations of different sizes, using our expertise to support them as a co-commissioner, advisor or programmer, to push the boundaries of their work, creating opportunities for innovation and risk-taking through embracing a wide range of influences and practices, giving audiences the opportunity to experience exceptional, diverse music and dance.

For 24 years, SAA-uk has worked towards creating an organically diverse program of artists that strives to represent the height of ambition, talent and skill in South Asian music and dance. Today our work extends to diversifying the creative process within Leeds's arts ecology as well as broadening the audience's cultural experience in the city.

Some examples of this are:

" Rite of Spring by Seeta Patel, a project that was originally supposed to take place in Spring 2020 but was postponed multiple times because of COVID restrictions. Delivered in partnership with Seeta Patel, Surf the Wave, Pavilion Dance Southwest and Leeds Dance Partnership, this performance and series of workshop has been engaging young people by fusing together the magic of Igor Stravinsky's classic ballet and intricate footwork of Bharatanatyam dance.

" Monteverdi's Orpheus, a partnership with Opera North - the outcome being a UK tour in Autumn 2022. This full-scale production brings together diverse South Asian genres, languages, and instruments, with those from the West. The vision is that together they bring to life and re-imagine Monteverdi's opera with integrity and respect of each genre of music. " Musical Journeys: A Day at The Pond / Mausam, a collaboration with NYMAZ, Orchestra's LIVE, and Orchestra of the Age of Enlightenment in creating original music as part of an Early Years (0-5) project designed to engage and encourage under-5s with music and culture. The outcome - a series of short music and dance pieces - will be showcased in Early Years settings in the North of the UK from September 2022.

As our general 'open door' practice, SAA-uk's CEO & AD is providing the equivalent of 2hrs a week to give advice and guidance to local artists and freelancers. This includes development of artistic concepts, designing of workshops, project planning and fundraising support.

This financial year brought many challenges that had an impact on our delivery, and we had to overcome. After some cautious attempts to schedule a return to face-to-face performances in Summer 2021, we decided to organise a series of socially distanced interactive events in partnership with Carriageworks Theatre, a Winter Solstice 1-hour event in partnership with Howard Assembly Room, and a return to face-to-face classes (as well as maintaining the online offer) in our Academies.

Despite 2 event cancellations to minimise financial risks, changes in regulations, and lack of capacity within the organisation, we were able to work with the public in person more regularly from January 2022, using our expertise to create opportunities for innovation through embracing a wide range of influences and practices, giving audiences the opportunity to experience exceptional, diverse music and dance.

Financial review

Review of financial position

This year has seen the easing of the constraints arising from the Covid 19 pandemic and the consequent resumption of in-person instruction in our academies and live concert performances. Consequently, year on year expenditure on charitable activities has almost doubled to £115,532 (2020/21 £60,403).

Income from Trusts and Foundations was up from £5,000 in 2020/21 to £17,700 and SAA-uk also received £22,133 from the pandemic furlough scheme.

Overall SAA-uk was able to make a surplus of £9,263 (2020/21 £20,694), bringing the total reserves to £66,817. The organisation also continues to maintain a strong liquid cash position.

Arts Council England and Leeds City Council continue to provide funding for the organisation, and we are most grateful for their continuing support.

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 March 2022.

Responsibilities and basis of report

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act.

Independent examiner's statement

Since your charity's gross income exceeded £250,000 your examiner must be a member of a listed body. I can confirm that I am qualified to undertake the examination because I am a registered member of _ which is one of the listed bodies.

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

1. ACCOUNTING POLICIES

Basis of preparing the financial statements

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

Income

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

Expenditure

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

Tangible fixed assets

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

Taxation

The charity is exempt from corporation tax on its charitable activities.

Fund accounting

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

Pension costs and other post-retirement benefits

The charitable company operates a defined contribution pension scheme. Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate.
