OBJECTIVES AND ACTIVITIES

The Trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and to enable them to ensure that the financial statements comply with the Companies Act 2006. The Trustees are also responsible for safeguarding the assets of the charity and hence taking reasonable steps for the prevention and detection of fraud and other irregularities.

The report has been prepared in accordance with the provisions applicable to companies subject to the small companies’ regime as set out in Part 15 of the Companies Act 2006 and in accordance with the Charities SORP (FRS 102).

The trustees, who are directors for the purposes of company law, present the annual report together with the financial statements of the charitable company for the year ended 31 March 2020.

Structure, governance and management

Nature of governing document

The charity is constituted as a company limited by guarantee and is therefore governed by a Memorandum and Articles of Association. The directors of the company are also trustees of the charity. Eligibility for membership of the charity and membership of the board of trustees is governed by the Memorandum and Articles of Association. There are no restrictions in the governing document on the operation of the charity or on its investment powers, other than those imposed by general charity law.

Recruitment and appointment of trustees

When new or additional trustees are required then beneficiaries and client organisations are invited to submit nominations and, subject to their compliance with the Memorandum and Articles of Association, they are considered by the governing body of trustees for election.

Induction and training of trustees

SAA-uk Board of Trustees new members are provided with an induction pack including previous board papers, policies and practice for board members. SAA-uk provides continued training in board development as identified and agreed by senior management and trustees.

Organisational structure

SAA-uk is governed by a board of trustees, who are reported to by senior management on a quarterly basis. The organisational structure is composed of Chief Executive & Artistic Director, Operations Manager, Marketing & Fundraising Manager, Education Officer, Marketing & Programming Assistant, Social Media AssistantArts Administration Assistants/Board Secretary and Freelance Artists/Volunteers.

Relationships with related parties

The charity is under the control of the trustees. The trustees consider that there is no controlling party of the charity.

SAA-uk is a charity and a company limited by guarantee, established in Leeds in 1997 to raise the profile and awareness of the rich arts and cultural practice of the diverse South Asian communities that have made the United Kingdom their home, and to build the confidence and pride of this community to explore and share its rich tradition of classical music and dance and encourage the wider population to take part and access high quality South Asian Arts, in the heart of Leeds, the region, nationally and internationally. Ultimately our aim is enriching people's lives through engagement and participation in traditional and contemporary South Asian music and dance. SAA-uk believes South Asian Arts are integral to the UK's cultural diversity and deserve to be championed.

SAA-uk aims to achieve this through our mission which is: 'to preserve the traditional and facilitate the contemporary’

Objectives, strategies and activities

Public benefit

The trustees confirm that they have complied with the requirements of section 4 of the Charities Act 2011 to have due regard to the public benefit guidance published by the Charity Commission for England and Wales.

Use of volunteers

SAA-uk has a small but dedicated group of volunteers who assist us in the delivery of the SAA-uk academies, Seasonal event series, and projects and act as ambassadors for the charity.

2020-21 Key Achievements and review

At the beginning of this financial year, the whole of the UK was in lockdown due to the COVID-19 pandemic. One key achievement is the agility and drive of SAA-uk’s small and dynamic team, who moved quickly and harnessed all the digital technologies available to successfully transition to online delivery as soon as the 1[st] lockdown was announced. Both business administration and artistic programmes were in full swing by the 1[st ] of April 2020. The whole team (both employed and freelance staff) were equipped to work remotely using Microsoft Teams and ZOOM, ensuring that we could continue to focus on the organisation’s mission: ‘ To preserve the traditional and facilitate the contemporary ’ and in doing so provide certainty at a time of uncertainty.

This financial year brought many challenges that had an impact on our delivery, and we had to overcome. One of the main challenges we had to overcome in this difficult year were venue cancellations due to unexpected changes in regulations. Strongly feeling our commitment to offer arts engagement and participation throughout the pandemic, we decided to schedule public events in August and December 2020, which with the lockdown announcements resulted in postponements followed up by cancellations. We overcame this by offering the artists a slot in our online performance series in 2020-21 or our face-toface programme in 2021, and by providing audiences with a wealth of opportunities to connect with our work online through social media, live streams, and our website.

SAA-uk maintained its policy of delivering high-quality artistic output coupled with financial prudency and aims to deliver another programme of high-quality arts in the 2021-22 financial year, despite the challenges posed by the COVID-19 pandemic and financial limitations caused by it.

through the pandemic.

Our Music and Dance Academies (5 music disciplines, 3 vocals and 2 dance styles) successfully transitioned online, sustaining 122 students attending regularly for 30 weeks of the academic year. The academies did experience a reduction in attendance compared to 2019-20 – at the end of the FY we had just over 200 registered students across on our academies. This must be attributed to the impact of the pandemic: decrease in people’s disposable income, and some participant preferring face-to-face learning. We continue to provide young, talented students of our Academies with opportunities to perform as part of special projects. During the COVID-19 pandemic opportunities for live performances in professional settings were limited. Plans continue to be developed, in line with government guidelines, to ensure our arts and culture offer in live settings can resume in 2021-22 at high quality with everyone, health and wellbeing carefully considered.

In 2020-21 SAA-uk took the time to hone its own unique selling points: this included a focus on our role as talent development hub, out of which the Music Mentors Scheme and ‘ SPOTLIGHT ’ were born. Through LMEP Innovative Project grant, as well as regular gifts and large individual donations, we were able to set up and launch a pilot Music Mentors Scheme in Autumn 2020. This programme, combining the structure of Silver Arts Awards with the North Indian classical music tradition, engages young talents in the co-creation of new work and encourages them to become inspiring mentors and teachers of the future. ‘ SPOTLIGHT: shining and light on the underrepresented’ was successful in securing funds from PRS Foundation, PPL and Youth Music, and become one their 55 national Talent Development Partners for 2021-22.

Musical Seasons ’ is another opportunity for us to work in partnership, joining NYMAZ, Orchestra’s LIVE, and Orchestra of the Age of Enlightenment in creating original music and digital resources Early Years (0-5) project. This will provide experience and insight into early years works, which will inform our vision of being a renowned talent development hub in the North. The outcome - a series of short music and dance video - will be showcased in nursery schools/early years settings in the North of the UK from September 2021.

Financial review

Review of financial position

The constraints imposed as a response to the Covid 19 pandemic have made considerable impacts on the financial structure of the organisation for this financial year. In-person instruction in our academies and live concert performances have had to be changed to on-line instruction and performance with a consequent transformation of the cost and income structures. However, the organisation has managed to continue its high-quality instruction and performance provision and not all the changes have been adverse, for example there have been considerable savings in venue costs.

SAA-uk had budgeted a small surplus for the year 2020-21, but was able to make a surplus of £20,694, bringing the total reserves to £57,566.

Arts Council England and Leeds City Council continue to provide funding for the organisation, and we are most grateful for their continuing support.

Our efforts to reduce our reliance on grant funding and develop new, reliable sources of funds has suffered from the lack of opportunities available in this Covid-hit year and contributed income in the year fell to £8,260 from £25,063 (2019/20).

SAA-uk continues to plan to obtain increasing levels of contributed income from grants from trusts and foundations and from the development of new individual giving schemes such as the Alumni & Members Scheme as and when the opportunities become available.

I report to the charity trustees on my examination of the accounts of South Asian Arts - UK for the year ended 31 March 2021 which comprise the Statement of Financial Activities, the Summary Income and Expenditure Account, the Balance Sheet, the Statement of Cash Flows and the related notes.

Responsibilities and basis of report

As the trustees of the charity (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act.

Having satisfied myself that the accounts of the charity are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.

Independent examiner's statement

As the charity's gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination because I am a member of the Institute of Chartered Accountants in England and Wales.

1 Accounting policies

Basis of preparation

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015) - (Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.

Change in basis of accounting or to previous accounts

There has been no change to the accounting policies (valuation rules and method of accounting) since last year and no changes have been made to accounts for previous years.

Fund accounting

Unrestricted funds These are available for use at the discretion of the trustees in furtherance of the general objects of the charity.

Designated funds These are unrestricted funds earmarked by the trustees for particular purposes. Revaluation funds These are unrestricted funds which include a revaluation reserve representing the restatement of investment assets at their market values. Restricted funds These are available for use subject to restrictions imposed by the donor or through terms of an appeal.

Income

Recognition of Income is included in the Statement of Financial Activities (SoFA) when the charity income becomes entitled to, and virtually certain to receive, the income and the amount of the income can be measured with sufficient reliability.

Income with related Where income has related expenditure the income and related expenditure is expenditure reported gross in the SoFA.

Expenditure

Recognition of Expenditure is recognised on an accruals basis. Expenditure includes any VAT expenditure which cannot be fully recovered, and is reported as part of the expenditure to which it relates. Trade and other debtors

Trade and other debtors are recognised at the settlement amount due after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due.

Cash and cash equivalents

Cash and cash equivalents comprise cash at bank and on hand, demand deposits with banks and other short-term highly liquid investments with original maturities of three months or less and bank overdrafts. In the statement of financial position, bank overdrafts are shown within borrowings or current liabilities. In the Statement of Cash Flows, cash and cash equivalents are shown net of bank overdrafts that are repayable on demand and form an integral part of the company's cash management.

Trade and other creditors

Short term creditors are measured at the transaction price. Other creditors and provisions are recognised where the charity has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors and provisions are normally recognised at their settlement amount after allowing for any trade discounts due.

Leased assets

Where the charity enters into a lease which entails taking substantially all the risks and rewards of ownership of an asset, the lease is treated as a finance lease.

Leases which do not transfer substantially all the risks and rewards of ownership to charity are classified as operating leases.

Assets held under finance leases are initially recognised as assets of the charity at their fair value at the inception of the lease or, if lower, at the present value of the minimum lease payments. The corresponding liability to the lessor is included in the balance sheet date as a finance lease obligation. Lease payments are apportioned between finance expenses and reduction of the lease obligation so as to achieve a constant rate of interest on the remaining balance of the liability. Finance expenses are recognised immediately, unless they are directly attributable to qualifying assets, in which case they are capitalised in accordance with the charity's policy on borrowing costs.

Assets held under finance leases are depreciated in the same way as owned assets.

Operating lease payments are recognised as an expense on a straight-line basis over the lease term. In the event that lease incentives are received to enter into operating leases, such incentives are recognised as a liability. The aggregate benefit of incentives is recognised as a reduction of rental expense on a straight-line basis.

Pension costs

The charity operates a defined contribution plan for its employees. A defined contribution plan is a pension plan under which the company pays fixed contributions into a separate entity. Once the contributions have been paid the company has no further payments obligations. The contributions are recognised as expenses when they fall due. Amounts not paid are shown in accruals in the balance sheet. The assets of the plan are held separately from the company in independently administered funds.

Receipt of donated goods, facilities and services

All donated goods, facilities and services received are recognised within incoming resources and expenditure at an estimate of the value to the charity.
