## **Objectives and Activities** 

## **Purposes** 

Beacon Centre Trust (Cardiff) owns ‘The Beacon Centre’, an independent community building located in St Mellons, East Cardiff. Our vision is to see our community grow in confidence, purpose and resilience. Our mission is to work with local partners to provide spaces and opportunities where local people can share their ideas, resources, and skills to empower each other, improve their wellbeing, and build community together. 

Our vision and mission reflect the purposes of the charity set out in the objects contained in its memorandum of association as follows: 

1. To promote the benefit of the inhabitants of St Mellons, Cardiff and the surrounding areas without distinction of sex, sexual orientation, race or of political religious or other opinions, by associating together the said inhabitants and the local authorities, voluntary and other organisations in a common effort to advance education and provide facilities in the interest of social welfare for recreation and leisure-time occupation with the object of improving the conditions of life for the said inhabitants. 

2. To establish or secure the establishment of a neighbourhood centre and to maintain and manage the same (whether alone or in co-operation with any local authority or other person or body) in furtherance of these objectives. 

3. The advancement of the Christian religion. 

4. To promote such other charitable purposes as may from time to time be determined. 

## **Activities** 

For several years we have been building a partnership with Here for Good Collective (CIO) (HFGC). In recognition of the fact that: 

1. The charitable objects of Beacon Centre Trust (Cardiff) and HFGC were substantially similar, and; 

2. HFGC was better placed to deliver those objects, being well supported by the community, rapidly developing its activities, and with greater resources and financial sustainability; 

The trustees resolved on 10 January 2023 to transfer all assets, liabilities, and undertakings to HFGC. In accordance with that resolution, we have focussed our resources this year on completing the transfer. 

Following Charity Commission authorisation on 15 November 2024, the trustees resolved on 12 May 2025 to transfer the charity’s charitable undertaking to HFGC, on the terms set out in the Transfer Agreement. 

The Transfer Agreement subsequently took effect on 13 May 2025 and the transfer of the assets and liabilities took place on the 30th September 2025. 

By ensuring a smooth transition we aimed to ensure that our common purposes and activities for the public benefit were maintained and increased. 

The Trustees confirm that they have referred to the Charity Commission’s general guidance on public benefit when reviewing the Charity’s Aims and Objectives. All our charitable activities until 13 May 2025 focussed on the provision of spaces and opportunities for people to improve their social, physical, emotional, and spiritual wellbeing and were undertaken to further our charitable purposes for the public benefit. Our services were open to the public regardless of age, disability, gender reassignment, marriage and civil partnership, pregnancy and maternity, race, religion or belief, sex, and sexual orientation. Given the social impact of our work, we believe it is not only of benefit to those who use our services directly, but also to the wider community.

## **Achievements and Performance** 

Beacon Centre Trust (Cardiff) was established in 1999 by a local church leader who recognised the disproportionate levels of poverty and disadvantage being experienced by residents of the St Mellons community in East Cardiff. A key objective of the Trust was realised when the Beacon Centre was opened in 2005. 

As outlined above, our key achievement in this reporting period was the enactment of the Transfer Agreement, transferring all assets, liabilities, and charitable undertakings to HFGC. 

## **Financial Review** 

The Statement of Financial Activities shows total income of £59,950 (2023/24: £68,387) and total expenditure of £118,461 (20233/24: £94,378) giving an overall deficit for the period of -£58,511 (2023/24: -£25,991). 

The Balance Sheet shows net assets available to the charity of £Nil as at 30th September 2025. 

## **Reserves Policy** 

The Board of Trustees continues to review the charity’s requirements for reserves in light of the main risks to the organisation. 

Our policy aims to establish unrestricted funds not invested in tangible assets at a level equivalent to three months’ running costs, which equated to £13,978. 

Free reserves which are unrestricted reserves not designated or tied up in fixed assets amount to £Nil as at 30th September 2025. 

The Trustees recognise that they are below their free reserves target. This is primarily due to costs incurred in completing the Transfer Agreement. Any remaining free reserves were transferred to HFGC within the reporting period. 

## **Going Concern** 

During the financial period, the Directors of the Beacon Centre Trust Cardiff (Registered Charity Number 1078396 and Registered Company Number 03869839) sought guidance and advice and agreed to transfer the assets and liabilities to the registered Charitable Incorporated Organisation, Here For Good Collective (Registered Charity Number 1202371). 

## **Structure, Governance and Management** 

## **Governing Document** 

Beacon Centre Trust (Cardiff) is a company limited by guarantee (incorporated on 2 November 1999) and a charity registered in England and Wales (registered on 30 November 1999). The company was established under a Memorandum of Association which established the objects and powers of the company and is now governed by its Articles of Association. In the event of the company being wound up, members are required to contribute an amount not exceeding £1. 

## **Recruitment and Appointment of Trustees** 

The Board of Trustees are directors of the company and also charity trustees for the purposes of charity law and under the company’s Articles are known as the Management Committee. Under the requirements of the Memorandum and Articles of Association, all members of the Board, including co-opted members, must retire from office at each Annual General Meeting, but may stand for re-election. The Board may comprise no less than 4 and no more than 9 people. In addition, the Board may appoint one co-opted member to represent Cardiff Council, should Cardiff Council so wish, and one co-opted member to represent the local community. The Board may also appoint two additional co-opted members. Members may be elected to the Board of Trustees at the Annual General Meeting or by a decision of the Trustees. 

Board members have a range of skills and experience including financial, governance, and management expertise. To ensure the Board maintains an appropriate skills base, annual skills audits are carried out. Recruitment to the Board is through open advertisement or by invitation, followed by a period of observation and an interview. 

The officers of the Board of Trustees (Chair, Treasurer, and Secretary) are elected at the Annual General Meeting.

## **Statement of Directors' Responsibilities:** 

The Charities Act and the Companies Act require the Board of Trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity as at the end of the financial year and of the surplus or deficit of the charity. In preparing those financial statements the Board is required to :- 

- **a)** Select suitable accounting policies and then apply them consistently; 

- **b)** Make judgements and estimates that are reasonable and prudent; 

- **c)** Prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in business; 

- **d)** State whether applicable accounting standards and statements of recommended practice have been followed subject to any material  departures disclosed and explained in the financial statements. 

The Directors are also responsible for maintaining adequate accounting records which disclose with reasonable accuracy at any time the financial position of the charity and which are sufficient to show and explain the charity's transactions and enable them to ensure that the financial statements comply with the Companies Act 2006 and comply with regulations made under the Charities Act. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

The Directors are also responsible for the contents of the Directors' report, and the responsibility of the independent examiner in relation to the Directors' report is limited to examining the report and ensuring that on the face of the report, there are no inconsistencies with the figures disclosed in the financial statements. 

These accounts have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.

## **Directors' Responsibilities:** 

The Directors are satisfied that for the period ended on 30th September 2025 the charitable company was entitled to exemption from the requirement to obtain an audit under section 477 of the Companies Act 2006 and that no member or members have required the company to obtain an audit of its accounts for the year in question in accordance with section 476 of the Act. However, in accordance with section 145 of the Charities Act 2011, the accounts have been examined by an Independent Examiner whose report appears on page 23. 

The Directors acknowledge their responsibility for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of accounts. 

The accounts have been prepared in accordance with the provisions in Part 15 of the Companies Act 2006 applicable to companies subject to the small companies regime and in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102). 

The Directors acknowledge their responsibility for ensuring that the company keeps proper accounting records which comply with section 386 of the Act and for preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of the financial year and of its profit and loss for the financial year in accordance with the requirements of sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to accounts, so far as applicable to the company.

## **Basis of Preparation & Assessment of Going Concern** 

## **Basis of Preparation** 

The financial statements have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant notes to the accounts. The financial statements have been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities (SORP 2015) (Second Edition, effective 1st January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102), the Charities Act 2011 and the Companies Act 2006. 

The Charity meets the definition of a public benefit entity under FRS102. Assets and liabilities are initially recognised at historical cost unless otherwise stated in the relevant accounting policy notes. 

## **Assessment of Going Concern** 

Preparation of the accounts is on a non going concern basis. The Directors have agreed to cease operation and transfer the assets, liabilities and operations to Here For Good Collective (Registered Charity Number 1202371). 

## **Incoming Resources** 

## _**Recognition of Incoming Resources**_ 

These are included in the Statement of Financial Activities (SOFA) when: 

▪ the charity becomes entitled to the resources; 

▪ the trustees are virtually certain they will receive the resources; and 

▪ the monetary value can be measured with sufficient reliability 

## _**Incoming Resources with Related Expenditure**_ 

Where incoming resources have related expenditure (as with fundraising or contract income) the incoming resource and related expenditure are reported gross in the SOFA. 

## _**Grants and Donations**_ 

Grants and Donations are only included in the SOFA when the charity has unconditional entitlement to the resources. 

## _**Tax Reclaims on Donations and Gifts**_ 

Incoming resources from tax reclaims are included in the SOFA at the same time as the gift to which they relate. 

## _**Contractual Income and Performance Related Grants**_ 

This is only included in the SOFA once the related goods or services has been delivered. 

## _**Gifts in Kind**_ 

Gifts in kind are accounted for at a reasonable estimate of their value to the charity or the amount actually realised. Gifts in kind for sale or distribution are included in the accounts as gifts only when sold or distributed by the charity. Gifts in kind for use by the charity are included in the SOFA as incoming resources when receivable. 

## _**Donated Services and Facilities**_ 

These are only included in incoming resources (with an equivalent amount in resources expended) where the benefit to the charity is reasonably quantifiable, measurable and material. The value placed on these resources is the estimated value to the charity of the service or facility received. 

## _**Volunteer Help**_ 

The value of any voluntary help received is not included in the accounts but is described in the trustees' annual report. 

## _**Investment Income**_ 

This is included in the accounts when receivable. 

## _**Investment Gains and Losses**_ 

This included any gain or loss on the sale of investments and any gain or loss resulting from revaluing investments to market value at the end of the year.

## **Expenditure and Liabilities** 

## _**Liability Recognition**_ 

Liabilities are recognised as soon as there is a legal or constructive obligation committing the charity to pay out resources. 

## _**Governance Costs**_ 

Include costs of the preparation and examination of statutory accounts, the costs of the trustees' meetings and cost of any legal advice to trustees on governance or constitutional matters. 

## _**Grants with Performance Conditions**_ 

Where the charity gives a grant with conditions for its payment being a specific level of service or output to be provided, such grants are only recognised in the SOFA once the recipient of the grant has provided the specified service or output. 

## _**Grants Payable without Performance Conditions**_ 

These are only recognised in the accounts when a commitment has been made and there are no conditions to be met relating to a grant which remain in control of the charity. 

## _**Support Costs**_ 

Support costs include central functions and have been allocated to activity cost categories on a basis consistent with the use of the resources, eg allocating property costs by floor areas, or per capital employed, staff costs by the time spent and other costs by their usage. 

## _**Pensions**_ 

The Charity operates a define contribution pension scheme and the pension charge represents the amounts payable by the company to the fund in respect of the financial period. Pension contributions are charged to the Statement of Financial Activities as they become payable. 

## _**Taxation**_ 

The charity is exempt from tax on its charitable activities. 

## _**Legal Status of the Charity**_ 

The charity is a company limited by guarantee and has no share capital. In the event of the charity being wound up, the liability in respect of the guarantee is limited to £1 per member of the charity. 

## _**Fixed Tangible Assets**_ 

Tangible fixed assets for use by the charity, these are capitalised if they can be used for more than one year, and cost at least £1,500. They are valued at cost or, if gifted, at the value to the charity on receipt. 

## _**Fixed Asset Investments**_ 

Fixed asset investments are initially measured at transaction price excluding transaction costs, and are subsequently measured at fair value at each reporting date. Changes in fair value are recognised in net income/(expenditure) for the year. Transaction costs are expensed as incurred. 

## _**Subsidiary**_ 

A subsidiary is an entity controlled by the Charity. Control is the power to govern the financial and operating policies of the entity so as to obtain benefits from its activities. 

## _**Depreciation Expense**_ 

Depreciation is calculated at a rate to write off the cost of tangible fixed assets over their estimated useful lives. The rates applied per annum are as follows: 

Land & Buildings 2% - Straight Line Basis Fixtures and Fittings 20% - Reducing Balance Basis 

There has been no change to the accounting policies (valuation rules and methods of accounting) since the previous financial period.

The Directors of the Beacon Centre Trust (Cardiff) (Registered Charity Number 1078396 and Registered Company Number 03869839) sought guidance and advice and agreed to enter in to a One Hundred and Twenty Five Year lease occupying the Land and Buildings at The Beacon Centre, Harrison Drive, Cardiff, CF3 OPJ. 

The County Council of the City and County of Cardiff granted the Beacon Centre Trust (Cardiff) (Registered Charity Number 1078396 and Registered Company Number 03869839) a One Hundred and Twenty Five Year Lease commencing on the 14th December 2005 and concluding on the 14th December 2130. The yearly rent has been specified as One Thousand Five Hundred Pounds (exclusive of VAT) per annum. 

The Directors of the Beacon Centre Trust (Cardiff) (Registered Charity Number 1078396 and Registered Company Number 03869839) have carried our extensive improvements and renovation work to the Land and Buildings and have agreed to value the One Hundred and Twenty Five year lease occupying the Land and Buildings at The Beacon Centre, Harrison Drive, Cardiff, CF3 OPJ at £1,314,674 as at the 30th November 2005. 

During the financial period the Directors of the Beacon Centre Trust Cardiff (Registered Charity Number 1078396 and Registered Company Number 03869839) sought guidance and advice and agreed to transfer the assets, liabilities, leasehold agreements and contracts to the registered Charitable Incorporated Organisation, Here For Good Collective (Registered Charity Number 1202371). The Directors of the Beacon Centre Trust Cardiff (Registered Charity Number 1078396 and Registered Company Number 03869839) have agreed to transfer the assets, liabilities, leasehold agreements and contracts to Here For Good Collective (Registered Charity Number 1202371) and the leasehold Land and Building were transferred on the 30th September 2025. 

The value of leasehold Land and Building transferred to Here For Good Collective (Registered Charity Number 1202371) was £812,877 as at 30th September 2025. 

The annual commitments under non-cancelling operating leases and capital commitments are as follows: 30th September 2025 : £3,795.00 31st March 2024 : £1,500.00

## **16. PAYMENTS TO DIRECTORS AND RELATED PARTIES TRANSACTIONS** 

Fledgling's Playgroup Limited is a wholly owned subsidiary of the Charity. During the financial period the Beacon Centre Trust (Cardiff) charged the Fledgling's Playgroup Limited (Registered Company Number 04819202) £6,000 (2023/24: £11,000) in rental costs in furtherance of the Charity's objects. 

During the financial period the Charity paid payroll costs for Fledgling's Playgroup Limited which totalled £3,799. The Charity loaned Fledgling's Playgroup Limited £Nil (2023/24: £20,013) during the financial period for payroll costs and there are no amounts outstanding at the year end. 

The Beacon Centre Trust (Cardiff) also received £1,148 (2023/24: £400) as a donation in relation to the company's taxable profits. 

The Directors of Fledgling's Playgroup Limited (Registered Company Number 04819202) and also the Directors of the Beacon Centre Trust (Cardiff) and all conflicts of interest have been identified, documented and managed in accordance with the Charity's Governing Document. 

During the financial period the Directors of the Beacon Centre Trust (Cardiff) agreed to provide charitable grants of £Nil (2023/24: £10,000) to Here For Good Collective (Registered Charity Number 1202371) in furtherance of the Charity's objects. 

During the financial period, the Directors of the Beacon Centre Trust (Cardiff) gifted the Here For Good Collective (Registered Charity Number 1202371) £20,000 for repairs and maintenance work completed to the Land and Buildings at The Beacon Centre, Harrison Drive, St Mellons, Cardiff, CF3 0PJ. 

During the financial period, the Directors of the Beacon Centre Trust Cardiff (Registered Charity Number 1078396 and Registered Company Number 03869839) sought guidance and advice and agreed to transfer the assets and liabilities to the registered Charitable Incorporated Organisation, Here For Good Collective (Registered Charity Number 1202371). 

Directors Dr Katherine Browne and Mr Simon Brown are also Trustees of Here For Good Collective (Registered Charity Number 1202371) and all conflicts of interest have been identified, documented and managed in accordance with the Charity's Governing Document. 

No other payments were made to directors or any persons connected with them during this financial period. No other material transaction took place between the charity and a director or any person connected with them. 

## **17. RISK ASSESSMENT** 

The Directors actively review the major risks which the charity faces on a regular basis and believe that maintaining the free reserves stated combined with the annual review of the controls over key financial systems carried out on an annual basis will provide sufficient resources in the event of adverse conditions. The Directors have also examined other operational and business risks which they face and confirm that they have established systems to mitigate the significant risks. 

## **18. RESERVES POLICY** 

The Directors have considered the level of reserves they wish to retain, appropriate to the charity's needs. This is based on the charity's size and the level of financial commitments held. The Directors aim to ensure the charity will be able to continue to fulfil its charitable objectives even if there is a temporary shortfall in income or unexpected expenditure. The directors will endeavour not to set aside funds unnecessarily. 

## **19. PUBLIC BENEFIT** 

The Charity acknowledges its requirement to demonstrate clearly that it must have charitable purposes or ‘aims’ that are for the public benefit. Details of how the charity has achieved this are provided in the Trustees report. The Trustees confirm that they have paid due regard to the Charity Commission guidance on public benefit before deciding what activities the charity should undertake.

The Directors of the Beacon Centre Trust (Cardiff) (Registered Charity Number 1078396 and Registered Company Number 03869839) agreed to transfer the assets and liabilities to the registered Charitable Incorporated Organisation, Here For Good Collective (Registered Charity Number 1202371) and cease of operation. The next financial period will be the final period of account showing cessation of operation and closure of the Charity. 

Fledgling's Playgroup Limited (Registered Company Number 04819202) is a wholly owned subsidiary of the Charity. Fledgling's Playgroup Limited ceased trading on the 31st December 2024 and the Company was dissolved on the 18th February 2026.

## **INDEPENDENT EXAMINER’S REPORT ON THE ACCOUNTS** 

Report to the trustees/ members of The Beacon Centre Trust (Cardiff) on the accounts for the period ended 30th September 2025 set out on pages 7 to 22. 

## **Respective responsibilities of trustees and examiner** 

The Charity's trustees (who are also the directors of the company for the purposes of company law) are responsible for the preparation of the financial statements. The trustees are satisfied that the audit requirement of Section 144(1) of the Charities Act 2011 (the Act) does not apply, and that there is no requirement in the governing document or constitution of the Charity for the conducting of an audit. As a consequence, the trustees have elected that the financial statements be subject to independent examination. 

Having satisfied myself that the charity is not subject to audit, and is eligible for independent examination, it is my responsibility to:- 

a) examine the accounts under section 145 of the Act; 

b) to follow the procedures laid down in the General Directions given by the Charity Commission under section 145(5)(b) of the Act; and; 

c) to state whether particular matters have come to my attention. 

## **Basis of independent examiner's statement** 

I conducted my examination in accordance with the General Directions given by the Charity Commissioners for England & Wales in relation to the conducting of an independent examination, referred to above. An independent examination includes a review of the accounting records kept by the Charity and of the accounting systems employed by the Charity and a comparison of the financial statements presented with those records. It also includes consideration of any unusual items or disclosures in the financial statements , and seeking explanations from you as trustees concerning such matters. The purpose of the examination is to establish as far as possible that there have been no breaches of the Charities legislation and that the financial statements comply with the SORP, on a test basis, of evidence relevant to the amounts and disclosures in the financial statements. 

The procedures undertaken do not provide all the evidence that would be required in an audit , and information supplied by the trustees in the course of the examination is not subjected to audit tests or enquiries, and consequently I do not express an audit opinion on the view given by the financial statements, and in particular, I express no opinion as to whether the financial statements give a true and fair view of the affairs of the charity, and my report is limited to the matters set out in the statement below. 

I planned and performed my examination so as to satisfy myself that the objectives of the independent examination are achieved and before finalising the report I obtain written assurances from the trustees of all material matters. 

## **Independent examiner's statement** 

In the course of my examination, no matter has come to my attention: 

1.     which gives me reasonable cause to believe that in, any material respect, the trustees requirements: 

· to keep accounting records in accordance with section 386 of the Companies Act 2006; and
