Dear Friends, your Council is pleased to be able to present the Report and Accounts of your Charity for the year ended 30 June 2025. In this report ‘The Friends’ and ‘we’ refer to the whole organisation as well as to the Council of The Friends, acting on its behalf.

OBJECTIVES AND ACTIVITIES

The continuing financial objective of The Friends is to meet a major part of the Diocesan costs for the Cathedral which are growing, and which currently fall upon the Diocesan resources.

The policies of The Friends in relation to investment, grant making and maintaining reserves are framed to support the objectives and are set out below. It is to be noted that the final decisions as to building and maintenance priorities rest with the Diocese and not with the Council.

Our Charity has a second objective: the encouragement of wider appreciation and use of the Cathedral by parishioners from across the Diocese. The members of Council are always interested to hear views and suggestions of members and although, for all the reasons mentioned above, it may be constrained from immediately adopting them, the Council continue to endeavour faithfully and in a practical way to reflect the intentions of The Friends’ members as a whole.

The main public benefit provided by the Charity is the provision offinancial assistance for the longterm maintenance of the Cathedral, which is not only an historic listed building and a very important example of gothic revival architecture, but one of the landmarks in a town which is well known for its beauty, and which gains some of its prosperity from its attractiveness to visitors. The members of your Council confirm that they have complied with the duty in section 17 of the Charities Act 2011 to have due regard to public benefit guidance published by the Charity Commission in determining the activities undertaken by the Charity.

ACHIEVEMENTS AND PERFORMANCE

Chair’s Report:

Following the magnificent celebrations of the Cathedral's 150th anniversary in 2023, the year 2024/5 has been a quieter period for events in the Cathedral.

The Advent Solemn Vespers was well attended by civic dignitaries, including the High Sheriffs of both East and West Sussex. It was a wonderful way to start the Advent season, with a beautiful liturgy, supported by the glorious sounds of the organ and the choir.

The Friends Summer Celebration which followed Vespers was celebrated in the magnificent gardens of Arundel Castle. We were blessed with glorious weather and a short performance from Vivo, four Ukranian singers who also sang the Introit at Vespers in the Cathedral.

The Friends were pleased to invite and welcome representatives from hospices around the diocese, as a way of acknowledging the wonderful work they perform, at a time when proposed legislation undermines the sanctity of life and threatens the future of end of life care.

The Cathedral continues to attract many visitors to the "Carpet of Flowers", prepared for the Corpus Christi Mass. ;

, In the Jubilee Year of Hope, Bishop Richard celebrated the Sacrament of Confirmation for all candidates across the diocese in our Cathedral church, which is one of the three designated jubilee pilgrimage churches in our diocese. The Cathedral hosted 18 celebrations anda total of just over 1,000 young people were confirmed - the highest number for many years.

This year has been notable for two retirements. First, our Chair, Patrick Burgess, who has been in post for many years and has overseen the development of The Friends. The Council and, indeed, The Friends are very grateful for the enormous contribution he has made.

Margaret Bamford has stood down as Chair of the Membership and Events Sub-Committee. Again, we are extremely grateful for the contribution Margaret has made over many years. The new Chair of the Membership and Events Sub-Committee is Maggie Burgess.

There are two major challenges going forward:

  1. To increase the number of new Friends 2. To seek further Trustees.

I take this opportunity to thank all the Council members who give so freely of their time and energy and to our wonderful administrator, Lindsey Stratford.

Margaret Bamford OBE writes:

After 14 years as Chair of The Trustees of the Friends of Arundel Cathedral, Patrick Burgess has retired. At a special farewell dinner at The Parson’s Table in Arundel, fellow trustees spoke warmly about him as a friend, and admiringly for his skill in leadership. He was passionately committed to ' the Cathedral and worked tirelessly to promote the need to support and cherish ‘the magisterial architectural and spiritual jewel of the Town’. Appointed as a Bishop’s nominee to The Friends of Arundel Cathedral Board in April 2008 he became Chair in 2010. He knew that what he was taking on in succeeding a much respected and erudite Chair, Oliver Hawkins, would be a challenge and time consuming, but even though already very committed with many other important charitable commitments, he agreed to do it.

When the Charity was established 40 years ago by Canon Tony Whale with Bishop Cormac’s support it attracted an enthusiastic membership of more than 600, and a significant cumulative capital sum from membership subscriptions and generous donations. This was invested and the interest used to support maintenance costs. Maintaining membership numbers was a priority. Without a thriving membership the Charity would lose income and capacity to provide much needed funds to support the fabric of the building. At the same time, the capital needed to be invested wisely to ensure a steady and regular income. The Charity was incredibly fortunate that Patrick had a background in investment banking and, notwithstanding significant financial turbulence during his tenure, he ensured that investments were managed by reputable brokers to provide sufficient income to contribute to the support of major capital refurbishments. Two of the most significant projects were the Cathedral’s Fleche, which was in danger of collapse, and the restoration of the lead in which the glass of the magnificent Rose window was set: this was disintegrating to a dangerous extent. The Friends were able to contribute significant sums to secure the repair of these two iconic features of the building. The Friends have also contributed to the complete refurbishment of the Cathedral Centre creating a true community facility for the Town.

As a Cambridge graduate, Patrick was intellectually able and culturally gifted. He was aware of the architectural beauty of the Cathedral and its spiritual significance as the Bishop’s Diocesan seat. He wrote frequently about why it was so important to look after its structure. His prose was eloquent and persuasive whether written or oral. Rarely is a charity’s Annual Report written in such elegant prose; while speaking at Sunday Masses, trying to encourage parishioners to sign up (and pay) for membership he has been known to be applauded! A rare talent indeed for oratory. Sitting next to him as part of a singing congregation, listening to him using his lovely tenor voice to maintain the harmonyofthe piece, is a joy. He also loves listening to choral music. Some years ago, appreciating the importance of a really good Cathedral choir, he led the initiative in supporting the sponsorship of three choral scholars, all of whom have gone on to achieve accolades in their own right. A gentle, unassuming but strong leader Patrick was invariably courteous, appreciative of others’ efforts, while always being sharply focussed on the Charity’s objectives. His capacity for hard work left most of his Board breathless. It never felt as if the ‘Friends’ were an ‘add on’ and yet he was also very involved with his young boys’ charity in London, promoting the welfare of young boys brought up in poverty and on the fringes of a career in crime, seeking funding for premises and running costs, making applications to grant making trusts and spending time with those who were directly involved with running it. At the same time, he was Chancellor of the Most Venerable Order of St John of Jerusalem (an Order of the Crown). He was also Chairman of the Sussex County Priory Group of the same Order for a few years. He was finally invested as a Knight Grand Cross of the Order, the highest grade, some six years ago. Finally, in 2021 he was awarded the prestigious Papal Knighthood of The Equestrian Order of St Gregory the Great.

In establishing a separate Events and Membership Sub-Committee, Patrick appreciated the importance of reaching out to communities through activities that engage, inform and are enjoyable. Various members lead on events such as: annual local pilgrimages, organising specialist talks in the Cathedral Centre, two celebrations of Pontifical Vespers led by the Bishop — one at Advent to which High Sheriffs and civic dignitaries from the whole Diocese are invited, and one summer celebration followed by drinks and canapes in the Collector Earl’s Garden, Arundel Castle grounds.

Patrick retires leaving a formidable legacy of success, and a powerful testament to what one person can achieve. His colleagues, friends, and all those who know him are grateful for what he achieved and wish him a long and happy retirement.

Liz McCombe writes:

Margaret Bamford has volunteered all her life. She has worked extensively to help children in Belarus and acts as a Patron of Sage House Dementia Support Tangmere, to name but two of her endeavours. As Margaret is active everywhere for the sake of others, it would be impossible to list all her projects. Margaret became a member of the Friends of Arundel Cathedral and then was asked to be a Trustee, soon adding the role of Chair of the Events and Membership Sub-Committee. In 2024 she relinquished this role, feeling that new blood was needed to take the Friends into the future.

Margaret has been a charismatic leader, always coming up with new ideas or an innovative twist to a well-established event.

She is renowned for a seemingly bottomless supply of “fizz” for all events particularly for Summer Vespers and the party afterwards in the Collector Earl’s Garden, Arundel Castle.

Margaret will turn her hand to anything from setting up tables, washing up, cooking delicious soup and being a gracious hostess to visiting speakers or members of other cathedrals’ Friends.

Thank you, Margaret, for your enthusiasm and your flair for organisation. However, even more important are your bubbly personality, kindness, generosity and steadfastness as a loyal and sympathetic friend.

The good news is that Margaret remains closely involved and will continue to assist with and attend future Friends’ events.

INVESTMENTS

Since the establishment of The Friends, we have benefited from a total investment income of over £1,103,000 and the value of our investments stands at a current value of £1,666,000. This resource has enabled us, as explained above, to make worthwhile contributions to safeguard the Cathedral’s wellbeing for the future. The fund managers have been set performance benchmarks and their performance was satisfactory.

A brief reconciliation of the figures involved, when grants are included in the calculations since formation ofthe original trust in 1986, is as follows: -

FINANCIAL PERFORMANCE

At the beginning ofthe year on[1] July 2024, our funds amounted[to] £1,656,000. During the year[to] 30 June 2025, our subscribers and other well-wishers contributed some £17,000 (last year £13,000). Including investment income, the total receipts for the year amounted to £55,000 (last year £56,000). There was a legacy during the year amounting to £2,000 (last year £200).

Our support costs, including employment costs relating to our Administrator, office costs, printing publicity and accountancy, amounted to £21,000 (last year £18,000). The investment management fee was £14,000 (last year £14,000).

This year, our investment income amounted to £36,000 (last year £39,000). The market value of our investments decreased by £600 (last year increased by £141,000). The decrease in the year-end value of investments reflects the withdrawal during the year of £64,000 to fund grants and expenditure (last year £65,000).

At year end we were left with total assets before grants to the Diocese of £1,722,000. From this we are paying grants to the Diocese of £55,000 and the parish Choral Fund £3,000, leaving The Friends with assets at 30 June 2025 of £1,612,000. ,

INVESTMENT POLICY

The primary investment aim is to maximise total return from the charitable funds while being mindful of the relevant ethical issues. Income and capital growth are regarded for this purpose as of equal value. In implementing this policy, proper consideration is given to the avoidance of undue risk and to the objective of achieving a balance which is aimed at maintaining the annual grant to the Diocese at least at its current level.

GRANT MAKING POLICY

While no specific commitment has been made, the general intention is that each year the amount of the annual grant to the Diocese should be at least equal to the sum paid in the previous year, preferably increased in line with inflation. Occasionally, a larger grant may be considered for particular circumstances or projects.

RESERVES POLICY

The long-term aim is to build up significant reserves to make it possible for the grants paid by The Friends to cover the major part of the costs falling on the Diocese in connection with the Cathedral. The intention is to ensure reserves of at least around £1.25 million are retained in order to allow for

the on-going support of the Cathedral for the foreseeable future, including in years when a much more significant maintenance grant may be required.

FUNDRAISING APPROACH

The Company does not engage in telephone or email campaigns for fundraising and does not fundraise directly from the public. Funds are raised primarily through subscriptions and events. No complaints about fundraising were received during the year or in the prior year.

RISK ASSESSMENT AND RISK MANAGMENT

The Council has assessed the major risks to which the Company is exposed and is satisfied that appropriate systems are in place to identify and mitigate those risks.

STRUCTURE GOVERNANCE AND MANAGEMENT

CONSTITUTION

The Friends of Arundel Cathedral is a company limited by guarantee, not having a share capital, and registered as a Charity, having as its formal objects those set out in the Memorandum & Articles of Association, the maintenance, support, service, carrying on and development of the Roman Catholic Cathedral of Our Lady & St Philip Howard at Arundel, West Sussex. The company was incorporated on 21 June 1999 in England & Wales under No 3792834 and was registered as a Charity on 19 November 1999 under No 1078149.

THE COUNCIL

The Council, (i.e.in ordinary Company Law parlance, the Board of Directors, who are the trustees of the Charity), consists of up to twelve members elected by the overall membership, with up to a further four members appointed by the Bishop and up to a further two appointed by Arundel Cathedral Parish through its Parish Finance Committee. It is the Council’s duty to ensure that in what The Friends does its charitable objects are properly met and discharged in accordance with the requirements of the law. The current composition is shown on page 4 under the “Legal & Administrative Details.”

In the case of each member of Council, their appointment is made for a maximum of three years, though re-election or reappointment is permitted. The Council meets in Plenary Session formally every six months.

The Friends has been blessed with individuals who have given dedicated and skilled service from its very beginning.

Investment decisions are delegated by the Council to an Investment Sub-Committee comprising four of its members. In 2007, the Council appointed Investec (now incorporated into Rathbones) aS our investment managers to manage the portfolio on a discretionary basis for a fee. The Investment Sub-Committee receives regular reports from the managers and holds meetings with them and reviews their appointment at regular intervals.

A Membership & Events Sub-Committee also meets at regular intervals between the Plenary sessions of the Council and deals with a considerable volume of business ranging from the organisation of specific events to the re-establishment of the network of parish representatives. The Sub-Committee also oversees matters of branding, publicity and the visual identity of The Friends.

STATEMENT OF THE TRUSTEES’ RESPONSIBILITIES

The members of the Council of The Friends of Arundel Cathedral are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

The Trustees consider that the company is entitled to exemption from the requirement to have an audit under the provisions of section 477 of the Companies Act 2006 ("the Act") and members have not required the company to obtain an audit for the year in question in accordance with section 476 of the Act.

The Trustees acknowledge their responsibilities for ensuring that the company keeps accounting records which comply with section 386 of the Act and for preparing financial statements which give a true and fair view of[the][state] of affairs of the company as at 30 June 2025 and of its net income for the year then ended in accordance with the requirements of sections 394 and 395 of the Act and which otherwise comply with the requirements of theCompanies Act 2006 relating to the financial statements so far as applicable to the company.

The financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.

NOTES TO THE FINANCIAL STATEMENTS FOR THE YEAR ENDED 30 JUNE 2025

  1. PRINCIPAL ACCOUNTING POLICIES

(i) Basis of Accounting The financial statements have been prepared in accordance with the Statement of Recommended Practice for Charities (SORP 2015) (Second Edition, effective | January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.

The Friends of Arundel! Cathedral meets the definition of a public benefit entity under FRS 102. The Charity is a charitable company limited by guarantee, registered in England and Wales. The address of the registered office is St Philip Howard Centre, 4 Southgate Drive, Crawley, West Sussex, RH10 6RP. The financial statements are presented in sterling which is the financial currency of the charitable company. Monetary amounts in these financial statements are rounded to the nearest £ except where otherwise stated. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy note.

(ii) Preparation of the accounts on a going concern basis Having considered future budgets and cash flows, the trustees confirm that they have no material uncertainties about the entity’s ability to continue as a going concern for the foreseeable future.

(iii) | Income recognition

All income is recognised once the Charity has entitlement to the income, it is probable that the income will be received, and the amount of income can be measured reliably.

Donations are recognised when the Charity has been notified.in writing of both the amount and settlement date.

Legacies and donations are recognised when the Charity becomes legally entitled to them and they can reasonably be measured in financial terms.

Investment income is credited to income when it is receivable, and the amount can be measured reliably by the Charity; this is normally upon notification of the interest paid or payable by the bank. Dividends are recognised once the dividend has been declared and notification has been received of the dividend due.

(iv) Expenditure Liabilities are recognised as expenditure as soon as there is legal or constructive obligation committing the Charity to that expenditure, it is probable that settlement will be required, and the amount of obligation can be measured reliably.

Expenditure is recognised on an accruals basis as a liability is incurred, inclusive of VAT, which cannot be recovered.

(v) Debtors Trade and other debtors are recognised at the settlement amount due. Prepayments are valued at the amount prepaid.

(vi) | Cash at bank and in hand

Cash at bank and in hand includes bank accounts and cash.

(vii) Creditors and provisions Creditors and provisions are recognised where the Charity has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors and provisions are normally recognised at their settlement amount.

(vili) Investment gains and losses All gains and losses are taken to the Statement of Financial Activities as they arise. Realised gains and losses on investments are calculated as the difference between sales proceeds and opening market value (purchase date if later).

(ix) Investments

Investments are a form of basic financial instrument. They are initially recognised at their transaction value and subsequently valued at their fair value at the balance sheet date using the closing quoted market price. The Statement of Financial Activities includes the net gains and losses arising on revaluation and disposals throughout the year.

(x) Estimation uncertainty In the view of the trustees in applying the accounting policies adopted, no judgements were required that have a significant effect on the amounts recognised in the financial statements nor do any estimates or assumptions made carry a significant risk of material adjustment in the next financial year.

(xi) Financial instruments

The Charity only has financial assets and financial liabilities ofa kind that qualify as basic financial instruments. Basic financial instruments are initially recognised at transaction value and subsequently measured at their settlement value.
