introduction
The St John’s Foundation Trust (SJFT) is a registered charity which manages a charitable fund, land and investments for St John’s Academy, Marlborough (SJA).
Trust management & purpose
The object of SUFT is to provide funds from time to time as agreed between the Board of Trustees and the Academy Trust of SJA for the sole benefit of SJA, its students and their education in the community of Marlborough, Wiltshire.
SJFT is managed by a Board of Trustees which operates according to an approved, historical Trust Deed which sets out the structure, governance and management of the Trust.
Two Trustees are nominated by SJA for a period of 4 years and three Trustees are co-opted by the Trustees for a period of 5 years.

The charity’s work and achievements
SJFT reviews proposals from SJA for the provision of special funds for major Academy and educational projects not normally available through the public purse. Large repayable grants were made to allow the school to transfer to a single site and commence the building of the new school. A subsequent repayable grant was made to allow for the provision of tennis courts, and a substantial donation enabled the construction of new sports facilities, including an all-weather pitch. In addition non-repayabie grants have been given for smaller projects such as equipping the library.
During this financial year, the trustees made a donation to the Academy to enable the purchase of a new 17-seater minibus. The vehicle is for the use of St John’s and its linked primary schools, and is wheelchair accessible. The trustees met with the Principal, Alan Henderson, in November 2024 to officially declare the minibus part of the fleet.
The Charity’s Trust Fund & Income
The assets of SJFT originated from donations and endowments made to the former Marlborough Grammar School in previous centuries. These assets are invested in the COIF Charities Investment Fund and the COIF Charities Fixed Interest from which SJFT derives interest and dividends as shown in the Report and Accounts.
2024 - 2025 total gross income was £65,336.

2024-2025 total expenditure amounted to £69,376.
Public benefit
In all its activities SJFT complies with its duty to have due regard to the public benefit guidance published by the Charity Commission.
Statement of Trustees Responsibilities
The trustees are responsible for preparing the Trustees Report and the accounts in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
The law applicable to charities in England and Wales requires the trustees to prepare accounts for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources of the charity for that year.
In preparing these accounts the trustees are required to:

e select suitable accounting policies and then apply them consistently;
-
e observe the methods and principles in the Charities SORP;
-
make judgements and estimates that are reasonable and prudent;
-
- state whether applicable accounting standards have been followed subject to any material departures disclosed and explained in the accounts: and
-
® prepare the accounts on the going concern basis unless it is inappropriate to presume that the charity will continue in operation.
The trustees are responsible for keeping sufficient accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the accounts comply with the Charities Act 2011, the Charity (Accounts and Reports) Regulations 2008 and the provisions of the trust deed. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. INDEPENDENT EXAMINER’S REPORT TO THE TRUSTEES OF ST JOHN’S FOUNDATION TRUST MARLBOROUGH CHARITY NUMBER: 1078080
! report on the accounts of the Trust for the year ended 5 April 2025, which are set out on pages 4 to 6.
Respective responsibilities of trustees and examiner
The charity's trustees are responsible for the preparation of the accounts. The charity’s trustees consider that an audit is not required for this year under section 144 (2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed.
It is my responsibility to:
-
e examine the accounts under section 145 of the 2011 Act; e to follow the procedures laid down in the general Directions given by the Charity Commission under section 145 (5) (b) of the 2011 Act; and
-
e to state whether particular matters have come to my attention.
Basis of independent examiner's report
My examination was carried out in accordance with the general Directions given by the Charity Commissioners. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items of disclosures in the accounts and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a “true and fair’ view and the report is limited to those matters set out in the statements below.
Independent examiner’s statement
In connection with my examination, no matter has come to my attention:

(1) which gives me reasonable cause to believe that in any material respect the requirements:

e to keep accounting records in accordance with section 130 of the 2011 Act; and ® to prepare accounts which accord with the accounting records and comply with the accounting requirements of the 2011 Act

have not been met; or
-
(2) to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
