Slructuyei governance and management
Constitution
The Trust was established by selll@ment dated 4 Augugl 1999. The principal objective ol the charity is lo make
grants for charitable purposes. The Trust is an unincorporated Gharily registered with the Charities Commission
under number 1077748.
There have been no changes in the objectives sinc6 the last annual report.
b. Methods of appointment or election of Trustèes
The management of the charity 15 the responsibility of the Trijstees who are elecled and co-opted under the
teTms of the Trust deed. The exislirtg Trustees have the power lo appoint new Trustees as considered
necessary.

In selling objectives and planning for aclivilies, the Trustees have given due consideration lo general guidancè
published by the Charity Commission relating lo public benefit, including the QLEidanc8 'Public ￿nefit.. running a

The objective of the Trust, as slated in the settlement deed, is lo identify and provide funding to charitable
causes Within the Uniled Kingdom.

During the year the Trusl has made grants lo a number of charitable organisalions M4lhin the United Kingdom. All
aclivitl8s undertaken have been don& so in Sltpport of the Trust's principal obj8¢lives.

The Trustees have discretion over where and when gr8nls made. Granls wll be made by the Trustees as and
when they identify a suitable and deserving eause.

Aftér making appropriate enquiries, the Iruslees have a re8son8ble Èxpe¢tation that Ihe charity has adequate
re50uice8 lo continue in operational existen￿ for Ihe foreseeable lulure. For this reason they continue to adopl
the going concern basis in prep81ing the financial slalements.

Thè Trustees do not fundraise. The income is derived from ils investments and by donalk)ns received from
Boodle and Dunlhorne Limited.

The Trustees have appointed and given discretion lo Inveslec for the day.lo-day management of the investments
held by the Trust. Investments are made in accordance with the directions of the Trustees, who control the
overall nature of the investment portfolio atid who are responsible for the overall finan¢ial control of the Trust.
The Trustee's investment policy is lo seek lo enhance the capita5 value of the portfolio so th81 IN the term
the income and future capital gains will be suffi¢ienl lo meet the expenditure requirements of the Trust. During
the year under review, investments performed favourably.

1.1 Basis of preparation of finaiicial statements

Financial Reporting Standard applicable in the UK and RepubliG of Ireland {FRS 1021 leffeclive 1
January 20791, the FinanGial Reporting Standard applicable in thg. UK and Repiiblic c)f Ireland {FRS
102) and the Charities Act 2011.
The Boodle & Dunlhorne ChaTitable Trust meets the definition of a public benefit enlily under FRS
102. Assets and liabilities are initially recognised 91 historical cost or transaction value unless
otherwise slated in the relévant accounting policy.
1.2 Fund Accounting
General funds are unrestricted funds which are available for use at the dis¢relion of the Trustees in
furtherance of the general objectives of the charity and which have not beèn designated for other
purposes.
Investment in¢om8, gains and losses are allocated lo the appropriate fund.
1.3 Expenditure
Expenditure is recognised once there is a legal or ¢onslruclive obligation to transfer economi¢ ben&fil
lo a third party, il is probable that a transfer of economic benefits will be required in settlernent and
the amount of the obligation can be measured reliably. Expendilvre is ¢lassified by aclivily. The costs
of each activity are made up of the total of direct costs and sharèd costs, including support costs
involved in undertaking each activity. Direct costs allributable lo a single 3clivily are allocated directly
lo that aclivily. Shared costs which ¢ontribute lo more than one activity and support Gosls which are
not allribulable lo a single activity a¥e apportioned belween those activities on a basis consistent with
the use of resources. Central staff cos15 are allocated on the b2sis of lime spent, and depreoialion
Charges allocated on the portion of the asset's use.
Charitable activities and Governance costs are costs inCu￿ed on the charitls education81 oparations,
including support costs and costs relating lo thè governance of the charity apportioned lo charitsble
activities.
1.4 Investments
Fixed asset investments are a form of financial illslrumenl and are inilialty recognised at their
Iransaclion cost and subsequently measured at fair value at thè Balance Sheet dale, unless the value
cannot be measured reliably in which case il is measuTed al cost less impairment. Investment gains
and losses, whether realised or unrealised, are combined and presented as 'GainsllLosses} on
inve51ments' in the Statement of Financial Acliwties.
1.5 Income
All income is recognised once the charity has enlillemerst lo the income, il is probable that the income
will be received and the amount of income re¢eiwable can be measured reliably.
Income lax I'ecoverable in relation lo investment incomé is récognised al the lime the investment

All trade and other debtors are illilially recognised al transaction value, as none contain in substance
financing Iransaclion. Thereafter trade and other debtors aré reviewed for impairment where there
is objective evidence based on obgèrvable data that the balance may be impaired. ND collateral is
held against trade and other receivables so the exposure to credit risk is the nel balance of trade and
other debtors after allowance for impaiimenl.
The Trust's cash holdings comprisè on demand balances only. All Gash is held with banks strong
external credit ratings.
Trade and other creditors and accruals are initially recognised at transaction value as none represent
a financing Iransaclion. They are only derecognise(J when they are extinguished. As the Trust on
has short term receivables and payables, ils net current asset position is 2 reasonable Measure of its
Iliquidily al any given lime, although the nature of the inveslrnenl portfolio means this can be
liquidated al short notice under normal market cond¢tions.

Independent Examiner's fees are borne by Boodle & Dunlhorne Limileé, a company in which the
Trustees ate Directors.
