FOR THE YEAR ENDED 30 SEPTEMBER 2020
The Trustees present their annual report together with the finanaal statements ol the Company for the year 1 October 2019
to 30 Septernber 2020. The Annual Report seNes the purposes of both a Trustees, report and a directors, report under
cornpany law. The Trustee5 confirm that the Annual Report and financial statements of the charitable company comply with
the current slalulory requirements. the requirements of the charitable company's governing document and the provisions of
the Statement of Recommended Pr8¢tice ISORPI applicable to charities prep81ing their accounts in 8c¢ordance with the
Finanaal Reporting Standaid applicable in the UK and Republic of Ireland IFRS1021 (effective 1 January 20191.
Since the Company qualrfies as small Ljnder section 382 of the Companies Act 2006, the Strategic Report required of
medium and large companies under the Companies Act 2006 Istrategic Report and Directors, Report) Regulations 2013
has been omitted.
The company also operates under the name CL'.AIRE
Legal Status
The company is registered as a charitable company lirnited by guarantee and was set up governed by a Memorandum of
A550cialion and Articles dated 23 March 1999. The Articles were amended by Special resolutions on 25 April 2008. 5 April
2011 and 21 February 2014.
The Board of Ttustees represents the Members as well as academia, local authorities and small and medium sized
businesses. The Board of Trustees has overall financial and management responsibility for CL."AIRE.
Structure, govemance and management
Method of appointment or election of Trustees
New Trustees are apopinted by their fellow Trustees and upon appointrnent they are already familiar with the issues
surrounding the charity and the work the charity performs through prior involvernent.
Policies adopted for the induction and training of Trustees
None of the TrLJStees havè any beneficial interest in the company ex￿pt the Chairman. The Chairman ieceives a payment,
as agreed with the Charity Commission for certain activities that have been agreed by them. These activities are related to
activities over and above those of this TrLJStee's responsibilities for which he is not paid.
Organisational structure and decision making
The legal members have agreed to guarantee the cornpany to a value of £1 in the event of a winding up.
Management and Staff Team
CL..AIRE staff includes 8 team of four operational and administrative staff. They are responsible for carrying out the day-to-
day activities of CL..AIRE and achieving the ￿mpanY'S objectives. Pay and remuneration of the chaiily's staff is sel annually
by the Board who take advi￿ from an extern81 HR consultant. Foi 8drnini5tr8tive staff. pay 15 set 8ccoiding to expeiien

Advisory Groups
The staff are supported by a Technology and Research Group ff RGI. This group consists of individuals with considerable
expertise in the practical aspects of research and development and includes researchers, technoloy developers and policy
makers.
The group provides advice lo CL..AIRE as well as independent verification of CL..AIRE's working documents. The TRG
participates in the selection of projects and sites and helps to formulate a demonslralion and research strategy for CL..AIRE.

CL..AIRE is an ind8pend8nt, not for profit oig8nisatlOn established to stirnulate th8 regeneration of cont8min8t8d 18nd in the
UK by raising awareness of and confidence in practical, sustainable rernediation technologies.
CL."AIRE is committed to providing a valuable service for all those involved in contaminated land. The Charity deveops
training resources, disseminates information, raises standards through education and acts as a credible resour￿ for all
stakeholders, ensuring that it remains at the cutting edge of best practice and innovation.
The Trustees have referred to the Charity Commission's guidance on public benefit when reviewing the charity's aims and
objectives and in planning fvture activities. In particular the Trustees have ocnsidered how planned activities will contribute
lo airns and objectives they have sel.

CL.'AIRE looks to achieve these objectives by working with industry, through its mernbership, lo identify common problems
in the field of sustainable land management. Using its extensive experience of developing industry-led initiatives, the charity
works with highly respected experts and government lo develop 501utions which are tested and critiqued by technical
mernbers to ensure th81 they are fit for purpose.
The company iecognises the Importan￿ of accountability and consequently has established a comprehensive and
transparent prO￿sS under which it carries out its activities and prodU￿S its publications. The prO￿sS is defined in a
number of working documents, most of which are available on its website Iwww.daire.co.ukl.

has a portfolio of Technology Demonstration Projects and Research Projects that can be viewed online and actively
encourages potential project partners to submit new proposal applications.

Achievements and performance Icontinuedl
Other profile-raising opportunities were generated from the continuation of its secretariat role for The Land Forum which
was originally established by DCLG and Defra lo promote the sustainable use of land. It brings together private and public
sector organisalions to take an open and forward looking strategic overview of current and future land use issues identifying
key challenges as they arise and seeking appiopriale resolutions.

CL.'AIRE technical and corporate membership has remained steady throughout the finanaal year. There is an established
communication link be￿een CL'.AIRE and the industry which encourages the development of better regulation to rnaintain
and improve standards across the industry. As well as providing these essential services. membership has helped to
sustain CL.'AIRE to further develop new industry initiatives which solve problems, save money and offer networking
opportunities. Membership levels are maintained through networking, engaging industry, rllarketing, training and secretariat
roles.
CL..AIRE has continu8d its role 8S the facilitator of the Definition of Wast8.' Code ol Practic8, which is an initl8tive designed
to improve the sustainable and cost effective development of land. The code of practice has allowed significant cost and
environmental benefits to be realised across the UK having been applied to hundreds of projects. Training courses for the
linked'qualified person, role remain CL'.AIRE's most popular course.
CL.'AIRE's commitment to training and education has also been maintained through the continued growth of the interactive
e learning training program for various subjects deemed relevant to the EA and wider industry. The e learning plafform has
provided relevant and cost effective training throughout the financial year. Through engaging with its varied Membership
and networking groups. GL'.AIRE has ensured that the training it develops is relevant and fit for purpose. Several new areas
for training were identified during the financial year and are in the prO￿s3 of being lumed into both das5room and eleaming
training modules.

Flnanclal revlew
a. Golng concern
As the COVID situation developed in early 2020, the Board moved quickly to plan for a worst case scenario. This sTrnario
was investigated in terms of staff impact. income and expenditure and cash flow. assuming that only a very small
perTrnlage of income would materialise, and that CL.'AIRE would use the government's furlough scheme in order to
maintain staffing levels until there was a dearer picture of the pandernio's economic impact. In reality. although there was a
dip in incorne and activity. there was nowhere near the level of impact that had been planned for. This is due lo a number of
factors. bul principally it related lo the fact th81 many of our stakeholders work in se￿Or$ Ih8t were largely supported
through the lockdown. and theiefoie the knock-on effect to CL..AIRE was minim81.
b. Incomè
The company received funding to carry out its objectives without restriction and this funding is identified in the financial
statements as Unrestricted Funds. Other funding was received lor the purpose of supporting specific CL."AIRE projects. This
funding is identified as Restricted Funds.
The company re￿iVed £585.53612019'. £548,9181 unrestricted and restricted income during the year. Resources that have
been expended are £528.95912019' £536.3661 with £56.57712019.' £12.5521 net accumulated income resource remaining.

c. Level of ReseNes
During the financial period ended 30 Septernber 2020, CL.'AIRE's managernent and Trustees have been pro active in
sourcing funds as well as cutting costs where p055ible in order lo enable the charity lo maintain ils operations for the
foreseeable future.
Grants from extemal funders are paid through CL".AIRE to institutions with regaid to specific projects as set out in note 6 to
the accounts. As detailed above, the charity (with support from its advisory groups) Ljndertakes a comprehensive and
transparent prO￿$S of review before committing funds to such projects.
As at 30 September 2020, the charity had reserves of £387.124, as compared lo £330,547 at the end of the previous year.
For unrestricted reserves, the charity aims to maintain a minimum of £150,000, which is a suffiaent level to meet at least six
months operating costs. The remainder of the unrestricted reserves are to be used to provide working capital as well as
funding growth where appropriate.
d. Risk
Risk to the rn8nagetnent of the ¢harilable cornpany is controlled by applying the piinciples of good wrporale governance
and adheiing to the Memorandum and Articles of A550ciation and the Members, Agreement, and iegular rneetings of the
Board to review and di5CUSS the charitable company'5 operations. The chaiitable company caiiies diiectois, and officers,,
and professional indemnity insurance.
Employment risk is controlled through the use of a qualified external Human Resources contractor. The charitable company
carries employers, liability insuran￿.
Project risk is controlled by a comprehensive and transparent process that involves a formal project application that is
reviewed by the Technology and Research Group. Approved projects are sent to the board for ratification. The charitable
company has developed legal contract5 that are applied to charitable company approved srtes and piojeds. These
contracts are based upon defined rnilestones which ensure that the project is being carried out according to the approved
work plan. At the conclusion of of the project the tharitable cotnpany publishes a report describing the piojèct and its
results.
Finanaal risk is controlled by quarterly reporting of the financial position of the charitable company. Management accounts
are prepared by the finance director and viewed and discussed by the Board of Trustees. Statutory financial statements are
prepared annually, verified by Menzies LLP, and presented to the board.
The charitable company has prepared a Health & Safety and Environmental Policy Slalement to guide charitable cornpany
practice in matters that could affect the environment.
The charitable cotnpany completes all necessary document8tion to cornply with iequiieTnents of the Registrar of
Companie5, the Charity Comtnission, ENTRUST and the Inland Revenue to control regLJlatory risk.
è. Invèstmènt poliey
The investment policy of the charitable company is to minimise risk and to deposit surplus funds in a high interest account
with easy access to the funds. During the year funds in this deposit account were maintained, gaining interest on the
consideration deposited. The Trustees consider this to be a suitable use of the charitable companys funds.

CL..AIRE will continue to pursue ils crucial knowledge transfer role in Temedialion and regeneration working with
landowners. consultants. technology providers. acadernia, Government and other organisations within relevant sectois. 11
will disseminate and share industry research and best practice as widely as possible to benefit its expanding netwtsrk of
members and stakeholders.
CL.'AIRE will continue to expand the offering for the Membership scheme, building meaningful and long tem partnerships
with organisations and businesses that wish to pursue shared objectives.
CL.'AIRE will encourage new technology demonstrations, ensuring that sustainable remediation technologies get the
backing the technologies deserve. In doing so CL..AIRE will promote business opportunities to CL..AIRE's partners by linking
problem holders with solution providers and targeting grant funding to support the innovation pro￿53.
CL..AIRE will continue to develop training and 8ducational tnaterials.
CL."AIRE will continue to support both the public and the private sector in accelerating sustainable regeneration.

accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland
IFRS 1021 leffeclive 1 January 20191, the Financial Reporting Standard applicable in the UK and Republic of
Ireland IFRS 1021 and the Companies Act 20Cé.

1.2 Company status
The company is a company limited by guarantee. The members of the company are the Trustees named on
page 1. In the event ol the company being wound up, the liability in respect of the guarantee is limited to £1 per
member ofthe company.
1.3 Fund accounting
General funds are unrestricted funds which are available for use at the discretion of the Trustees in furtherance
of the general objectives of the Company and which have not been designated for other purposes.

1.4 Income
All income is recognised once the Company has entitlement to the income, it is probable that the income will be
re￿1Ve￿ and the amount of income receivable Can be measured reliably.
Grants are included in the Statement of Fin8nci81 Activities on a re￿1vable b8sis. The b818nce of Income
re￿IVed for specific purposes but not expended during the period Is shown in the relevant funds on the
Balan￿ Sheet. Where income is received in advance tsf entitlement of receipt, its recognition is deferred and
included in creditors as deferred income. Where entitlement occurs before income is received, the income is
accrued.
Donated services or facilities are recognised when the company has control over the item, any conditions
associated with the donated item have been met, the receipt of economic benefit from the use of the company
of the item is probable and that economic benefit can be measured reliably.
On receipt, donated professional serVI￿S and facilities are recognised on the basis of the value of the gift to
the Company which is the amount il would h8ve been willing to pay to obtain services or facilities of equivalent
economic benerrt on the open market.. a corresponding amount is then recognised in expenditure in the period
of receipt.
Certain types of Income are shown in the Statement of Financial Activib"es incorporab.ng Income and
Expendrfture Account net of expenditure as follows".
Income from training and the provision of seNices is recognised as income as the services are provided.
Amounts received in respect of future periods is carried forwards as deferred income.
Membership income is recognised on a straight line basis over the period of membership. Any proporation of
membership receipt5 that relates to future periods is carried forward as deferred income.
1.5 Expenditure
Expenditure is recogni5ed once there 15 a leg81 or constructive oblig8tion to transfer economic benefit to a third
party, it is probable that a transfei of economic benefits will be requirèd in settlement and the arnount of the
obligation can be measured reliably. Expenditure is classified by activity. The costs ol each activity are made
up of the total ol direct costs and shared costs, including support costs involved in undertaking each activity.
Support costs are those costs incurred directly in support of expenditure on the objects of the company.
Govemance costs are those incurred in connection with administration of the company and compliance with
constitutional and statutory requirements.
Costs of generating funds are c051s incurred in allracling voluntary income. and those incurred in tr8ding
ctivilies th* raise funds.
1.6 Going con¢ern
As set out In the Tiustee's report, the Board have considered the impact ol the COVID 19 pandemic on the
operations of CL."AIRE. Since the year end the disruption to income and operations has been very limited. The
Board therefore consider that there will be minimal impact on the ability of CL.'AIRE to continue in operation for
at least twelve months from the date of approval of these financial statements and the accounts are accordingly
prepared on the Going Concern basis.

A review for impairrnent of a fixed asset is carried out if events or changes in circumstances indicate that the

The company only has financial assets and financial liabilities of a kind that qualify as basic financial
instruments. Basic financial instruments are initially recognised at transaction value and subsequently
measured at their settlement value with the exception of bank loans which are subsequently rneasured at
amortised cost using the effective interest method.
