## **Minutes of the AGM held on 29th July 2021, at 11.30am** 

## **via Zoom Video Link** 

**Present:** Emma Boundford, Kim Carr, Nan Flavell, Lisa Jones, Simon Lilley, Rosemary Phillips, Karla Short, Rita Tonks and Larraine Williams. 

**Apologies:** Elaine Owen, Edna Pingree. Claire Powers. 

## **Minutes of last AGM (30/06/20):** Read by all and agreed unanimously. 

**Matters Arising:** It was noted that the re-opening of the WINGS Centre had been discussed at the previous trustee’s meeting and it had been decided that a small number of respite sessions will be held at the centre over the Summer. A number of health and safety practices will be put in place including smaller groups, parents to sign in outside, extensive cleaning before and after sessions, sanitiser to be available throughout the building, masks, gloves & aprons to be worn during intimate care tasks and doors/windows to remain open during sessions to ensure a good level of ventilation is maintained. Sunday sessions at the Library will also be looked at in the coming weeks, with the hope of being able to put measures in place to begin running regular sessions again soon. 

## **Report from Treasurer:** Attached. 

Our overall income was £41,849.40 in the financial year Jan-Dec 2020, with donations and grants totalling £24,300.87 which was a decrease of £17,049.28 from 2019. However, we also received £13,948.57 from Furlough grants. Overall expenditure for the year was £44,575.24, a decrease of £12,873.03 from 2019 due to a reduction in activity during the pandemic. 

The current account bank balance on 31st December 2020 was £26,152.77. WINGS also continue to hold 2 savings accounts which provide a good source of income, with £1,946.64 interest received during 2020. 

It was agreed by all that WINGS remain in a strong financial position, with a net loss of just £2,725.84 for the year, which was an excellent outcome considering the current difficult circumstances of the Covid-19 pandemic. Funding from the Kelmscot Charitable Trust and funds received from Furlough grants have helped WINGS greatly throughout the year. Thanks were provided to Rosemary, Glynn and Emma for their help in maintaining WINGS finances. 

## **Report from Chair:** Attached. 

Nan noted the difficulties of the year as a result of the ongoing pandemic but expressed her thanks to Simon for helping to keep everyone connected online during lockdowns and to Emma for helping to keep everything ticking over at the WINGS Centre, along with payroll and our accounts. She also shared her gratitude to Jan Thomas and her family for all of their support over the years and wished them all well for the future. 



Nan declared her sincere thanks to Kelmscot Charitable Trust for their ongoing support of our charity and thanked all of the WINGS staff involved in the Afternoon Tea fundraising event which was held on our behalf. Thanks were also passed to Tesco for the community grant we received which enabled us to purchase new equipment for the WINGS Centre including a Nintendo Switch, and to all of the Riders who chose to support us at the Sponsored Aberdovey Bike Ride. It was mentioned how Furlough has been incredibly beneficial to WINGS and thanks were expressed to all staff, parents and donors for their ongoing support during this difficult time. 

Nan shared how she is looking forward to better times ahead and to getting fully back up and running again soon. She also asked for support from our current parents and supporters to be involved in shaping the future of support from WINGS in an ever changing environment. Any ideas and suggestions of potential activities etc. are always gratefully received to ensure we remain at the forefront of support for our families. 

## **Report from Project Manager:** Attached. 

Simon noted the difficulties of the year and the impact this has had on sessions, with the last face to face session having been held on 15th March 2020. However, contact has been maintained with as many of our families as possible in a variety of ways including online Zoom sessions, of which 37 sessions have been held during the year with a total of 190 attendances. We also provided personalised Christmas messages from Santa, along with Christmas packs being sent out to families over the Christmas Holiday’s, thanks were provided to Tesco for kindly donating these pack items. 

Simon discussed how it will now take time for us to re-build but that we will get there, he expressed his thanks to all for their ongoing support - it is ‘when’ and not ‘if’ that we will be back up and running as usual. 

**Election of Committee:** Re-election of the committee was proposed by Larraine, seconded by Karla and agreed unanimously.

**Any Other Business:** Nan mentioned that she had recently had a conversation with a organisation called Luv2meetU, who organise activities and events across the country, designed to provide individuals with learning difficulties with opportunities to meet and develop friendships and relationships. Nan suggested that a linked up event with Luv2meetU could be really beneficial for our members as it would provide the opportunity to expand their networks and meet new people. Simon suggested that if Luv2meetU already have the infrastructure and contacts in place then we could potentially provide a venue etc. for a joint event. This was discussed and generally considered to be a promising idea but it was decided that more research should be completed to explore all potential ideas around this concept. Another suggestion was to consider holding a joint event, such as a disco, with High Flyer’s as another way for our members to meet new people. 

The 25th Anniversary of WINGS was discussed and it was decided that our Anniversary would be linked to the year we first registered with the Charity Commission (1997) and as such we will seek to hold an event in 2022 to celebrate the 25th anniversary of this. 

**Date of next meeting:** This will be decided at a later date due to continued uncertainty but it is hoped that we may be able to hold the next AGM as a face to face meeting.
