Irregularities. including fraud, are instsnces of non-compliance wrth laws and Tegulations. We design procedures in line with our responsibilits"es, ouuined above, to detect Material mi5ststements in respect of irregularities, including fraud. The extent to which our pr(lureS are ¢apable of detecting irregulwities, including fraud 1$ detailed below.. Our approach to identifying and assessing the risks of material misstatement in respect of irregularit*s. including fraud and non-compliance vith laws and regulations. was as follows. The engagement partner ensured Ihal the engagement team collectNely had the appropriate competence, capabilitses and skills to identify or recognise non-compliance vith applicable law5 and regulations. As part of the audit in accordance with ISAS {UlQ we exercised professional judgmenl and maintained professional skeplicism throughout the audit. We identified the laws and regulations applicable to the company through discussion5 with directors and other management, arKI from our Commercial knowledge and experience of the sector and we fcKused on specific laws and pgulalions whh considered may have a direct material effect on the financial statements or the operabons of the eompany, including the Companies Acl 2006, UK Charities Act. taxation legislation and data protection, antpbribery. employment, environmental and heath and safety legislation. We assessed the susceptibility of the companYs financ1 statements to material misststement. including obtainin9 an understsnding of how fraud mNJht o¢¢ur. by making enquiries of management as lo where they considered there was sus¢epts"bility to fraud, their knovAedge of actual, suspected and alleged fraud and considering the internal controls in pl&e to m"gate risks of fraud and non-compliance wlh laws and regulations. We obtained an understsnding of intemal controls relevant lo Ihe audit In order to despjn audit procedures that We appropriate in the circumstances bul not for the purpose of expressing an opinion of the effeclNeness of the Company's internal controls. To address the risk of fraud through management bias and override of controls, we Ferft)rmed analytical procedures to identy.fy any unusual or unexpected relats"onships- tested journal entries to identify unusual transactions., evaluated the approprkileness of accounting wIleS used. including managements, use of the going concern basis of accounbng. 2nd the reasonableness of accounting estimates and related disclosu$ made by management", and investrJated the rati¢Jnale behind signiant or unusual transacb"ons. In response to the risk of irregularities and non<omplh3nce taws and regulabons. we designed procedures which included but We not limited to agreeing financial stslement disclosures lo underlying supporting documentation,. reading the minutes of meeb'ngs of those charged wth governan¢e; and enquiring of mana9ement as to actual and potential lrtigation and daims. BecaLtse of the inherent limitations of an audit there is a risk that we will not detect all irregularities. including those leading lo a material misstatement in the financh31 statements C non-compliance with regulatign. This risk increases the more that ComplnCe with a law or regulation is removed from the events and transactions reflected in the financial statements, as we wll be less likely lo become aware of instances of non<omplIan. The risk is also greater regarding irregularitses Ixcurring due to fraud rather than error. as fraud involves intentional concealment, forgery. collusion. omission or misrepresentatson. A further descriptim of our resFonsibilities for the audit of the financjal statements is Ic¢ated on the Financial Reporting Councifs website at.. vMv.frc.or .uklaudilorsres nsibil1"es.
