The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 4 April 2025. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).
FINANCIAL REVIEW
Financial position
The Foundation continues its activities (which are described fully in the significant activities section of this report) with the Foundation's principal sources of income during 2024-25 being raised from projects in Cyprus, Saudi Arabia, Zambia and Egypt.
Total incoming resources for 2024-25 amounted to £60,203, which was below the 2023-24 level of £116,089, reflecting a lower level of project activity during the year. Costs in generating the Foundation's 2024-25 income amounted to £80,361, a decrease on the 2023-24 level of £88,215. Governance costs in 2024-25 were slightly higher at £2,700 from the 2023-24 level of £2,550. The Slynn Foundation continues to receive donations from its supporters directly or through contribution of project fees, which has enabled the Foundation's funds at 4 April 2025 to amount to £94,028, a decrease of £20,158 from the level at 4 April 2024 of £114,186. Of the total balance at 4 April 2025, £35,595 represents restricted funds arising from the donation of certain fees.
Reserves policy
The Foundation monitors its financial position and reserves regularly at Trustees' meetings. The Foundation has a policy of maintaining available unrestricted resources of at least £25,000 after reviewing and taking account of known resources and commitments. This policy is subject to regular review. The Trustees consider that reserves at this level are required to ensure that the basic activities of the Foundation can continue in the event of any temporary shortfall in project fee income.
STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006.
The Slynn Foundation is a UK based charity working with senior judges and justice institutions around the world to enhance the rule of law, and to improve professional understanding of human rights, mediation and legal practice.
Recruitment and appointment of new trustees The directors of the company are also charity trustees for the purposes of charity law. All trustees give their time voluntarily. Expenses paid by trustees relating to trust business are disclosed in note 3 to the accounts. Most new trustees are already familiar with, and have already participated in, the work of the Foundation prior to appointment as trustees, and as such minimal training and induction is required. New trustees are provided with the governing documents, financial information and information regarding the detailed activities of the Foundation.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Organisational structure
The Foundation's activities are overseen by the trustees with, when necessary, a Strategy Group providing advice on strategic direction, a Delivery Group assisting with the implementation of current and future projects and Working Groups advising the trustees on specified matters.
Public benefit
In planning activities for the year the Trustees kept in mind the Charity Commission guidance on public benefit and the need to comply with their duties under section 4 of the Charities Act 2011.

SIGNIFICANT ACTIVITIES
Overview
2024-2025 has been another successful period for the Foundation. The Trustees have regularly reviewed the Foundation's operation in response to Government reductions on international aid funding and US aid cuts.
The Executive Director continued to work with the Chair and the Board of Trustees to increase the Foundation's international portfolio of projects and the Foundation strengthened and consolidated its position as a provider of judicial expertise to countries including Cyprus, the UAE (Dubai), Egypt, Saudi Arabia, Vietnam, and Zambia by developing new models of delivery.
In 2024, with the full support of the Foundation's Board, Lady Rose of Colmworth agreed to accept the role of President. Trustees Sir Nicolas Blake, Ian Cliff, and Amanda Pinto KC accepted Honorary Membership of the Foundation under the amendments to the articles on length of service. The Foundation is grateful for their long service as Trustees and will continue to benefit from their advice and experience as Honorary Members. We also record our thanks to Mr Stephen Lewis of Clifford Chance who, for a number of years, has acted as Hon. Treasurer. Going forward, this role will be filled by Mr Alex Scott. The Foundation has continued to benefit from the pro bono input of Clifford Chance and remains extremely grateful for this invaluable support.
At the recommendation of the recruitment sub-committee and after acceptance by the Board of Trustees, the following accepted election to the Foundation's Board, The Rt. Hon Sir David Bean, The Rt. Hon Dame Sara Cockerill, The Rt. Hon. Lady Dorrian, Professor David Ormerod CBE KC (Hon) DCL(Hon), The Hon. Mrs Justice Theis, Mr Simon Smith CMG.
The Foundation Chairman engaged with UK Government funding directorates to form an International Rule of Law Committee which will consider the coordinated deployment of international development funding in the legal training sphere. The group aims to meet regularly throughout the year.
In September, the Foundation received a request for participation in an international mission convened by the UK/Vietnam Governmental Working Group on finance. Sir Michael Supperstone will attend the next meeting on behalf of Slynn.
At the request of the Project leader, Professor David Ormerod KC, the Foundation contributed its research on the international acceptance of Artificial Intelligence in courts to the UK committee responsible for the review of the Criminal Courts System in England and Wales.
The Foundation produces an annual bulletin which contains details of the work and projects undertaken in the previous twelve months. This is shared with subscribers and made publicly available on the Foundation's website as are summaries of the Foundation's project work.

Project work
May 2024 - June 2025 Zambia, the Slynn Fellowship
At the end of May a delegation led by Sir David Bean travelled to Zambia on a scoping trip under the banner of the Foundation's Fellowship programme. The programme had been suspended during the Covid-19 period and we were pleased to be able to reinstate it thanks to a generous grant from the Anglo American Foundation's youth programme. Two Judicial Research Advocates travelled to London spending three weeks working with their counterparts in the Royal Court of Justice supervised by Sir David and Sir James Dingemans. In June 2025, following a renewed grant, we were able to extend the programme to two further recipients and sponsor an induction day in Lusaka for new joiners where Sir David presented to delegates from the Judiciary, Law Development Commission and Zambian Law Association.
June 2024 - Saudi Arabia
At the invitation of the British Embassy in Riyadh and following a majority vote of support from the Board of Directors, the Foundation delivered three seminars in Saudia Arabia, the first in Riyadh in 2023, the second in Jeddah and the third in the series a two-day training programme hosted by the Foreign Commonwealth & Development Office in London for thirty judges from Saudi Arabia. The delegates heard speakers from law firms and the judiciary and were able to visit the Royal Courts of Justice.
November 2024 - Egypt
At the invitation of the British Embassy in Cairo and the UNODC, the Foundation delivered a programme for twenty five judges from the Cassation Court on new proposals and techniques for the prevention of Cybercrime. The event took place at the Foreign office and included a visit to the Royal Courts of Justice.
March 2025 - Northern Cyprus
The Foundation presented the fourth in a series of two-day in-person training programmes for[judiciary][and] the Bar in conjunction with Public Administration International and the British High Commission. The programme, held in Nicosia, included topics including court management and the treatment of vulnerable witnesses.
Website & Social Media Channels
During 2024-25, the Foundation continued to develop its website and social media channels to demonstrate its work and attract further interest in its programmes. The website has provided an invaluable aid in the recruitment of new Trustees and continues to demonstrate through its reporting functions the broad geographic interest in the Foundation's work, while social media channels allowed the Foundation to engage with new younger audiences on current issues.

Independent examiner's report to the trustees of The Slynn Foundation (‘the Company’) I report to the charity trustees on my examination of the accounts of the Company for the year ended 4 April 2025.
Responsibilities and basis of report
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (‘the 2006 Act’).
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.
Independent examiner's statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

l. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or

2; the accounts do not accord with those records; or 3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or
-
the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).

- ACCOUNTING POLICIES
Basis of preparing the financial statements
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland’ and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.
The charitable company has taken advantage of the following disclosure exemptions in preparing these financial statements, as permitted by FRS 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland’:
- « the requirements of Section 7 Statement of Cash Flows; ¢ the requirement of paragraph 3.17(d).
Income
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.
Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.
Taxation
The charity is exempt from corporation tax on its charitable activities.
Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

- 4, TRUSTEES' REMUNERATION AND BENEFITS
There were no trustees' remuneration or other benefits for the year ended 4 April 2025 nor for the year ended 4 April 2024.
Trustees' expenses
During the year, two trustees were reimbursed expenses relating to trust business totalling £146 (2024 - £378).
