Trustees, report
The Trustees present their report of the charity for the year ended 31 December 2025 which are also
prepared to meet the requlrements for a directors, report and accounts for Companies Act purposes.
The trustees have adopted the provisions of the Statement of Recommended Practice ISORPI
"Accounling and Reporting by Charities" IFRS 1021 in preparing the annual report and financial
stalemenis of the charlty.
The financial statements have been prepared in accordance with the accountTng policies set Iwt in
notes to the accounts and comply wlth the charity's goveming document, the Charltles Act 2011 and
Accounting aTTrd Reportlng by Charities: Statement tsf Recommended Practice applicable io charities
preparing their accounts in accordance w5th the Financial Reportlng Standard applicable In the UK
and Republic of Ireland published in (ktober 2019 and in accordance wlth the special provisions for
small companies under Pari 15 of the Companies Act 2006.

OBJECTIVES AND ACTIVITIES
The company is a charity, the objects of which are the advancement of publlc education and training
in the fields of marine radio, electronlc5, telecommunications, radar, and electronic navigational
5ySterns.
The Trustees have referred to the guidance contained in the Charity Commisslon'5 general guidance
on public benefit when reviewing ihe aims and objectives and in planning our future activities.
ACHIEVEMENTS AND PERFORMANCE
Full Members total nil 12024: 231 and Associate Members nil 12024: 111. There were no wembership
fee5 in 2025 a5 the MCA (Maritime arTrd Coastguard Agency) took all exam activities, including
audit5ng, in-house. The centres, rherefore, from May 2025 reported dlrectly to the MCA.
Income from the Global Maritlme Distress and Safety Systetn IGMDSS) examinations ceased in May
2025. Dlrect charitable expenditure accounted for 93% of Incoming resources 189.5% In 20241. Overall
expenditure represented 122.5% of income resources 1103.5% in 20241. Cost5 in 2025 Included
redundancy amounting to C17,500.

The Executive Committee met in February, May, August and December 2025 via Zoom. The AGM and
the Executive Comrnittee met in Newcastle in April 2025. All Executive Committee meetings dealt
with items relating lo the operation of the company.
The Maritime Consultatlon Group IMCGI which sat as an Open sessi(￿ of rhe Executive Cornmittee
held its last meeting in April 2025. The Executive Open Session received report5 from the Chief
Examiner and had overall responsibility for the examlnation QA system.
FUTURE DEVELOPMENTS
The majority of our income stream was generated by activities we carried out on behalf of the
Maritime and Coastguard Agency IMCAI. The MCA took these actiwties in-house mid-may 2025,
therefore, reducing our ir)come stream considerably. Unfortunately, it has been decided, after
consideration and looking at many other opportunltles, that we cannot as an organi5atlon continue
to operate and reluctantly we must close our organisation in 2026 once all our investments mature.
FINANCIAL REVIEW - RESERVES POLICY
The As50clation reqLJlres financlal reserves for three s)urposes'.
to be able to fund the start-up or operatlonal costs for any project that could
not be supported out of annual income.,
to allow the Association to C(￿tinUe ils charitable activities by providing a
level of Investment income that will partly compensate for the antlcipated
decrease in future income expected from its GMDSS examination services,.
iii. to prowde a contingency fund that will enable the Association to carry out any
exceptlonal cost-bearing actions associated wlth it5 examlnaiion service
quality assurance responsibilities.
The level of reserves required for the Assoclatlon to meet its obllgation5 under paragraph 1.
above is ¢lrca £300k. Circa £25Ok will be held on long-term deposit or Invested to produce an
investment incotne Isee 1.11. above). Circa E50k will be held on 5hort-term deposit to allow
any annual expenditure required for activities under 1.1. and 1.iii. Free reserves at the year
end were [269,77612024: £301,488).
The Association will prudently control its revenue expenditure In order to ensure an annual
operating surplu5 can be maintained if possible. This will be achieved by setrlng a phased
income and expendlture budget before the beginning of the finaricial year and monitoring the
revenue budget and predicted surplus at quarterly meetlngs of the Board of Director5.
In the event of no other major income generating activity being forthcoming, which is currently
belng provided through Its examination ser4ices, the Association intends using its Investment
Income to supplement other minor forms of income in order to continue wth its charitable
activitles.
This policy will be reviewed annually and any proposals for change discussed and approved at
the annual general meetlng.
For c05t savlng and environmental reasons all rneetlngs except for the April meetlng and AGM were
held via Zoorn in 2025.

Rècruitment and appointment of new dlrectors
The Trustees are appointed by the Board of Trustees and serve until they resign or reti￿. The
Trustees ensure that new Trustees have the necessary skills to contdbute to the Charity'5
managemenl and development.
Rlsk assessment
The Trustees have assessed the rnajor risks to which the company Is exposed, in particular those
related to the operations and flnances of the company, and are satisfied that systems are in place to
mitigate the company's exposure to the major risks.

Transactions in forelgn currencies are recorded at the rate ruling at the date of the

Debtors and creditors with no stated interest rate and receivable or payable within one year
are recorded at transaction price. Any losses arlslng from impalrment are recognised in
expenditure.
Cash at bank and In hand
Cash at bank and cash in hand includes cash and short temi highly liquid investments with a
short maturity of three months or less from the date of acquisition or opening of the deposit or
similar account.
Finantlal Instruments
The charily only has financlal assets and financial 17abilities of a kind that quallfy as baslc
financial instruments. Basic financial instruments are inilially recognised at transaction value
and subsequenily measured at their settlement value wth the exception of bank loans which
are 5LJbsequently measured at amortised cost using the effective interest method.
Golng concern
The financial Statements have been prepared on a golng concern basis. As disclosed in the
Trustees, Annual Report under Future Developments, the trustees have indicated their
Intention to wind down the activities of the charity and, in accordance wlth the charity's trust
deed, distribute its remainlng assets to appropr(ate beneficiaries.
The trustees have reviewed the charity's financial position, including Its available resetves and
expected expenditure, and are satisfied that the charity has sufficient resource5 to continue its
operations and meet its liabilities as they fall due for the foreseeable future. At the date of
approval of these flnancial statements, the preclse timing of the wind-down has not yet been
determined and It is uncertaln whether this wll occur within the next 12 months or over a
longer perlod.
Accordingly, the trustees conslder it appropriate to prepare the flnancial statements on the

In the appllcatlon of the charity's accounting pollcles, the Trustees are required to make
judgements, estimates and assumptions about the carrying amount of assets and liabillties that
are not readily apparent from other sources. The estimates and associated assumptions are
based on historical experience and other factors that are considered to be relevant. Actual
results rnay differ from these estimates.
