local Issue5 and as a result Is able to make consldered and well-targeted grants that have a real Impact
on local communltles. The Trustees confirm that they have referred to the guldance contalned In the
Charlty Commisslon's general gUIdan￿ on publlc beneflt when revlewlng the Charlty's alms and objectlves
and In plannlng and settlng the grant maklng pollcy for the year. The Charlty a150 offers a cost effettlve
way for donors and other funders to make a long-term dIfferen￿ to those causes whlch they wlsh to
support. NCF adheres to the Code of Fundralslng practlce as set out by the Fundralslng Regulator UK.

Grant maklng
Strateglc Phllanthropy is our way of brlnglng about change for the better. The means are provlded by the
generoslty of our donors and other funders who entrust NCF wlth managlng thelr funds. It, therefore, has
a duty to ensure grants are made after careful assessment, that they meet prlorlty needs and that people
wlth detailed local knowledge contribute to declslon-making to ensure that grants achleve thelr alms.
Our local strateglc needs analysls Is avallable upon request and It has Identlfied prlorltles coverlng the
followlng themes: Mental Health, Eldedy, Young people and Community coheslon.

NCF approved 116 grants totalllng £570,927 to groups durlng the year. The majorlty of grants are for
amounts of up to £5,000 and a￿ almed at provldln9 prartlcal support to voluntary and communlty groups
and to the soclal enterprlse sector.
NCF Is supported by a number of communlty champlons vilth local knowledge and Intelllgence to asslst
wlth dedslon maklng on flow through and endowed fvnd$.
Monltorfng grants spend Is dellvered accordlng to each grant contrart, wlth most funds wantlng an update
on spend up annually. In order to Identlfy and prevent flnanclal Irregularltyi NCF malntslns Informatlon on
all reclplent groups, shares Infomiatlon wlth other grant maklng ljodles and key stakeholders.
Fund D•velopm•n( M•rk•tlng and Communlcatlon
The goal Is to e$tabllsh effectlve, targeted methods of reachlng key audlences to ralse awareness of NCF,
the value and Importance of local glvlng, the benefit of glvlng through our ,￿fe hands, and the funds that
a￿ avallable.
The strateglc alm Is to achleve all thls through a comblnatlon of campalgns, networklngi and worklng wlth
partners to ensure that all communltles hear about and can acce55 our support and beneflt from grant ald.

The Statement of Flnanclal Actlvltles (SOFA), set out on page 11 Is deslgned to reflect all Incomlng
resource5 ￿￿1Vable In the year Irrespectlve of when Income Is spent. Gr055 Income decreased by
£260,397 to £540,499 Includlng £10,431 of endowments. Charltsble expendlture decreased by £210,055
to £724,356. Net expendlture for the year amounted to £25,337.

Free re5erve5 available for use by the Charfty are deemed to be those that are readlly reallsabk. less funds
whose uses are restricted or deslgnated for particular purposes. The calculatlon thus excludes flxed assets
that will contlnue to be used In the day-to-day running of the Charlty.
As a matter of pollcyi each year the Trustees revlew the value of the reserve5 requlred to be held In
Investments, cash and cash equlvalents not restrlcted to any partlcular purpose. The Board conslders the
Charlty's exposure to the rlsk of any slgnlficant1055 of Income, and to the rlse of unforeseen expendlture,
whlch cannot be mltlgated by executlve artlon and the degree of rfsk ascrlbed to each such event Is
assessed.
Budgetary and financlal control contlnues to be Improved In order to reduce the rlsk of over-expendlture
and to mltlgate the effect of a drop In Income In any one flnanclal year. It Is not the Charfty's pollcy to
embark on any major Inltlatlve wlthout commltted fundlng. The present target range for free reserves Is
a mlnlmum of slx months operatlonal costs as per charlty commisslon guldellnes.

The Foundatlon conslders It essentlal, for the purposes of the effectlve control ènd monltorlng of Its
Investment management actlvltles, for the reduttlon of the rfsk of fraud or error, and for the pursult of
optlmum performance, that these artlvltles are structured and managed In a fully Integrated manner and
that there Is at all tlmes a darlty of Investment management responslbllltles. The prlnclple on whlch thls
wlll be based Is a clear dlstlnctlon between th05e charged wlth settlng Investment management pollcies
and those charged wlth Implementlng and controlllng these pollcles, partlcularly wlth regard to the
executlon and transmlsslon of funds, the recordlng and admlnlsterlng of Investment management declslons
and the audlt and revlew of the Investment management functlon.
RZSK MANAGEMENT
The Trustees assess buslness rlsks through monltorlng our rlsk reglster and Implementlng rlsk
management strategle5 as approprlate. The reglster covers the five key area5 of finance, personnel,
premlses, governance and reputatlon. Thls Involves Identlfylng the types of rlsks the Charlty faces under
eath area, prforltlzlng them In temis of potentlal Impact and Ilkellhood of occurrence, and Identlfylng
means of mltlgatlng the rlsks. As part of thls process the Trustees have revlewed the adequacy of the
Charity's current internal controls and deslgnated responsibillty of the tasks to either a member of the
Board of Trustees or a member of the management team.
The Chlef Executlve Identlfles and alerts the Trustees to any potentlal rlsk and reports on thls at Board of
Trustee5' meetlngs as part of a standlng 'Chlef Executlve Report. agenda Item. In addltlon the Board of
Trustees have:

srRucfuRE. GOVERNANCE AND MANAGEMENT
The charfty Is controlled by its govemlng document. a deed of trust, and constltutes a Ilmlted companyi
Ilmlted by guarantee, as deflned by the Companies Act 2006.
The Charlty Is governed by Its Memorandum and Artlcles ofA550clatlon, adopted 28th July 1997, amended
22nd December 2006 and last amended on 16th Aprll 2015.
The Charlty's objectlves are to promote 9ood health and soclal condltlons amongst all communltles wlthln
the County of Nottinghamshlre by way of managed grant schemes. It offers a cost effectlve way for donors
to make a long-term dlfference to those causes In whlch they have a personal Interest and wlsh to support.
NCF has a detailed understandlng of local Issues and as a result Is able to make consldered and well-
targeted grants that have a ￿81 Impact on local communltles. NCF adheres to the Code of Fundralslng
practlce as set out by the Fundralslng Regulator UK.
All Trustees glve of thelr tlme freely and no trustee remuneratlon was pald In the year. Detalls of trustee
expenses and related party transactlons are dlsclosed In notes to the flnanclal statements. Trustees are
qulred to dlsclose all relevant Intere5t5 and reglster them wlth the Chlef Executlve and In accordance
wlth the Charlty's pollcy withdraw from declslons where a confllct of Interest arlses.
The Board of Trustees Is responslble for the overall governance of the Charlty. The Trustees are elther
elected by the member5 or co-opted by the Trustees. One thlrd of Trustees shall retlre bt each Annual
General Meetlng and new Trustees duly appolnted.
An effectlve partnershlp betsveen the Trustees and staff Is a key contrlbutlng factor to the ongolng
development and SUC￿$$ of the Foundatlon
Trustees are requlred to meet at least four tlmes each year, Includlng the AGM, at whlch the Trustees
revlew overall strategy* set operatln9 plans and budgets, and revlew the ongolng operatlonal and
Investment performance of the Charlty Includlng the admlnlstratlve systems, HR management, reports on
grants made and thelr assoclated statlstlcal relevance, budgets and Investment perfomance, revlews of
budgetary requlrements and planned allocatlon of budgets for the followlng year and flnanclal regulatlons.
All new Trustee5 recelve an Indu¢tlon pack contalnlng all the relevant Informatlon regardlng the strurture,
legalltles and operatlonal runnlng of the Charlty and Its work for effectlve and Informed declslon maklng.
Trustee tralnlng sesslons are held at least once per year for the whole Board Incarporatlng strateglc
revlews; other se5slons a￿ tt￿anged as necessary for any other speclflc purposes.
NCF has been awarded the Communlty Foundatlon Network's quallty accredltatlon whlch slgnlfies the hlgh
standard that the oryanlsatlon has achleved and demonstrates that It has the approprlate skllls, systems
and procedures In place,

Audlt Commlttee
The Audlt Commlttee comprise5 of a maxlmum of four members of which at least two must be Trustees of
the Foundation. The Committee is appointed at a full meeting of the Bgard of Trustee5. The present
mernbers of the commlttee are Lynn Betts and Kevin Prlce. Ruth Warren attends a5 repre5entlng NCF as
the flnance officer.
The Audlt Commlttee Is responsible for ensurlng that the Internal control system5, Includlng audltin9
actlvltles, are effectlve and proper operatlonal procedures are In place.
The Audlt commlttee meets on a needs-led basls to revlew flnanclal due dlllgence Including, Internal
flnanclal protocols and procedures, Investment portfollo, endowment management performance and free
reserves.
Chlef Executlve
The Chlef Executlve Is ￿Spon$5b1e for the day-to-day management of the Charity's affairs and for
Implementlng pollcles agreed by the Board of Trustees.
Employ•es
NCF alms to be an organlsatlon that employees enjoy worklng for and where they feel supported and able
to develop. Employees are kept fully Informed about Its strategy ond objectives, as well as day-to-day
new5 and event5, Regular Informatlon about the organlsatlon Is avallable through meetln9s, and all
employees are encouraged to dlscuss and glve thelr suggestlons and vlew5 on performance and strategy.
The Charlty SUPPOrts equal opportunltles. A polScy of recrultment and promotlon on the basls of aptitude
and ablllty without dlscrlmlnatlon Is followed.
NCF as a Charlty pursues both the employment of dlsabled people whenever a sultèble vacancy arlses and
the contlnued employrnent and retralnlng of employees should they become dlsabled whllst employed by
the organlsatlon.
The Charoty Is commltted to the tralnlngl career development and promotlon of all employees. Tralnlng
prograrnmes are provlded to meet any ongolng needs, wlth the alm of developlng employees for both thelr
current and thelr future roles.
Penslon•
The Charlty operates a Group Personal Pension Plan through Peoples Penslon, membershlp of which Ss not
compulsory but to whlch all employees, are encouraged to Joln unless they already have thelr own plan
set up. The Charlty makes a contribution of 5% of gross salary and employees, contrlbutions are at least
to the same level.

accordantt wlth the Flnancial Reportlng Standard applicable In the UK and Republlc of Ireland (FRS
102) (effectlve l January 2015),, Flnandal Reportlng Standard 102 'The Flnanclal Reportlng Standard
appllcable In the UK and Republlc of Ireland,, the and the Companles Art 2006. The financlal
statements have been prepared under the hlstorlcal cost convention wSth the exceptlon of
Investments whlch are Included at market value.

Voluntary Income Is recelved by way of grants, donatlons and glfts and Is Included In full In the
statement of flnanclal actlvltles when recelvable. Grants where entitlement Is not condltlonal on the

uncondltlonally entitled to the grant.
Donated servlees and facllltles are Included at the value to the Charity where thls can be guantlfled.
The value of servlces provlded by volunteers has not been Induded.
Grants, Indudlng grants for the purchase of flxed assets, are recognlsed In full In the statement of
flnanclal actlvltle5 In the year In whlch they are recelvable. Incomlng re50urce5 from 9rants, where
related to performance and 5peclfl¢ dellverables, are accounted for as the Charlty earns the rlght to
conslderatlon by Its performance.

Llabllltles are recognlsed as expendlture as soon as there Is a legal or constructlve Qbllgatlon
commSttlng the charlty to that expendlture, It Is probable that a transfer of econom5c beneflts wlll be
requlred In settlement and the amount of the obllgatlon can be measured rellably.
Costs of generatlng funds cumprlse the costs a$soclated wlth attrartlng voluntary Income and
actlvltles for generatlng funds.
Charltable expendlture comprfses those costs Incurred by the Charlty In the dellvery of Its actlvltles
and Its servlces for Its beneflclarles. It Includes both costs that can be allocated to such actlvltle5
and those costs of an Indlrect natu￿ necessary to support them. Expendlture on grants Is recorded
once the Charfty has made an uncondltlonal commltment to pay the grant and thls is communlcated
to the beneflclary or the grant has been pald, whlchever Is the earller, The Charlty has not made
any grant commltments of more than one year.
Support Costs Include general management, general offlce costs, accountlngi Informatlon
technology, human resources and governance costs, and are allocated across the categorles of costs
of generatlng funds, charltable expendlture.
All costs are allocated between the expendlture categorles of the statement of flnanclal actlvltles on
a basls designed to reflett the use of the resour￿. Costs relating to a partlcular actlvlty are allocated
dlrettly. Other5 are apportioned on an appropriate basls e.g. per caplta or estlmated usage as
detailed In the note5 to the financial statements.

Investments held as flxed assets are revalued at mld-market value at the balance Sheet date and
the galn or loss taken to the Statement of financlal athvltles.

nd losses on Investments are calculated as the dlfference between sale proceeds and openlng
market value (purchase date If later). Unrea115ed galns and losses are calculated as the dIffe￿n
between the market value at the year end and openlng market value (or purchase date If later).

Granby Educatlon fund was a dormant trust transferred and modernlsed to malntaln the spldt of

The Southwell Flood Fund was set up In March 2015 and wlll be used to contrlbute to the fundlng
of flood defence and mltlgatlon measures wlthln the area covered by Southwell Flood Forum.
Weslyan Fund
The Wesleyan Foundatlon was establlshed In 2017 to support varlous good causes throughout the
UK. Lead by the Heart of England Communlty Foundatlon, grants are offered to support ￿gIstered
charitie5, constltuted voluntary and communlty group5 based wlthln the region covered by the
Wesleyan network. Nottingham is one of those region5 and NCF is pleased to provide grants In
Nottingham City on behalf of the fund.

Maryaret Howell's granddaughter Set up a legacy after she passed away wlth the hope that after

The young enterprlse fund comes from a private donor who Is worklng wlth many Communlty
Foundatlons across the UK. SWEF awards grants of up to £2,000 to young people In Nottlngham
ctty and Nottlnghamshlre County who need support wlth a new buslness start-up. It 1$ partlcularfy
targeted at those who are not In educatlon, employment or tralnlng.
Nottlngham Street Ald
Worklng wlth It's In Nottlngham, and donatlons from the publlc thls fund provldes support for
I dlvlduals wlth a range of needs In thelr transltlon from homelessness to stable houslng. Dec151ons
grant awards are made by a panel from the Nottlngham Homeless forum.
Dragons D¢n
Worklng wlth a panel of local dragons (angels really) we h05t a den to find promlslng new buslness
entrep￿neUrs. Thelr Ideas are presented to the panel and 2 or 3 are chosen to recelve a small grant
plu5 glfts In klnd and buslness mentorlng.
1892 Fund
Communlty Foundatlons for Lancashlre and Merseyside are worklng wlth corporate donor MHA
Moore and Smalleyi who have head offlces In Lancashire. The company recently set up the 1892
Foundatlon to support financial Ilteracy projects for young people under 25 and they Ilke to glve
small award to a Nottingham group as they have an office here.
